About this file

This is an Amendment (Amendment 01) containing questions and answers for solicitation 12FPC126Q0016 regarding title and closing services for USDA-NRCS easement programs in Wisconsin.

The amendment clarifies that technical evaluation criteria requiring Area-Wide Market Analysis reports were included in error and will be replaced with requirements for title search, title commitment, post survey updates, final title policy, and closing services. The prime contractor must itself be licensed and authorized to provide title insurance and closing services in Wisconsin and cannot rely solely on a subcontractor's qualifications to meet technical requirements, though a licensed Wisconsin title-company subcontractor may be used. Services must be provided statewide across all Wisconsin counties. The estimated annual volume is approximately 20 transactions, with an estimated total BPA value of $500,000 and a maximum ceiling of $120,000, with no minimum guarantee. Title search and preliminary commitment services are ordered and invoiced separately from closing services, with full payment provided even if NRCS decides not to proceed with an easement acquisition. Past-performance references may include federal subcontract experience, state or local government experience, completed task orders under ongoing contracts, or commercial or government real estate transactions involving title search, escrow, real estate closing, agricultural property, or government land-acquisition work, provided the work is equivalent to that being solicited. The contract duration comprises a one-year base period with four one-year options, for a total potential five-year period, with flexibility to extend an additional six months if authorized by the Contracting Officer and funding is available.

Amendment 01 – 12FPC126Q0016 – Title and closing services for USDA-NRCS easement programs in Wisconsin

1. Question - The technical evaluation criteria require experience in preparing Area-Wide Market Analysis reports for conservation easement valuations, whereas the Statement of Work addresses only title and closing services. Please confirm whether this requirement applies or was included in error.

Answer - It was included in error, will be removed and the following added “title search, title commitment, post survey updates, final title policy, and closing services”

2. Question - Must the prime contractor itself be licensed and authorized to provide title insurance and closing services in Wisconsin, or may these requirements be met through a licensed Wisconsin title-company subcontractor?

Answer – Yes

3. Question - May the prime contractor rely on the licenses, qualifications, experience, and past performance of its proposed title-company subcontractor to meet the technical requirements?

Answer - No

4. Question - What is the estimated annual volume of title searches, title commitment updates, closings, and final title policies anticipated under the BPA?

Answer - Roughly 20 but will vary based on annual program demand. This is a voluntary program, so there is no way to know for sure what the public interest will be in any given year.

5. Question - What is the estimated total value, maximum ceiling, and minimum guaranteed amount under the BPA?

Answer - Estimated total value is $500K, maximum ceiling $120,000. There is no minimum guarantee under the BPA .

6. Question - Is the contractor required to provide title and closing services throughout all Wisconsin counties, or only in specific counties or regions?

Answer - Statewide coverage, i.e. all counties, is required to meet the needs of NRCS.

7. Question - Will USDA accept federal subcontract experience, state or local government experience, or completed task orders under an ongoing contract as evidence of successful Government contract completion within the past two years?

Answer - Yes, if the work is equivalent to that being solicited.

8. Question - Must all three past-performance references involve conservation easements, or will USDA accept similar title search, escrow, real estate closing, agricultural property, or government land-acquisition work?

Answer - Commercial or government real estate transactions as described may be acceptable.

9. Question - If a title search and preliminary commitment are completed but NRCS decides not to proceed with the easement acquisition, will the contractor receive full payment for the completed title services?

Answer - Yes, title search and PTC are ordered/invoiced separately from closing services.

10. Question - The solicitation establishes a one-year base period and four one-year options, but another clause states that the total duration shall not exceed six months. Please clarify the intended contract duration. - (c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 6 months and is subject to the availability of funds.

Answer - It means that you cannot extend the Contract beyond 6 months and 5 years. Once all option years have been exercised, this clause gives the flexibility to extend by 6 months if the Contracting Officer authorizes and there is a need.
