Solicitation No. 129J6120Q7001 Amendment No. 1 Mechanic with Service Truck

EXHIBIT H - GEOGRAPHIC AREA TERMS AND CONDITIONS

For B.3(a) at the end of the paragraph add, “The Government intends to evaluate quotes and award a contract without negotiations with vendors.

Therefore, a vendor’s initial quote should contain the vendor’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct negotiations if later determined by the Contracting Officer to be necessary. The Government may reject any or all quotes if such action is in the public interest.”

For B.3(c) add at the end of paragraph, “The pre-award inspection serves as verification of operational acceptability. The pre-award inspection documentation requested at D.16 is considered the technical proposal for the quote. Only documentation received by the quote due date will be considered for award. There will NOT be an opportunity to make corrections/updates to the technical proposal. Documentation must be clear/legible.”

For B.3(d) add at the end of the paragraph, “Our determination of fair and reasonable pricing may take into account, but is not limited to, counterpart agency pricing, such as CalFire’s, and commercial pricing.”

Delete B.3(g) and replace with, “(g) All official communication, including notice of award or non-award, will be electronically sent to vendor's email address, as provided in VIPR. IMPORTANT: It is the responsibility of each vendor to maintain and monitor the provided email account.”

Delete C.3.1 Agreement Period paragraph (a) and replace with-- “(a) Estimated date of award is BY THE END OF JULY 2020. The Agreement period is for 3 years from the date of award. An annual review will be conducted and at that time, contractors may be offered an opportunity to adjust their prices. If a revised rate is not submitted during the period set forth by the Contracting Officer, the prices will remain in effect. Changes to Host Dispatch Center, Equipment Location, and/or Equipment Attributes will NOT be permitted for the duration of the agreement.

Note: allowable equipment changes will not include the addition of new resources and will not result in a change in equipment typing.”

For C.3.3 Agreement Cancellation add the following:

“This agreement is non-transferable and change in ownership will result in agreement cancellation. A novation agreement may not be processed for this instrument. New vendors may quote under a future solicitation.”

Add after D.19.1--

“D.19.2 BUSINESS RELATIONS IN GENERAL

Vendors are expected to conduct themselves professionally. HARRASSMENT IN ANY FORM WILL NOT BE TOLERATED. Examples of unprofessional behavior are yelling; making argumentative or inflammatory statements; using threatening language; using social media for posting of unprofessional content related to agreements, assignments or general government business; or causing unnecessary interruptions to ongoing work or making unreasonable demands from government program staff, including demanding prioritization of vendor’s issue over other ongoing work or an excessive number of communications. Examples of unprofessional practices are abuse and/or purposeful misrepresentation of the agreement terms, or of the incident process/system, such as--

- Causing improper dispatching procedures that do not follow agreement provisions or the dispatch priority list

- Accepting assignments when date and time cannot be met

- Accepting assignments when operators have insufficient work/rest

- Accepting assignment when drive time exceeds the work/rest requirements in order meet date and time needed

- Requesting release from an assignment in order to accept another

- Not restricting calls to dispatch about the status of vendor’s own resources in the system, such as interrupting regular dispatch business to ask when vendor might be called on assignment or requesting the status of other vendors (see D.6(b)).

- Providing resources that result in an excessive number of equipment inspection failures

- Repetitively not meeting the minimum agreement requirements

- Not responsibly checking in at incident so that resources can be assigned and put to work promptly

- Demanding use of vendor’s own ancillary equipment rather than another vendor’s

- Submitting improper or late invoicing, shift tickets, or other paperwork related to an assignment

- Withdrawal of equipment due to refusal of use of another vendor’s ancillary equipment

- Not dutifully and efficiently working through the demobilization process so that a resource can be released promptly

- Frequent refusals of assignments despite showing equipment available in the system.

Having an agreement is not an entitlement; it is at the discretion of both parties. Any vendor whose business practices result in undue administrative burden to the Government and/or whose representative’s conduct is considered unprofessional is subject to the suspension and/or cancellation of any or all VIPR agreement(s).

The Contracting Officer has the authority under this agreement to make decisions regarding compliance with the terms and conditions of the agreement, including professional conduct and business relations. The Contracting Officer or the Contracting Officer’s Representative (COR) is the vendor’s contact for issues with Business Relations.”

For D.22 Replacement of Resources, delete verbiage at paragraph (a) and replace with “(a) No replacements of resources will be made for the duration of agreement except at the discretion of the Government in extenuating circumstances, such as damage to equipment on an incident.

Such replacement resources will be with an equal or better resource without change to the agreement rates or position on the Dispatch Priority List. Replacement resources shall be inspected and accepted, if required by the solicitation, and approved in advance of use. This replacement modification must be issued and executed through the VIPR program and new resources must appear on the agreement and dispatch priority list prior to being utilized.”
