SECTION C

STATEMENT OF WORK

C.1 BACKGROUND

1.1 This Statement of Work (SOW) sets forth requirements for voice and data cable installation and repair under a Basic Ordering Agreement (BOA) Contract using individually priced task orders (see L.2 for definition of BOA).

1.2 The Contractor shall provide the Board with on-site technical services, on-site technical support services, cabling design services, and all support services necessary for, or incidental to, completion of Board-issued task orders related to voice and data cabling work. Any work involving altering or restoration of architecturally significant work areas during or following cable installation or repair at either the Eccles or Martin locations will require approval, in writing by the Contracting Officer’s Representative (COR). Architecturally significant work areas may include but are not limited to stone and marble structures.

1.3 The Board plans to award one BOA as the result of this Solicitation, to a firm that can provide IT cabling services that meets the requirements listed in Section C.7 of this Solicitation, at a minimum. The resulting BOA will be a mechanism by which the Board may order services, as defined more specifically in later-issued “task orders,” in accordance with the firm fixed hourly rates set forth in the BOA or any firm fixed pricing that is requested by the specific task order, whichever is applicable. Task orders whose pricing involves calculation by hourly rate shall be priced at the rates no greater than as set forth in the BOA.

C.2 SCOPE OF WORK

2.1 The Contractor shall provide all of the personnel, equipment, tooling, and materials required to install and maintain voice and data cabling, and to provide related technical services, on an “as-needed” basis at the Board’s facilities in Washington, DC. The Board will authorize work via written task orders, as outlined in Section C.3, below.

2.2 The Contractor shall perform all work in compliance with regulations and/or standards set by National Electric Code (NEC), Occupational Safety and Health Administration (OSHA), Energy Information Administration (EIA)/Telecommunications Industry Association (TIA), Federal Communications Commission (FCC), National Fire Protection Agency (NFPA), and any other

SOA (v. 07/10/2018) Page 7 of 86 applicable federal, state, or local government laws, regulations, codes, or ordinances.

2.2.1 For the purposes of this Contract, the Contractor shall assume that the District of Columbia building, electrical, and fire codes apply to the Board’s facilities, unless otherwise noted in the task order or instructed in writing by the COR.

2.2.2. Should there be apparent conflict between different codes and/or regulations, the Contractor shall notify the COR in writing, who shall determine which requirement(s) take precedence.

2.2.3 Nothing in this section shall relieve the Contractor of its obligation to perform all work in a skillful and workmanlike manner that is consistent with the normal standards of care of other contractors performing similar work in the Washington, DC area.

2.3 The Contractor shall respond to non-emergency task orders by submitting a task order proposal to perform work as required in the Supplemental Statement of Work as described in Section C.3. The Contractor shall submit the task order proposal to the Contract Specialist within 48 working hours of receipt of a request from the Board (Supplemental Statement of Work), unless the Board approves a different timeline in writing. The Contractor shall begin work as required by the Board for each task order. Proposals shall detail a start date, projected completion date, a detailed Bill of Materials complete with materials pricing, and a detailed breakdown of labor to be supplied with hourly rates and estimated hours for each labor category. All hourly rates submitted with task order proposals must correspond with the hourly rates set forth in the BOA awarded to the Contractor as the result of this Solicitation.

2.4 The Contractor shall have 24-hour emergency services available 7 days a week, with no exceptions for holidays. This shall include having a response center operated by the Contractor’s own personnel to take emergency calls from the Board. Use of an answering service, automatic paging voice mail, or any means of response that does not require human operation is not acceptable to the Board.

The Contractor shall respond to emergency calls from the Board as outlined in Section 2.5, below. The Contractor shall also have a policy for escalation in the event the Contractor cannot have the necessary personnel, equipment, tools, and materials on the Board’s premises (4) hours of notification of an emergency condition the problem. The Contractor’s plan for escalation shall be included in its Technical Proposal.

SOA (v. 07/10/2018) Page 8 of 86

2.5 Emergency task orders shall be issued by the Board in the event there is a malfunction in the IT cabling system that results in full impairment of the system’s successful and complete functioning. In these rare instances, the Board will call the Contractor’s response center and will provide details regarding the needed services, to be followed by a written Supplemental Statement of Work.

The Contractor shall respond to emergency task orders issued by the COR or his authorized designee by having the necessary personnel, equipment, tools, and materials on the Board’s premises within four (4) hours of notification of an emergency condition. This response time shall not vary due to the time of day in which the emergency is reported, the day of the week on which the emergency takes place, or due to a holiday observance. Upon receipt of an emergency call with details regarding the needed services, the Contractor shall confirm an estimated time of arrival to the Board and the estimated hours and materials to be used by sending an e-mail to the Board’s Contract Specialist and COR. The COR must agree in writing to the estimated time of arrival and estimated hours and materials to be used prior to initiating work. The Board will, at the earliest opportunity, produce a written Supplemental Statement of Work for the emergency task order. Upon completion of work under an emergency task order the Contractor shall provide a report by email to the COR that documents the time of arrival of Contractor personnel, the work performed, materials and labor costs with hours per category expended and the applicable hourly rates. This report shall not negate the Contractor’s requirement to follow the invoicing procedures outlined in this SOA (see J.3 for invoice procedures). All hourly rates charged to the Board for emergency task orders must correspond with the hourly rates set forth in the BOA awarded to the Contractor as the result of this Solicitation.

2.6 The Contractor shall perform Work Area Outlet (WAO) services on an as needed basis. This includes work on the Board’s telecommunications equipment outlets (all sockets) including all cable components between communication outlets and end-user telecommunications equipment, such as telephones, workstations and printers, and the communication outlet itself. The Board will issue a Supplemental Statement of Work as a request for a task order proposal. The Contractor shall perform services at baseline standard pricing as set forth in the Contractor’s BOA. Costs should account for both labor and materials with an average distance of 180 feet of cabling. The Contractor shall label and test the cabling consistent with the Board’s current labeling scheme. The Board’s labeling scheme is a collection of recorded drawings of the commercial telecommunications building cabling system. All materials shall be Commscope SYSTIMAX. See Attachment 3 for specific details regarding the Board’s Work Area Outlets.

SOA (v. 07/10/2018) Page 9 of 86

C.3 TASK ORDERS

3.1 The Board will issue a Supplemental Statement of Work as a request for a task order proposal for each work assignment under this BOA. The Supplemental Statement of Work will describe the nature and extent of the work to be performed for the task.

3.2 Each Supplemental Statement of Work will follow the format of Attachment 3 hereto (Format for Supplemental Statement of Work). The Board will assign a unique identification number to each Supplemental Statement of Work.

3.3 Upon receipt of a Supplemental Statement of Work from the Board, the

Contractor shall perform a site survey and/or perform such other investigations that may be required to prepare a proposal. The Contractor shall subsequently submit a written proposal to the Board to perform the work described in the Supplemental Statement of Work. The Contractor’s proposal shall, at a minimum, include a list of proposed tasks, a detailed Bill of Materials complete with materials pricing, the proposed cost for each element of work (and/or completion of a cost table), a proposed schedule (start date and completion dates), and a list of any excepted or excluded items. If no excepted or excluded items are noted, the Board will assume that the Contractor’s proposal is fully inclusive of all requirements identified in the Supplemental Statement of Work. Each proposal shall include both the BOA number and the Board’s identification number for the Supplemental Statement of Work.

3.4 The estimated cost and technical complexity of any given task will determine the level of detail required to support the Contractor’s price proposals for the task order. The minimum level of detail required in any task order proposal shall include a breakout of all labor hours and associated expenses needed to accomplish the work.

3.5 The Board will review each task order proposal to ensure that it satisfies the technical requirements outlined in the related Supplemental Statement of Work.

The Board will review proposed pricing of each task order proposal that satisfies the technical requirements and will review the reasonableness of pricing before making a task order award.

3.5 Provided that the COR and the Contractor agree concerning the scope of work, the general pricing and other matters in the Contractor’s proposal, and that the Board wishes to continue with the task, then the Contractor and the Board may enter into negotiations to arrive at a firm-fixed-price for the task order.

SOA (v. 07/10/2018) Page 10 of 86

3.6 The Board shall signify its acceptance of Contractor’s task order proposal by issuing a written order for the task in the form of a contract modification. The contract modification will include the Supplemental Statement of Work as reference.

3.7 The Supplemental Statements of Work issued by the Board as well as the

Contractor’s task order proposals submitted in response will be incorporated into this BOA by reference once they are awarded to the Contractor via contract modification.

Key Personnel are those personnel who are essential for the performance described in Section C, meet requirements outlined below in Section H.2, and who will be assigned to the Contract on a permanent basis.

No substitutions of key personnel shall be made except in accordance with Section H.3.

Approval of Key Personnel will not be unreasonably withheld.

H.2 PERSONNEL QUALIFICATIONS

Key personnel, at a minimum, shall possess sufficient experience, knowledge, skills, and abilities to permit them, at a minimum, to perform the work required under the SOA.

The Contractor shall provide skilled, credentialed personnel with demonstrated knowledge, abilities, and experiences to provide the required services. The Board requires one or more Key Personnel to meet the requirements identified in Section C.7.5.

H.3 SUBSTITUTION OF KEY PERSONNEL

a. Guidance on Substitutions. During the first ninety (90) days of the contract performance period no Key Personnel substitutions by the Contractor will be made unless substitutions are necessitated by an individual's sudden illness, death, or termination of employment.

In any of these events, the Contractor shall promptly notify the Contracting Officer and provide the information required by paragraph (b) below. After the initial ninety (90) day period, all proposed substitutions must be submitted, in writing, at least 10 days in advance of the proposed substitutions to the Contracting Officer and provide information required by paragraph (b) below.

SECTION I

EVALUATION AND AWARD PROCESS

I.1 EVALUATION OF PROPOSALS - PASS/FAIL

a. A proposal consists of Volume I (Offer), Volume II (technical proposal), Volume III (past performance) and Volume IV (price proposal) submitted by an Offeror responding to this Solicitation. Each non-covered company whose total price proposal exceeds $100,000 ($300,000 for construction) shall submit a Subcontracting Plan pursuant to Section L.13. Each Offeror shall submit a technical proposal and a price proposal, according to the guidelines presented in the following:

1. Section B, Price Proposal Form

2. Section C, Statement of Work

3. Section L, General Instructions and Information

NOTE: Offerors are advised that a one-word response, for example “comply”, to a mandatory requirement is insufficient and that such a response will receive a fail rating, thereby causing the entire proposal to be rated as fail.

b. Each technical proposal is subject to the same review and pass/fail analysis by the

Board’s technical evaluation team. Each proposal will first be examined to determine if the Offeror is responsible (see I.2). If any responsibility requirement is not demonstrated, the proposal will be rejected and will receive no further consideration. Technical proposals that meet all responsibility requirements will be subject to the pass/fail technical review described in subsection (c), below.

c. Technical Proposal (Pass/Fail). All proposals will be evaluated to determine technical acceptability based on the minimum technical requirements of the SOA and conformance to the terms and conditions of the SOA. Technical acceptability will be evaluated based on pass or fail basis. In order to be determined to pass technically, and thus eligible for award, Offerors must meet all the mandatory requirements of the SOA. Technical proposals that meet all SOA requirements will receive a “pass” rating.

d. A Board price evaluation team will review each Offeror’s price proposal as formatted according to Section B. Offerors are reminded that they must use the format set forth in Section B in submitting their price proposals. The price evaluation team will evaluate the price proposals for price reasonableness, realism, risk, and any other criteria set forth in Section B. The price evaluation team may reject unrealistically low or materially unbalanced offers.

e. Covered Company Preference: If a covered company, as defined in Section M.25, is among the Offerors whose price proposal is being evaluated for any particular Task

SOA (v. 07/10/2018) Page 26 of 86

Order, price will be adjusted as described in subparagraph 1, below. The adjusted price will be used as the final price when making an award decision.

1. Except for the acquisitions described in subparagraph 2., below, if a responsible covered company submits a responsive bid, quotation, or proposal, the Contracting Officer shall, for the purpose of price evaluation, add to each non-covered company’s proposal the following factor(s): three percent (3%) of the first $500,000, plus one percent (1%) for any amount of the bid, quotation, or proposal that exceeds $500,000. After applying this price adjustment, the Contracting Officer will evaluate the proposals and award the Contract as provided in paragraph g., below.

2. No price adjustment will be calculated in any of the following acquisitions, even if a covered company is a bidder: (1) the value of the contract is equal to or less than $100,000, (2) the acquisition is a set-aside under the Board’s Small and Disadvantaged Business Acquisition Policy, (3) the covered company has executed a waiver of the price preference, (4) price is not a factor in the evaluation, or (5) the contract is being awarded pursuant to the Trade Agreements Act or another international agreement.

f. The Board intends to make award to the three (3) covered companies which receive a

“pass” rating on their past performance evaluation and technical proposal, and offered the three lowest-priced cost proposals. The Board also intends to make award to the three (3) non-covered companies which receive a “pass” rating on their past performance evaluation and technical proposal, and offered the three lowest-priced cost proposals. In total, the Board intends to award six (6) separate BOAs.

I.2 FACTORS TO DETERMINE A RESPONSIBLE OFFEROR

a. The Offeror shall provide financial statements for its two most recently completed fiscal years.

b. The Offeror shall disclose any actions pending before any body competent to rule on, adjudicate, or referee any legal dispute, including labor or workers’ compensation controversies, or bankruptcy filings.

c. Without additional expense to the Board, the Offeror shall possess and maintain, from the date of the Solicitation and throughout the Contract’s period of performance, any and all licenses and permits necessary to perform the work set forth in the Solicitation (i.e., licenses and permits required under Federal, State, and/or municipal laws, codes, and/or regulations applicable to the performance of the work). The Offeror shall indicate the type(s) of licenses and/or permits that have been issued to them, and the names of the issuing jurisdictions. The Offeror shall provide copies of such licenses and/or permits if requested.

SOA (v. 07/10/2018) Page 27 of 86

d. The Offeror shall certify, as of the date of release of this Solicitation, that it has paid all taxes due, withholding or otherwise, and that it is not a party to any action by any taxing jurisdiction or authority to collect overdue or back taxes.

a. If an Offeror has financial statements that are weak, has any actions pending, has not obtained or retained the required licenses and/or permits, has any outstanding taxes, or fails to provide any other information required by this Solicitation, the Offeror shall fully explain such action or deficiency so that the Contracting Officer may have sufficient information to determine whether the Offeror is a responsible Offeror.

b. Upon the Contracting Officer’s request, Offerors shall submit information concerning their prior compliance with subcontracting plans required under previous contracts. The Contracting Officer will consider Offerors’ responses (including any failure to respond) in determining Offerors’ responsibility.

I.3 PROTESTS

Any actual or prospective Contractor who is aggrieved in connection with the solicitation or award of a contract may submit a written protest consistent with the provisions of Section M.23.

CONTRACT ADMINISTRATION

J.1 CONTRACT TYPE

It is contemplated that the Board will award multiple Basic Ordering Agreements.

J.2 ORDERING PROCEDURES

J.2.1 After BOA award, individual TOs will be issued as necessary to support Contract requirements. Selected BOA Contractors will be sent a Request for Proposal (RFP) for services to be performed. RFPs may include a Statement of Work (SOW) with detailed specific tasks and deliverables, or may include a required level of support for the period of performance. Each RFP will include instructions for submitting a proposal. In response to the RFP, the BOA Contractor may provide a total price to complete the requirements and any information required by the RFP’s instructions. This total price shall include all labor. Task orders whose pricing involves calculation by hourly rate shall be priced at rates no greater than the rates set forth in the BOA contracts. The Board will not award task orders to BOA Contractors whose task order proposals are priced in a manner that is unfavorably inconsistent with the pricing set forth in their BOA. The BOA Contractors shall respond to each RFP within the time established by the Board for response (will vary on an Order by Order bases but is typically five to ten Business Days after receipt of the RFP).

J.2.2 The Board may award the TO without conducting negotiations with the

Contractor or the Board may enter into negotiations with the Contractor to arrive at a total price for the TO.

J.2.3 The Contractor selected by the Board will be directed to commence work via a

TO signed by the Board’s authorized representative (Contracting Officer).

The Board may extend the Contract by giving written notice to the Contractor at any time prior to the Contract’s expiration date. If the Board exercises this option, the extended Contract shall be considered to include this option provision.

The total duration of this Contract including the exercise of any option under this clause shall not exceed {insert end date including inclusive of all options} without written modification to the Contract.

Negotiated extensions of the Contract beyond the option periods without formal competition are a Board prerogative and not a contractual right.
