B-1. INDEFINITE QUANTITY
This is an Indefinite Quantity contract as contemplated by FAR 16.504. The total scope of the
Performance tasks for which orders may be issued is set forth in the Statement of Work (SOW). The maximum dollar amount the Government may order under this contract, inclusive of all options, is
$10,000,000.00; the minimum amount is $10,000.00.
B-2. USDA CONTRACTING OFFICER
Only an authorized USDA Forest Service (FS) Region 3 (R3) Ordering Procuring Contracting Officer
(OPCO) may place and administer an Order under this contract. The USDA FS R3 OPCO for each
Order is the sole and exclusive Government official with actual authority to take actions which may bind the FS R3 for that Order. The USDA FS
R3 OPCO is expected to comply with the terms and conditions of this contract and to ensure that Task
Order work is within the scope of the this contract. The USDA FS R3 OPCO may request a review of his/her requirements (e.g. Statement of Work/Performance Work Statement) from the Managing IDIQ
Contracting Officer prior to issuing Task Order. The Managing IDIQ Contracting Officer shall have the authority to issue final decisions regarding contract scope matters.

B-3. ORDERING PROCEDURES
(a) Prior to issuing an order under this contract, the USDA FS R3 Ordering Procuring Contracting
Officer (OPCO) shall obtain a control number authorizing issuance of an order from the Managing
IDIQ Contracting Officer cited in paragraph B.2.
(b) Orders will be issued by an authorized USDA FS R3 (OPCO) in accordance with the Ordering clause (FAR 52.216-18) of this contract. USDA FS R3 OPCO’s are the only personnel allowed to issue an Order under this IDIQ Contractor. The control number must be cited on all awarded orders.
(c) All products and services under the awarded IDIQ will be authorized via an Order issued by a warranted USDA FS R3 OPCO. All work under the Order shall be performed in accordance with the resultant Order issued by the ordering activity OPCO. The terms and condition of the IDIQ shall have precedence over the Order.
(d) The Contractor is not authorized to commence performance prior to issuance of the Order by the
USDA FS R3 OPCO. The following procedures shall be used for issuance, negotiation, and award of
Orders under this IDIQ Contract.
(1) The USDA FS R3 OPCO will provide the Contractor with a letter request for proposal copy for each proposed Order which will include a description of work to be performed, required deliverables, desired completion date, performance schedules, government furnished property, baseline travel, baseline other direct costs (as applicable), and Government points of contact including the USDA OPCO and USDA/FS Technical Points of Contact.
(2) The Contractor will respond with a written firm fixed price proposal, the approach to be used in performing the requirements, and any additional information deemed necessary to support the pricing rational for the order. The Contractor’s proposal shall minimally include (i) a brief technical discussion describing how the work will be performed; (ii) submit a price proposal identifying the appropriate work at hand; (iii) identify and provide rationale for all non-labor cost elements required for performance; and (iv) identify if any Government property required for performance. The contractor shall submit their response to the USDA OPCO within 5 business days of receiving a request for proposal.
(3) Upon receipt of the proposal, the OPCO will analyze the proposal and, if acceptable, issue an Order directing the Contractor to commence performance, or if the proposal is not fully acceptable as offered, negotiations shall be conducted prior to issuance of any Order. In the event issues pertaining to proposed work cannot be resolved to the satisfaction of the OPCO, the OPCO reserves the right to withdraw and cancel the proposed work. In such event, the Contractor shall be notified, via letter, of the OPCO’s decision. This decision shall be final and conclusive and shall not be subject to appeal under the Disputes clause or the Contract Disputes Act.
(a) Upon technical/price agreement between the OPCO and the contractor, an Order will be issued by the OPCO authorizing the Contractor to proceed with the performance of the work required.
(b) The OPCO shall provide the Managing IDIQ Contracting Officer with an electronic copy of the awarded Order within three (3) business days of Order issuance.
(c) In addition, the OPCO shall be required to provide an annual contracting status to the Managing IDIQ Contracting Officer. This report is due annually from the date of issuance of all
Task Order(s) authorized by OPCO’s and shall include the following items for each resultant award:
i. Contract Number
ii. Contract Award Date
iii. Contracting Officer name and telephone number
iv. Number of Task Orders placed to date by the OPCO, by base and option period (if applicable)
v. Amount of all Task Orders placed to date by the OPCO, by base and option period (if applicable)
(d) Failure to comply with this reporting submission may result in suspension of the
OPCO’s authority to issue orders against this IDIQ contract.
(e) Concerns regarding contract scope will be referred to the Managing IDIQ
Contracting Officer for a final contract scope determination.
Minimum Guarantee: The Government will order a minimum of $10,000 of services from each awardee over the life of the awardee’s IDIQ contract (option years included).

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—
Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller
General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph

52.216-18 Ordering (Oct 1995)
(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from date of award through five years after date of award.
(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.
(c) If mailed, a delivery order or task order is considered “issued” when the Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule.

52.216-19 Order Limitations (Oct 1995)
(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $10,000 the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor—
(1) Any order for a single item in excess of $5,000,000.
(2) Any order for a combination of items in excess of $5,000,000; or
(3) A series of orders from the same ordering office within 20 days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.
(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.
(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 10 days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

52.216-22 Indefinite Quantity (Oct 1995)
(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.
(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the
Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the
“maximum.” The Government shall order at least the quantity of supplies or services designated in the
Schedule as the “minimum.”
(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.
(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after one year after the expiration of the five year contract period (including option periods).
52.217-9 Option to Extend the Term of the Contract (Mar 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 15 days of contract expiration; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years.

FAR 52.236-7 Permits and Responsibilities (NOV 1991)
The Contractor shall, without additional expense to the Government, be responsible for obtaining any necessary licenses and permits, and for complying with any Federal, State, and municipal laws, codes, and regulations applicable to the performance of the work. The Contractor shall also be responsible for all damages to persons or property that occur as a result of the Contractor’s fault or negligence. The
Contractor shall also be responsible for all materials delivered and work performed until completion and acceptance of the entire work, except for any completed unit of work which may have been accepted under the contract.
AGAR 452.236-74 Control of Erosion, Sedimentation, and Pollution (NOV 1996)
(a) Operations shall be scheduled and conducted to minimize erosion of soils and to prevent silting and muddying of streams, rivers, irrigation systems, and impoundments (lakes, reservoirs, etc.).
(b) Pollutants such as fuels, lubricants, bitumens, raw sewage, and other harmful materials shall not be discharged on the ground; into or nearby rivers, streams, or impoundments; or into natural or man-made channels. Wash water or waste from concrete or aggregate operations shall not be allowed to enter live streams prior to treatment by filtration, settling, or other means sufficient to reduce the sediment content to not more than that of the stream into which it is discharged.
(c) Mechanized equipment shall not be operated in flowing streams without written approval by the
Contracting Officer.

AGAR 452.211-74 Period of Performance (FEB 1988)
The period of performance of this contract is 5 years from date of award. Services must be completed within TBD days from the Contracting Officer’s issuance of the Notice to Proceed for each task order.
AGAR 452.215-73 POST AWARD CONFERENCE (NOV 1996)
A post award conference with the successful offeror is required for each task order. It will be scheduled within 30 days after task order award. The conference will be held at: a location to be determined.
AGAR 425.228-71 INSURANCE COVERAGE (NOV 1996)
Pursuant to FAR clause 52.228-5, Insurance-Work on a Government Installation, the Contractor will be required to present evidence to show, as a minimum, the amounts of insurance coverage indicated below:
(a) Workers Compensation and Employer's Liability. The Contractor is required to comply with applicable Federal and State workers' compensation and occupational disease statutes.
