(i) This is a combined synopsis/solicitation for commercial service prepared in accordance with the format in Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotations are being requested and a written solicitation will not be issued.

(ii) The solicitation number 127EAY23Q0006 is issued as a request for quotation (RFQ).

(iii) The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2005-97.

(iv) This is a 100% Small Business Set-aside under NAICS code 221310 Water Supply and Irrigation Systems; the small business size standard is $27.5M; the Product/Service code is M1NE Operation of Water Supply and Irrigation Systems.

(v) This will be a four-year contract (base and three option years) See attached Schedule of Items.

(vi) The Government is seeking to establish a purchase order contract for Water Systems Operator on the Mendocino National Forest.

(vii) Services provided on routine and scheduled basis. See statement of work and schedule of items.

(viii) The provision at 52.212-1, Instructions to Offerors - Commercial Items, applies to this acquisition.

The Government intends to evaluate quotes and offer an award based on the quote submission; therefore, the quote should contain the best terms from a price and technical standpoint. The following are

(ix) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

1) Pricing of Service to include pricing differences for certain service areas.

2) Pricing to include base year and three option years.

3) Relevant Past Performance: Past Performance is a measure of the degree to which an offeror has satisfied its customers, complied with contract terms and conditions in addition to applicable laws and regulations. The Government may contact individuals and firms that you have performed services for, to evaluate your experience and past performance record.

4) Certifications and Professional Experience: Provide any California certifications.

Statement of Work

General Requirements The Contractor shall hold a current California Grade 2 certification for Water Treatment Operator and current California Grade 2 certification for Water Distribution Operator. The Contractor shall visit the water treatment facility once every two months and schedule weekly calls with the D1 operator to conduct the general administration of the water system and ensure effective operations. If any element of the facility or facilities is not operating correctly, the Contractor shall notify the Government of the required repairs. The Contractor is not responsible for known or unknown deficiencies of the water system(s) not caused by actions of the Contractor.

Sampling and Reporting Requirements

• The Contractor shall keep per-visit, weekly and monthly log report(s). The log report(s) shall become property of the Government and shall remain at the facilities. Copies of the logs shall be presented to the State Water Resources Control Board (SWRCB) and COR each month. Logs shall be scanned, signed and emailed to DWPRedding@waterboards.ca.gov, Scott.Small@Waterboards.ca.gov, and the COR at the end of each month and no later than the 5th day of the following month.

• The Contractor shall keep a sampling schedule and ensure that all appropriate water samples are taken throughout the contract period of performance.

• The Contractor shall work directly with the Forest Service D1 Operator to ensure daily operations and reporting comply with SWRCB requirements. Notes from weekly meetings/calls shall be emailed to the COR at the end of each month.

• The Contractor shall coordinate directly with the SWRCB to resolve Total Coliform Rule or Groundwater Rule violations, when applicable.

• Contractor will be responsible for coordinating with the SWRCB for Level 1 or 2 Assessments, Public Notifications and Consumer Confidence Reports, when applicable.

• The Contractor shall complete and submit the SWRCB Electronic Annual Reporting (EAR) on or before submission deadline each year.

• The Contractor shall be present for any site inspection performed by the SWRCB.

• The Contractor shall assist the Government in coordination with the SWRCB to rectify deficiencies discovered during site visits and/or inspections.

• The Contractor shall be responsible for updating O&M plan when changes to equipment, testing or operating procedures are made.

• Revisions to O&M plan shall include photographs and additional operational instructions where needed. Plan shall be electronically submitted, in a PDF document, to the COR by December 31st 2023.

Pre-Quote Site Visit Quoters are urged and expected to inspect the site where services are to be performed and to satisfy themselves regarding all general and local conditions that may affect the cost of contract performance, to the extent that the information is reasonably obtainable. In no event shall failure to inspect the site constitute grounds for a claim after contract award. No Site Visit is scheduled, but Quoters may contact Forest Service offices to schedule a site visit. Because gates may be locked, Quoters are highly encouraged to contact Forest Service Offices before visiting the site(s).

Performance Locations Fouts Springs water system: Fouts Springs is located approximately 50 miles Southwest of Willows, CA. From Interstate 5, take CA-162 west for approximately 22 miles. Turn left on CR 306 and continue for 18.5 miles. At the Stonyford Work Center turn right onto Forest Route M10/Fouts Springs Road and continue for approximately 8 miles. Turn right onto Forest Road 18N03. Approximate Latitude and Longitude coordinates are 39.355414, -122.657958.

Additional Site Information The Fouts Springs water system The Fouts Springs OHV water system is comprised of a horizontal well for a source, source line from the well to the chlorinator building, service line from the chlorinator building to the chlorine contact tank, service line from the chlorine contact tank to the storage tanks, service line from the storage tanks to hose bibbs in Davis Flat, South Fork, Fouts, Grey Pine and Mill Creek campgrounds and service line to the Fouts Springs Work Center and Fouts Springs Dump Station.

The chlorinator building houses the following equipment for water treatment: two (2) pre-filters, three

(3) membrane filters, green sand filter, chlorine metering pump, pressure vessels and one (1) solar panel.

Currently the Fouts Springs water system requires a raw and treated bacteriological sample monthly, a Nitrate sample annually, a Nitrite sample once every three years, a Manganese raw water sample annually and a Manganese treated water sample quarterly.

Contractor-Furnished and Government-Furnished Components All expenses associated with the operation, maintenance, repair and transportation of the Contractor and Contractor’s equipment are the responsibility of the Contractor. The Government will provide access keys as required.

Inspection The Government will inspect the Contractor’s reports on a random basis. Evidence of insufficient reporting or occasions of non-service are considered deficiencies and may result in deduction of an invoice, though correction of the error is the preferred outcome if possible.

Period of Performance Estimated start work date for Base Services is the week of January 1, 2023. Base Services shall continue through December 31, 2023.

Services shall be provided weekly. Option Years under this contract are as follows: [Jan 1, 2024 to Dec 31, 2024], [Jan 1, 2025 to Dec 31, 2025] and [Jan 1, 2026 to Dec 31, 2026].

Invoicing and Payment The Contract shall be awarded on the basis of a firm fixed monthly price for services. Total time awarded and paid shall be based on the actual start date of services. The Contractor shall create and submit invoices for services less any deductions via the Invoice Processing Platform (IPP) at www.ipp.gov on a monthly or other basis as agreed between the Contractor and the Government.

Contractor shall list the number of site visits on each of the monthly invoices. Payment will be made by Electronic Funds Transfer (EFT) to the bank account the Contractor designated in its SAM Entity. A SAM Entity of any status other than ‘Active’ will prevent payment.

(a) Definitions. As used in this provision-

Administrative proceeding means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.

Federal contracts and grants with total value greater than $10,000,000 means-

(1) The total value of all current, active contracts and grants, including all priced options;

and

(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(Contracting Officer shall insert the significant evaluation factors, such as (i) technical capability of the item offered to meet the Government requirement; (ii) price; (iii) past performance (see FAR 15.304); and include them in the relative order of importance of the evaluation factors, such as in descending order of importance.)

Technical and past performance, when combined, are [ ] (Contracting Officer state, in accordance with FAR 15.304, the relative importance of all other evaluation factors, when combined, when compared to price.)

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. (c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 Offeror Representations and Certifications-Commercial Products and Commercial Services. (OCT 2022)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(a) Definitions. As used in this provision-

Covered telecommunications equipment or services has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

Economically disadvantaged women-owned small business (EDWOSB) concern means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

Forced or indentured child labor means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

Highest-level owner means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

Immediate owner means an entity, other than the offeror, that has direct control of the offeror.

Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

Inverted domestic corporation means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

Manufactured end product means any end product in product and service codes (PSCs) 1000- 9999, except-

(1) PSC 5510, Lumber and Related Basic Wood Materials;

Place of manufacture means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

Predecessor means an entity that is replaced by a successor and includes any predecessors of the predecessor.

Reasonable inquiry has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate-

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

Sensitive technology-

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically-

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

Service-disabled veteran-owned small business concern-

(1) Means a small business concern-

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

Small business concern-(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121 and size standards in this solicitation.

(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.

Small disadvantaged business concern, consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that-

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by-

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

Subsidiary means an entity in which more than 50 percent of the entity is owned-

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

Successor means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term "successor" does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

Veteran-owned small business concern means a small business concern-

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

Women-owned business concern means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

Women-owned small business concern means a small business concern-

(1) That is at least 51 percent owned by one or more women; or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and

(2) Whose management and daily business operations are controlled by one or more women.

Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127), means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300.
