52.204-21 Basic Safeguarding of Covered Contractor Information Systems. (NOV 2021)
(a) Definitions. As used in this clause-
Covered contractor information system means an information system that is owned or operated by a contractor that processes, stores, or transmits Federal contract information.
Federal contract information means information, not intended for public release, that is provided by or generated for the Government under a contract to develop or deliver a product or service to the Government, but not including information provided by the Government to the public (such as on public Web sites) or simple transactional information, such as necessary to process payments.
Information means any communication or representation of knowledge such as facts, data, or opinions, in any medium or form, including textual, numerical, graphic, cartographic, narrative, or audiovisual (Committee on National Security Systems Instruction (CNSSI) 4009).
Information system means a discrete set of information resources organized for the collection, processing, maintenance, use, sharing, dissemination, or disposition of information (44 U.S.C. 3502).
Safeguarding means measures or controls that are prescribed to protect information systems.
(b) Safeguarding requirements and procedures. (1) The Contractor shall apply the following basic safeguarding requirements and procedures to protect covered contractor information systems. Requirements and procedures for basic safeguarding of covered contractor information systems shall include, at a minimum, the following security controls:
(i) Limit information system access to authorized users, processes acting on behalf of authorized users, or devices (including other information systems).
(ii) Limit information system access to the types of transactions and functions that authorized users are permitted to execute.
(iii) Verify and control/limit connections to and use of external information systems.
(iv) Control information posted or processed on publicly accessible information systems.
(v) Identify information system users, processes acting on behalf of users, or devices.
(vi) Authenticate (or verify) the identities of those users, processes, or devices, as a prerequisite to allowing access to organizational information systems.
(vii) Sanitize or destroy information system media containing Federal Contract Information before disposal or release for reuse.
(viii) Limit physical access to organizational information systems, equipment, and the respective operating environments to authorized individuals.
(ix) Escort visitors and monitor visitor activity; maintain audit logs of physical access; and control and manage physical access devices.
(x) Monitor, control, and protect organizational communications (i.e., information transmitted or received by organizational information systems) at the external boundaries and key internal boundaries of the information systems.
(xi) Implement subnetworks for publicly accessible system components that are physically or logically separated from internal networks.
(xii) Identify, report, and correct information and information system flaws in a timely manner.
(xiii) Provide protection from malicious code at appropriate locations within organizational information systems.
(xiv) Update malicious code protection mechanisms when new releases are available.
(xv) Perform periodic scans of the information system and real-time scans of files from external sources as files are downloaded, opened, or executed.
(2) Other requirements. This clause does not relieve the Contractor of any other specific safeguarding requirements specified by Federal agencies and departments relating to covered contractor information systems generally or other Federal safeguarding requirements for controlled unclassified information (CUI) as established by Executive Order 13556.
(c) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (c), in subcontracts under this contract (including subcontracts for the acquisition of commercial products or commercial services, other than commercially available off-the-shelf items), in which the subcontractor may have Federal contract information residing in or transiting through its information system.

Evaluation Factors
1. Price
2. Technical Capability
3. Relevant Past Performance
The Government will award a contract resulting from this solicitation to the responsible, responsive Quoter whose quote conforming to the solicitation will be most advantageous to the Government, price and other factors considered.
(1) The Government will determine responsibility by analyzing whether the apparent successful Quoter complies with the requirements of FAR 9.1 including:
(i) Have adequate financial resources to perform the contract, or the ability to obtain them;
(ii) Be able to comply with the required or proposed delivery or performance schedule, taking into consideration all existing commercial and governmental business commitments.
(iii) Have a satisfactory performance record. A prospective contractor shall not be determined responsible or nonresponsible solely on the basis of a lack of relevant performance history;
(iv) Have a satisfactory record of integrity and business ethics;
(v) Have the necessary organization, experience, accounting and operational controls, and technical skills, or the ability to obtain them (including, as appropriate, such elements as production control procedures, property control systems, quality assurance measures, and safety programs applicable to materials to be produced or services to be performed by the prospective contractor and subcontractors).
(vi) Have the necessary production, construction, and technical equipment and facilities, or the ability to obtain them;
and
(vii) Be otherwise qualified and eligible to receive an award under applicable laws and regulations.
(2) To be determined responsive, a responsive quote must comply in all material respects with the solicitation. Examples of solicitation requirements that could determine responsiveness include:
(i) acknowledgement of amendments (if any);
(ii) completed representations and certifications; and
(iii) Quoters not furnishing prices for each item listed in the Schedule requiring a unit price. If the quoter fails to insert a unit price in the appropriate blank for required item(s), but does furnish an extended total, or an estimated amount for such item(s), the Government shall deem the unit price to be the quotient obtained by dividing the extended amount for that line item by the quantity. Should any mathematical check made by the Government show a mistake in the extended amount quoted, the corrected unit price extension shall govern. If a quoter omits both the unit price and the extended amount or estimated amount for any item, its quote shall be declared nonresponsive and therefore ineligible for award. Pricing shall be submitted for all items.
(3) The following factors will be used to evaluate quotes:
(i) Price Factor: The Government intends to assess price to determine realism and reasonableness (reflective of the Quoters understanding of the work and ability to perform the work).
In supplying a quote, the Quoter shall complete and return the Standard Form 1449 (Boxes 17, 23, 24, & 30.
Box 12 is optional).
(ii) Technical Capability: Quoters shall respond to this factor in a format of the offerors choosing.
Technical Capability: Technical capability is a measure of the degree to which the vendor presents their understanding of the requirements and the challenges of this project as well as their ability to mitigate those challenges and complete the project as specified.
The narrative response to the technical capability should be in as much detail as the quoter considers necessary to fully explain their proposed technical approach or method. The technical capability should reflect a clear understanding of the nature of the work being undertaken and an understanding of the acceptable quality level. The narrative need not be lengthy but shall at a minimum address the following information:
1) Location and Access - Contractor shall provide address and description of property
2) Pasture with Available Forage - Characteristics
3) Holding Space, Corral, or Dry Pasture Characteristics
4) Water and shelter source(s) and access
5) Hay storage
6) Supplemental Feed Quality and Quantity
Relevant Past Performance. Past performance is a measure of the degree to which a vendor, as an organization, has satisfied its customers, and complied with federal, state, and local laws and regulations. The Government may inquire about the following elements, which are all of equal importance in relation to each other, (1) quality of the work; (2) customer satisfaction; (3) timeliness of the Firm during performance and the final completion of the project; and (4) overall business relations.
Performance information for their firm and any proposed major subcontractors performing more than 20% of the work shall be submitted with a minimum of three references within the last three years.
Include the following information for each reference:
1. Reference name
2. Company or organization
3. Current telephone number
4. Project name or contract number
5. Project Size in dollars and acreage
6. Location
7. Approximate completion date, or anticipated completion date if in progress
The Government may contact references beyond those identified by the quoter to obtain additional information in the evaluation of the quoters past performance. Performance information may be obtained on any federal, state, local, and commercial contract performance of the quoter that is known to the Government and may include information from existing contract files. Additionally, personal experience and an evaluator personal knowledge of quoters performance may be used.
The Government will determine the acceptability of each quote on a pass or fail basis considering the following factors:
1) A quoter takes exception to the any of the terms and conditions of the RFQ, including attachments;
2) A quoter is not currently registered in the System for Award Management (SAM) by the closing date of the solicitation;
3) A quoter cannot be verified as a Small Business as shown in SAM or other proof as submitted by the quoter; and
4) An incomplete quote that lacks sufficient information for the government to perform a technical evaluation to determine acceptability.
(b) Options. The Government will evaluate quotes for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that a quote is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an quote, mailed or otherwise furnished to the successful Quoter within the time for acceptance specified in the quote, shall result in a binding contract without further action by either party.
Before the Quoters specified expiration time, the Government may accept a quote (or part of an quote), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
Option for Separately Priced Line Items
The Government may require the performance of the numbered line items, identified in the Schedule as option item(s) . The government reserves the right to exercise the option item(s) for less than full quantities, or for increased quantities, at the price stated in the Schedule based on budgetary limits. The Contracting Officer may exercise these options at time of contract award or by written notice to the Contractor anytime up calendar days prior to the estimated start date for each option item. Period of performance of added items shall remain the same as if the options were exercised at time of award, unless the parties otherwise agree.
(End of clause)
PROVISIONS INCORPORATED BY FULL TEXT
Evaluation of Options
Except when it is determined in accordance with FAR 17.206(b) not to be in the Government’s best interests, the Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. Evaluation of options will not obligate the Government to exercise the option(s). Options may either be exercised at time of award or at a later date.
