1.1 SCHEDULE NOTES & INSTRUCTIONS TO CONTRACTORS
The United States Department of Agriculture (USDA), Animal Plant Health Inspection Service (APHIS), Marketing and Regulatory Programs Business Services (MRPBS), Acquisition and Asset Management Division (AAMD) is requesting quotes for Bulk Liquid Nitrogen. Contractors are hereby instructed that, regardless of any language that may be used in this solicitation, the Department is not conducting this procurement under FAR (Federal Acquisition Regulation) Part 15. This procurement is being conducted under FAR Part 13.
a) The government intends to award a single Indefinite Delivery/Indefinite Quantity (IDIQ) contract with firm-fixed-price type delivery orders to the selected awardee. The Government makes no guarantees as to frequency of orders or amount of supplies.
b) The contractor must be able to provide all line items requested.
c) Shipping is FOB destination.
d) Any additional charges for bulk liquid nitrogen (ie: remote monitoring, delivery, surcharges, power charge, etc.) must be included in the unit price of the contractor’s firm fixed price quote.
e) The U.S. Department of Agriculture (USDA) is an agency of the Federal Government and is tax exempt (Tax ID # 41‐069271). The contractor’s price must not include tax.
f) This solicitation is set aside for small business concerns only. Quotes received from other than a small business will not be considered for award.

QUOTE REQUIREMENTS
To be considered for award, the Contractor must submit a complete quote consisting of the following:
a) Cover sheet, limited to one page, to include the point of contact authorized to negotiate and sign on behalf of the Contractor (include phone number and email address), and the SAM Unique Entity Identifier (UEI).
b) A completed SF 1449 with the following blocks filled out 17a, 30a, 30b, and 30c.
c) Completed annual representations and certifications of the provision 52.212-3, Offeror Representations and Certifications-Commercial Items in www.SAM.gov.
Include a completed copy of 52.212‐3 Offeror Representations and Certifications – Commercial Products and Commercial Services only if: Annual representations and certifications were not completed electronically in SAM.gov; OR if changes to annual representations and certifications posted electronically at SAM.gov will apply to this solicitation only (i.e. Buy American Certificate (f)).
Note the provision 52.204-7 System for Award Management requires contractors to have an active registration in SAM prior to submission of a quote.
d) Provision 52.204-24 Representation Regarding Certain Telecommunications and Video Surveillance Services or Equipment. NOTE: Contractor’s are not required to complete this provision if they answered “does not” in provisions 52.204-26, Covered Telecommunications Equipment or Services—Representation or 52.212-3, Offeror Representations and Certifications-Commercial Products or Commercial Services.
e) The contractor must submit sufficient information, description, quantities, and technical specifications in the quote for the Government to determine their adequacy and make a comprehensive evaluation of its capability in providing the schedule of items listed in the solicitation and meet the specifications (Part 2.2 Specifications) identified in the RFQ.
f) Acknowledgment of any amendments.
g) A firm-fixed-price quote showing the prices for all items listed in section 1.0 PRICING SHEET and a total price based on the estimated quantities per year listed in section 1.0.
h) The Contractor's unit price must include all costs associated with furnishing and delivering all materials and for performing all work required under the contract in a complete and acceptable manner.
Do not include a copy of the entire solicitation with your quote. Contractors need only provide the items described above.
1.2 EVALUATION FACTORS FOR AWARD
a) The Government intends to award a single IDIQ award in accordance with FAR Part 13 resulting from this solicitation to the responsible contractor whose quote conforming to the solicitation will be most advantageous to the Government, price and other factors considered. Award will be made to the contractor quote determined to be the best value and provides the greatest overall benefit to the government. To determine the best value for award and the product that best meets the agency’s need, the USDA’S comparative evaluation of contractor quotes will consider technical capability, past performance, and price.
b) If the contractor’s quote package does not contain all the items listed Section 1.1 Quote Requirements or is not received by the closing date and time listed in block 8 of the SF 1449, the quote may be considered incomplete for evaluation purposes and no further consideration given to the Contractor’s quote, thereby making a contractor ineligible for award.
1.3 Questions
a) The deadline for questions related to this solicitation is Friday, November 1st, 2024, at 5:00 P.M. ET. Any questions received after that date may not be accepted or answered. All questions must be submitted in writing via email to the Contracting Officer, Connor Tees, Stephen.Tees@usda.gov. Telephonic inquiries will not be honored.
1.4 Quote Due Date
a) The quote due date and time is listed in block 8 of the Standard Form (SF)1449.
PART 2.0 – SPECIFICATIONS
2.1 BACKGROUND & OBJECTIVE
Delivery of bulk liquid nitrogen to the National Veterinary Services Laboratories (NVSL) located in Ames, Iowa.
2.2 SPECIFICATIONS
All products, equipment, and services provided must be in compliance with all applicable Federal, State, and local regulations.
Bulk Liquid Nitrogen:
Bulk liquid nitrogen Law Fed sped #A-A-59503, Type II liquid, Grade B, 99.50 pure, Class 1 oil free, Capacity B bulk delivery.
Delivery and Usage Bulk liquid nitrogen delivery is required to a government owned, 8,000-gallon tank, which is located at 1920 Dayton Avenue, building #24, in Ames Iowa. Estimated usage is 4,500 gallons per month (54,000 gallons per year). Adequate supply must be maintained, which includes weekends and holidays to ensure the tank supply does not go below 25%. To ensure the tank will not go below 25%, deliveries will be required 1-2 times a month.
Monitoring The contractor must be able to monitor tank remotely to determine when the tank needs to be refilled. The contractor will be responsible for monitoring the tank level and must provide periodic partial or complete fills as needed to maintain adequate level of liquid nitrogen within the bulk storage tank (not to drop below 25%). The remote monitoring of the bulk storage tank via contractor provided telemetry system is acceptable.
Abnormal Conditions The contractor must communicate any abnormal conditions to the Delivery and Ordering Point of Contact listed in section 2.5 Government Contacts to prevent the potential for system failure as well as eliminate the potential for the bulk storage tank to reach a critical low level.
Delivery Tickets Delivery tickets must be left with the Government Delivery and Ordering Point of Contact or designated NVSL staff at the fill station at the date and time of the delivery. The delivery ticket must indicate date, time, and delivery volume.
2.3 DELIVERY AND ORDERING PROCEDURES
The total period of performance must not exceed 60 months. The period of performance is defined as follows:

The following ordering procedures apply to all orders issued under the resultant IDIQ contract:
a) All orders are subject to the terms and conditions of the resultant IDIQ contract.
b) Only an authorized Government Contracting Officer or an authorized government Purchase Card Holder (not to exceed $10,000) can issue an order under the resultant IDIQ contract.
c) No delivery should be made and no payment will be issued except as authorized by a delivery order.
d) The contractor must maintain an active SAM registration in order to be edible for task orders under the IDIQ contract. A lapse in SAM registration during contract performance would render a contractor ineligible for future task orders issued under the IDIQ contract until an active SAM registration is reestablished.
e) Shipments must be delivered (FOB Destination) to USDA, 1920 Dayton Ave, Ames, IA 50010.
f) Deliveries must be between the hours of 8:00 am and 4:30 pm, excluding federal holidays and weekends unless special arrangements have been made in advance.
g) Delivery must not be made on Federal Holidays or Observance of Federal Holidays (New Year’s Day, Martin Luther King Jr. Birthday, Washington’s Birthday, Memorial Day, Juneteenth, Independence Day, Labor Day, Columbus Day, Veterans Day, Thanksgiving Day, and Christmas Day). If the Monday is a Federal Holiday or the Observance of the Federal Holiday, then the delivery must be made on a different day of the week.
2.4 SECURITY REQUIREMENTS
The following rules and regulations apply to all property at the NCAH, Ames, Iowa, under the custody of the United States Department of Agriculture (USDA) and to all persons entering on such property.
Admittance to Property: The campus is closed to the general public. Admission to the facility is restricted to authorized persons and approved visitors. Upon entry, visitors:
a) Will be required to present Government or other identifying credentials to the Officer at the Visitor Gate (photo driver’s license, passport, or other official photo identification).
b) Will be issued a visitor’s badge and must wear and display the badge at all times while visiting the facilities.
c) Must proceed to the bulk storage tank.

2.6 INVOICES AND PAYMENT INFORMATION
a) The USDA, APHIS uses the Invoice Processing Platform (IPP) for electronic submission and tracking of invoices and payment information to its suppliers of goods and services. Invoices must be submitted electronically to the IPP invoicing system. The contractor must enroll at https://ipp.gov
b) Invoices must be prepared in accordance with 52.212-4 (g) and submitted in arrears.
c) Advance payment is not authorized.
d) Payment terms for all delivery orders will be "Net 30."

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

52.216-18 Ordering (Aug 2020)
(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from 01/01/2025 through 12/31/2029.
(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.
(c) A delivery order or task order is considered "issued" when—
(1) If sent by mail (includes transmittal by U.S. mail or private delivery service), the Government deposits the order in the mail;
(2) If sent by fax, the Government transmits the order to the Contractor's fax number; or
(3) If sent electronically, the Government either—
(i) Posts a copy of the delivery order or task order to a Government document access system, and notice is sent to the Contractor; or
(ii) Distributes the delivery order or task order via email to the Contractor's email address.
(d) Orders may be issued by methods other than those enumerated in this clause only if authorized in the contract.

52.216-19 Order Limitations (OCT 1995)
(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $10,000.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor-
(1) Any order for a single item in excess of $150,000.00
(2) Any order for a combination of items in excess of $150,000.00; or
(3) A series of orders from the same ordering office within 7 days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.
(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216- 21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.
(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 7 days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

52.216-22 Indefinite Quantity (OCT 1995)
(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.
(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the
Schedule as the "maximum." The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum."
(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.
(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after 12/31/2029.

52.217-2 Cancellation Under Multi-year Contracts (OCT 1997)
(a) "Cancellation," as used in this clause, means that the Government is canceling its requirements for all supplies or services in program years subsequent to that in which notice of cancellation is provided. Cancellation shall occur by the date or within the time period specified in the Schedule, unless a later date is agreed to, if the Contracting Officer-
(1) Notifies the Contractor that funds are not available for contract performance for any subsequent program year; or
(2) Fails to notify the Contractor that funds are available for performance of the succeeding program year requirement.
(b) Except for cancellation under this clause or termination under the Default clause, any reduction by the Contracting Officer in the requirements of this contract shall be considered a termination under the Termination for Convenience of the Government clause.
(c) If cancellation under this clause occurs, the Contractor will be paid a cancellation charge not over the cancellation ceiling specified in the Schedule as applicable at the time of cancellation.
(d) The cancellation charge will cover only-
(1) Costs-
(i) Incurred by the Contractor and/or subcontractor;
(ii) Reasonably necessary for performance of the contract; and
(iii) That would have been equitably amortized over the entire multi-year contract period but, because of the cancellation, are not so amortized; and
(2) A reasonable profit or fee on the costs.
(e) The cancellation charge shall be computed and the claim made for it as if the claim were being made under the Termination for Convenience of the Government clause of this contract. The Contractor shall submit the claim promptly but no later than 1 year from the date-
(1) Of notification of the nonavailability of funds; or
(2) Specified in the Schedule by which notification of the availability of additional funds for the next succeeding program year is required to be issued, whichever is earlier, unless extensions in writing are granted by the Contracting Officer.
(f) The Contractor’s claim may include-
(1) Reasonable nonrecurring costs (see subpart 15.4 of the Federal Acquisition Regulation) which are applicable to and normally would have been amortized in all supplies or services which are multi-year requirements;
(2) Allocable portions of the costs of facilities acquired or established for the conduct of the work, to the extent that it is impracticable for the Contractor to use the facilities in its commercial work, and if the costs are not charged to the contract through overhead or otherwise depreciated;
(3) Costs incurred for the assembly, training, and transportation to and from the job site of a specialized work force; and
(4) Costs not amortized solely because the cancellation had precluded anticipated benefits of Contractor or subcontractor learning.
(g) The claim shall not include-
(1) Labor, material, or other expenses incurred by the Contractor or subcontractors for performance of the canceled work;
(2) Any cost already paid to the Contractor;
(3) Anticipated profit or unearned fee on the canceled work; or
(4) For service contracts, the remaining useful commercial life of facilities. "Useful commercial life" means the commercial utility of the facilities rather than their physical life with due consideration given to such factors as location of facilities, their specialized nature, and obsolescence.
(h) This contract may include an Option clause with the period for exercising the option limited to the date in the contract for notification that funds are available for the next succeeding program year. If so, the Contractor agrees not to include in option quantities any costs of a startup or nonrecurring nature that have been fully set forth in the contract. The Contractor further agrees that the option quantities will reflect only those recurring costs and a reasonable profit or fee necessary to furnish the additional option quantities.
(i) Quantities added to the original contract through the Option clause of this contract shall be included in the quantity canceled for the purpose of computing allowable cancellation charges.

Upon contract closeout for contracts utilizing Simplified Acquisition Procedures (SAP) according to FAR Part 13.
(a) If unobligated funds in the amount of $1000 or less remain on the contract, the Contracting Officer (CO) shall issue a unilateral modification for deobligation. The contractor will receive a copy of the modification but will not be required to provide a signature. The CO shall immediately proceed with contract closeout upon completion of the period of performance, receipt and acceptance of supplies or services, and final payment.
(b) If unobligated funds of more than $1000 remain on the contract, the CO shall issue a bilateral modification for deobligation. The contractor will receive a copy of the modification and will be required to provide a signature. (The CO may also request a Release of Claims be completed by the contractor, although not required for contract and orders using SAP.) If the bilateral modification and Release of Claims are not returned to the CO within 60 days, the CO shall release the modification as unilateral and proceed with contract closeout upon completion of the period of performance, receipt and acceptance of supplies or services, and final payment.

The Offeror shall not complete the representation in paragraph (d)(2) of this provision if the Offeror has represented that it "does not use covered telecommunications equipment or services, or any equipment, system, or service that uses covered telecommunications equipment or services" in paragraph (c)(2) of the provision at 52.204-26, or in paragraph (v)(2)(ii) of the provision at 52.212-3.
(a) Definitions. As used in this provision—
Backhaul, covered telecommunications equipment or services, critical technology, interconnection arrangements, reasonable inquiry, roaming, and substantial or essential component have the meanings provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
(b) Prohibition.
(1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. Nothing in the prohibition shall be construed to—
(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or
(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract or extending or renewing a contract with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract. Nothing in the prohibition shall be construed to—
(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or
(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(c) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM) ( https://www.sam.gov) for entities excluded from receiving federal awards for "covered telecommunications equipment or services".
(d) Representation. The Offeror represents that—
(1) It □ will, □ will not provide covered telecommunications equipment or services to the Government in the performance of any contract, subcontract or other contractual instrument resulting from this solicitation. The Offeror shall provide the additional disclosure information required at paragraph (e)(1) of this section if the Offeror responds "will" in paragraph (d)(1) of this section; and
(2) After conducting a reasonable inquiry, for purposes of this representation, the Offeror represents that—

The Offeror shall provide the additional disclosure information required at paragraph (e)(2) of this section if the Offeror responds "does" in paragraph (d)(2) of this section.
