1. This is a solicitation to establish a firm fixed price, one-year Purchase Order for Toasted Soy Flour. Quoted prices shall include all costs necessary to supply and deliver the product as described, FOB destination to Edinburg, Texas.
2. This solicitation is issued as unrestricted. The NAICS code for this acquisition is 311211, with a size standard of 1,000.
3. The Buy American-Free Trade Agreements-Israeli Trade Act applies. See 52.225-3, Buy American- Free Trade Agreements-Israeli Trade Act Certificate located at the end of this document. Vendors must disclose and include with their quote, the country of manufacture.
4. Evaluations will be conducted in accordance with FAR Part 13 with award made based on Best Value. (See Provision 52.212-2 at the end of this document for factors). Quoter’s are responsible for ensuring completeness of quotations. The Government may evaluate solely on the information provided in the quotation. Quotations that include additional terms may be excluded from consideration. Alternate Pricing Schedules will not be considered.
5. Interested vendors must submit:
1) A signed copy of the SF 1449 form. Please include vendor name, contact information, SAM Unique Entity ID number in block 17a. Include your signature in block 30a.
2) Completed Pricing Schedule, see Section 1.1
3) Product Country of Origin (see also Buy American Free Trade Agreements-Israeli Trade Act Certificate)
4) Proof of technical acceptability by providing:
a. A complete product description (to include manufacturers data sheet containing the specifications of the product) that shows the proposed product to be supplied meets the technical requirements of the contract. Product description information must show the product form.
b. Two references (include name, phone number and e-mail, a description of the work performed, and the date of performance). The past performance must be work related to the type of work in the SOW.
c. Confirmation that the first delivery can be made on or before May 29, 2024.

1.0 Project Background
The Mexican Fruit Fly (MexFly) Rearing Facility for the last 28 years has been rearing fruit flies in the Rio Grande Valley. The current production of pupae is currently set at 150 million pupae per week. Toasted Soy is used as a vital source of nutrients in the diet for the larval development of the Mexican Fruit Fly. Currently there is no other product evaluated as effective as the Toasted Soy. Several years ago a study was conducted by the Center for Plant Health Science and Technology (CPHST) scientists to produce a diet formula that improved the quality of the Mexican Fruit Flies reared at Moore Air Base for Sterile Insect Release. The only acceptable product determined at that time was produced by Archer-Daniels Midland Company, product #063-160.
1.1 PRICING SCHEDULE:
This is to request a firm fixed price, one-year Purchase Order for Toasted Soy Flour. Deliveries of 750 (25 kg) bags or 826 (50
lb) bags every 110 days, minimum 3 deliveries per year. First delivery needed by 05/29/2024. The following two deliveries shall be scheduled every 110 after the first delivery. The technical POC will coordinate delivery times ahead of each shipment.

2.0 WORK STATEMENT
2.1 Requirements
The purpose of this project is to procure Toasted Soy product. The work to be performed under this contract consists of furnishing all materials, equipment, supplies, labor and transportation as required by the Pricing Schedule and in accordance with these specifications. All work materials and services not expressly called for in these specifications but are necessary for completion of the contract requirements shall be performed and furnished by the Contractor at no additional cost to the Government.
2.2 Product Specifications
The following specifications are required, substitutions will not be accepted: The specification percentages are per 25 kilogram bag. Substitution of specifications as stated below are not allowed.
Must be 100% soy product, i.e. no additives Have a protein content of not less than 50% Maximum fat content 3.0% Minimum fiber content 3.3% Maximum fiber content 18% Maximum ash content 6.0% Deliver product in a timely manner based on a provided schedule of delivery.

2.3 Quantity
Product shall be delivered every 110 days from the first scheduled shipment however the contractor shall allow flexibility plus or minus 2 weeks due to unpredictable temporary changes at the facility.
A minimum of four (3) shipments per award year and a maximum of seven (5) shipments per award year. Each shipment shall consist of 750 (25-kg) bags per delivery.
2.4 Bioassay and First Article Testing
Prior to each delivery, the contractor shall supply a 1-pound sample bag (First Article) of the Toasted Soy for testing by the Government. The sample shall be received three weeks prior to each delivery.

First article testing shall be performed in accordance with contract clause 52.209-4 First Article Approval – Government Testing. The sample will be tested for compliance with Product Specifications (Section 1.3). Samples will be evaluated by the Government within 5 working days from the date received.
2.5 Packaging and Delivery
The product shall be packaged in multi-walled paper bags with plastic liners. Product shall be packaged in 25 KG paper bags.
Each shipment shall be palletized and shrink wrapped on the pallet. The shrink wrapped pallets shall have not more than 50 bags per pallet for a total of 750 bags per shipment.

2.6 Warranty
A. The contractor shall provide the Government at least the same warranty terms offered to the general public in customary commercial practice. At minimum, the contractor shall guarantee product quality for full compliance with contract specifications, terms and conditions for 60 days from the date of delivery, inspection, and acceptance.
B. The USDA reserves the right to preform follow up testing for the above contaminants on any shipment received for at least 60 days from the date of delivery, inspection, and acceptance and can return the shipment to the vendor for credit if found contaminated.
C. In the event the shipment is rejected, it is the contractor’s responsibility to replace the product in a timely manner in accordance with contract clause 52.212-4.
3.0 CONTRACT ADMINISTRATION
3.1 DELIVERY ORDER
Delivery orders will be issued against this contract on a firm fixed price basis at the quoted price. The contractor will submit invoices upon successful delivery of items. Orders may be placed by a warranted contracting officer via email.
3.2 INVOICING INFORMATION
USDA uses the Invoice Processing Platform (IPP) for electronic submission and tracking of purchase orders, invoices, and payment information to its suppliers of goods and services: Enroll at https://ipp.gov. The IPP is a government-wide secure web-based invoice processing service offered free of charge to government agencies and their suppliers by the U.S. Department of Treasury’s Financial Management Service (FMS).
Contractors must submit invoices and attach all supporting documentation as required within 5 business days of delivery of product.
A proper invoice must include:
(i) Name and address of the Contractor;
(ii) Invoice date and number;
(iii) Contract number, contract line item number and, if applicable, the order number;
(iv) Description, quantity, unit of measure, unit price and extended price of the items delivered;
(v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on Government bill of lading;
(vi) Name, title, and phone number of person to notify in event of defective invoice; and
(vii) Taxpayer Identification Number (TIN).
The Government reserves the right to reject an invoice that does not include the information above.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. 52.216-18 Ordering. (Aug 2020)
(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from date of award through 04/XX/2024.
(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.
(c) A delivery order or task order is considered "issued" when—
(1) If sent by mail (includes transmittal by U.S. mail or private delivery service), the Government deposits the order in the mail;
(2) If sent by fax, the Government transmits the order to the Contractor's fax number; or
(3) If sent electronically, the Government either—
(i) Posts a copy of the delivery order or task order to a Government document access system, and notice is sent to the Contractor; or
(ii) Distributes the delivery order or task order via email to the Contractor's email address.
(d) Orders may be issued by methods other than those enumerated in this clause only if authorized in the contract.

AGAR 452.204-70, Modification for Contract Closeout (DEVIATION JULY 2022)
Upon contract closeout for contracts utilizing Simplified Acquisition Procedures (SAP) according to FAR Part 13.
(a) If unobligated funds in the amount of $1000 or less remain on the contract, the Contracting Officer (CO) shall issue a unilateral modification for deobligation. The contractor will receive a copy of the modification but will not be required to provide a signature. The CO shall immediately proceed with contract closeout upon completion of the period of performance, receipt and acceptance of supplies or services, and final payment.
(b) If unobligated funds of more than $1000 remain on the contract, the CO shall issue a bilateral modification for deobligation. The contractor will receive a copy of the modification and will be required to provide a signature. (The CO may also request a Release of Claims be completed by the contractor, although not required for contract and orders using SAP.) If the bilateral modification and Release of Claims are not returned to the CO within 60 days, the CO shall release the modification as unilateral and proceed with contract closeout upon completion of the period of performance, receipt and acceptance of supplies or services, and final payment.

52.204-7 System for Award Management (Oct 2018)
(a) Definitions. As used in this provision—
"Electronic Funds Transfer (EFT) indicator means a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the commercial, nonprofit, or Government entity to establish additional System for Award Management records for identifying alternative EFT accounts (see subpart 32.11) for the same entity.
Registered in the System for Award Management (SAM) means that–
(1) The Offeror has entered all mandatory information, including the unique entity identifier and the EFT indicator, if applicable, the Commercial and Government Entity (CAGE) code, as well as data required by the Federal Funding Accountability and Transparency Act of 2006 (see subpart 4.14) into SAM
(2) The offeror has completed the Core, Assertions, and Representations and Certifications, and Points of Contact sections of the registration in SAM;
(3) The Government has validated all mandatory data fields, to include validation of the
Taxpayer Identification Number (TIN) with the Internal Revenue Service (IRS). The offeror will be required to provide consent for TIN validation to the Government as a part of the SAM registration process; and
(4) The Government has marked the record "Active".
Unique entity identifier means a number or other identifier used to identify a specific commercial, nonprofit, or Government entity. See www.sam.gov for the designated entity for establishing unique entity identifiers.
(b) (1) An Offeror is required to be registered in SAM when submitting an offer or quotation, and shall continue to be registered until time of award, during performance, and through final payment of any contract, basic agreement, basic ordering agreement, or blanket purchasing agreement resulting from this solicitation.
(2) The Offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation "Unique Entity Identifier" followed by the unique entity identifier that identifies the Offeror's name and address exactly as stated in the offer. The Offeror also shall enter its EFT indicator, if applicable. The unique entity identifier will be used by the Contracting Officer to verify that the Offeror is registered in the SAM.
(c) If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for establishment of the unique entity identifier directly to obtain one. The Offeror should be prepared to provide the following information:
(1) Company legal business name.
(2) Tradestyle, doing business, or other name by which your entity is commonly recognized.

Equipment (Nov 2021)
The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it "does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument" in paragraph (c)(1) in the provision at 52.204-26, Covered Telecommunications Equipment or Services—Representation, or in paragraph (v)(2)(i) of the provision at 52.212-3, Offeror Representations and Certifications-Commercial Products or Commercial Services.
The Offeror shall not complete the representation in paragraph (d)(2) of this provision if the Offeror has represented that it "does not use covered telecommunications equipment or services, or any equipment, system, or service that uses covered telecommunications equipment or services" in paragraph (c)(2) of the provision at 52.204-26, or in paragraph (v)(2)(ii) of the provision at 52.212-3.
(a) Definitions. As used in this provision—
Backhaul, covered telecommunications equipment or services, critical technology, interconnection arrangements, reasonable inquiry, roaming, and substantial or essential component have the meanings provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
(b) Prohibition. (1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. Nothing in the prohibition shall be construed to—
(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements;
or
(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract or extending or renewing a contract with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract. Nothing in the prohibition shall be construed to—
(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements;
or
(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(c) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM) ( https://www.sam.gov) for entities excluded from receiving federal awards for "covered telecommunications equipment or services".
(d) Representation. The Offeror represents that—
(1) It □ will, □ will not provide covered telecommunications equipment or services to the Government in the performance of any contract, subcontract or other contractual instrument resulting from this solicitation. The Offeror shall provide the additional disclosure information required at paragraph (e)(1) of this section if the Offeror responds "will" in paragraph (d)(1) of this section; and
(2) After conducting a reasonable inquiry, for purposes of this representation, the Offeror represents that—
