0.0 INSTRUCTIONS TO QUOTERS

This Request for Quote for commercial items is being conducted in accordance with FAR part 13.

Simplified acquisition procedures will be followed. This solicitation is being issued as a total small business set aside. The NAICS Code is 111421, nursery and tree production with a small business size standard of $3.25 million dollars, or less. USDA APHIS PPQ intends to issue one Firm fixed price IDIQ contract as a result of this solicitation.

Quotations will be evaluated in accordance with provision 52.212-2 Evaluation—Commercial items

Quoters are advised to carefully review the RFQ’s quotation package required submittals specified in this document. Missing, incomplete, or ambiguous information may result in unfavorable evaluation for that factor and may not be considered for award. The Government reserves the right to award to other than the lowest priced offer. It is the quoter’s responsibility to ensure completeness of the quotation package being submitted.

A COMPLETE QUOTE MUST INCLUDE THE FOLLOWING INFORMATION:

• Fill in and sign first page of SF 1449 to accept all terms and conditions in the solicitation.

Estimated Contract Value For 5 Years

1.1 Schedule Notes

Contractor shall provide firm-fixed price monthly rate per tree to include greenhouse use, supplies, equipment, tools, labor, repotting services, etc. to maintain approximately 300 Tropical Ash Tree per contract statement of work. Please see section 2.4 Task Orders on how services will be funded.

The line-item quantities listed in the Pricing Schedule are estimates only for evaluation purposes and are not intended to convey either a minimum or maximum quantity that will be ordered by the Government. Guaranteed minimum under this contract is stated in clause 452.216-73 MINIMUM AND

MAXIMUM CONTRACT AMOUNTS.

2.0 STATEMENT OF WORK

2.1 Objective

To establish a 5 year FFP IDIQ contract for services to grow and maintain an estimated 300 Fraxinus uhdei (Tropical Ash) trees that will support a significant portion of the leaves needed to successfully operate the emerald ash borer (EAB) biocontrol rearing facility. The contractor must also repot and increase the pot size of an estimated 300 trees. The contractor’s space for growing and maintaining the trees must be located within approximately 20 miles from the USDA APHIS PPQ office, located at 5936 Ford Court, Suite 200, Brighton, MI 48116.

2.2 Background

EAB is a very small but very destructive beetle. Metallic green in color, its slender body measures 1/2 inch in length and 1/8 inch wide. The average adult beetle can easily fit on a penny. Native to China and eastern Asia, the EAB probably landed in North America hidden in wood packing materials commonly used to ship consumer goods, auto parts, and the like. Although no one can say for sure when EAB arrived in southeastern Michigan, the scientific community believes the beetle went undetected for over 10 years, based on its widespread distribution and destruction. EAB was officially identified in the summer of 2002.

This beetle has been found in 30 states and the District of Columbia (Alabama, Arkansas, Colorado, Connecticut, Delaware, Georgia, Illinois, Indiana, Iowa, Kansas, Kentucky, Louisiana, Maine, Maryland, Massachusetts, Michigan, Minnesota, Missouri, Nebraska, New Hampshire, New Jersey, New York, North Carolina, Ohio, Oklahoma, Pennsylvania, Rhode Island, South Carolina, South Dakota, Tennessee, Texas, Vermont, Virginia, West Virginia, and Wisconsin, etc.) and is responsible for the death or decline of tens of millions of ash trees and billions more are at risk. In addition, the Canadian government has also been engaged in an EAB program of its own. In an effort to control the spread of damage caused by EAB, USDA-APHIS-PPQ turned to the release of biocontrol agents.

Four parasitic wasps are currently being released as biocontrol agents that target different life stages of EAB. These parasitioids are reared from EAB larvae at the mass rearing facility in Brighton, MI. Several EAB colonies are maintained in order to obtain sufficient numbers of EAB to support parasitoid rearing operations. The maintenance of these colonies requires several components, but perhaps none more important than high quality leaf material.

2.3 Period of Performance (POP)

The contractor shall be required to commence work, or continue work, under this contract within 10 calendar days after the date the Contractor receives the notice of award. The period of performance will be award date through 5 years.

2.4 Task Orders

Funding will be obligated on individual task orders for the ordering period. Tasks order will issued as firm fixed priced per contract price schedule and will identify number of trees that will be maintained and repotted for that ordering period or year. The government may modify the tasks order to add/remove trees at any time.

Example:

Task Order 1: Maintenance of 200 trees at monthly rate of $10 per tree for ordering period 1.

Task Order 1 POP: 04/01/2024 – 03/31/2025 (12 months) Task Order 1 Total: 200 x $10 = $2,000 x 12 months = $24,000

Task Order 1, Modification 1: Request to add 100 more trees in July 2024 until end of ordering period 1.

Task Order 1, Modification 1 Total: 100 x $10 = $1,000 x 9 months (time left on task order POP) = $9,000

2.5 4 Scope of Work

2.5.1 Maintain highly productive F. uhdei trees with the intention of using leaves to rear EAB to support biocontrol efforts.

• Provide appropriate heated (74‐82⁰F) indoor space (~3000 sq ft) for continual growth of 300 mature F. uhdei trees during winter months or when threatened with frost.

• Supply space during summer months that will provide adequate temperatures to avoid heat damage (outdoor area is sufficient).

• Monitor and report the health of plants, which will include insect damage and signs of stress that would occur from inappropriate watering, fertilizing, and lighting regimes.

• Modify work plans with cooperation from EAB rearing facility manager to address plant health issues.

• Maintain adequate staffing throughout the year to ensure delivery of labor to water and fertilize as needed and to monitor plant health.

• Supply the resources necessary to maintain adequate temperature, watering, and fertilizing schedules to facilitate leaf production and hardening (this includes repotting).

• When biocontrol applications/pest trapping are deemed necessary, a schedule of biocontrol releases/trapping and the appropriate biocontrol agents/traps will be supplied to the contractor by the Government. The contractor shall release the biocontrol agents and hang traps according to the supplied schedule and product directions.

• Maintenance log will be maintained and made available for review upon request. Maintenance log will include schedules for watering, fertilizing, and lighting as well as any situational modifications made.

2.54.2 Logistics

• Mature plants will be on the contractor’s facility within 10 days following contract award.

• Delivery will be coordinated with the Contractor. The EAB rearing facility manager, team leaders, and maintenance engineer will have unrestricted access to area housing PPQ trees for emergency purposes.

• Personnel (facility manager, team leaders, and lab technicians) from the EAB rearing facility will travel to the selected greenhouse to select and harvest leaves used in the production facility during regular business hours, unless otherwise discussed.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

52.217-9 Option to Extend the Term of the Contract (Mar 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 15;

provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 30 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years.

52.216-18 Ordering. (Aug 2020)

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from date of award through 02/18/2029.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) A delivery order or task order is considered "issued" when—

(1) If sent by mail (includes transmittal by U.S. mail or private delivery service), the Government deposits the order in the mail;

(2) If sent by fax, the Government transmits the order to the Contractor's fax number; or

(3) If sent electronically, the Government either—

(i) Posts a copy of the delivery order or task order to a Government document access system, and notice is sent to the Contractor; or

(ii) Distributes the delivery order or task order via email to the Contractor's email address.

(d) Orders may be issued by methods other than those enumerated in this clause only if authorized in the contract.

52.216-19 Order Limitations (Oct 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $2500, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor-

(1) Any order for a single item in excess of $60,000

(2) Any order for a combination of items in excess of $60,000; or

(3) A series of orders from the same ordering office within 30 days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 15 days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

52.216-22 Indefinite Quantity. (Oct 1995)

(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum." The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum."

(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after 03/31/2029.

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.

AGAR 452.204-70, Modification for Contract Closeout (DEVIATION JULY 2022) Upon contract closeout for contracts utilizing Simplified Acquisition Procedures (SAP) according to FAR Part 13.

(a) If unobligated funds in the amount of $1000 or less remain on the contract, the Contracting Officer (CO) shall issue a unilateral modification for deobligation. The contractor will receive a copy of the modification but will not be required to provide a signature. The CO shall immediately proceed with contract closeout upon completion of the period of performance, receipt and acceptance of supplies or services, and final payment.

(b) If unobligated funds of more than $1000 remain on the contract, the CO shall issue a bilateral modification for deobligation. The contractor will receive a copy of the modification and will be required to provide a signature. (The CO may also request a Release of Claims be completed by the contractor, although not required for contract and orders using SAP.) If the bilateral modification and Release of Claims are not returned to the CO within 60 days, the CO shall release the modification as unilateral and proceed with contract closeout upon completion of the period of performance, receipt and acceptance of supplies or services, and final payment.

52.204-24 Representation Regarding Certain Telecommunications and Video Surveillance Services or Equipment (Nov 2021) The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it "does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument" in paragraph (c)(1) in the provision at 52.204-26, Covered Telecommunications Equipment or Services—Representation, or in paragraph (v)(2)(i) of the provision at 52.212-3, Offeror Representations and Certifications-Commercial Products or Commercial Services.

The Offeror shall not complete the representation in paragraph (d)(2) of this provision if the Offeror has represented that it "does not use covered telecommunications equipment or services, or any equipment, system, or service that uses covered telecommunications equipment or services" in paragraph (c)(2) of the provision at 52.204-26, or in paragraph (v)(2)(ii) of the provision at 52.212-3.

(a) Definitions. As used in this provision—

Backhaul, covered telecommunications equipment or services, critical technology, interconnection arrangements, reasonable inquiry, roaming, and substantial or essential component have the meanings provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

(b) Prohibition. (1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. Nothing in the prohibition shall be construed to—

(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements;

or

(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract or extending or renewing a contract with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. The Offeror shall provide the additional disclosure information required at paragraph (e)(1) of this section if the Offeror responds "will" in paragraph (d)(1) of this section; and

(2) After conducting a reasonable inquiry, for purposes of this representation, the Offeror represents that—

(e) Disclosures. (1) Disclosure for the representation in paragraph (d)(1) of this provision. If the Offeror has responded "will" in the representation in paragraph (d)(1) of this provision, the Offeror shall provide the following information as part of the offer:

(i) For covered equipment—

(A) The entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the original equipment manufacturer (OEM) or a distributor, if known);

(B) A description of all covered telecommunications equipment offered (include brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); and

(C) Explanation of the proposed use of covered telecommunications equipment and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.

(ii) For covered services—

(A) If the service is related to item maintenance: A description of all covered telecommunications services offered (include on the item being maintained: Brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); or

(B) If not associated with maintenance, the Product Service Code (PSC) of the service being provided;

and explanation of the proposed use of covered telecommunications services and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.

(2) Disclosure for the representation in paragraph (d)(2) of this provision. If the Offeror has responded "does" in the representation in paragraph (d)(2) of this provision, the Offeror shall provide the following information as part of the offer:

(i) For covered equipment—

(A) The entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the OEM or a distributor, if known);

(B) A description of all covered telecommunications equipment offered (include brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); and

(C) Explanation of the proposed use of covered telecommunications equipment and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(2) of this provision.

(ii) For covered services—

(A) If the service is related to item maintenance: A description of all covered telecommunications services offered (include on the item being maintained: Brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); or

(B) If not associated with maintenance, the PSC of the service being provided; and explanation of the proposed use of covered telecommunications services and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(2) of this provision.
