1. Overview This Statement of Work (SOW) sets forth the terms and contractual understanding between Hexagon Corporation and Natural Resources Conservation Service (NRCS) for Valtus Geospatial Data Subscription Service from Hexagon Corporation.

Valtus Geospatial Data Subscription Service is a Web Map Service (WMS) used in applications like Customer Service Toolkit, ArcGIS and AutoCAD. This WMS is based on High Resolution NAIP Orthoimagery collected by NAIP Vendors. In addition, Valtus WMS will make available to NRCS any leaf-off orthoimagery WMS’s as offered by Hexagon Corporation. Valtus WMS is exclusively available from Hexagon corporation. This service is used where high resolution orthoimagery datasets are required such as detailed conservation plans, CAD drawings and soil survey.

2. Scope of Agreement The Vendor shall will undertake the following activities described in this SOW.

3. Scope of Work

• Furnish all personnel, facilities, services, equipment, supplies, materials, and transportation to provide the Valtus Imagery Web Map Service.

• Provide imagery in accordance with various standards / specifications as specified. Specifications include, but are not limited to, all applicable federal and standard geospatial specifications - such as ground sample distance (GSD), color bands (RGB and CIR), and ortho-rectification parameters.

• Provide technical point of contact for administration of users in USDA-NRCS with the Valtus Web Map Service.

3.1. Licenses and Subscriptions

• 30cm / 1' GSD WAC & 15cm / 6" GSD UAC for all available areas of the Unites States.

• 4-band Orthoimagery (Natural Color and CIR)

• Compatible with ArcGIS (10.x), ArcGIS Pro and AutoCAD.

4. Section 508 - Accessibility of Electronic and Information Technology

a) This SOW is subject to Section 508 of the Rehabilitation Act of 1973 (29 U.S.C. 794d) as amended by the workforce Investment Act of 1998 (P.L. 105-220). Specifically, subsection 508(a)(1) requires that when the Federal Government procures Electronic and Information Technology (EIT), the EIT must allow Federal employees and individuals of the public with disabilities comparable access to and use of information and data that is provided to Federal employees and individuals of the public without disabilities.

(b) The EIT accessibility standards at 36 CFR Part 1194 were developed by the Architectural and Transportation Barriers Compliance Board ("Access Board") and apply to contracts and task/delivery orders, awarded under indefinite quantity contracts on or after June 25, 2001.

(c) Each Electronic and Information Technology (EIT) product or service furnished under this contract shall comply with the Electronic and Information Technology Accessibility Standards (36 CFR 1194), as specified in the contract, as a minimum. If the Contracting Officer determines any furnished product or service is not in compliance with the contract, the Contracting Officer will promptly inform the Contractor in writing.

The Contractor shall, without charge to the Government, repair or replace the non-compliant products or services within the period to be specified by the Government in writing. If such repair or replacement is not completed within the time specified, the Government shall have the following recourses:

1. Cancellation of the contract, delivery or task order, purchase or line item without termination liabilities; or

2. In the case of custom Electronic and Information Technology (EIT) being developed by a contractor for the Government, the Government shall have the right to have any necessary changes made or repairs performed by itself or by another firm for the noncompliant EIT, with the contractor liable for reimbursement to the Government for any expenses incurred thereby.

(d) The contractor must ensure that all EIT products that are less than fully compliant with the accessibility standards are provided pursuant to extensive market research and are the most current compliant products or services available to satisfy the contract requirements.

(e) For every EIT product or service accepted under this contact by the Government that does not comply with 36 CFR 1194, the contractor shall, at the discretion of the Government, make every effort to

License Purchase – Statement of Work (SOW) replace or upgrade it with a compliant equivalent product or service, if commercially available and cost neutral, on either a contract specified refresh cycle for the product or service, or on a contract effective option/renewal date; whichever shall occur first.

Section 508 Compliance for Communications

The vendor shall comply with the standards, policies, and procedures below. In the event of conflicts between the referenced documents and this PWS, the PWS shall take precedence.

In addition, all contract deliverables are subject to these 508 standards as applicable.

Regardless of format, all Web content or communications materials produced, including text, audio or video - must conform to applicable Section 508 standards to allow federal employees and members of the public with disabilities to access information that is comparable to information provided to persons without disabilities. All contractors (including subcontractors) or consultants responsible for preparing or posting content must comply with applicable Section 508 accessibility standards, and where applicable, those set forth in the referenced policy or standards documents above. Remediation of any materials that do not comply with the applicable provisions of 36 CFR Part 1194 as set forth in the PWS shall be the responsibility of the contractor or consultant.

All Electronic Information Technology that is subject to the 36 CFR 1194 standards will have a Section 508 acceptance test and Section 508 will be validated upon acceptance.

All maintenance for Electronic Information Technology that requires upgrades, modifications, installations and purchases will adhere to the Section 508 Standards and 36 CFR 1194.

5. Personnel, Physical and Data Security Control Requirements

5.1. Personnel Security Related Training

The following training shall be successfully completed by all contractor employees, as applicable in order to gain access to USDA-NRCS IT accounts, the internal IT network or IT resources accordingly. After initial successful completion, the training is required annually.

4.1.1 All contractor employees who create, access or dispose of NRCS data or information are required to complete web based training courses on Records Management, the Freedom of Information Act, and the Privacy Act. This training takes approximately two hours. The provisions of the Privacy Act of 1974 protect information are included in this contract. Take proper precautions to protect information from disclosure.

4.1.2 All contractor employees who are given NRCS IT accounts, have access to NRCS’ internal IT network or IT resources are required to complete web-based general IT Security training and web based role-specific IT Security training. This training takes approximately ten (10) hours.

4.1.3 All contractor employees who are given NRCS IT accounts, have access to NRCS’ internal IT network or IT resources may be required to complete a web-based certification of storage of a particular type of data. Requirements for this certification will be identified within each TO. This certification is required annually and takes approximately 15 minutes.

4.1.4 The USDA Information Security Awareness and Rules of Behavior training (web or paper based). Additional and/or different courses may be required as the below USDA and NRCS security policies related to personnel and IT security requirements change.

5.2. Personnel, IT System Security, and Data Control Requirements.

NRCS places the utmost importance on Personnel and IT Security to ensure that assets and information are safeguarded. NRCS uses multiple layers of security starting at the Internet gateway all the way down to the individual user's permissions/privileges and their desktop configuration.

The NRCS also has a very active Personnel and IT Security monitoring and analysis program in which systems and users’ activities are logged and analyzed. The contractor shall be an integral part of the Personnel and IT Security at all layers. Each task created within this PWS and subsequent TOs shall have some level of responsibility for Personnel and IT Security and access to sensitive information

4.2.1 Personnel Security. Contractor personnel are required to initially complete the following personnel security requirements and then to maintain those requirements including, but not necessarily limited to:

4.2.1.1 The documentation required for a Minimum Background Investigation (MBI) which includes FBI National Criminal History Check (“fingerprint check”). The finger printing will be completed at no cost to the Government. At the discretion of the Government, higher levels of background investigation may be required for certain positions and TOs/projects, but will be identified at the TO Level. (Collectively these background investigation levels will be referred to as National Agency Check with Inquiries (NACI) background investigations herein).

4.2.1.2 The scope of the security/background check required and the forms to be completed shall be determined in accordance with the USDA Directive 4620-xxx series. The Government sponsor for this process shall be the COR or Government representative appointed in writing by the CO. The contractor shall be responsible for the preparation and submittal of the required forms to the Human Resources official. The contractor personnel shall not be required or permitted to perform work prior to receipt of the required security approvals. The contractor shall comply with each USDA facility’s badging, parking, and building access requirements. These requirements include the contractor’s responsibility to pursue temporary or permanent badges for employees for performance under this contract as well as the collection of badges for those no longer requiring access under this contract. These requirements also include (but are not limited

to) the following; badge must be worn at all times, and easily visible to other personnel in the building. The contractor is responsible for the safekeeping, wearing, and visibility of Government furnished badges.

4.2.1.3 Information needed to obtain a Personal Identity Verification (PIV) card.

The instructions contained in guidelines to obtain USDA E-Gov access (e-Authentication).

Performance of this contract requires contractor personnel to have a Federal Government issued Personal Identity Verification (PIV) credential before being allowed unsupervised access to a USDA-NRCS facility and/or information system. The COR will be the requesting official, and will make arrangements through a USDA-NRCS PIV Access Card Sponsor for personal identity verification and PIV Access Card issuance. Two weeks prior to any staff starting work on a TO, the contractor must identify the contractor and any sub-contractor personnel who will require physical and/or logical access for performance of work under this contract. Physical Access means routine, unescorted or unmonitored access to non-public areas of a Federally-controlled facility. Logical Access means routine, unsupervised access to a Level 3 or 4 federally controlled information system. The contractor must make their personnel available at the place and time specified by the COR or USDA-NRCS Access Card Sponsor in order to initiate screening and background investigations. The following forms and inquiries, or their equivalent, may be required to initiate the credentialing process:

a) OPM Standard Form (SF) 85 or 85P

b) OPM Optional Form (OF) 306

c) *National Criminal History Check (NCHC) (local procedures may require the fingerprinting to be done at a police station; in this case, any charges are to be borne by the contractor)

d) Release to Obtain Credit Information

e) PIV card application (web-based) (Access Card Request Form)

* Note: Before starting work under this contract, an NCHC will be initiated to verify the identity of the individual applying for clearance and to determine the individual’s suitability for the position. If the NCHC adjudication is favorable, a PIV Access Card may be issued for that individual. If the adjudication is unfavorable, the credentials will not be issued and the contractor must make other arrangements for performance of the work. In the event of a disagreement between the contractor and the Government concerning the suitability of an individual to perform work under this contract, USDA-NRCS shall have the right of final determination.

4.2.1.4 Contractor employees must give, and authorize others to give, full, frank, and truthful answers to relevant and material questions needed to reach a suitability determination. Refusal or failure to furnish or authorize provision of information may constitute grounds for another than favorable suitability determination or denial or revocation of credentials. Government personnel may contact the contractor personnel being screened or investigated in person, by telephone or in writing, and the contractor must ensure they are available for such contact.

4.2.1.5 Alternatively, if an individual has already been credentialed by another Federal agency and that credential has not yet expired the Government will determine whether further investigation is necessary. In that case, the contractor must provide the COR with documentation that supports the individual’s credentialed status.

4.2.1.6 During performance of the contract, the contractor must keep the COR apprised of changes in personnel to ensure that performance is not delayed by compliance with identity verification (background investigation and credentialing) processes. Credentials that have been lost, damaged, or stolen must be reported to the COR and Issuing Office immediately. If reissuance of an expired credential is needed, the reissuance process must be coordinated through the COR.

4.2.1.7 At the end of contract performance, or when a contractor employee is no longer working under this contract, the contractor must ensure that all identification cards are immediately returned to the COR. This requirement must be incorporated into any subcontracts that require sub-contractor personnel to have routine unsupervised access to a federally controlled facility or any unsupervised access to a federally controlled Level 3 or 4 information systems.

4.2.1.9 The Contractor shall comply with USDA non-disclosure agreements, and DR 3640-001 Identity, Credential, and Access Management policy. In addition, all data (e-mail traffic, contact information, calendar contents, etc.) is and shall remain the property of the government. The Contractor shall ensure that the government retains access and download capability of all data for research, investigation, transfer, or migration to other systems.

Project Information Non-Disclosure Agreement (NDA) may be required, the contract shall submit, to the COR and CO, signed Project NDAs from all employees, inclusive of any sub-contractor personnel. As the contractor may be granted access to information, such as plans, policies, reports, studies, financial plans, and internal data, or data which has not been released or otherwise made available to the public, the Contractor agrees that without prior written approval of the Contracting Officer it shall not: (1) use such information for any private purpose unless the information has been released or otherwise made available to the public; (2) submit an unsolicited proposal to the

Government which is based on such information without full disclosure of any internal information used in preparing their proposal; or (3) release such information unless such information has previously been released or otherwise made available to the public by the Department. The Contractor agrees that to the extent it receives or is given access to proprietary data, or other confidential or privileged technical, business, or financial information under this Contract, it shall treat such information in accordance with any restrictions imposed on such information. If access to proprietary information is required in the completion of a task, the Contractor must obtain an agreement with the said company to protect their information from unauthorized use or disclosure for if it remains proprietary and refrain from using the information for any purpose other than that for which it was furnished. Copies of said agreements shall be provided to the CO and COR.

4.2.1.10 In accordance with the Federal Acquisitions Regulations (FAR) clause 52.239-1, the Contractor shall be responsible for the following privacy and security safeguards:

• The Contractor shall not publish or disclose in any manner, without the Contracting Officers Representative’s written consent, the details of any safeguards used by the Contractor under the resulting contract or otherwise provided by or for the government.

• To the extent required to carry out a program of inspection to safeguard against threats and hazards to the security, integrity, and confidentiality of any non-public government data collected and stored by the Contractor, the Contractor shall afford the government access to the Contractor’s facilities, installations, technical capabilities, operations, documentation, records, and databases.

• If new or unanticipated threats or hazards are discovered by either the government or the Contractor, or if existing safeguards have ceased to function, the discoverer shall immediately bring the situation to the attention of the other party.

• Work on this project may require or allow contractor personnel access to Privacy Information. Personnel shall adhere to the Privacy Act, Title 5 of the U.S. Code, Section 552a and applicable agency rules and regulations.

• All data at rest will reside within the contiguous United States, the District of Columbia, and Alaska (CONUS) with a minimum of two data center facilities at two different and distant geographic locations.

4.2.1.11 Contract personnel who have access to USDA facilities, networks and computers shall be required to maintain all personnel security requirements and to maintain currency with all security training requirements determined by the Government to maintain access to the USDA facilities, networks, and computers. As USDA security policy changes, additional and/or different requirements may be required. Contractor roles and permissions will be reviewed by the Government with the same frequency and at the same level as government employees. Access to government facilities, networks, and computers will require contractors to follow all government mandated security alerts, procedures, patches, and upgrades as well as to report any risks or adverse personnel issues that could adversely impact the safety and security of USDA and contractor resources.

4.2.2 Physical, Data and System Security Requirements.

4.2.2.1 Access to Sensitive/Critical Data. Contractor access to data deemed sensitive and/or critical by the Government will follow guidelines set forth in FIPS Publication 199, USDA and NRCS security policy and only following successful completion of all security training.

4.2.2.2 Application / Data Security. Contractor staff may have access to privileged and confidential materials of the United States Government to include Personally Identifiable Information (PII) outlined above. These printed and electronic documents are for internal use only and remain the sole property of the United States Government. Some of these materials are protected by the Privacy Act of 1974 (AMENDED) and Title 38 Code of Federal Regulations (Title 38).

Unauthorized disclosure of Privacy Act or Title 38 covered materials is a criminal offense. Each contractor employee will be given access to only the information and facilities that are essential to the performance of the work. All information generated and/or maintained under this contract, to include government-furnished information, must be available for Government review upon request.

The contractor to include sub-contractors concur that any and all information collected is the property of the US Government and shall not be released either formally or informally without the consent of USDA-NRCS. The Government has unlimited rights to all data and deliverables under this contract. The Government shall retain custody of all records associated with contract deliverables and shall have exclusive control in the distribution of all written deliverables. If the contractor uses proprietary data in the proposal or in any other communication it shall be specifically identified to the COR and it shall be explicitly marked appropriately.

4.2.2.3 Certification of Sanitization of Government and Government-Activity-Related Files and Information. As part of contract closeout, the Contractor shall submit the certification to the Contracting Officers Representative (COR) and the Contracting Officer (CO) following the template provided in NIST Special Publication 800-88 Guidelines for Media Sanitization.

4.2.2.4 System Security. The contractor shall comply with all the Federal, Office of Management and Budget (OMB), and USDA-NRCS security policies, directives, procedures, and memorandums in effect by the USDA-NRCS with respect to physical access and data security controls associated with all federal systems. This includes compliance with all system security policies, procedures, and control requirements to prevent the unauthorized access to, destruction or manipulation of any system or data residing within these federal systems.

6. Compliance with Internet Protocol version 6 (IPv6) in Acquiring Information Technology

(a) Any system, hardware, software, firmware or networked component (voice, video or data) developed, procured or acquired in support or performance of this contract shall be capable of transmitting, receiving, processing, forwarding and storing digital information across system boundaries utilizing system packets that are formatted in accordance with commercial standards of Internet Protocol (IP) version 6 (IPv6) as set forth in the USGv6 Profile (NIST Special Publication 500-267) and corresponding declarations of conformance defined in the USGv6 Test Program. In addition, this system shall maintain interoperability with IPv4 systems and provide at least the same level of performance and reliability capabilities of IPv4 products:

(b)Specifically, any new IP product or system developed, acquired, or produced must:

(1) Interoperate with both IPv6 and IPv4 systems and products, and

(2) Have available contractor/vendor IPv6 technical support for development and implementation and fielded product management.

(c) As IPv6 evolves, the Contractor commits to upgrading or providing an appropriate migration path for each item developed, delivered or utilized at no additional cost to the Government.

(d) The Contractor shall provide technical support for both IPv4 and IPv6.

(e) Any system or software must be able to operate on networks supporting IPv4, IPv6 or one that supports both.

(f) Any product whose non-compliance is discovered and made known to the Contractor within one year after acceptance shall be upgraded, modified or replaced to bring it into compliance at no additional cost to the Government.

7. EVM Reporting Requirements

1) The Offeror shall adhere to FAR 34.201(b-e) to use an Earned Value Management System (EVMS) to be compliant with the guidelines in ANSI/EIA Standard 748-C to manage this contract.

2) The Offeror shall submit Earned Valuate Management (EVM) monthly metrics for all Development, Maintenance and Enhancement (DME) costs of labor, materials, and other costs which will include Earned Value (EV), Planned Value (PV), and Actual Cost (AC) along with the Budget at Completion (BAC). These values should reflect cumulative totals for the values that are reported each month.

3) The Offeror shall submit monthly all costs of labor, materials, and other costs. These values should reflect cumulative totals for the values that are reported each month.

4) The Offeror shall develop and deliver:

a. A Work Breakdown Structure (WBS) that provides for the logical sequencing of the work that makes up the scope identified in the SOW.

b. A WBS Dictionary that provides for the logical sequencing of the work that makes up the scope identified in the SOW.

c. A Schedule that provides for the logical sequencing of the work that makes up the scope identified in the WBS.

8. Duties and Authority

8.1. Contracting Officer Representative (COR)

The COR is the technical representative to the Contracting Officer (CO) for all tasks issued under this contract. The COR’s main responsibility is the coordination of tasks issued under the contract. The COR is the CO’s coordinating point of contact for the entire contract and ensures a reasonable level of coordination of available Government and Contractor resources among the different tasks which may be issued under this contract. The COR will be officially assigned and all authorities and limitations identified at time of award.

8.2. COR

The COR represents the CO for technical matters pertaining to the task. The general responsibilities and authorities of the COR include:

• Giving technical directions to the Contractor which provide the necessary technical details to complete the task requirements;

• Providing information to the Contractor which assists in the interpretation of the technical portions of the work description; and

• Reviewing and recommending approval by the CO of all work products/deliverables.

8.3. Administration Duties

The COR has the authority to provide “technical direction” to the Contractor during the performance of work under task orders for their individual projects. Technical direction generally requires monitoring the Contractor’s work closely and continually as it progresses to ensure that the task requirements are being met. While progress monitoring does not mean taking charge and conducting the Contractor’s effort, or in any way supervising Contractor employees, it does, however, mean that the COR will:

• Keep well informed of the Contractor’s performance and activities;

• Use technical expertise to identify the Contractor’s actions, or failure to act, that clearly affect the quality of the work under way and the end results or deliverables;

• Notify the Contractor of apparent deficiencies; and

• Determine the appropriate action in discussion with the CO and Contractor to correct deficiencies.

8.4. Communication

The terms and conditions of this contract and individual tasks shall govern the administration and management of the work products and deliverables. The lines of communication and authorities between Government and Contractor personnel under this task order are as follows:

• Communications related to task order management issues shall take place between the CO, COR and the Contractor Representative.

• For issues related to task management and technical matters, communication may occur between the CO and/or COR and the Contractor’s Site Administrative Program Manager and/or Technical Program Manager.

• The Contractor’s resource personnel shall communicate to Government personnel through its Task Leader, and the Government’s resource personnel shall communicate to the Contractor resource.
