PROSPECTIVE PRICE REDETERMINATION

(a) PROSPECTIVE PRICE REDETERMINATION – PRICE ADJUSTMENT

To protect the Contractor and the Government from significant fluctuations in the price of fuel (regular and diesel), a per liter price redetermination will be applied to the contract twice per year based on the actual average price per liter versus the baseline price per liter stipulated in the corresponding year CLIN item.

DEFINITIONS. As used throughout this contract text, the term –

1. Proposed/Award price means the per liter unit price offered by the Contractor as set forth in the Bid Schedule.

2. Reference price is the midpoint price (halfway between low and high), recommended per liter price listed on the DACO website at https://www.daco.pr.gov/recursos/estudios-economicos/datos-de-combustible/ Reference Price example: On May 26th, 2021 the recommended price per liter on the DACO site was a low of 73.7 cents and a high of 78.7 cents. Therefore, the reference price for regular unleaded on May 26th is 76.2 cents per liter.

3. Date of delivery means F.O.B. Destination, which is the date the product is received.

(b) REDETERMINATIONS. Planned redetermination dates are 6 months after contract award, upon the exercise of each option year, and 6 months after exercise of each option year. During a presidentially declared disaster under the Robert T. Stafford Disaster Relief and Emergency Assistance Act, price redeterminations will be calculated more frequently. A price redetermination will be issued based on the day following start of the emergency declaration, and every 30 days thereafter for six months following start of the emergency declaration.

1. The reference price with which the award for the listed items are to fluctuate is the average of the prices published in Departamento de Asuntos del Consumidor (DACO), Inicio, Recursos, Estudios Económicos, Datos de Combustible https://www.daco.pr.gov/recursos/estudios-economicos/datos-de-combustible/

a. Example A redetermination calculation: Bid Schedule price is 85 cents with the initial adjustment scheduled for Jan 1st, 6 months after contract award.

Reference price (DACO published midpoint price) on Jun 15th, the solicitation due date, was 80 cents per liter. Contract was awarded Jul 1st and on Jan 1st reference price (DACO published midpoint price) is 90 cents per liter. A modification/price redetermination is issued on Jan 2nd to increase the per liter price from 85 cents per liter to 95 cents per liter.

b. Example B redetermination calculation: Bid Schedule price is 85 cents with the initial adjustment scheduled for Jan 1st, 6 months after contract award.

Reference price (DACO published midpoint price) on Jun 15th, the solicitation due date, was 80 cents per liter. Contract was awarded Jul 1st and on Jan 1st reference price (DACO published midpoint price) is 70 cents per liter. A modification/price redetermination is issued on Jan 2nd to decrease the per liter price from 85 cents per liter to 75 cents per liter.

c. Example B redetermination calculation: Bid Schedule price is established at 85 cents per lite. Reference price (DACO published midpoint price) on June https://www.daco.pr.gov/recursos/estudios-economicos/datos-de-combustible/ https://www.daco.pr.gov/recursos/estudios-economicos/datos-de-combustible/

15th, the solicitation due date, was 80 cents per liter. A major hurricane makes landfall and the President issues a federal disaster declaration effective August 14th. On Aug 15th, reference price (DACO published midpoint price) is $1.10 cents per liter. A modification/price redetermination is issued on August 16th to increase the per liter price from 85 cents to $1.15 cents per liter.

(c) MODIFICATIONS. Any resultant price changes shall be provided via notification through contract modifications.

(d) REVISION OR REFERENCE PRICE INDICATOR. In the event –

1. Any applicable reference price is discontinued, or its method of derivation is altered substantially.

2. The Contracting Officer determines that the reference price consistently and substantially failed to reflect market conditions – the parties shall mutually agree upon an appropriate and comparable substitute for determining the price adjustment described hereunder. The contract shall be modified to reflect such substitute effective on the date the indicator was discontinued, altered, or began to fail consistently and substantially to reflect market conditions. If parties fail to agree on an appropriate substitute, the matter shall be resolved in accordance with the Disputes paragraph of the CONTRACT TERMS AND CONDITIONS – COMMERCIAL ITEMS clause of this contract.

(e) EXAMINATION OF RECORDS. The Contracting Officer or designated representatives shall have the right to examine the Contractor’s books, records, and any other supporting data relevant to this adjustment during all reasonable times until the end of three (3) years after the date of contract expiration.

(f) FINAL INVOICE. The Contractor shall include a statement on the final invoice that the amounts invoiced hereunder have applied all increases/decreases required by this contract text.
