SECTION C - DESCRIPTION/SPECIFICATIONS/STATEMENT OF WORK
Project
Statement of Ultralow Freezer
General Information
1.0 Scope of Work
The objective of this procurement action is to obtain two upright ultralow (ULT) freezers to store and preserve chemical residue sample tissues and microbiological isolates. For legal and regulatory reasons, sample reserves from various products that the Eastern Lab tests must be stored, sometimes for long periods of time, in such a way that ensures the integrity and microbiological and chemical characteristics of these legally important sample reserves. A primary means to accomplish this is by freezing sample reserves at low temperatures.
2.0 Background
The Food Safety and Inspection Service (FSIS) is a public health regulatory agency of the U.S.
Department of Agricultural (USDA) that protects consumers by ensuring that meat, poultry, and egg products are safe, wholesome, and accurately labeled. As a part of the FSIS, the Eastern Laboratory (EL) is a regulatory laboratory responsible for analyzing meat, poultry, egg products, and Siluriform to ensure they are free of adulteration. The EL is located at 950 College Station Road, Athens, Georgia.
The National Residue Program (NRP) is a program developed by FSIS and implemented by OPHS in support of our public health function as it is related to chemical residues. The NRP has domestic and import sampling plans, which generate nationwide data to document prevalence estimates of food contaminants. The NRP also supports enforcement regulatory work and select exploratory projects.
Contractor Requirements
3.0 Technical Requirements / Tasks
The ULT freezers shall meet or exceed the following specifications:
a. Have a temperature range of -100 to -20° C adjustable in 1°C increments.
b. Be capable of maintaining a temperature uniformity of ± 3° at - 80°C.
c. Have five stainless steel adjustable shelves with a storage volume of 28 cu. ft.
d. Have a helium-charged free-piston cooling engine.
e. Have an exterior dimension no larger than 79 x 35 x 36 inches.
f. Be able to work with electricity supplied at 230v at 50/60Hz.
g. Have a touchscreen controller equipped with at least a 24-hour battery back-up for the temperature display.
Warranty for the freezer shall include:
Contractor shall provide a six-year warranty on parts and labor and any necessary return shipments (both ways) at no cost. Contractor shall include a return shipment process.
Contractor shall cover any travel-costs of service personnel if the freezers are serviced on-site during the warranty period.

1. Inspection: The Government will review 100 percent of the deliverables.
2. Acceptance Criteria: In accordance with Section 5.B. Performance Indicators & Standards.

Contracting Officer or Contracting Officer's Representative (COR) will provide written notice of acceptance or rejection to the Contractor within 45 days of the end of the contract period.

8.0 Security Requirements
A. INFORMATION TECHNOLOGY SYSTEMS SECURITY
The activities covered under by this contract might require the Contractor’s access to Federal Automated Information System or systems, as well as the implementation of new systems.
The Offeror’s proposal must include:
1. A detailed outline (commensurate with the size and complexity of the Statement of Work) of its present and proposed information technology systems security program. The response must demonstrate that it complies with the security requirements of the SOW, the Federal Information Security Management Act of 2002 (FISMA, Public Law 107- 347, 44 U.S.C. 3531-3536); Office of Management and Budget (OMB) Circular A-130, Appendix III “Security of Federal Automated Information Systems”
(http://www.whitehouse.gov/omb/circulars_a130_a130appendix_iii) and an acknowledgement of its understanding of the security requirements of the SOW.
2. A signed copy of the USDA FSIS IT Rules of Behavior shall be included with the Offeror’s proposal.
B. INFORMATION TECHNOLOGY SYSTEMS SECURITY CONTRACT
REQUIREMENTS
1. The contractor shall establish and implement appropriate administrative, technical and physical safeguards to ensure the security and confidentiality of sensitive Government information, data, and/or equipment.
2. The contractor shall comply with IT systems security and/or privacy specifications set forth in FSIS and USDA directives, policy, and procedures; the Computer Security Act of 1987; Office of Management and Budget (OMB) Circular A-130; and the Federal Information Security Management Act of 2002 (FISMA).
3. Pursuant to FSIS policy, the contractor shall be responsible for assuring that each contractor employee who requires routine unaccompanied physical access to a Federally controlled facility and/or unaccompanied access to a Federally controlled information system, including an FSIS-issued computer, completes Computer Security Awareness training prior to performing any work under this contract.
4. The contractor is required to maintain a listing of all individuals who have completed Computer Security Awareness training and submit this listing to the COR with a copy to the Contracting Officer within ten (10) calendar days of an individual starting work on this contract.
9.0 Data Rights
A. ACCESS TO SENSITIVE INFORMATION
1. As used in this clause, “sensitive information” refers to information that a contractor has developed at private expense, or that the Government has generated that qualifies for an exception to the Freedom of Information Act, which is not currently in the public domain, and which may embody trade secrets or commercial or financial information, and which may be sensitive or privileged.
2. To assist the U. S. Department of Agriculture (USDA), Food Safety and Inspection Service (FSIS) in accomplishing management activities and administrative functions, the Contractor shall provide the services specified elsewhere in this contract.
3. If performing this contract entails access to sensitive information, as defined above, the Contractor agrees to
a. Utilize any sensitive information coming into its possession only for the purposes of performing the services specified in this contract, and not to improve its own competitive position in another procurement action.
b. Safeguard sensitive information coming into its possession from unauthorized use and disclosure.
c. Allow access to sensitive information only to those employees that need it to perform services under this contract.
d. Preclude access and disclosure of sensitive information to persons and entities outside of the Contractor’s organization.
e. Train employees who may require access to sensitive information about their obligations to utilize it only to perform the services specified in this contract and to safeguard it from unauthorized use and disclosure.
f. Obtain a written affirmation from each employee that he/she has received and will comply with training on the authorized uses and mandatory protections of sensitive information needed in performing this contract.
g. Administer a monitoring process to ensure that employees comply with all reasonable security procedures, report any breaches to the Contracting Officer, and implement any necessary corrective actions.
4. The nature of the work on this contract may subject the Contractor and its employees to a variety of laws and regulations relating to ethics, conflicts of interest, corruption, and other criminal or civil matters relating to the award and administration of government contracts. Recognizing that this contract establishes a high standard of accountability and trust, the Government will carefully review the Contractor’s performance in relation to the mandates and restrictions found in these laws and regulations. Unauthorized uses or disclosures of sensitive information may result in termination of this contract for default, or in debarment of the Contractor for serious misconduct affecting present responsibility as a government contractor.
5. The Contractor shall include the substance of this clause, including this paragraph (e);
suitably modified to reflect the relationship of the parties, in all subcontracts that may involve access to sensitive information.

G.1 CONTRACTING OFFICER (JAN 2012)
The Contracting Officer (CO) has the overall responsibility for the administration of this contract. The CO alone, without delegation, is authorized to take actions on behalf of the Government to amend, modify or deviate from the contract terms, conditions, requirements, specifications, details and/or delivery schedules; issue task orders against the contract; make final decisions on disputed deductions from contract payments for nonperformance, or unsatisfactory performance; terminate the contract for convenience or default; and issue final decisions regarding contract questions or matters under dispute. However, the CO may delegate certain other responsibilities to the Contracting Officer’s Representative (COR). All delegated duties will be specified in writing by a COR Appointment and Delegation Notice.

The COR shall be responsible for administering the performance of work under this contract. In no event, however, will any understanding, agreement, modification, change order, or other matter deviating from the terms of this contract be effective or binding upon the Government unless formalized by proper contractual documents executed by the Contracting Officer prior to completion of the contract.
The Contracting Officer shall be informed as soon as possible of any actions or inactions by the Contractor or the Government which will change the required delivery or completion times stated in the contract, and the contract shall be modified accordingly.
On all matters that pertain to the contract terms, the contractor shall communicate with the Contracting Officer. Whenever, in the opinion of the Contractor, the COR requests effort outside the scope of the contract, the contractor shall so advise the COR. If the COR persists and there still exists a disagreement as to proper contractual coverage, the Contracting Officer shall be notified immediately, preferably in writing if time permits. Proceeding with work without proper contractual coverage may result in nonpayment or necessitate submittal of a contract claim.
The COR shall be responsible for initiating the Contractor Performance Assessment Report (CPAR) for awards over the simplified acquisition threshold of $250K to document contractor’s performance during the period of performance 14 days after completion of services or delivery of goods.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e) (1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1), in a subcontract for commercial products or commercial services.
