FAR 52.212-4

Contract Terms and Conditions – Commercial Items (OCT 2018)

Addendum to 52.212-4

Inspection and Acceptance. The COR will note any non-compliance on the daily inspection form. The Contractor will have one opportunity the following cleaning day or when next on the premises to correct the deficiency as agreed upon by the COR. A deduction will be assessed if re-work methods fail.

Invoice Processing Platform (IPP). The Forest Service is utilizing the Invoice Processing Platform (IPP) for the electronic submission and tracking of contracts/purchase orders, invoices, and payment information. IPP is a secure Government-wide, web-based invoice processing service. Visit http://www.ipp.gov to learn more.

Responsibilities. The Contractor shall, without additional expense to the Government, be responsible for obtaining any necessary licenses and permits, and for complying with any Federal, State, and municipal laws, codes, and regulations applicable to the performance of the work. The Contractor shall also be responsible for all damages to persons or property that occur as a result of the Contractor’s fault or negligence.

Contractor Performance Assessment Reporting System

(a) General. This contract is subject to Federal Acquisition Regulations (FAR) and Agriculture Acquisition Regulations (AGAR), that require past performance evaluations to be completed and entered into the Contractor Performance Assessment Reporting System (CPARS). Although the expected amount of this project is below the automatic reporting threshold, an evaluation may be entered into the CPARS system.

(b) Assessment. Upon completion of the work associated with the contract, an evaluation may be initiated by the Contracting Officer in the CPARS system and the Contractor Representative will receive an auto-email from CPARS with instructions for completion of the evaluation.

FAR 52.204-9 -- Personal Identity Verification of Contractor Personnel. (Jan 2011)

(a) The Contractor shall comply with agency personal identity verification procedures identified in the contract that implement Homeland Security Presidential Directive-12 (HSPD-12), Office of Management and Budget (OMB) guidance M-05-24, and Federal Information Processing Standards Publication (FIPS PUB) Number 201.

(b) The Contractor shall account for all forms of Government-provided identification issued to the Contractor employees in connection with performance under this contract. The Contractor shall return such identification to the issuing agency at the earliest of any of the following, unless otherwise determined by the Government;

(1) When no longer needed for contract performance.

(2) Upon completion of the Contractor employee’s employment.

(3) Upon contract completion or termination.

(c) The Contracting Officer may delay final payment under a contract if the Contractor fails to comply with these requirements.

(d) The Contractor shall insert the substance of clause, including this paragraph (d), in all subcontracts when the subcontractor’s employees are required to have routine physical access to a Federally-controlled facility and/or routine access to a Federally-controlled information system. It shall be the responsibility of the prime Contractor to return such identification to the issuing agency in accordance with the terms set forth in paragraph (b) of this section, unless otherwise approved in writing by the Contracting Officer.

AGAR 452.204-71 - PERSONAL IDENTITY VERICATION OF CONTRACTOR EMPLOYEES (OCT 2007)

(a) The contractor shall comply with the personal identity verification (PIV) policies and procedures established by the Department of Agriculture (USDA) Directives 4620-002 series.

(b) Should the results of the PIV process require the exclusion of a contractor’s employee, the contracting officer will notify the contractor in writing.

(c) The contractor must appoint a representative to manage compliance with the PIV policies established by the USDA Directives 4620-002 series and to maintain a list of employees eligible for a USDA LincPass required for performance of the work.

(d) The responsibility of maintaining a sufficient workforce remains with the contractor. Employees may be barred by the Government from performance of work should they be found ineligible or to have lost eligibility for a USDA LincPass. Failure to maintain a sufficient workforce of employees eligible for a USDA LincPass may be grounds for termination of the contract.

(e) The contractor shall insert this clause in all subcontracts when the subcontractor is required to have routine physical access to a Federally-controlled facility and/or routine access to a Federally-controlled information system.

(f) The PIV Sponsor for this contract is a designated program point of contact, which in most cases is the Contracting Officer Representative (COR), unless otherwise specified in this contract. The Government will notify the contractor if there is a change in the PIV Sponsor, the office address, or the office hours for registration; however, it is the contractor’s responsibility to meet all aspects of paragraphs (c), (d), and (e).

The Contractor shall provide a list of employees authorized to work under this contract, and will also provide copies of full background checks on these employees, as well as any replacement employees to the Contracting Officer prior to work proceeding, and in accordance with FAR 52.204-9 Personal Identity Verification of Contractor Employees.

AGAR 452.211-75 Effective Period of Contract (FEB 1988)

The effective period of this contract is from September 1, 2019 through April 30, 2022(with option years).

NOTE:

Base Year September 1, 2019 – April 30, 2020 Option Year 1, May 1, 2020 – April 30, 2021

Option Year 2, May 1, 2021 – April 30, 2022

FAR 52.217-5 -- Evaluation of Options. (Jul 1990) Except when it is determined in accordance with FAR 17.206(b) not to be in the Government’s best interests, the Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. Evaluation of options will not obligate the Government to exercise the option(s).

FAR 52.217-7 -- Option for Increased Quantity -- Separately Priced Line Item.(Mar 1989) The Government may require the delivery of the numbered line item, identified in the Schedule as an option item, in the quantity and at the price stated in the Schedule. The Contracting Officer may exercise the option by written notice to the Contractor within 60 days. Delivery of added items shall continue at the same rate that like items are called for under the contract, unless the parties otherwise agree.

FAR 52.217-8 - Option to Extend Services (Nov 1999) The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 10 Days.

FAR 52.217-9- Option to Extend the Term of the Contract. (Mar 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 30 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed three years and six months.

AGAR 452.215-73 Post Award Conference (Nov 1996). A post award conference with the successful offeror is required. The conference will be held at: date and location agreed upon at time of award.

FAR 52.232-19 - Availability of Funds for the Next Fiscal Year. (Apr 1984)

Funds are not presently available for performance under this contract beyond 4/30/2020. The Government’s obligation for performance of this contract beyond that date is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise for performance under this contract beyond 4/30/2020, until funds are made available to the Contracting Officer for performance and until the Contractor receives notice of availability, to be confirmed in writing by the Contracting Officer.

AGAR 452.237-74 Key Personnel (FEB 1988)

(a) The Contractor shall assign to this contract the following key personnel:

Site Supervisor (see #4 and #9 under Description/Performance Work Statement for Supervision requirements)

(b) During the first ninety (90) days of performance, the Contractor shall make no substitutions of key personnel unless the substitution is necessitated by illness, death, or termination of employment. The Contractor shall notify the Contracting Officer within 15 calendar days after the occurrence of any of these events and provide the information required by paragraph (c) below. After the initial 90-day period, the Contractor shall submit the information required by paragraph (c) to the Contracting Officer at least 15 days prior to making any permanent substitutions.

(c) The Contractor shall provide a detailed explanation of the circumstances necessitating the proposed substitutions, complete resumes for the proposed substitutes, and any additional information requested by the Contracting Officer. Proposed substitutes should have comparable qualifications to those of the persons being replaced. The Contracting Officer will notify the Contractor within 15 calendar days after receipt of all required information of the decision on substitutions. The contract will be modified to reflect any approved changes of key personnel.

Biobased Product Utilization The Contractor must comply with the Agricultural Act of 2014; the Food, Conservation and Energy Act of 2008 (FCEA), 7 U.S.C. 8102; the Farm Security and Rural Investment Act of 2002 (FSRIA), 7 U.S.C. 8102; the Federal Acquisition Regulation; Executive Order (EO) 13514, “Federal Leadership in Environmental, Energy and Economic Performance,” dated October 5, 2009; EO 13423, “Strengthening Federal Environmental, Energy, and Transportation Management,” dated January 24, 2007; and Presidential Memorandum, “Driving Innovation and Creating Jobs in Rural America through Biobased and Sustainable Product Procurement,” dated February 2012, to provide biobased products.

The Contractor shall utilize products and material made from biobased materials to the maximum extent possible without jeopardizing the intended end use or detracting from the overall quality delivered to the end user. All supplies and materials shall be of a type and quality that conform to applicable Federal specifications and standards.

The following is an example list of products that may be used in this contract for which biobased products are available. The list is not all inclusive. It is desirable that Contractors be able to supply the greatest number of biobased products listed meeting the health and environmental specifications.

Biobased products that are designated for preferred procurement under USDA’s Biopreferred Program must meet the required minimum biobased content as stated in the USDA Final Rule available at www.biopreferred.gov. The Contractor should provide data for their biobased products such as biobased content and source of biobased material.

In addition to the biobased products designated by the U.S. Department of Agriculture in the Biopreferred Program, the Contractor is encouraged to use other commercially available biobased products.

A demonstration of proper use, an effective training program, and technical assistance are essential to the success of the purchase and use of some biobased products that may function differently than a conventional product.

FAR 52.223-2 -- Affirmative Procurement of Biobased Products Under Service And Construction Contracts. (Sep 2013)

(a) In the performance of this contract, the contractor shall make maximum use of biobased products that are United States Department of Agriculture (USDA)-designated items unless—

(1) The product cannot be acquired—

(i) Competitively within a time frame providing for compliance with the contract performance schedule;

(ii) Meeting contract performance requirements; or

(iii) At a reasonable price.

(2) The product is to be used in an application covered by a USDA categorical exemption (see 7 CFR 3201.3(e)). For example, all USDA-designated items are exempt from the preferred procurement requirement for the following:

(i) Spacecraft system and launch support equipment.

(ii) Military equipment, i.e., a product or system designed or procured for combat or combat-related missions.

(b) Information about this requirement and these products is available at http://www.biopreferred.gov .

(c) In the performance of this contract, the Contractor shall—

(1) Report to http://www.sam.gov , with a copy to the Contracting Officer, on the product types and dollar value of any USDA-designated biobased products purchased by the Contractor during the previous Government fiscal year, between October 1 and September 30; and

(2) Submit this report not later than—

(i) October 31 of each year during contract performance; and

(ii) At the end of contract performance.

52.212-5 -- Contract Terms and Conditions Required to Implement Statutes or Executive Orders -- Commercial Items. (MAY 2019)

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

Description, Performance Work Statement

1 Scope of Work. The Sandpoint Ranger District Office operations are committed to implementing and managing a green cleaning plan with the primary goal of reducing the exposure of building occupants and maintenance personnel to potentially hazardous chemical, biological, and particulate contaminants, which adversely affect air quality, human health, building finishes, building systems, and the environment. Approved products will provide various environmental benefits, including resource efficiency, reduced toxicity, durability, and recycled content.

The performance-based services covered in this contract requires the contractor to provide the management, supervision, labor, equipment, and supplies necessary to perform custodial and related services in compliance with the terms, performance requirements, and provisions contained herein.

2 – Location and Description

a) Janitorial services shall be provided at the Sandpoint Ranger District office located at 1602 Ontario, Sandpoint Idaho 83864.

i. The office is a 13,363 square feet, single level building.

b) Janitorial services shall also be provided at the Sandpoint Ranger District Bunkhouse, and Sandpoint Ranger District Sandpoint Fire Office and IPAC, which are also located at 1602 Ontario, Sandpoint Idaho. Janitorial service shall be provided for these buildings in the following areas:

i. Bunkhouse – Kitchen, Restroom and all Common Areas (excludes the four resident rooms)

ii. Sandpoint Fire Office and IPAC– Restroom only a.

3 – Services Required

a) The contractor shall provide the services outlined in 8. Quality cleaning is required and the Contractor is to implement and pursue all performance requirements diligently and shall perform cleaning in accordance with the best industrial practices.

b) All work shall be performed after occupant working hours (1700 hours), except for the Bunkhouse, which shall be cleaned between the hours of 0800 and 1700.

District Office: Restrooms shall be cleaned each day Monday thru Friday; all other cleaning requirements shall be completed only on Mondays, Wednesdays and Fridays.

Bunkhouse Restroom, Kitchen and Common Areas shall be cleaned Monday, Wednesday and Friday during the months of May, June, July, August, September, October (On-Season), or as ordered in writing with (FS6300-12) during the months of November, December, January, February, March or April (Off-Season).

Sandpoint Fire Office and IPAC Restroom shall be cleaned during the months of November, December, January, February, March and April once per week on Wednesdays. The remainder of the year (May, June, July, August, September, and October), Restroom cleaning in the Sandpoint Fire Office and IPAC will be completed three times per week on Mondays, Wednesdays and Fridays.

Federal Holidays are excluded unless specifically approved or requested by the COR.

c) Where applicable, all cleaning shall be done in accordance with manufactures’ specifications and recommendations.

4 – Supervision

a) The Contractor shall have adequate supervision on-site during scheduled hours of contract performance to ensure that all cleaning functions are performed as scheduled by the Contractor to the standards required by the contract.

b) The Contractor shall supply telephone numbers to the COR for use in contacting the supervisor should the need occur.

5 – Government-Furnished Property

The Government will deliver to the Contractor the following listed materials, supplies, property, or services (hereinafter referred to as “Government-furnished property) at the places and times specified below. The Contractor shall be liable for all loss or damage of such delivered Government-furnished property. If the Government should fail to provide such property in agreed upon quantity and quality in a timely manner for its intended use, and upon written request from the Contractor, the Contracting Officer shall make an equitable adjustment of contract delivery or performance dates or contract price, or both pursuant to the “Changes” clause.

Electrical power will be furnished by the Forest Service at existing power outlets to operate equipment as is necessary for contract performance. If any floor outlets are utilized, they are to be left in a condition that will not constitute a tripping hazard, i.e., lids tightly closed when no longer in use. Under no circumstances will Contractor’s employees unplug Government equipment in order to access electrical power. Hot and cold water will also be made available to the Contractor as needed.

These supplies will be available at the Sandpoint Ranger District office. It is the Contractor’s responsibility to keep the Contracting Officer’s Representative apprised of the level of supplies before they reach minimum level to insure an adequate stock at all times.

a) Plastic Garbage liners, toilet paper, paper towels, sanitary napkin disposer liners, paper towel waste receptacle liners, toilet seat covers.

b) Dumpster is located within the gate enclosure, west of the office for disposing of refuse.

c) Building Access Keys.

6 – Contractor-Furnished Equipment and supplies.

The Contractor shall furnish all other necessary equipment and cleaning supplies of a suitable type and quality for the job to be accomplished. Refer to Green Cleaning Plan: Policies & Practices (attached).

Before beginning the work of the contract, the Contractor shall submit to the Contracting Officer a list giving the name of the manufacturer and the brand name of each of the materials that the Contractor proposes to use in the performance of the work and shall not use any material which the Contracting Officer determines would be unsuitable for the purpose, represents a bio-hazard to occupants, does not abide by the criteria specified within the Green Cleaning Plan: Policies & Practices (attached), or is harmful to any part of the building, its contents, or equipment.

All necessary cleaning equipment including, but not limited to, waxing and polishing machines, industrial-type vacuum cleaners, etc., needed for the performance of the work of this contract shall be furnished by the Contractor. Such equipment shall be of the size and type customarily used in this kind and shall meet the approval of the Contracting Officer. Equipment deemed by the Contracting Officer to be of improper type or design or which is inadequate for the purpose intended shall be replaced.

Safety Data Sheets (SDSs) and technical bulletins must be provided in hard copy. Vendors are required to provide documentation confirming third-party certification upon request.

Products provided must be verified for compliance with the following standards. Products and equipment utilized must meet at least one of the following criteria per item number:

1. Cleaning Wipes, Tools, and Mop Systems

a) Reusable, color-coded microfiber equipment with recycled content is the preferred system. Procedures for proper care and laundering are required

2. General Cleaning Products

a) Green Seal GS-37, for general-purpose, bathroom, glass and carpet cleaners used for industrial and institutional purposes

b) Environmental Choice CCD-110, for cleaning and degreasing compounds

c) Environmental Choice CCD-146, for hard surface cleaners

d) Environmental Choice CCD-148, for carpet and upholstery care

d) Powered floor maintenance equipment, including electric and battery-powered floor buffers and burnishers are equipped with vacuums, guards and/or other devices for capturing fine particulates

e) Floor buffing pads that eliminate chemical stripping agents

f) Powered floor maintenance equipment which operates with a sound level of less than 70dBA

g) Propane-powered floor equipment has high-efficiency, low-emissions engines with catalytic converters and mufflers that meet the California Air Resources Board (CARB) or EPA standards for the specific engine size

h) Propane-powered floor equipment which operates with a sound level of less than 70dBA

i) Automated scrubbing machines equipped with variable-speed feed pumps and on-board chemical metering to optimize the use of cleaning fluids

As a contracted service provider, an initial analysis will be completed to identify surface types and product needs. Service providers shall be available to provide information about safety and health requirements of operating procedures. Vendors of equipment and product selections must provide guidance for best practices for storage, use, dispensing, and other technical assistance. Concentrated product recommendations require description of a dispensing system. Vendors shall also be available for ongoing technical assistance and review of poorly-performing products.

7 Quality Control Program

The Contractor is responsible for management and quality control to meet the terms of the contract. The role of the Government is quality assurance to ensure contract standards are met. The contractor shall provide a site specific Quality Control Plan (QCP), including an inspection system that will be used in the performance of the contract. The QCP shall be submitted for review and approval within 14 days of award notification.

The Contractor shall ensure that all of the requirements of the contract are addressed in a Quality Control Plan (QCP). The QPC shall be a system for identifying and correcting deficiencies in the quality of service before the level of performance becomes unacceptable or the Contracting Officer’s Representative points out the deficiencies. The importance of a QCP that covers all services is critical to the successful performance of the custodial program. The QCP shall include, but is not limited to the following:

a) An inspection system tailored to the specific building(s) which covers all services stated in the Performance Standards and Guideline Requirements of this contract. The Contractor shall devise a checklist for use during inspections and provide the name of each management individual who will perform the inspections. The checklist must be signed and dated by the inspector at the time the inspection is completed. This inspection shall be conducted at the end of each work shift. It is not permissible for the person who performs the work to inspect and accept the work.
