Set-Aside: This is a 100% Total Small Business Set-Aside under NAICS 339113.
Quotes shall be emailed to the Contracting Officer, Matt Cox at Matthew.Cox2@usda.gov, no later than Wednesday, May 24, 2023 at 5:00PM Central Time (CT).
The Vendor shall complete/submit the following as part of its quote:
(a) SF 1449, Blocks 17a (including Unique Entity Identifier (UEI) number) and 30a-30c;
(b) Fill in the appropriate information requested in the Schedule of Items (p 5);
(c) Supporting information adequate for the Contracting Officer to determine price reasonableness of the quoted prices under this requirement;
(d) Provide your responses to Ownership or Control of Offeror (p 20); Prohibition on
Contracting with Inverted Domestic Corporations-Representation (p 21); Certification Regarding Responsibility Matters (p 21); Instructions to Offerors (p 23); Offeror Representations and Certifications (p 31); and,
(e) Contact information for an individual(s) with the authority to contractually-bind Vendor.
The Government intends to award a stand-alone Purchase Order resulting from this solicitation.
This solicitation neither commits the Government to pay any cost incurred in the submission of the quote or in making necessary studies or designs for preparing the quote, nor to contract for services or supplies. Any cost incurred in anticipation of a Purchase Order shall be at the Vendor’s own risk.

CONTINUATION OF SF1449
SECTION B1. - GENERAL INFORMATION
The intent of this Purchase Order is to re-supply the USFS fire caches with NFES 0881 Wrap - Structure Protection, Rolls. Structure protection wrap is used in wildland fire fighting to protect structures by providing a thermal barrier between the structure and an approaching flame front.
The structure wrap consists of an aluminum foil laminated onto a fiberglass cloth. The foil protects structure by reducing heat transfer to the structure from radiant heat. The fiberglass cloth provides durability to the laminated cloth and attenuates heat transfer from convective heat. The Vendor’s firm fixed-price rates shall include, but are not limited to, all labor, equipment, materials, and State and Federal taxes.
Requirements:

Packaging:
(a) Structure protection wrap shall be packaged in a roll. No more than 28 rolls shall be placed in a pallet.
(b) Packaging shall be sufficient to prevent damage to ensure safe delivery at destination. Items shall also be packaged in such a manner that it will ensure acceptance by common carrier if that shipping method is utilized.
Palletization:
The shipping (transport) containers shall be palletized. The pallets shall be 45-inch length x 62-inch width, general purpose, four-way entry, flush stringer, and double-face non-reversible pallets.
Delivery
(a) Shipping addresses located in 452.247-70 DELIVERY LOCATION (FEB 1988)” (p
17) shall be verified with the Contracting Officer prior to the occurrence of shipping.
(b) In the event Vendor anticipates difficulty in complying with any delivery dates, Vendor shall immediately notify the Contracting Officer and National Cache System COR in writing (e-mail) giving pertinent details, including the date by which the Vendor expects to make delivery.
(c) All shipments shall be Free On Board (FOB) Destination to the appropriate National Fire Cache(s) and insured against loss or damage and shall carry sufficient insurance to cover the full replacement value of the specific items being shipped unless otherwise agreed to by the Government in writing.
Invoicing
Payment requests must be submitted electronically through the U. S. Department of the Treasury's Invoice Processing Platform (IPP) System.
"Payment request" means any request for contractual or invoice payment by the Vendor.
To constitute a proper invoice, the payment request shall comply with the requirements identified in the applicable Prompt Payment clause included in this BPA, or the clause 52.212-4 Contract Terms and Conditions - Commercial Items (Nov 2021). The IPP website address is: https://www.ipp.gov The Vendor shall also submit an electronic copy of the IPP invoice to the Contracting Officer at matthew.cox2@usda.gov once the invoice has been submitted to IPP. Failure to e-mail the invoice may cause significant delay or possible rejection of payment https://www.ipp.gov/ mailto:matthew.cox2@usda.gov request. The Vendor must use the IPP website to register access and use IPP for submitting requests for payment per the following website: Vendor Enrollment- Invoice Processing Platform (ipp.gov). Vendor assistance with enrollment can be obtained by contacting the IPP Production Helpdesk via email IPPCustomerSupport@fiscal.treasury.gov or phone (866) 973-3131. If the Vendor is unable to comply with the requirement to use IPP for submitting invoices for payment, the Vendor shall submit a written waiver request to the Contracting Officer with its quote.
Purchase Order Administration
Any contractual issues, which may arise during the life of this Purchase Order, shall be handled in conformance with specific public laws and regulations (e.g., Federal Acquisition Regulation). Only the Contracting Officer is authorized to formally resolve such problems. Therefore, the COR and/or Government Technical Monitor and the Vendor are hereby directed to bring all such contractual problems to the immediate attention of the Contracting Officer.

As prescribed in 9.108-5(b), insert the following clause:
Prohibition on Contracting with Inverted Domestic Corporations (Nov 2015)
(a) Definitions. As used in this clause- Inverted domestic corporation means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
Subsidiary means an entity in which more than 50 percent of the entity is owned-
(1) Directly by a parent corporation; or
(2) Through another subsidiary of a parent corporation.
(b) If the contractor reorganizes as an inverted domestic corporation or becomes a subsidiary of an inverted domestic corporation at any time during the period of performance of this contract, the Government may be prohibited from paying for Contractor activities performed after the date when it becomes an inverted domestic corporation or subsidiary. The Government may seek any available remedies in the event the Contractor fails to perform in accordance with the terms and conditions of the contract as a result of Government action under this clause.
(c) Exceptions to this prohibition are located at 9.108-2.
(d) In the event the Contractor becomes either an inverted domestic corporation, or a subsidiary of an inverted domestic corporation during contract performance, the Contractor shall give written notice to the Contracting Officer within five business days from the date of the inversion event.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

52.216-2 ECONOMIC PRICE ADJUSTMENT-STANDARD SUPPLIES (NOV 2021)
As prescribed in 16.203-4(a), insert the following clause:
Economic Price Adjustment-Standard Supplies (Nov 2021)
(a) The Contractor warrants that the unit price stated in the Schedule for _________ [offeror insert Schedule line item number] is not in excess of the Contractor’s applicable established price in effect on the contract date for like quantities of the same item. The term "unit price" excludes any part of the price directly resulting from requirements for preservation, packaging, or packing beyond standard commercial practice. The term "established price" means a price that-
(1) Is an established catalog or market price for a commercial product sold in substantial quantities to the general public; and
(2) Is the net price after applying any standard trade discounts offered by the Contractor.
(b) The Contractor shall promptly notify the Contracting Officer of the amount and effective date of each decrease in any applicable established price. Each corresponding contract unit price shall be decreased by the same percentage that the established price is decreased. The decrease shall apply to those items delivered on and after the effective date of the decrease in the Contractor’s established price, and this contract shall be modified accordingly.
(c) If the Contractor’s applicable established price is increased after the contract date, the corresponding contract unit price shall be increased, upon the Contractor’s written request to the Contracting Officer, by the same percentage that the established price is increased, and the contract shall be modified accordingly, subject to the following limitations:
(1) The aggregate of the increases in any contract unit price under this clause shall not exceed 10 percent of the original contract unit price.
(2) The increased contract unit price shall be effective-
(i) On the effective date of the increase in the applicable established price if the Contracting Officer receives the Contractor’s written request within 10 days thereafter; or
(ii) If the written request is received later, on the date the Contracting Officer receives the request.
(3) The increased contract unit price shall not apply to quantities scheduled under the contract for delivery before the effective date of the increased contract unit price, unless failure to deliver before that date results from causes beyond the control and without the fault or negligence of the Contractor, within the meaning of the Default clause.
(4) No modification increasing a contract unit price shall be executed under this paragraph (c) until the Contracting Officer verifies the increase in the applicable established price.
(5) Within 30 days after receipt of the Contractor’s written request, the Contracting Officer may cancel, without liability to either party, any undelivered portion of the contract items affected by the requested increase.
(d) During the time allowed for the cancellation provided for in paragraph (c)(5) of this clause, and thereafter if there is no cancellation, the Contractor shall continue deliveries according to the contract delivery schedule, and the Government shall pay for such deliveries at the contract unit price, increased to the extent provided by paragraph (c) of this clause.
52.232-8 DISCOUNTS FOR PROMPT PAYMENT (FEB2002)
As prescribed in 32.111(b)(1), insert the following clause:
Discounts for Prompt Payment (Feb 2002)
(a) Discounts for prompt payment will not be considered in the evaluation of offers. However any offered discount will form a part of the award, and will be taken if payment is made within the discount period indicated in the offer by the offeror. As an alternative to offering a discount for prompt payment in conjunction with the offer, offerors awarded contracts may include discounts for prompt payment on individual invoices.
(b) In connection with any discount offered for prompt payment, time shall be computed from the date of the invoice. If the Contractor has not placed a date on the invoice, the due date shall be calculated from the date the designated billing office receives a proper invoice, provided the agency annotates such invoice with the date of receipt at the time of receipt. For the purpose of computing the discount earned, payment shall be considered to have been made on the date that appears on the payment check or, for an electronic funds transfer, the specified payment date. When the discount date falls on a Saturday, Sunday, or legal holiday when Federal Government offices are closed and Government business is not expected to be conducted, payment may be made on the following business day.

452.204-70 MODIFICATION FOR CONTRACT CLOSEOUT (OCT 2021)
Upon contract closeout for contracts utilizing Simplified Acquisition Procedures (SAP) according to FAR 13:
(a) If unobligated funds in the amount of $1000 or less remain on the contract, the Contracting Officer (CO) shall issue a unilateral modification for deobligation. The contractor will receive a copy of the modification but will not be required to provide a signature. The CO shall immediately proceed with contract closeout upon completion of the period of performance, receipt and acceptance of supplies or services, and final payment.
(b) If unobligated funds of more than $1000 remain on the contract, the CO shall issue a bilateral modification for deobligation. The contractor will receive a copy of the modification and will be required to provide a signature. (The CO may also request a Release of Claims be completed by the contractor, although not required for contract and orders using SAP procedures.) (B) Have □ have not □, within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, State, or local) contract or subcontract; violation of Federal or State antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property (if offeror checks "have", the offeror shall also see 52.209-7, if included in this solicitation);
(C) Are □ are not □ presently indicted for, or otherwise criminally or civilly charged by a governmental entity with, commission of any of the offenses enumerated in paragraph (a)(1)(i)(B) of this provision;
(D) Have □, have not □, within a three-year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds the threshold at 9.104- 5(a)(2) for which the liability remains unsatisfied.
(1) Federal taxes are considered delinquent if both of the following criteria apply:
(i) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.
(ii) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.
(2) Examples.
(i) The taxpayer has received a statutory notice of deficiency, under I.R.C. §
6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency.
This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. § 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C. § 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.
(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).
(ii) The Offeror has □ has not □, within a three-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.
