IMPORTANT – NOTICE TO ALL PROSPECTIVE OFFERORS
Proposals shall be emailed to the Contracting Officer, Vicki Keen at vicki.keen@usda.gov, by 1300 hours, MDT, June 03, 2022.
Any questions must be emailed to the CO by 1300 hours MDT, May 26, 2022. All questions and respective answers received timely will be provided via an amendment to the solicitation.
As part of its proposal, the Offeror shall complete/submit the following:
(a) SF 1449, Blocks 17a, 30a-30c;
(b) Fill in the appropriate information requested in Section B.1, Schedule of Items;
(c) Provide your responses to Sections E.4 Instructions to Offerors; and,
(d) Contact information for an individual with the authority to bind.
Proposals that arrive after the prescribed time for receipt of proposals will be considered late and treated in accordance with FAR 52.212-1, Instructions to Offerors-Commercial Items.
It is the Offeror’s responsibility to monitor the following website for any changes to the RFP: https://www.sam.gov.
This solicitation neither commits the Government to pay any cost incurred in the submission of the offer or in making necessary studies or designs for preparing the offer, nor to contract for services or supplies. Any cost incurred in anticipation of a contract shall be at the Offeror’s own risk.

B.1 SCHEDULE OF ITEMS
(a) When tasked provide commercial maintenance services for USDA Forest Service Fleet Aircraft that are Government-owned and/or operated identified by model in the table. Due to the nature of Forest Service aviation missions, aircraft are dispatched nationally based on the need of the agency resulting in aircraft maintenance needs at geographically diverse locations.
Depending on the maintenance need it can be uneconomical to move or reposition aircraft for maintenance to another location.
(b) The offeror shall hold an FAA part 145 Certified Repair Station (CRS) at the Line Item airport location bid and must be capable of supporting at least one of the aircraft at the location bid under their CRS:

B.2 BACKGROUND
(a) The Government operates a fleet of various aircraft in support of the diverse missions it performs in support of our goal to sustain the health, diversity, and productivity of the Nation’s forests and grasslands to meet the needs of present and future generations.
(b) The USDA Forest Service commitment to land stewardship and public service is the framework within which natural resources are managed. Implicit in this statement is the agency’s collaboration with partners and the public.
(c) As the lead Federal agency in natural resource conservation, the USDA Forest Service provides leadership in the protection, management, and use of the Nation’s forest, rangeland, and aquatic ecosystems. Our ecosystem approach to management integrates ecological, economic, and social factors to maintain and enhance the quality of the environment to meet current and future needs. Through implementation of land and resource management plans, the agency ensures sustainable ecosystems by restoring and maintaining species diversity and ecological productivity that helps provide recreation, water, timber, minerals, fish, wildlife, wilderness, and aesthetic values for current and future generations of people.
(d) Through technical and financial assistance, the USDA Forest Service assists States and private landowners in practicing good stewardship, promoting rural economic development, and improving the natural environment of cities and communities. The agency continues to develop and use the best available scientific information to facilitate achievement of our goals and objectives. Domestic and international activities are directed at developing values, products, and services in such a way as to maintain ecosystem health.
B.3 SCOPE
The intent of this solicitation is to obtain commercial aircraft maintenance and avionics services for Government owned and operated aircraft.
(a) Services
The Contractor shall provide the following services as ordered by the Government:
(1) The types of services required include, but are not limited to: Inspection, maintenance, preventive maintenance, modification rebuilding, and alteration. Individual orders may include, the inspection, repair, installing, painting, overhaul, rebuilding, testing, and servicing of airframes, engines, rotors, appliances, or any component parts thereof.
(2) All labor for Inspections shall be performed in accordance with manufacturer’s recommended inspection program or approved Owner Established inspection program as supplied by the USFS for the applicable airframe.
(3) All additional labor shall be identified as individual discrepancies with estimated costs and approved by the Contracting Officer prior to the work being performed or parts being ordered.
(4) Subcontracted Services- All quotes for subcontracted services must be accompanied by subcontractor quotes. All subcontracted services shall be paid for at a maximum of actual cost plus the percentage of markup as indicated in the Schedule of Items, to cover all material handling charges, which shall include all indirect costs including G & A costs allocated to direct material that are not included in any hourly rates or flat rates. The percentage of markup will be capped at $1,500.00 per subcontracted service, without prior written approval of the Contracting Officer.
(5) Aircraft makes and models other than those listed in the Schedule of Items (Section B.1) may require maintenance services under the terms and conditions of this contract.
(6) Avionics alterations, including upgrades, may be negotiated and have task orders issued based on quotes from any contractor with rates listed for “Labor, Avionics.”
(b) Parts
The Contractor may be tasked to fulfill parts only purchases.
(1) Parts only purchases will be via Task Order and separate from any service Task Order.
(2) All quotes for parts must be accompanied by subcontractor quotes/invoices. All parts shall be paid for at a maximum of actual cost plus/minus the percentage of markup/discount as indicated in the Schedule of Items, to cover all material handling charges, which shall include all indirect costs including G & A costs allocated to direct material that are not included in any hourly rates or flat rates. The percentage of markup will be capped at $1,500.00 per parts order, without prior written approval of the Contracting Officer.
(c) The Government has Interagency and cooperative agreements with other Federal and State entities and services and supplies authorized under this contract may be procured to support other interagency partners. The Contracting Officer must approve each request for services from other Government agencies.
B.4 CERTIFICATIONS
(a) The contractor shall hold an FAA Certified Repair Station with either an appropriate class or limited rating for the individual make and model of aircraft, engine, propeller, rotor, appliance, or component part to be maintained. The contractor(s) must possess and maintain FAA privileges for the return to service of the aircraft or related parts or appliance in accordance with 14 CFR 145.201.
(b) All maintenance must be performed and recorded in accordance with 14 CFR Parts 39, 43, 91 and 145.
(c) Airframe, engine and component manufacturers technical data, applicable FAA Airworthiness Directives, and service information considered mandatory by the aircraft or component manufacturer, as well as any USDA Forest Service supplements to those instructions and manuals shall be adhered to unless otherwise ordered by the Contracting Officer.
(d) The Contractor(s) may have agreements with other appropriately rated facilities (subcontractors) for the performance of maintenance on those items that the Contractor is not rated. The Government shall approve any subcontracted service prior to the Contractor's obtaining that service.
(e) All personnel performing maintenance under this contract must be covered by a Drug and Alcohol Program which complies with the procedures set forth in 49 CFR part 40.
B.5 TECHNICAL REQUIREMENTS
(a) The Contractor’s maintenance facility must be a permanent hanger that is environmentally controlled, secure from unauthorized persons, and capable of completely housing the type aircraft appropriate to the maintenance to be performed.
(b) All assigned maintenance shall be performed in accordance with the applicable Federal Aviation Regulations. The Government operates their aircraft in accordance with 14 CFR Part 91, Forest Service Policy and Federal management Regulation (FMR) 102.33.
(c) The Contractor shall have current manuals, technical data, calibrated special tools, and appropriately trained personnel required to perform the services ordered.
(d) The contractor shall be responsible for the proper execution and disposition of all FAA and USFS required maintenance records for the work they perform on aircraft they are tasked to maintain. Aircraft records shall be maintained in accordance with AC43-9C or later revision. The electronic tracking of the aircraft being maintained requires sharing of these records and close cooperation with the Aviation Maintenance Inspector in the region each aircraft is assigned.
(e) Scheduled Inspections shall be accomplished in accordance with the applicable most recent revision of the manufacturer inspection program(s), or FAA approved Owner Established inspection program as applicable, unless otherwise directed by the government.
(f) The contractor shall submit a detailed invoice, maintenance status record and/or document copies to the COR and Regional Aviation Maintenance Inspector in a timely manner following maintenance. This information shall be properly documented, signed and is to include copies of any new weight and balance revisions, FAA form 337s and other supporting documentation as required.
(g) The Contractor shall allow Government personnel access to the CRS facility and/or Forest Service aircraft during working hours for the purpose of monitoring maintenance.
B.6 PARTS AND MATERIAL
(a) Parts required to support orders for service will be furnished either by the Contractor or by the Government at the Government’s option, as stated on the delivery order.
(b) Parts only purchases shall be delivered to the Contracting Officer Representative for receipt and acceptance of all parts.
(c) Parts, components, and materials utilized shall be approved by the Federal Aviation Administration, Manufacturer and/or the USDA Forest Service. All parts and components shall be accompanied with proper documentation such as FAA Form 8130-3, manufacturer’s tag, work order or acceptable maintenance release. Documentation shall identify total time in service if a life-limited part and time since overhaul if applicable.
(d) Parts, components, and materials removed from the aircraft and replaced shall remain the property of the Government until the Contracting Officer authorizes their disposition in writing as an exchange item or scrap in accordance with 52.245-1 Government Property. Items not authorized for disposition will be released to the Government. The Contractor shall identify to the Contracting Officer’s Representative, those items that the Contractor believes to be the cause of a failure or malfunction.
B.7 REPORTS AND RECORDS
(a) The Government shall provide current historical records to the Contractor at the time that maintenance is performed and upon delivery to the Contractor(s) of the aircraft they are directed to maintain and or parts and accessories to be use during the assigned maintenance.
(b) The Contractor shall enter in the historical records all Airworthiness Directives, Manufacturers Service Bulletins or other modifications, and all significant maintenance actions accomplished.
(c) The Contractor shall further record whether such modifications were performed under company specifications, FAA specifications or engineering order, or by replacement of parts due to normal attrition.
(d) The Contractor shall record as “previously complied with” all Modifications, Airworthiness Directives and Service Bulletins that have been found to be previously accomplished but not recorded and document the log entry or other data that shows the specific method or action that shows compliance.
(e) All maintenance performed shall be recorded in accordance with Federal Aviation Regulations Part 43 and Federal Aviation Regulations Part 91, including aircraft time-in-service and hour- meter readings.
(f) All repairable parts or components removed for replacement shall be identified and documentation attached, as to the aircraft removed from, date and aircraft time when removed, the part condition or reason removed and part total time and cycles, time since last overhaul as applicable if a life-limited part.
B.8 INSURANCE REQUIREMENTS
(a) The Contractor shall be liable and responsible for Government property in their possession which means when an aircraft they have been directed to maintain is at their CRS facility or when one of their employees is towing, operating or taxing an aircraft they have been directed to maintain. At a minimum, the Contractor shall provide insurance coverage of a sufficient amount to cover the replacement cost of the Government aircraft being maintained (maximum value of aircraft is $8,000,000).
(b) Applicable only if Contractor furnished pilots are utilized. If the Contractor elects to fly the aircraft to the Contractor’s maintenance facilities, the Contractor shall provide a qualified pilot to perform flights. The Contractor shall indemnify and hold the Government harmless from any and all losses, including damage to the Government aircraft furnished under this contract while in the possession of the contractor. For the purpose of fulfilling their obligation under this clause, the Contractor shall procure and maintain minimum insurance coverage acceptable to the Contracting Officer.
B.9 GOVERNMENT FURNISHED PROPERTY
The Government may direct the Contractor to maintain Government aircraft. The Contractor shall be liable and responsible for Government aircraft (property) in their possession which means when an aircraft they have been directed to maintain is at their CRS facility or when one of their employees is towing, operating or taxing an aircraft they have been directed to maintain.
B.10 GOVERNMENT RESPONSIBILITIES
The Government shall:
(a) Attempt to give the Contractor at least 5 calendar days’ notice prior to delivery of any aircraft for scheduled maintenance to their CRS facility. However, there may be instances where the Government cannot meet this time frame.
(b) Negotiate an agreed-upon length of time for completion of work for each order.
(c) Provide records that reflect the status of the aircraft at the time of delivery to the Contractor’s CRS facility.
(d) Provide detailed information regarding the aircraft, parts or tooling, if provided to the Contractor.
(e) Identify the Forest Service Aviation Maintenance Inspector for the particular project the contractor has been assigned.

SECTION C
CONTRACT CLAUSES
C.1 CONTRACT TERMS AND CONDITIONS - COMMERCIAL PRODUCT AND COMMERCIAL
SERVICES FAR 52.212-4 - (DEVIATION 2017-1) (NOV 2021)
(a) Inspection/Acceptance. The Contractor shall only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. If repair/replacement or reperformance will not correct the defects or is not possible, the government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The Government must exercise its post-acceptance rights --
(1) Within a reasonable time after the defect was discovered or should have been discovered; and
(2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.
(b) Assignment. The Contractor or its assignee may assign its rights to receive payment due as a result of performance of this contract to a bank, trust company, or other financing institution, including any Federal lending agency in accordance with the Assignment of Claims Act (31 U.S.C.3727). However, when a third party makes payment (e.g., use of the Governmentwide commercial purchase card), the Contractor may not assign its rights to receive payment under this contract.
(c) Changes. Changes in the terms and conditions of this contract may be made only by written agreement of the parties.
(d) Disputes. This contract is subject to 41 U.S.C. chapter 71,Contract Disputes. Failure of the parties to this contract to reach agreement on any request for equitable adjustment, claim, appeal or action arising under or relating to this contract shall be a dispute to be resolved in accordance with the clause at Federal Acquisition Regulation (FAR) 52.233-1, Disputes, which is incorporated herein by reference. The Contractor shall proceed diligently with performance of this contract, pending final resolution of any dispute arising under the contract.
(e) Definitions. The clause at FAR 52.202-1, Definitions, is incorporated herein by reference.
(f) Excusable delays. The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence such as, acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers. The Contractor shall notify the Contracting Officer in writing as soon as it is reasonably possible after the commencement of any excusable delay, setting forth the full particulars in connection therewith, shall remedy such occurrence with all reasonable dispatch, and shall promptly give written notice to the Contracting Officer of the cessation of such occurrence.
(g) Invoice.
(1) The Contractor shall submit an original invoice and three copies (or electronic invoice, if authorized) to the address designated in the contract to receive invoices. An invoice must include --
(i) Name and address of the Contractor;
(ii) Invoice date and number;
(iii) Contract number, line item number and, if applicable, the order number;
(iv) Description, quantity, unit of measure, unit price and extended price of the items delivered;
(v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on Government bill of lading;
(vi) Terms of any discount for prompt payment offered;
(vii) Name and address of official to whom payment is to be sent;
(viii) Name, title, and phone number of person to notify in event of defective invoice; and
(ix) Taxpayer Identification Number (TIN). The Contractor shall include its TIN on the invoice only if required elsewhere in this contract.
(x) Electronic funds transfer (EFT) banking information.
(A) The Contractor shall include EFT banking information on the invoice only if required elsewhere in this contract.
(B) If EFT banking information is not required to be on the invoice, in order for the invoice to be a proper invoice, the Contractor shall have submitted correct EFT banking information in accordance with the applicable solicitation provision, contract clause (e.g., 52.232-33, Payment by Electronic Funds Transfer— System for Award Management, or 52.232-34, Payment by Electronic Funds Transfer—Other Than System for Award Management), or applicable agency procedures.
(C) EFT banking information is not required if the Government waived the requirement to pay by EFT.
(2) Invoices will be handled in accordance with the Prompt Payment Act (31 U.S.C.
3903) and Office of Management and Budget (OMB) prompt payment regulations at 5 CFR part 1315.
(h) Patent indemnity. The Contractor shall indemnify the Government and its officers, employees and agents against liability, including costs, for actual or alleged direct or contributory infringement of, or inducement to infringe, any United States or foreign patent, trademark or copyright, arising out of the performance of this contract, provided the Contractor is reasonably notified of such claims and proceedings.
(i) Payment.
(1) Items accepted. Payment shall be made for items accepted by the Government that have been delivered to the delivery destinations set forth in this contract.
(2) Prompt Payment. The Government will make payment in accordance with the Prompt Payment Act (31 U.S.C. 3903) and prompt payment regulations at 5 CFR Part 1315.
(3) Electronic Funds Transfer (EFT). If the Government makes payment by EFT, see 52.212-5(b) for the appropriate EFT clause.
(4) Discount. In connection with any discount offered for early payment, time shall be computed from the date of the invoice. For the purpose of computing the discount earned, payment shall be considered to have been made on the date which appears on the payment check or the specified payment date if an electronic funds transfer payment is made.
(5) Overpayments. If the Contractor becomes aware of a duplicate contract financing or invoice payment or that the Government has otherwise overpaid on a contract financing or invoice payment, the Contractor shall—
(i) Remit the overpayment amount to the payment office cited in the contract along with a description of the overpayment including the—
(A) Circumstances of the overpayment (e.g., duplicate payment, erroneous payment, liquidation errors, date(s) of overpayment);
(B) Affected contract number and delivery order number, if applicable;
(C) Affected line item or subline item, if applicable; and
(D) Contractor point of contact.
(ii) Provide a copy of the remittance and supporting documentation to the Contracting Officer.
(6) Interest.
(i) All amounts that become payable by the Contractor to the Government under this contract shall bear simple interest from the date due until paid unless paid within 30 days of becoming due. The interest rate shall be the interest rate established by the Secretary of the Treasury as provided in 41 U.S.C. 7109, which is applicable to the period in which the amount becomes due, as provided in (i)(6)(v) of this clause, and then at the rate applicable for each six-month period at fixed by the Secretary until the amount is paid.
(ii) The Government may issue a demand for payment to the Contractor upon finding a debt is due under the contract.
(iii) Final decisions. The Contracting Officer will issue a final decision as required by 33.211 if—
(A) The Contracting Officer and the Contractor are unable to reach agreement on the existence or amount of a debt within 30 days;
(B) The Contractor fails to liquidate a debt previously demanded by the Contracting Officer within the timeline specified in the demand for payment unless the amounts were not repaid because the Contractor has requested an installment payment agreement; or
(C) The Contractor requests a deferment of collection on a debt previously demanded by the Contracting Officer (see 32.607-2).
(iv) If a demand for payment was previously issued for the debt, the demand for payment included in the final decision shall identify the same due date as the original demand for payment.
(v) Amounts shall be due at the earliest of the following dates:
(A) The date fixed under this contract.
(B) The date of the first written demand for payment, including any demand for payment resulting from a default termination.
(vi) The interest charge shall be computed for the actual number of calendar days involved beginning on the due date and ending on—
(A) The date on which the designated office receives payment from the Contractor;
(B) The date of issuance of a Government check to the Contractor from which an amount otherwise payable has been withheld as a credit against the contract debt; or
(C) The date on which an amount withheld and applied to the contract debt would otherwise have become payable to the Contractor.
(vii) The interest charge made under this clause may be reduced under the procedures prescribed in FAR 32.608-2 in effect on the date of this contract.
(j) Risk of loss. Unless the contract specifically provides otherwise, risk of loss or damage to the supplies provided under this contract shall remain with the Contractor until, and shall pass to the Government upon:
(1) Delivery of the supplies to a carrier, if transportation is f.o.b. origin; or
(2) Delivery of the supplies to the Government at the destination specified in the contract, if transportation is f.o.b. destination.
(k) Taxes. The contract price includes all applicable Federal, State, and local taxes and duties.
(l) Termination for the Government’s convenience. The Government reserves the right to terminate this contract, or any part hereof, for its sole convenience. In the event of such termination, the Contractor shall immediately stop all work hereunder and shall immediately cause any and all of its suppliers and subcontractors to cease work. Subject to the terms of this contract, the Contractor shall be paid a percentage of the contract price reflecting the percentage of the work performed prior to the notice of termination, plus reasonable charges the Contractor can demonstrate to the satisfaction of the Government using its standard record keeping system, have resulted from the termination. The Contractor shall not be required to comply with the cost accounting standards or contract cost principles for this purpose. This paragraph does not give the Government any right to audit the Contractor’s records. The Contractor shall not be paid for any work performed or costs incurred which reasonably could have been avoided.
(m) Termination for cause. The Government may terminate this contract, or any part hereof, for cause in the event of any default by the Contractor, or if the Contractor fails to comply with any contract terms and conditions, or fails to provide the Government, upon request, with adequate assurances of future performance. In the event of termination for cause, the Government shall not be liable to the Contractor for any amount for supplies or services not accepted, and the Contractor shall be liable to the Government for any and all rights and remedies provided by law. If it is determined that the Government improperly terminated this contract for default, such termination shall be deemed a termination for convenience.
(n) Title. Unless specified elsewhere in this contract, title to items furnished under this contract shall pass to the Government upon acceptance, regardless of when or where the Government takes physical possession.
(o) Warranty. The Contractor warrants and implies that the items delivered hereunder are merchantable and fit for use for the particular purpose described in this contract.
(p) Limitation of liability. Except as otherwise provided by an express warranty, the Contractor will not be liable to the Government for consequential damages resulting from any defect or deficiencies in accepted items.
(q) Other compliances. The Contractor shall comply with all applicable Federal, State and local laws, executive orders, rules and regulations applicable to its performance under this contract.
(r) Compliance with laws unique to Government contracts. The Contractor agrees to comply with 31 U.S.C. 1352 relating to limitations on the use of appropriated funds to influence certain Federal contracts; 18 U.S.C. 431 relating to officials not to benefit; 40 U.S.C. chapter 37, Contract Work Hours and Safety Standards; 41 U.S.C. chapter 87, Kickbacks; 10 U.S.C. 2409 relating to whistleblower protections; 49 U.S.C. 40118, Fly American; and 41 U.S.C. chapter 21 relating to procurement integrity.
(s) Order of precedence. Any inconsistencies in this solicitation or contract shall be resolved by giving precedence in the following order:
(1) The schedule of supplies/services.
(2) The Assignments, Disputes, Payments, Invoice, Other Compliances, Compliance with Laws Unique to Government Contracts, and Unauthorized Obligations paragraphs of this clause.
(3) The clause at 52.212-5.
(4) Addenda to this solicitation or contract, including any license agreements for computer software.
(5) Solicitation provisions if this is a solicitation.

(u) Unauthorized Obligations.
(1) Except as stated in paragraph (u)(2) of this clause, when any supply or service acquired under this contract is subject to any End Use License Agreement (EULA), Terms of Service (TOS), or similar legal instrument or agreement, that includes any clause requiring the Government to indemnify the Contractor or any person or entity for damages, costs, fees, or any other loss or liability that would create an Anti-Deficiency Act violation (31 U.S.C. 1341), the following shall govern:
(i) Any such clause is unenforceable against the Government.
(ii) Neither the Government nor any Government authorized end user shall be deemed to have agreed to such clause by virtue of it appearing in the EULA, TOS, or similar legal instrument or agreement. If the EULA, TOS, or similar legal instrument or agreement is invoked through an “I agree” click box or other comparable mechanism (e.g., “click-wrap” or “browse-wrap” agreements), execution does not bind the Government or any Government authorized end user to such clause.
(iii) Any such clause is deemed to be stricken from the EULA, TOS, or similar legal instrument or agreement.
(2) Paragraph (u)(1) of this clause does not apply to indemnification by the Government that is expressly authorized by statute and specifically authorized under applicable agency regulations and procedures.
