This is not to be construed or interpreted to establish any degree of Government control that is inconsistent with a non-personal services contract.
(e) Both parties are responsible for monitoring agreement or contract activities for indications of improper employee-employer relationships during performance. In the event a situation or occurrence takes place inconsistent with this agreement or contract language, the following applies:
(1) The Contractor shall notify the Contracting Officer in writing within 5 business days from the date of any situation or occurrence where the Contractor considers specific contract activity to be inconsistent with the intent of this contract language. The notice must include the date, nature and circumstance of the situation or occurrence, the name, function and activity of each Government employee or Contractor employee involved or knowledgeable about the situation or occurrence, provide any documents or the substance of any oral communications related to the activity, and an estimated date by which the Government is recommended to respond to the notice in order to minimize cost, delay, or disruption of performance.
(2) The Contracting Officer will review the information provided by the Contractor, obtain additional information (if needed), and respond in writing as soon as practicable after receipt of the notification from the Contractor. 4.11 ORGANIZATIONAL CONFLICT OF INTEREST
a. The Contractor will be required to warrant that, to the best of its knowledge and belief, and except as otherwise set forth in the contract, it does not have any organizational conflict of interest as defined below.
The term "organizational conflict of interest" means a situation where a Contractor has interests, either due to its other activities or its relationships with other organizations, which place it in a position that may be unsatisfactory or unfavorable (a) from the Government's standpoint in being able to secure impartial, technically sound, objective assistance and advice from the Contractor, or in securing the advantages of adequate competition in its procurement; or (b) from industry's standpoint in that unfair competitive advantages may accrue to the Contractor in question.
b. The Contractor agrees that if after award of the contract it discovers an organizational conflict of interest the Contractor shall make an immediate and full disclosure in writing to the Contracting Officer that shall include a description of the action that the Contractor has taken or proposes to take to avoid, eliminate or neutralize the conflict. The Peace Corps may, however, terminate the contract for the convenience of the Government if it would be in the best interest of the Government.
c. If the Contractor was aware of the organizational conflict of interest before award and intentionally did not disclose the conflict to the Contracting Officer, the Peace Corps may terminate the contract at no cost to the Government.
d. Offerors are reminded that certain existing contractual arrangements may preclude, restrict or limit participation, in whole or in part, as either a subcontractor or as a Prime Contractor under this competitive procurement. Of primary concern are those contractual arrangements in which the Offeror provides support to the Peace Corps Office of the Chief Information Officer (OCIO), or Office of the Chief Financial Officer (OCFO) in support of the operation of the office or any of its programs. General guidance may be found in
FAR 9.505.

c. Responsibility for Property and Equipment Damaged or Lost through no fault of the Contractor or the Government. Property damage or loss that occurs through no fault of either the Contractor, their subcontractors or agents or the Government shall be the responsibility of the party holding title to or having leased the property.

The Contractor shall indemnify and hold the Government, its agents and employees, harmless against any financial loss or liability, including costs and expenses, arising from any negligent or wrongful act, or omission, or malpractice, on the part of the Contractor, or any of its agents or employees, during the Contractor’s performance under this contract. The Contractor also agrees that if the Government suffers any financial loss or liability because of any negligent or wrongful act, or omission, or malpractice, by the Contractor, or any of its agents or employees, the Peace Corps may offset any such sums against any money in the Peace Corps’ possession, which would otherwise be due and payable to the Contractor.
