2. CONTRACTOR REMITTANCE ADDRESS: All payments by the Government to the contractor will be made as follows:

a. Invoices shall be submitted to USTDA for payment via the Invoice Processing Platform (IPP). IPP is a secure web-based electronic invoicing system provided by the US Department of the Treasury’s Bureau of the Fiscal Services in Partnership with the Federal Reserve.

b. IPP Registration: IPP is open to any commercial vendor or independent contractor. Vendors may be invited to participate in IPP by a Federal agency. Registration invitations are sent via email from IPPCustomerSupport@fiscal.treasury.gov to the initial administrative IPP point of contact following a request by the agency.

The initial administrative user will receive two emails from IPP Customer Support:

• The first email contains the initial administrative IPP User ID

• The second email, sent within 24 hours of receipt of the first email, contains a temporary password.

Once you receive these emails, please log into the IPP application and complete the registration process.

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 calendar days.

(a) The Government may extend the term of this contract by written notice to the Contractor within 15 calendar days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 45 calendar days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 60 months (months)(years).

D.1 PERFORMANCE WORK STATEMENT

D.1.1. BACKGROUND:

The U.S. Trade and Development Agency (“USTDA”) is a foreign assistance agency of the U.S.

government whose mission is to help companies create U.S. jobs through the export of U.S.

goods and services for priority infrastructure development projects in emerging economies.

USTDA links U.S. business to export opportunities by funding project preparation and partnership building activities that develop sustainable infrastructure and foster economic growth in partner countries. USTDA’s success is a result of its evidence-based approach, which allows the Agency to allocate its budget for activities that have significant opportunities for both U.S.

exports and developmental impacts. USTDA evaluates its program tools on a continual basis to determine its overall effectiveness and responsiveness to U.S. industry goals, U.S. government policy priorities and emerging market needs.

In doing so, USTDA maintains a portfolio of approximately 300-400 ongoing project activities that require continual monitoring for any updates to due diligence (“DD”) for all grantees and beneficiaries of USTDA assistance. USTDA also requires DD on entities and individuals relevant to the due diligence inquiries for prospective USTDA-funded activities (“Partner” or “Partners”) including, but not limited to:

• U.S. Contractors;

• Grantees;

• Parent entities;

• Principal officers, directors, and individual shareholders;

• Participating entities on a USTDA-funded Reverse Trade Mission (“Participating

Entity”); and

• Delegates on a USTDA-funded Reverse Trade Mission or Study Tour (“Delegate”).

The Agency specifically stipulates that DD shall be conducted in accordance with its established Due Diligence Guidelines (see “Attachment 1”) with respect to USTDA-funded activities including, but not limited to:

• Reverse Trade Missions (“RTM”) or Study Tours – which are visits of foreign delegations to the United States sponsored by USTDA;

• Feasibility Studies (“FS”) – project preparation grants provided by USTDA to emerging economy project sponsors to support infrastructure development;

• Technical Assistance (“TA”) – technical assistance grants provided by USTDA to support the development of an infrastructure project or market development in emerging economies;

• Training Grants – training grants provided to emerging economy project sponsors that select a U.S. firm(s) to provide goods and services for a specific infrastructure project;

• Workshops – in-country training programs sponsored by USTDA;

• Memoranda of Understanding – an agreement with a USTDA partner entity;

• Global Procurement Initiative (“GPI”) activities – capacity building activities structured like the activities above but solely offered to partner governments; and

• Other USTDA-sponsored events or partnerships.

In addition to the ongoing monitoring of past funding commitments, USTDA approves approximately 100 new activities each year that fall into the categories listed above, which require DD to be completed according to USTDA’s established guidelines (“Attachment 1”).

Upon review of USTDA’s Due Diligence Guidelines, the project pipeline and the ongoing activities that must be monitored, USTDA is in search of a firm/contractor that can provide Due Diligence Services (“DD Services”) to meet the needs of the Agency.

Currently, USTDA screens between 500-600 unique entity/individual names via due diligence searches per fiscal year that require various levels of effort. USTDA’s fiscal year runs from October 1 to September 30 every year. The types of DD searches include basic level searches (Google/internet search, negative news screens via a DD research platform, SAM.gov, OFAC/watchlists, USTDA excluded parties list) on foreign delegates/delegations that will be traveling to the United States under USTDA’s Reverse Trade Mission program or the GPI program, which accounts for approximately 1/3 of the total number of screens (160-200 individual delegates and the entities that they represent). The vast majority of the remaining screenings are conducted on U.S. firms that perform the substantive work on a USTDA grant activity (“contractors”) and foreign entities receiving the benefit of USTDA grant funding (“grantees”), including their respective shareholders, parent entities, Project Managers and principal officers. All prospective USTDA contractors and grantees (including their officials and shareholders/parent entities) are subject to basic level DD searches, though contractors and their principal officers are also to be screened against internal USTDA records (audit list, success fee delinquency report) and subject to the following additional financial and reputational searches:

State and Federal court cases, bankruptcy, judgments and liens, criminal records (individuals only), and commercial credit report (entity only, where available).

In addition to screening prospective contractor and grantee entities, USTDA’s DD requirements vet any parent entities and upstream shareholders that hold 10% or more beneficial ownership in the target entity. Currently, such upstream owners are subject to basic level searches, while the principal officers at such parent entities are subject to limited DD searches (Google/internet, SAM.gov, OFAC/watchlists). The DD requirements for parent entities and upstream owners are quite varied across USTDA’s diverse set of domestic and foreign partners. For example, many USTDA grantees are government agencies with no upstream parents. For contractors, USTDA frequently works with small businesses, non-profits and research institutes that require minimal or no upstream DD. However, some USTDA contractors have complex ownership structures that require DD screenings of multiple parent entities.

After DD is initially conducted on prospective grantees and contractors, USTDA requires that the DD is updated or “refreshed” to ensure the Agency remains apprised of new or ongoing concerns regarding its target entities and individuals. Currently, USTDA requires a partial “refresh” of Contractor and Grantee DD every four months until all legal agreements have been finalized, at which point work on the USTDA-funded grant activity will commence.

In certain limited circumstances, USTDA may require a greater level of DD scrutiny on a prospective USTDA contractor or grantee – such as supplemental screenings or news alerts – in an effort to better assess potential risks with the proposed engagement.

USTDA’s primary activities are managed organizationally by the following programmatic regions: Sub-Saharan Africa; Middle East, North Africa, Europe and Eurasia; Latin America and the Caribbean; Indo-Pacific; and Worldwide Global Programs, which includes GPI.

D.1.2. SUMMARY OF THE FUNCTIONS:

USTDA is seeking to award a contract to an organization, firm or entity that has the capacity to conduct high-quality DD on individuals and entities that will participate in a USTDA-funded activity or be a beneficiary of USTDA’s assistance.

DD searches shall be conducted on contractors (U.S. firms), foreign grantees, parent entities, principal officers, directors and shareholders, participating entities and delegates on USTDA-funded RTMs or study tours for the GPI. USTDA conducts DD on approximately 100 new project activities each year, which requires DD on approximately 500 – 600 entities (plus associated officers) per fiscal year. Approximately 1/3 of these project activities are events that require due diligence on delegates, companies and speakers participating in USTDA-funded events. The number of delegates and speakers for each event ranges from 6 to 40 people per reverse trade mission or study tour to the United States. As USTDA’s conferences and workshops have many more attendees, the Agency assesses DD needs for those events on a case-by-case basis.

The following is a sample of the types of sources and databases that the selected organization, firm or entity should have access to in the performance of DD for USTDA:

• SAM.gov (formerly the Excluded Parties List System);

• Company and financial reports database;

• Commercial credit score report;

• News and negative news search, including international publications (database search);

• Federal and state court records (database search);

• Bankruptcy, judgments and liens, and criminal records (database search);

• General internet search;

• Participating entity website;

• Public information search (database search); and

• Office of Foreign Assets Control and Global Sanctions List and international watchlists.

The following is a description of the DD requirements:

• Using electronic databases, internet search engines and other sources, conduct due diligence research and vetting of entities and individuals proposed for participation in

USTDA-funded activities.

• Prepare standardized report to state findings of all collective searches for USTDA review and consideration.

• Consult with USTDA on DD findings, the Agency’s DD needs, and industry best practices.

D.1.3. SCOPE OF WORK:

The DD Services Contract to support USTDA in fulfilling its mission consists of the following overarching purpose and description of services to be provided.

Purpose: Effective due diligence is a prerequisite to all USTDA-funded activities. The objective of such due diligence services is to ensure the Agency’s compliance with legislative and executive branch prohibitions on providing support or resources to certain entities or individuals and to ensure that USTDA is working with reputable and solvent entities and individuals.

Specifically, the purpose of due diligence performed at USTDA is to:

• Ensure that all activities proposed for funding approval are properly vetted;

• Identify material due diligence issues;

• Identify questionable transactions;

• Confirm that USTDA is working with reputable and solvent entities and individuals; and

• Safeguard taxpayer resources.

Scope: The scope of work for the DD Services to be provided under this Contract is as follows:

• Obtain background information on requested entities and individuals via secure electronic platform for gathering relevant “Know Your Customer” information.
