About this file

This document is a Sample Non-Disclosure Agreement (NDA) between Eastern Municipal Water District (EMWD) and an unnamed receiving party for SCADA Graphics Standardization Services. The agreement covers EMWD, a water agency serving nearly 1 million people within a 601 square mile service area in western Riverside County, California, which provides water, wastewater, and recycled water services to multiple cities and unincorporated communities. The specific project involves SCADA (Supervisory Control and Data Acquisition) Graphics Standardization under RFP No. 3871, with the primary purpose of exchanging confidential information while preserving its proprietary character.

The NDA outlines comprehensive protections for EMWD's confidential information, particularly related to its Operational Technology (OT) environment, which includes industrial control systems, automation technologies, and supporting information technologies. The agreement requires the receiving party to maintain strict confidentiality, limit information access to employees with a necessary need to know, and prevents any future use of the confidential information beyond the specified services. EMWD operates as California's sixth-largest retail water agency, supplying wholesale water to multiple sub-agencies and municipal water districts, and must adhere to Homeland Security Presidential Directive 7, which classifies water treatment systems as critical infrastructure.
