B.2 Specifications
Description of Requirement
Seed of up to seven different species will be produced from plants grown by one contractor, over a maximum of two growing seasons. In addition to the initial base item, we anticipate that 1 – 4 option items will be awarded annually over the life of the contract.
Bids should include costs for establishing and maintaining fields, and cleaning, packaging, testing and shipping seed. Fields for each species will be established the first year foundation seed is available and will remain in production for one or two growing seasons to ensure a crop is produced. Bids should be based on the minimum number of growing seasons required to produce a crop. Beds of the same species but from different seed zones must be sufficiently isolated from each other to prevent gene-flow between individuals originating from different seed zones. Seed used to establish production beds will be provided by the Olympic NF and will originate from the appropriate Olympic NF/Siuslaw NF seed zone. Wild collected foundation seed will be provided by staff from the Olympic or Siuslaw National Forest no later than Sept 1 of the year it is to be sown, unless otherwise negotiated. The wild-collected foundation will be tested for viability (TZ test or germination) prior to delivery. Viability testing of foundation seed provided to the contractor for increase will be paid for by the Forest Service. We predict (but can’t guarantee) that the foundation seed provided by the FS will be at least 80% viable; the minimum amount the Forest Service is required to provide will be based on pure live seed.
Table 1 summarizes the species, the size range of the field the FS will order for each species (FS will specify upon award), minimum amount of foundation seed provided, the number of growing seasons required to produce seed, and standards for delivered seed. The contractor is required to provide all acceptable seed produced from the field of the size designated in the contract. If there is excess foundation seed, it may be used to sow a field larger than the ordered size; costs associated with the additional area are at the expense of the contractor. The FS reserves the right of first refusal on all seed produced by the contractor from the excess area (per pound cost of that seed will be determined post-award); excess seed may be purchased under these terms up to three months after the date of delivery of seed produced to meet contract requirements. After three months, all excess seed and the plants grown that produced the seed to meet contract requirements become the property of the contractor. Unused foundation seed must be returned to the FS upon completion of the contract.

Cleaned seed must be delivered to the Forest Service no later than November 1 every year seed is produced for all species except Achillea millefolium and Solidago elongata;
these two species have a delivery date deadline of December 31.
Bags of seed shall be stored in a cool and dry storage facility to assure optimal viability of seed until seed delivery to the Government.

TBD: No publicly available protocols exist for increase. Describe required amount of foundation seed, minimum time required to produce a crop, and a reasonable expectation of viability based on past experience in bid package.
N/A: Viability will be determined through testing, but there is no minimum requirement since minimum standards have not been determined.
Testing Cleaned seed produced by the contractor will be tested by a certified seed laboratory for viability (TZ test or germination), purity, weed content, seed count, and moisture content; testing will be paid for by the contractor. Payment will not be made until test results are received.

Full payment will be made for seed lots that meet the minimum viability requirement for that species (as well as the other standards described below). For seed lots that do not meet minimum viability requirements payment will be as follows:

Purity and Weed Content
An AOSA Purity & Noxious weed seed test must be done on all seed lots produced. Seed lots that do not meet purity requirements, or that contain any State listed noxious weeds (western States only) will not be accepted. Lots containing >1% of seed other than the target species will not be accepted.
Moisture content must be 10% or less.
Labeling and Packaging
Cleaned and tested seed will be packaged in bags weighing no more than 10 lbs each for Achillea millefolium, Plectritis brachystemon, Carex mertensii, and Solidago elongata. Cleaned and tested seed will be packaged in bags weighing no more than 25 lbs each for Prunella vulgaris ssp.
lanceolata, Aquilegia formosa and Lupinus rivularis. Harvested and cleaned seed will be bagged and secured in bags made of a strong material that maintains seed viability during storage.
All bags shall be tagged and labeled to meet State seed law labeling requirements. Bags of seed shall also be labeled by stencil or permanent marking pens (characters at least 1 inch in size) with the ONF seed lot numbers using as follows*:

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the
Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(a)The Government may extend the term of this contract by written notice to the Contractor within 30 days from the end of current period of performance provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

452.204-70 Modification for Contract Closeout (DEVIATION JUL 2022)
Upon contract closeout for contracts utilizing Simplified Acquisition Procedures (SAP) according to FAR 13:
(a) If unobligated funds in the amount of $1000 or less remain on the contract, the Contracting Officer (CO) shall issue a unilateral modification for deobligation. The contractor will receive a copy of the modification but will not be required to provide a signature. The CO shall immediately proceed with contract closeout upon completion of the period of performance, receipt and acceptance of supplies or services, and final payment.
(b) If unobligated funds of more than $1000 remain on the contract, the CO shall issue a bilateral modification for deobligation. The contractor will receive a copy of the modification and will be required to provide a signature. (The CO may also request a Release of Claims be completed by the contractor, although not required for contract and orders using SAP procedures.) If the bilateral modification and Release of Claims are not returned to the CO within 60 days, the CO shall release the modification as unilateral and proceed with contract closeout upon completion of the period of performance, receipt and acceptance of supplies or services, and final payment.

At a minimum, shall include:
i) Technical Capability – Must provide documentation showing experience of growing species listed in specifications for seed increase, with successful record of producing viable seed.
ii) Some species in the contract will not do well in climates other that those that are similar to OR and WA, west of the Cascade mountains. Location of facility will be considered for some species.
(3) Schedule of Items, section B.1 SCHEDULE OF ITEMS, completed with proposed prices inserted.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender’s request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with FAR subpart 4.10), or alternative commercial products or commercial services for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers.
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 1600 hours local time, for the designated Government office on the date that offers or revisions are due.
(2) (i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is "late" and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and-
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government’s control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers. Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror’s initial offer should contain the offeror’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest;
accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.
(i) Availability of requirements documents cited in the solicitation.

Additional copies will be issued for a fee.
