SECTION C

WORK STATEMENT

C.1. BACKGROUND

Congress established the United States Tax Court to provide a court in which tax deficiencies determined by the Commissioner of Internal Revenue could be litigated without first being paid. The history of the Tax Court began with the Revenue Act of 1924 which created the United States Board of Tax Appeals. In 1942, the Court’s name was changed to the Tax Court of the United States, and in 1969, as part of the Tax Reform Act passed that year, Congress established it as a court of record under Article I of the Constitution and gave it its current name.

The Tax Court is a national court composed of 19 Judges who are appointed by the President, with the advice and approval of the Senate, to serve a 15-year term. Judges, assisted by Senior Judges on recall and Special Trial Judges, conduct trial sessions in more than 80 cities throughout the United States. The judges and support staff are headquartered in Washington, D.C.

The Court maintains a local area network (LAN), which now supports approximately 300 computer users. It was first implemented in the early 1990s as a way to provide the Court's Judges and employees access to Blackstone, the Court’s highly customized case and document management system. At the time, the network also provided users with access to email and the ability to share printers and documents within a Judge’s chambers or a Court office.

The Court’s network infrastructure, security, servers, software, services and other components that make up the existing Tax Court enterprise have been improved, enhanced, and updated over the years as technology has evolved.

The Court currently operates in a Windows network environment consisting of over twenty Windows servers (Windows 2003 & 2008), three HP 3000 minicomputers (Blackstone Main, Blackstone Backup and Blackstone Web), two SANs (Production and Backup) and various workstations providing specialized functions. Multiple applications are supported in this environment, including Blackstone and its related applications, Microsoft Dynamics GP (Great Plains) and a host of smaller, custom-built and off-the-shelf applications. The Court has two Web Servers which provide information to the public via the Internet. Some information on the site is accessible to all, while other information is accessible only to practitioners admitted to practice before the Court and qualified petitioners via the Court’s eAccess system and over a secure SSL connection.

C-1

Depending on the nature of the work involved, a networked desktop and/or notebook computer is provided to Court employees. The Court’s mobile users connect back to their desktop computers securely over the Internet for access to the Court’s network resources.

The uninterrupted operation of Blackstone, its related applications and all other systems utilized by the Court is critical to the success of the Court’s mission to secure the just, speedy, and inexpensive determination of every case.

In order to provide reliable, error-free operation of its enterprise, the Court utilizes a multitude of products (see Section J, Appendix A) and requires the following on-going services:

Support and Maintenance:

All the products comprising the United States Tax Court enterprise require constant maintenance as the various vendors release patches, updates, security fixes, etc. The majority of the maintenance work must be performed during off-hours so as not to interfere with the availability and/or use of the Court’s network and systems.

Problem Identification:

Whenever a problem is reported by a user or by the Court’s Office of Information Systems (OIS), the cause of the problem must be promptly identified and fixed, regardless of which of the numerous products utilized by the Court is at fault.

Security and Integrity:

The Court deals with confidential, personal and sensitive information; therefore, the security of the enterprise is of prime importance. In addition, measures must be taken to prevent Tax Court users from being victimized by Web sites to which they browse or from which they download information. Any downtime for users or a portion of the enterprise is unacceptable.

Performance:

The Court is accustomed to enterprise “uptime” of 99.9%. When a perceptible degradation occurs, it must be promptly identified and remedied.

C-2

JP3 Clause 7-75 Subcontracts

(a) Definitions as used in this clause:

1. "Approved purchasing system" means a contractor's purchasing system that has been reviewed and approved in writing.

"Consent to subcontract" means the contracting officer's written consent for the contractor to enter into a particular subcontract.

"Subcontract" means any contract entered into by a subcontractor to furnish products or services for performance of the prime contract or a subcontract. It includes, but is not limited to, purchase orders, and changes and modifications to purchase orders.

(b) This clause does not apply to subcontracts for special test equipment.

(c) When this clause is included in a fixed-price type contract, consent to subcontract is required only if required in accordance with paragraph (d) or (e) of this clause.

(d) If the contractor does not have a written approved purchasing system, consent to subcontract is required for any subcontract that:

(1) is of the cost-reimbursement, time-and-materials, or labor-hour type; or

(2) is fixed price and exceeds either the judiciary's small purchase threshold or 5 percent of the total estimated cost of the contract.

(e) If the contractor has a written approved purchasing system, the contractor nevertheless shall obtain the contracting officer's written consent before placing any subcontracts.

(f) (1) The contractor shall notify the contracting officer reasonably in advance of placing any subcontract or modification thereof for which consent is required under paragraph (c), (d), or (e) of this clause, including the following information:

(i) a description of the products or services to be subcontracted;

(ii) identification of the type of subcontract to be used;

I-7

(iii) identification of the proposed subcontractor;

(iv) the proposed subcontract price;

(v) the subcontractor's current, complete, and accurate cost or pricing data and Certificate of Current Cost or Pricing Data, if required by other contract provisions;

(vi) the subcontractor's Disclosure Statement or Certificate relating to Cost Accounting Standards when such data are required by other provisions of this contract;

(vii) a negotiation memorandum reflecting:

(A) the principal elements of the subcontract price negotiations;

(B) the most significant considerations controlling establishment of initial or revised prices;

(C) the reason cost or pricing data were or were not required;

(D) the extent, if any, to which the contractor did not rely on the subcontractor's cost or pricing data in determining the price objective and in negotiating the final price;

(E) the extent to which it was recognized in the negotiation that the subcontractor's cost or pricing data were not accurate, complete, or current; the action taken by the contractor and the subcontractor; and the effect of any such defective data on the total price negotiated;

(F) the reasons for any significant difference between the contractor's price objective and the price negotiated; and

(G) a complete explanation of the incentive fee or profit plan when incentives are used. The explanation shall identify each critical performance element, management decisions used to quantify each incentive element, reasons for the incentives, and a summary of all trade-off possibilities considered.

(2) If the contractor has a written approved purchasing system and consent is not required under paragraph (c), (d), or (e) of this clause, the contractor nevertheless shall notify the contracting officer reasonably in advance of entering into any (i) cost-plus-fixed-fee subcontract, or (ii) fixed-price subcontract that exceeds either the small purchases threshold or 5 percent of the total estimated cost of this contract. The notification shall include the information required by paragraphs (f)(1)(i) through (f)(1)(iv) of this clause.

(g) Unless the consent or approval specifically provides otherwise, neither consent by the contracting officer to any subcontract nor approval of the contractor's purchasing system will constitute a determination:

I-8

(1) of the acceptability of any subcontract terms or conditions;

(2) of the allowability of any cost under this contract; or

(3) to relieve the contractor of any responsibility for performing this contract.

(h) No subcontract or modification thereof placed under this contract shall provide for payment on a cost-plus-a-percentage-of-cost basis, or any fee payable under cost-reimbursement type subcontracts will not exceed the fee limitations.

(i) The contractor shall give the contracting officer immediate written notice of any action or suit filed and prompt notice of any claim made against the contractor by any subcontractor or vendor that, in the opinion of the contractor, may result in litigation related in any way to this contract, with respect to which the contractor may be entitled to reimbursement from the judiciary.

(j) The Court reserves the right to review the contractor's purchasing system.

(k) Paragraphs (d) and (f) of this clause do not apply to the following subcontracts, which were evaluated during negotiations.

JP3 Clause 7-85 Examination of Records.

(a) The Court will have access to and the right to examine any directly pertinent books, documents, papers, or other records of the contractor involving transactions related to this contract, until three years after final payment under this contract, or for any shorter period specified for particular records.

(b) The contractor agrees to include in all subcontracts under this contract a provision to the effect that the Court will have until three years after final payment under the contract, or for any shorter specified period for particular records, have access to and the right to examine any directly pertinent books, documents, papers, or other records of the subcontractor involving transactions related to the subcontract. (1) purchase orders; and

No legal liability on the part of the Court for any payment may arise for performance under this contract beyond September 30, 2010, until funds are made available to the contracting officer for performance and until the contractor receives notice of availability, to be confirmed in writing by the contracting officer.
