The selected vendor must maintain a fidelity bond of at least $650,000.00 naming Ada County as obligee and provide specified insurance coverages, including workers' compensation, commercial general liability, and business automobile liability. No federal funding will support this contract. The vendor is responsible for all day-to-day operational expenses including staffing, maintenance, signage, supplies, and on-call customer service 24 hours per day, seven days per week, while the County provides major parking system equipment and retains full control of the Amano One operating system.

INTRODUCTION
Ada County (“County”) seeks proposals from qualified vendors to provide parking-related management and operational services for certain County-owned or licensed surface parking lots and parking garages in the vicinity of the Ada County Courthouse, located at 200 W. Front Street, Boise, ID 83702 (“Ada County Courthouse Corridor”), including access to and use of the same, as more specifically set forth in the Scope of Services attached hereto as Exhibit A.
BACKGROUND
The parking system within the Ada County Courthouse Corridor is comprised of one thousand six hundred thirty-nine (1,639) total parking spaces within eight (8) different surface parking lots and parking garages (“Facilities”), with certain persons and entities having contractual interests in and rights to use a portion of the parking spaces within particular Facilities. To address County’s needs with respect to managing and operating such Facilities, County desires to enter into an agreement with a qualified vendor to provide such services beginning on October 1, 2026, and which may continue for up to five (5) years, as set forth in the Sample Agreement attached hereto as Exhibit B.
INSTRUCTIONS TO PROPOSERS
I. RFP GENERAL INSTRUCTIONS
A. Interested parties may obtain RFP 26027 Ada County Courthouse Corridor Parking Services 2026 from Ada County Procurement by downloading an electronic copy free of charge at: https://adacounty.bonfirehub.com.
B. Submit sealed proposals online to Ada County Procurement at:
https://adacounty.bonfirehub.com by no later than 4:00 p.m. local time on March 20, 2026. All proposals will be electronically date and time stamped as they are submitted. Proposals cannot be accepted if submitted by hard copy, mail, facsimile, or email. Proposals will be publicly opened and the names of participants read aloud on March 24, 2026, at or about 9:00 a.m. local time in the Board of Ada County Commissioners’ Conference Room, located on the third floor of the Ada County Courthouse, 200 W. II. PRE-PROPOSAL MEETING AND QUESTIONS
A. Pre-Proposal Meeting. A mandatory pre-proposal meeting will be held on February 24, 2026, at 10:30 a.m. local time to commence in the HR/Procurement Training Room, located on the second floor of the Ada County Courthouse, at 200 W. Front Street, Room 2210, Boise, ID 83702. The purpose of this meeting shall be to clarify any questions regarding these specifications. If necessary, following the pre-proposal meeting, an addendum will be made available at: https://adacounty.bonfirehub.com on or about March 5, 2026. Notice of any addenda will be sent to only those individuals who have registered as a vendor on Bonfire for this RFP.
B. Questions and Additional Information.
1. Neither County nor any County representative will give verbal answers to any inquiries regarding the meaning of RFP 26027 or provide verbal instructions prior to the submission of proposals. Any verbal statements regarding same by any person, prior to the submission of proposals, shall be unauthoritative.
2. Any explanation of RFP 26027, or requests for exceptions to same, must be requested of Ada County Procurement in writing. If explanations or exceptions to the requirements are deemed necessary, a reply will be made in the form of an addendum, a copy of which will be made available on the Ada County Procurement website at: https://adacounty.bonfirehub.com. All questions and requests must be submitted in the Vendor Discussions section of the Bonfire project listing, and received no later than February 27, 2026, by 4:00 p.m. local time. An addendum will be issued on or about March 5, 2026.
3. All addenda issued to proposers, prior to date of receipt of proposals, shall become a part of this RFP 26027, and all proposals are to include the information described in all addenda issued. Each proposal submitted must specifically list all addenda issued.
III. PROPOSAL SUBMISSION
A. Please see Proposal Submission Instructions, Exhibit C, for instructions regarding the electronic submission of proposals. The Proposal Response Cover Sheet must be signed by a company representative authorized to submit a proposal. Note that the Total Cost Per Year data field is required to be completed on Bonfire for submission of proposal amounts, in addition to the upload of the Proposal Response Cover Sheet in the RFP. A signed Proposal Response Cover Sheet must be uploaded electronically as set forth herein. Failure to do so will render a Proposal non-responsive. Proposers are advised to allow ample time for the transmission of required documents to ensure a timely submission.
B. Submit all required information as outlined herein under the Proposal Content & Evaluation Criteria Section.
C. Submit sealed proposals online to Ada County Procurement at:
https://adacounty.bonfirehub.com by no later than 4:00 p.m. local time on March 20, 2026. All proposals will be electronically date and time stamped as they are submitted. Proposals cannot be accepted if submitted by hard copy, mail, facsimile, or email. Proposals received after the due date and time will be deemed non-responsive and will not be considered.
D. Proposals received in compliance with RFP 26027 will be publicly opened and the names of participating proposers read aloud on March 24, 2026, at or about 9:00 a.m. local time in the Board of Ada County Commissioners’ Conference Room, located on the third floor of the Ada County Courthouse, 200 W. Front Street, Room 3255, Boise, ID 83702. The Board’s opening of the proposals may also be viewed via livestream at:

E. Before being uploaded to the Bonfire platform, all proposal forms must be properly completed and signed in ink or contain an electronic signature as defined in Idaho Code § 28-50-
102. The completed forms shall be without interlineations, alterations, additions, or erasures. If a proposer takes exception to the proposal forms or the contents thereof, those exceptions must be made to Ada County Procurement in writing, in accordance with Section II.B herein. Proposed amounts shall be entered electronically in Bonfire, stated in numerical figures, and shall take into account all services contemplated in Exhibit A, Scope of Services. Proposers are responsible for ensuring that all figures are accurate.
F. Proposers shall:
1. Carefully examine: Instructions to Proposers, Proposal Forms, Proposal Submission Instructions, Scope of Services, and all attachments and any addenda issued subsequent thereto;
2. Include in the Total Cost Per Year all proposed costs and expenses for the services contemplated by RFP 26027 and as permitted in the Scope of Services, Exhibit A;
3. Provide full responses to all proposal content requirements as detailed below; and
4. Attend the mandatory pre-proposal meeting to be held on February 24, 2026, at 10:30 a.m. local time to commence in the HR/Procurement Training Room, located on the second floor of the Ada County Courthouse, at 200 W. Front Street, Room 2210, Boise, ID 83702.
G. The proposer awarded the agreement will not be allowed any extra compensation by reason of any matter or thing concerning that which such proposer might have been fully informed prior to submitting a proposal.
IV. PREPARATION OF PROPOSAL
A. Proposers are responsible for reading RFP 26027 and complying with the instructions contained therein. Failure to follow the instructions may result in the proposal being non-responsive.
B. Cost of Developing Proposal. All costs related to the preparation of the proposal and any related activities are the sole responsibility of the proposer. County assumes no liability for any costs incurred by proposers throughout the entire submittal/selection process.
V. PROPOSAL INFORMATION
A. Equal Opportunity. County makes every effort to ensure that all proposers are treated fairly and equally throughout the entire advertisement, review, and selection process. The procedures established herein are designed to give all parties reasonable access to the same information.
B. Insurance and Bonding Requirements. Proposers should review the required insurance coverages and notice of policy cancellation requirements, as well as all bonding requirements as provided in the Sample Agreement attached hereto as Exhibit B, including the insurance requirements included in Exhibit B thereto. The selected proposer will be required to provide insurance certificates and endorsements meeting all requirements at the time of notification of award. Additionally, the successful proposer must furnish a fidelity bond, which shall be in an amount not less than Six Hundred Fifty Thousand Dollars and 00/100 ($650,000.00), and which shall cover all officers, agents, and employees who handle or have access to parking revenues, protect against losses resulting from fraud, theft, dishonesty, and misappropriation of funds, and name County as obligee. The bond shall be provided by a surety company or companies authorized to do business in the State of Idaho and that have an AM Best rating(s) of A-VIII or better. If the surety does not have a current AM Best rating, it must be currently certified by the U.S. Department of Treasury as an approved surety with an underwriting limitation greater than the bond amount.
The proposer shall include the premiums for such bond in the price proposed.
C. Taxes. Proposers shall include in their proposals all applicable taxes which are levied by federal, state, or municipal governments upon the goods and services, and the successful proposer shall pay all such taxes and must be able to show evidence of such payment.
D. Rejection of Proposals. The Board of Ada County Commissioners reserves the right to reject any or all proposals received. Furthermore, the Board shall have the right to waive any informality or technical defect in proposals received when in the best interest of County.
E. No proposal shall be accepted from, or agreement awarded to, any person, firm, or corporation that is in arrears to County upon a debt or agreement or that is in default, as surety or otherwise, upon any obligation to County.
F. Federal Funding. No federal funding will be used to pay for the services contemplated by this RFP 26027.
VI. QUALIFICATIONS OF PROPOSER
A. Proposers shall be responsible for complying with all applicable provisions of the
Idaho Code as it relates to submittals for this solicitation or the provision of the services prior to the execution of any agreement with County.
B. Proposers, prior to the execution of any agreement with County, shall be licensed to do business in the State of Idaho. If unsure if your company is licensed in Idaho, please refer to the Idaho Secretary of State.
VII. CONFIDENTIALITY
Data contained in the proposal and all documentation provided therein becomes property of County and the data becomes public information. If the proposer wishes to have any confidential or proprietary information withheld from the public, such information must fall within the definition of “trade secret” contained within the Idaho Public Records Act, Idaho Code §§ 74-101, et seq. All “trade secret” information a proposer wishes County to withhold must be clearly marked “Trade Secret,” with each page of such information being clearly marked. Failure to mark such information as “Trade Secret” shall deem such information open to public inspection. Should County be challenged in court by a third party for a decision to withhold or redact information so identified by the proposer, the proposer agrees, by submitting its proposal, to indemnify, defend, and hold County harmless for any judgments, attorney fees, and/or court costs associated with asserting the documents contain “trade secret” information. The proposer agrees and acknowledges that the Proposal Response Cover Sheet and Total Cost Per Year are disclosable public records. County reserves the right to make an independent discretionary decision whether or not the documents marked as “Trade Secret” qualify as such pursuant to the Idaho Public Records Act. All documents not marked as “Trade Secret” are subject to release in compliance with the Idaho Public Records Act.
VIII. PROCESS OF REVIEW AND AWARD
A. After the proposals are opened, Ada County Procurement will review them for compliance with these Instructions.
B. All proposals that meet the administrative requirements listed in this RFP will be evaluated by the Evaluation Committee (“Committee”). The Committee will be comprised of representatives from County offices/departments. County may use one (1) or more subject matter experts to assist the Committee in the evaluation process. Following the evaluation process, the Committee will rank the proposals using the established Evaluation Criteria listed in the Proposal Content & Evaluation Criteria Section. A ranked list of proposals and a written recommendation will be made to the Board of Ada County Commissioners. Proposers will be supplied with a copy of the recommendation on or about April 2, 2026.
C. Any proposer’s protest of the recommendation must be in writing and received by Ada County Procurement at: procurement@adacounty.id.gov by no later than 4:00 p.m. local time on April 6, 2026.

D. The Board will consider the proposals for potential award on April 7, 2026, at or about 9:00 a.m. local time in the Board of Ada County Commissioners’ Conference Room, located on the third floor of the Ada County Courthouse, 200 W. E. The selected proposer shall be required to enter into a written agreement in the form as shown in Exhibit B. Proposers are advised to read the agreement carefully. If proposers have any questions about the required provisions or have requests for exception to provisions in the agreement, those questions and requests must be made in accordance with Section II.B herein, or such requests will be deemed waived.
PROPOSAL CONTENT & EVALUATION CRITERIA
Proposals in response to this RFP 26027 must be organized as outlined below. Proposals not organized as outlined below, not containing the information specified, not containing sufficient detail, or including unnecessary marketing materials, will receive a lower rating when evaluated.
Proposals must address the following areas at a minimum:
I. PROPOSAL CONTENT
A. Proposal Response Cover Sheet. This is to be the first document of the proposal.
It must include the legal name of the proposer, the name of a contact person and title, and contact information. All addenda issued shall be acknowledged by checking the box of the addenda number and inserting the date it was issued. It must be signed by a person authorized to submit a proposal in response to this RFP 26027.
B. Subcontractors. Identify any and all outside vendors, consultants, or firms to be used by proposer to provide the services identified in the proposal.
C. Letter of Introduction. Please provide a letter of introduction as the second document of the proposal. Briefly introduce your company, provide the location of the office that will be primarily responsible for the work, and identify the contact person in your organization for correspondence with County. Also, include email and telephone numbers for the contact person.
Provide the name of the person legally authorized to sign an agreement for your company.
D. Company History. Provide a brief history of your company. Include the number of offices, location, total number of employees, and type of services that your company performs.
Also provide the number of employees that work in the office that will service this contract, broken down into technical, clerical and other. If applicable, please provide information regarding any arbitration and/or litigation in which your firm is currently involved, as well as the dates and resolution of any reorganization or bankruptcy for which you or your company have filed within the past five (5) years.
E. Unique Qualifications. Please present information concerning your company’s unique qualifications for performing the services required in this RFP. Identify staff that are trained or exceptionally knowledgeable in the services required hereunder.
F. Comparable Experience. Please provide a summary of your company’s past relevant experience in providing the services required in this RFP, in which your company was the prime service provider, within last three (3) years. Detail the locations, types of services performed, and examples or provide links to web-based products (limit the number of examples to between three (3) and five (5)). In particular, highlight previous experience with cities, counties, or other governmental entities.
G. References. Please provide, at a minimum, three (3) client references (including names, titles, phone numbers, and e-mail addresses) for similar services, as required in this RFP, that your company has provided in the last five (5) years. By providing such references you agree that neither County, nor the clients referenced, shall have any liability regarding the provision of such references or County’s use of such references in making selections under this RFP. Please see Section VII of the Instructions to Proposers regarding the submission of confidential or proprietary information with respect to information provided about references.
H. Key Personnel. Provide a list of key personnel who have specialized experience and expertise relating to the services required in this RFP. List only those that are likely to actually perform the work described in this RFP. Provide curriculum vitae for each that details their education, experience, and special expertise. Also include the company name and key team members of any subcontractors you anticipate using for the services required in this RFP.
I. Proposed Approach to Services. Please explain your company’s overall approach to performing the services identified in the Scope of Services attached as Exhibit A and the coordination of activities necessary to provide the goods and services as required in this RFP.
J. Additional Information. Please provide any other information you believe is applicable to the evaluation of the proposal or your qualifications for providing the proposed services, including any aspects of your services that may distinguish your company from others.
K. Affirm that your company is willing to enter into an agreement with County.
L. If your company is unable to provide details on any specific item, please state the reason.
II. EVALUATION CRITERIA AND PROCESS
A. The Evaluation Committee will review all written proposals. The review process may involve requesting clarification of portions of the proposal and/or a request for additional business financial records. From that review process, the Committee will rank the proposals in an order representing the Committee’s evaluation of the proposer’s ability to provide the services required in this RFP, using the established Evaluation Criteria listed below. A list of ranked proposals shall be submitted to the Board of Ada County Commissioners for approval and adoption.
B. The Board of Ada County Commissioners reserves the right to accept or reject any or all proposals.
C. Evaluation Criteria. The following criteria will be used to evaluate and rank all proposals. Evaluation scoring will be based on a one hundred-point (100-point) system as described below.
1. Compliance with RFP requirements. Five (5) points possible.
2. Approach to the services. Twenty-five (25) points possible.
3. Qualifications and experience in providing similar services. Thirty (30) points possible.
4. References and quality of service provided for similar services. Ten (10) points possible.
5. Anticipated costs. Thirty (30) points possible.

D. Presentation and Interview. (Optional and worth fifty (50) points). If deemed helpful, the Committee may request proposers to give a presentation of their proposal and answer questions. The Committee is not required to hold presentations or interviews but may request presentations and/or interviews of the top-ranked proposers from the initial evaluation. Proposers will be ranked on the quality of the presentation and/or interview up to a maximum of fifty (50) additional points. Any points awarded during the presentation and interview phase will be added to the proposer’s existing cumulative points as per the other evaluation criteria described above, increasing the maximum total points to one hundred and fifty (150).

1. Scope of Services. SECTION I – OVERVIEW OF SYSTEM FACILITIES
A. Facilities and Parking Rights
The parking system within the Ada County Courthouse Corridor is comprised of one thousand six hundred thirty-nine (1,639) total parking spaces within eight (8) different surface parking lots and parking garages (“Facilities”), with certain persons and entities having contractual interests in and rights to use a portion of the parking spaces within particular Facilities, as more specifically described herein.
In addition to the other rights and information set forth below, County has rights to six hundred sixty (660) parking spaces across the Facilities, excluding its separate rights related to the 2nd & Myrtle Street Garage and the Idaho Power Gravel Lot, as detailed below. The Civic Plaza Apartments complex has rights to two hundred ninety-nine (299) parking spaces within the Avenue A West Garage and the Avenue A East Garage, as designated by County, with each apartment unit limited to a maximum of one (1) parking space, regardless of the number of bedrooms or occupants within each individual unit. The University of Idaho (“UI”) has rights to two hundred (200) parking passes within the Avenue A East Garage and the Avenue A Surface Lot, as designated by County, with one hundred fifty (150) of those parking passes allocated to the Idaho Department of Water Resources (“IDWR”).
East Visitor Lot: The East Visitor Lot is an asphalt surface lot located on the east side of the Ada County Courthouse consisting of seventy-four (74) total parking spaces designated for visitors of the Ada County Courthouse and Ada County offices/departments located therein and nearby. The total includes six (6) ADA parking spaces and one (1) reserved vehicle inspection space.
Avenue A West Garage: The Avenue A West Garage is a multi-level parking garage consisting of four hundred twenty-two (422) total parking spaces serving employees, tenants, and visitors of the Idaho Water Center (“IWC”), Civic Plaza Apartments, and Ada County offices/departments located therein and nearby. The total includes thirteen (13) ADA parking spaces.
Avenue A East Garage: The Avenue A East Garage is a predominately underground parking garage. There is also a secondary surface lot accessed from behind the Civic Plaza Apartments.
These areas encompass three hundred twenty-three (323) total parking spaces serving employees, tenants, and visitors of IWC, Civic Plaza Apartments, the Ada County Courthouse and Ada County offices/departments located therein and nearby. The total includes ten (10) ADA parking spaces, with two (2) ADA spaces located in the secondary surface lot and eight (8) ADA spaces located in the basement level of the garage.
Avenue A Surface Lot: The Avenue A Surface Lot is an asphalt surface lot located east of Avenue A consisting of fifty-nine (59) total parking spaces sold on a monthly basis to employees and tenants of IWC, Civic Plaza Apartments, Ada County offices/departments, and nearby businesses.
The total includes three (3) ADA parking spaces.
West Lot: The West Lot is an asphalt surface lot located to the west of the Ada County Courthouse consisting of eighty-seven (87) total parking spaces designated for County employees. The total includes six (6) ADA parking spaces.
Triangle Surface Lot: The Triangle Surface Lot is an asphalt surface lot located to the west of 3rd Street and the Ada County Courthouse consisting of two hundred fifty-five (255) total parking spaces designated for County employees. The total includes eight (8) ADA parking spaces and a pre-determined number of reserved parking spaces for tenants of the Ada County Victim Services Center.
2nd & Myrtle Street Garage: The 2nd & Myrtle Street Garage is a multi-level parking garage consisting of three hundred ninety-six (396) total parking spaces serving County employees and residents, visitors, and commercial tenants of the Jules on 3rd multi-family, mixed-use development. The total includes seven (7) ADA parking spaces. Parking within the garage is managed as a shared parking arrangement with no assigned spaces, all of which are included within the total parking space count, subject to the following allocations:
• Jules on 3rd Apartment Residents – Maximum of one hundred seventy-four (174) parking spaces
• Jules on 3rd Apartment Visitors – Maximum of (eighteen) 18 parking spaces
• Jules on 3rd Commercial Tenants – Maximum of fourteen (14) parking spaces; County may limit the number of commercial access cards if necessary to ensure County has continued and unrestricted access to its minimum allocation specified below
• County – Minimum of two hundred twenty (220) parking spaces
Idaho Power Gravel Lot: The Idaho Power Gravel Lot is an unpaved surface lot owned by Idaho Power Company and licensed to County with a maximum of twenty-three (23) parking spaces that are reserved for Ada County Operations vehicles and pre-approved contractor parking. This lot is not available for public, tenant, or visitor use. Operator shall monitor the lot to ensure compliance with use restrictions and report unauthorized parking in accordance with County procedures.

C. Operating System
County currently utilizes Amano One as its primary operating system for parking operations, access and control, reporting, and revenue tracking, which Operator shall utilize to perform its obligations hereunder. Operator may use a secondary internal management or financial system, provided that such system integrates with Amano One and does not interfere with, limit, or compromise the functionality, data integrity, reporting capabilities, or operation of Amano One.
At all times, County shall retain full, unrestricted access to Amano One, including real-time operational data, financial reports, system settings, and user permissions.
In the event County elects to replace or transition from Amano One to a different primary parking operating system during the term of the Agreement, Operator shall fully support and integrate with the new system. Any transition to a new system shall be implemented in a manner that does not disrupt parking operations or degrade service levels.
SECTION II – SERVICE STANDARDS AND REQUIREMENTS
A. General Standards and Requirements
Operator shall be responsible for the safe and effective day-to-day operation of the Facilities and the use thereof and shall manage and operate the same in a professional, economical, and businesslike manner at all times in accordance with the specific standards and requirements set forth herein.
B. Operating Hours and Staffing Requirements
The Facilities operate twenty-four (24) hours a day, seven (7) days per week. Operator must operate the Facilities on the days and during the hours established by County and provide the on-site staffing as specified herein. Operating hours may be changed from time to time by County upon prior written notice with any such changes to take effect as set forth in such notice. Operating hours and staffing requirements are also subject to temporary modifications based upon special events impacting the Facilities as more fully described herein.
Notwithstanding the foregoing, on-site staffing and related services are generally required as outlined below:
1. Standard staffed operating hours are from 6:30 a.m. to 6:30 p.m., five (5) days per week, Monday through Friday, excluding County holidays. During these times, Operator must provide, at minimum, two (2) staffed attendants who must be present at all times at each ticket booth on the premises (“Attendants”), with one (1) Attendant located at the ticket booth located on the private drive to the Ada County Courthouse and one (1) Attendant located at the ticket booth located on the Avenue A drive lane.
2. Operator must furnish and maintain the on-site parking office, in the location designated by County, and shall provide a full-time employee, separate from and in addition to the Attendants, who must be present to staff the on-site parking office from 8:00 a.m. to 5:00 p.m., five (5) days per week, Monday through Friday, excluding County holidays. Such employee may be the Operating Manager, as defined and described below in Section III.B, or may be an additional employee dedicated solely to the parking office, provided that, in either instance, Operator shall ensure all County’s needs and requirements are met as set forth herein.
3. The Triangle Lot gates will be lowered at 6:00 a.m. and raised at 5:00 p.m., Monday through Friday. On weekends, the gates will remain raised. For County holidays, gates shall follow the regular weekly schedule unless a modified schedule is requested in writing by County.
4. The 2nd & Myrtle Street Garage is the sole exception to the standard staffing requirements.
Access to and from the garage will operate with gates twenty-four (24) hours a day, seven
(7) days per week, without a requirement for on-site staffing separate from or in addition to the standard staffing requirements otherwise set forth herein.
5. Operator must provide, at its own expense, on-call customer service for all Facilities to address customer inquiries, operational issues, and system-related concerns twenty-four
(24) hours a day, seven (7) days per week.
Specific requirements related to Operator’s personnel and their duties are set forth below in Section
III.
C. Parking Rates, Exceptions, and Enforcement
Parking rates are established and modified by County in the sole discretion of the Board of Ada County Commissioners. Operator may, upon request, recommend to County any recommended modifications to the rates for consideration by the Board of Ada County Commissioners.
Operator shall charge, invoice, and collect payment for parking vehicles within the Facilities in accordance with established rates and procedures.
The minimum and maximum number of parking spaces available for contracted monthly users is determined by County. Operator is responsible for contracting with monthly users and billing and collecting payments in accordance with such contracts in compliance with all applicable laws and regulations, including Internal Revenue Service regulations. In addition to the foregoing, keycard and permit access is and shall be conditioned upon the user’s execution of an agreement and release in the form approved by County, which shall be issued, collected, and maintained by Operator.
The first hour of parking is free for visitors and those without keycard or permit access in certain designated Facilities and validation is available for certain authorized users and groups. Operator shall oversee and carry out the “first hour free” and validation programs and, accordingly, shall invoice and collect payment from such authorized users and groups on a monthly basis in accordance with County standards as it relates to the validation program.
Operator shall monitor and support parking activities related to special events as requested by County by coordinating operational changes and updating parking equipment settings, access options, and system configurations as necessary to accommodate parking for special events, ensure public access, and allow for accurate tracking and reporting of special event usage and revenues, as described below in Section II, Part H. Special events may include, but are not limited to, Boise State home football games, IWC events, Ada County public hearings, and other events within or near the Ada County Courthouse Corridor as directed by County.
In accordance with established County procedures, Operator shall actively monitor all Facilities for compliance with all applicable laws and regulations, posted rules, and other requirements related to access and use of the Facilities as follows:
1. Operator shall identify vehicles in violation of parking policies, issue warnings, citations, or notices as authorized, and coordinate towing services when violations warrant removal at County’s direction. Operator shall ensure that all enforcement and towing activities are conducted in accordance with applicable laws and regulations, posted signage, and established procedures and that appropriate documentation is completed for each enforcement or towing action. A towing company designated by County will tow inoperable, abandoned, and vehicles in violation of parking policies at the vehicle owner’s expense. Any vehicle that has not been moved for thirty (30) days may be considered abandoned and towed away at the owner’s expense with written consent from County.
2. Operator shall report to County any and all apparent damage or vandalism to any of the
Facilities and any and all claims for any loss or damage to vehicles therein, it being understood that Operator assumes full responsibility for processing and settling all such claims for loss or damage to such vehicles. Operator shall also immediately notify County in writing of any and all other claims identified or otherwise filed or lodged against Operator and/or County upon discovery of the same.
E. County-Provided Equipment and Materials
County shall provide, at its sole expense, major parking system equipment, including gates, barricades, loops, pedestals, card readers, and ticket dispensers, keycards, point-of-sale (“POS”) systems, and associated software for use by Operator. County will maintain an inventory of major parking system equipment for use as needed.
F. Operator-Provided Equipment and Materials
Operator shall provide, at its sole expense, the following equipment and materials necessary for the day-to-day operation and functionality of the Facilities and equipment therein:
1. Necessary signage, subject to prior County approval, installed in and around ticket booths and throughout the Facilities to communicate relevant regulations and information to users and to ensure legal compliance; and
2. Receipt tape, office supplies, ticket stock, hangtags, permits, validation stamps, cleaning supplies for the parking office and ticket booths, and other routine operational supplies required for daily operations.
All other expenses not expressly identified or otherwise allocated to County herein or in the Agreement shall not be incurred by Operator or otherwise charged, billed, or invoiced to or collected from County without County’s prior written approval.
G. Maintenance-Related Obligations of Operator
Operator shall be responsible for all labor required to install, as necessary, County-provided equipment. Operator shall further be responsible, at its sole expense, for all labor required to maintain County-provided equipment, including troubleshooting and configuration and for the day-to-day maintenance and repair, as well as any necessary replacement, of all parking access and revenue control systems in a manner that ensures their continued operability at each Facility.
Operator shall maintain all equipment and components thereof provided by County, including software and hardware, in good working order and in as safe a condition as reasonably permitted by normal operation, and shall perform all repairs reasonably necessary for that purpose, including, but not limited to, the following:
1. Maintaining all signage in and around ticket booths and throughout the Facilities;
2. Maintaining all parking access and revenue control system equipment, including gates, barricades, loops, pedestals card readers, ticket dispensers, POS systems, and software and hardware components;
3. Maintaining ticket booths and gate areas in a clean and presentable condition and preventing the accumulation of dirt, debris, and trash; and
4. Removing snow, ice, and other debris and obstructions from ticket booths and gate areas;
removed snow, ice, and debris shall not be placed on public rights-of-way, sidewalks, walkways, or pathways.
Operator shall ensure that all personnel responsible for the installation, operation, maintenance, troubleshooting, and repair of the parking access and revenue control systems are fully trained and qualified to perform the same.
Operator shall further maintain all required certifications, manufacturer authorizations, and training credentials necessary to properly perform the obligations set forth herein. Documentation of such certifications, authorizations, and credentials shall be provided to County upon request.
H. Financial Procedures and Reporting Requirements
1. Revenue Remittance: Following receipt of any gross revenues, Operator shall remit all such revenues to County on a weekly basis, without regard to any adjustments that may ultimately be made. Upon delivery, all monies shall be under the exclusive control of County. The method of delivery shall be subject to County approval. Operator is, and shall remain, fully responsible for all monies collected until delivery to County has been completed.
2. Gross Revenue Adjustments: Amounts payable to County shall include and reflect adjustments for all cashier shortages, overages, undercharges, and uncollected parking fees. All shortages, undercharges, and uncollected parking fees shall be included in gross revenues and shall be payable to County. Dishonored checks, uncollectible or uncollected fees, and other bad debts shall be excluded from gross revenues only if such transactions were processed in accordance with procedures accepted and approved by County.
3. Reporting Requirements: Operator shall prepare and submit all required weekly and monthly reports in the manner and format designated by County. Reporting requirements may be adjusted by County as operational needs change, upon notice to Operator. At a minimum, Operator shall provide the following:
a. Weekly Revenue Reports: Each weekly payment shall be accompanied by a weekly revenue report detailing revenue collected by each individual Facility and by user classification. Revenue shall be reported in full; expenses shall not be deducted from revenue.
b. Monthly Expense Reports: A monthly expense report shall be submitted no later than the seventh (7th) day of each month. The report shall include an itemized invoice and any and all supporting documentation. All expenses must be pre-approved by County and billed separately; expenses shall not be deducted from revenue.
c. Monthly Parking Permit Sales Reports: A monthly parking permit sales report shall be submitted no later than the seventh (7th) day of each month. Each report shall include the report date, reporting month, facility location, new customers and removed customers, quantity of permits purchased per customer, number of active parkers, account information, account billing rates, assigned Facility, permit numbers, methods of payment, dates of payment, and total revenue collected per customer.
d. Monthly Profit-and-Loss Statements: A monthly profit-and-loss statement shall be submitted no later than the seventh (7th) day of each month. All records shall be reconciled by the fifteenth (15th) day of each month. County may require additional financial or operational statements as necessary.
e. Annual Reports: An annual report shall be submitted by October 15 of each year.
The report shall summarize monthly gross revenue reports and parking permit sales between the immediately preceding period commencing October 1 through September 30. County may require additional information in the annual report as deemed necessary.
f. Monthly Usage Reports: Overall parking utilization within the Facilities and utilization of the “first hour free” program and validation program, and any related statistical information requested by County, shall be tracked and reported on a monthly basis. Any and all revenues and losses associated with such programs shall also be tracked and reported as a separate line item to be included in all applicable financial reports.
g. Special Event Parking Reporting: Revenue and usage associated with special event parking shall be tracked and reported as a separate line item in all applicable financial and operational reports. Operator shall configure reporting systems to clearly identify special event parking activity, including event names (when applicable), event dates, Facilities used, total transactions, and total revenue collected. This information shall be included in weekly and monthly reports, or provided separately, if requested by County, to allow for clear identification and analysis of special event parking activity.
4. Special Information Requests: From time to time, County may request specific information, including but not limited to parking space availability. Operator shall provide such requested information within twenty-four (24) hours of the request, unless an alternative timeframe is approved by County.
5. Record Retention and Access: Operator shall maintain all source records related to gross revenues, including but not limited to parking tickets, cash register tapes, shift reports, master reports, and daily revenue reports, whether in electronic or physical form, and past-due accounts and parking…
