The agreement specifies that any breach constitutes irreparable injury and grounds for bid rejection or contract termination, with remedies including equitable relief such as injunctive relief, actual damages where ascertainable, or liquidated damages of $10,000, plus reasonable attorney fees. The receiving party must return all original documents and tangible materials containing confidential information to the City and destroy electronic documents upon written request. The NDA remains in effect during the term of the underlying agreement and continues for ten years following termination or expiration. The agreement is governed by the laws of the Commonwealth of Pennsylvania and may not be amended except through a written document signed by both parties.
