File Type: Justification for Exception to Fair Opportunity (J&A) for Sole-Source Contract Award
This is a Justification for Exception to Fair Opportunity document (J&A-26-0019) prepared by the Department of Homeland Security, U.S. Immigration and Customs Enforcement (ICE), Office of Acquisition Management on behalf of the Office of the Chief Information Officer/Solutions Delivery Division. ICE intends to award a sole-source interim contract to Deloitte Consulting LLP (1919 N Lynn Street, Suite 800, Arlington VA 22209-1742) for Information Technology (IT) Training and Communication Services (ITaCS). The requirement is for an additional six months of training and communication support services at an estimated total cost of $2,930,905.44. The interim contract is structured as a Firm-Fixed-Price (FFP) Task Order with a two-month base period and two, two-month option periods. The services are essential for ICE users to effectively utilize features and capabilities of key DHS ICE OCIO SDD IT Portfolio systems.
The sole-source exception is justified under RFO 16.507(b)(2) because only the incumbent contractor possesses the required knowledge and cleared staff necessary to continue support without disrupting services. The justification cites three primary reasons: the need to avoid transition delays while conducting a proper recompete, a 43-day delay caused by the FY26 federal appropriations lapse, and expanded scope requirements resulting from the One Big Beautiful Bill Act. The current task order (70CTD021FR0000001) expires March 26, 2026. The recompete solicitation is anticipated for release in February 2026 with award expected in July 2026. Pricing will be determined as fair and reasonable through comparison to established Chief Information Officer-Solutions and Partners 3 (CIO-SP3) GWAC rates, procurement history, and an Independent Government Cost Estimate. DHS intends to post this justification on sam.gov for a minimum 30-day public notice period pursuant to RFO 16.507-6(f)(1).

OFFICE OF ACQUISITION MANAGEMENT
ICE Acquisition Manual 3016.505-90
JUSTIFICATION FOR EXCEPTION TO FAIR OPPORTUNITY
EXCEEDING SAT: FAR 16.507(b)
J&A-26-0019
1. Agency and Contracting Activity.
The Department of Homeland Security, U.S. Immigration and Customs Enforcement, Office of Acquisition Management (OAQ), prepared this justification for an exception to fair opportunity on behalf of the Office of the Chief Information Officer (OCIO)/Solutions Delivery Division (SDD).
2. Nature and/or description of the item/service being procured and anticipated cost:
(a) Type of action: Sole-source interim contract to extend the Firm-Fixed-Price (FFP) services for Information Technology (IT) Training and Communication Services (ITaCS).
(b) Amount the current J&A is justifying:
(c) Brief Description: OAQ intends to award, on a sole-source basis, training and communications support services from the vendor listed below:
Deloitte Consulting LLP 1919 N Lynn Street, Suite 800 Arlington VA 22209-1742
3. Description of Supplies/Services.
This requirement will provide an additional six months of training and communication support services at an estimated total cost of $2,930,905.44. These services are essential for ICE users to effectively utilize the features and capabilities of key DHS ICE OCIO SDD IT Portfolio systems.
Period Time Price Base Period 2 months Option Period 1 2 months Option Period 2 2 months $ Total $
4. Statutory Exception and rationale for its use:
Exception:
☒ RFO 16.507(b)(2). Only one awardee is capable of providing the supplies or services required at the level of quality required because the supplies or services ordered are unique or highly specialized. [Explain why supplies or services are unique].
Rationale:
ICE/OAQ intends to award an interim contract to the incumbent, Deloitte Consulting, to continue assisting OCIO management in designing and delivering effective training and communication messaging to end users. The scope of the initial order remains the same in the interim contract, and only the incumbent is positioned to continue support to the required level in the short term. Deloitte Consulting is the only source with the required knowledge and cleared staff capable of providing the
JUSTIFICATION FOR EXCEPTION TO FAIR OPPORTUNITY
extension of services without causing a break in services while transitioning to a new vendor.
Transitioning to a new vendor could take several months to become familiar with the daily processes and procedures of the system and require Deloitte Consulting’s assistance to avoid additional extensive delays and unnecessary costs to the Government. These services are critical for building change readiness and ensuring impacted stakeholders are prepared to use the information technology systems in their daily operations in compliance with applicable policies. The interim contract will allow HSI to continue promoting consistent, clear, and timely communication, enabling ICE agents and stakeholders to perform their duties effectively. Without these services, ICE agents may face challenges such as inconsistent, ineffective, or inaccurate communication, potentially leading to operational delays and reduced efficiency. This interim contract is vital to ensuring readiness, collaboration, and the successful adoption and use of systems across ICE programs.
The solicitation for the re-compete was originally scheduled for release in October 2025, it was delayed by 43 days due to the FY26 federal appropriations lapse from October 1 – November 12, 2025. Further, the Program Office has increased the scope of the requirement to support more offices due to the passing of the One Big Beautiful Bill Act resulting in the development of new systems which will require new training and communications to be developed for users. This will require revisions to the procurement ready package to include the Performance Work Statement (PWS), Independent Government Cost Estimate (IGCE), Request for Information (RFI), Market Research Report, etc. As such, additional time will be needed to finalize the requirements package and conduct a proper competition. The anticipated release date for the re-compete solicitation is February 2026, and an anticipated award in July 2026.
The current Task Order, 70CTD021FR0000001, was modified on September 25, 2025 via P00035 to extend the term of the contract for a final six-months in accordance with FAR 52.217-8, Option to Extend Services, which expires on March 26, 2026. The interim contract will provide adequate time to complete the re-compete process for Task Order 70CTD021FR0000001 and facilitate the two-month transition period to a new vendor. The interim contract is being structured as a two-month base with two, two-month options to allow for maximum flexibility and ensure there is no break in service.
The intent is to minimize the length of this sole-source action. As such, it is in the best interest of the Government to continue receiving training services and communications services from Deloitte Consulting.
5. Determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable.
The resulting award will be a Firm Fixed-Price Task Order awarded under the Chief Information Officer-Solutions and Partners 3 (CIO-SP3) government-wide acquisition contract (GWAC). Pricing will be determined to be fair and reasonable based on a comparison of the proposed price to the established CIO-SP3 rates, procurement history, and the Independent Government Cost Estimate (IGCE). The Contracting Officer will request additional discounts and may negotiate with the Contractor for a lower price.
6. Any other facts supporting the justification.
Not applicable.
7. A statement of the actions, if any, the agency may take to remove or overcome any barriers that led to the exception to fair opportunity before any subsequent acquisition for the supplies or services is made.
