THIS LEASE is entered into as of the ___ day of _______________, 2025, by the City of Temple, a home rule City, (“City”), and ____________________. (“LESSEE”) (collectively the “Parties”).
WHEREAS, the City is the owner of the Draughon-Miller Central Texas Regional Airport (the “Airport”), located in the limits of the City of Temple, by virtue of an agreement with the United States relative to development, operation and maintenance of the Draughon-Miller Central Texas Regional Airport dated August 18, 1947, to which reference is hereby made, and by such reference made a part hereof.
NOW THEREFORE, for and in consideration of the mutual covenants set forth herein, the parties hereto agree as follows:
1. Lease and Premises. The City agrees to lease to LESSEE a 9,175 square foot aviation hangar with three office spaces and aircraft parking apron (Building No. 22) (the “Leased Premises”) located at 7720 Airport Road within the Airport and depicted on Exhibit A, attached hereto and incorporated herein for all purposes.
2. Term. This Lease will be for an initial term of _______ year(s), commencing on ______________, 2026, and ending on __________________, ________. The term of this lease may be renewed for _____ additional _____-year terms upon agreement of the Parties and approval of the City Council.
3. Purpose and Use. LESSEE will only have the right to use the Leased Premises for aircraft hangaring purposes and aeronautical business operations. Any aircraft stored in the Leased Premises must be owned and/or operated by LESSEE. If at any time the Leased Premises are converted to a non-aeronautical use without the express written consent of the City, LESSEE will be considered in default of this Lease. Any aircraft stored in the Leased Premises must be owned and/or operated by LESSEE or stored based upon the written agreement of the LESSEE and the aircraft owner or a sublessee.
This Lease includes the right of access to and use of the Airport common areas, public buildings, ramps, taxiways, and runways by LESSEE during the term of this Lease. LESSEE agrees to abide by any official policies adopted by the City related to operations of the Airport which are in effect at the commencement of this Lease or which may be adopted in the future.
LESSEE agrees to provide the City with a list of all aircraft being hangered in the Leased Premises and to keep such list updated with the Airport Director. If LESSEE sells or disposes of one of the listed aircraft located at the Leased Premises, LESSEE will provide written notification to the Airport Director of the aircraft’s disposal and will provide the same notification concerning the replacement, and if any aircraft are added, the information must also be provided.
4. Monthly Rent. LESSEE’S obligation to pay rent under this Lease is an independent, unconditional covenant of LESSEE. LESSEE will pay to the City, without notice or demand and without set-off or deduction, rent of $____________ per each full month of this Lease, calculated at a rental rate of $____ per square foot per month, or $______ per square foot per year. Rent may be paid monthly in equal installments of $________ per month or may be paid annually at $___________ per year.
Payments will be made at the office of the Airport Director. Monthly rent must be paid on or before the ____ day of the month. If LESSEE elects to make annual rent payments, such rental payments must be paid on or before _______ of each year.
Rental Rate Adjustments. Every _____ year(s) following the commencement of this Lease Agreement, until this Lease is terminated as hereafter set forth herein, the rental rate will be adjusted based on the prevailing market rate, as determined by an appraisal, or the Consumer Price Index (CPI), as determined by the Department of Labor, Bureau of Vital Statistics, capped at 5%, whichever is higher. If the Index is discontinued during the term of this Lease or any renewal terms, the Parties will utilize the successor or comparable successor Index.
Optional Lease Extensions: Any lease extensions agreed to by the Parties, will be at a rental rate agreed to by the Parties at the time of the extension of the Lease, but in no case will be less than the currently prevailing market rates.
5. Maintenance and Repairs. LESSEE agrees to maintain and operate the Leased Premises and improvements in their existing condition in accordance with all applicable laws, rules, ordinances, orders and regulations of federal, state, county, municipal, and other governmental agencies and bodies having or claiming jurisdiction over the Leased Premises. LESSEE, at its own costs and expense and at all times during the Term of this Lease, agrees to keep and maintain or cause to be kept and maintained, all buildings and improvements which may be erected upon the Leased Premises in a good state of appearance and repair, reasonable wear and tear alone excepted. LESSEE is responsible for the maintenance and repair of the Leased Premises during the Term of this Lease.
Any improvements constructed on the Leased Premises by LESSEE, as permitted by this Lease, will be owned by LESSEE until expiration of the term or sooner termination of this Lease. LESSEE may not, however, remove any improvements from the Leased Premises nor waste, destroy or modify any improvements without the City’s written approval. All additions to the existing improvements will at the expiration of the term or sooner termination of this Lease and without compensation to LESSEE, become the City’s property free and clear of all claims to or against them by LESSEE or anyone claiming by, through or under LESSEE. LESSEE agrees to defend and indemnify the City against all liability and loss arising from such claims or from the City’s exercise of the rights conferred by this paragraph. LESSEE may not make any alterations to the Leased Premises without the express prior written consent of the City.
LESSEE has accepted the Leased Premises in their “as is” condition on the date of this Lease and is, except as expressly provided herein, accepting the Leased Premises without representation or warranty, express or implied in fact or by law and without recourse to the City as to the nature, condition or usability thereof or the use or uses for which the Leased Premises or any portion thereof may be put.
6. Insurance. The City agrees to insure the Leased Premises against all risks of direct physical loss in an amount equal the full replacement cost of the same as of the date of the loss and liability.
LESSEE will have no claim to any proceeds of Landlord’s insurance policy. LESSEE agrees to procure and maintain in full force and effect, at its own cost and expense, during the Term of this Agreement, insurance of such types and in such amounts as may be required by the City, including at a minimum, without limitation the following:

(f) Broad form contractual liability must not be excluded and the policy must include a severability of interests provision.
(g) The City must be named as an additional insured on all policies required under this Lease.

LESSEE agrees to hold the City, its agents, servants, and employees entirely free and harmless from all liability of any such loss, damage, or injury of other persons, and from all costs and expenses there from.
