The agreement outlines the terms and conditions for a contract that will define the scope, duration, compensation, and responsibilities of the consultant. While the specific type of service is not explicitly stated in the template, the document is designed to be adaptable for various professional service engagements. The agreement allows for a flexible term, which can be terminated or extended by mutual consent, with provisions for compensation based on either a firm-fixed lump sum or time/material pricing structure.
The contract includes comprehensive insurance requirements, with the consultant required to maintain multiple types of coverage including commercial general liability, professional liability, and privacy & network security liability, with specific minimum coverage amounts. The agreement also emphasizes diversity in subcontracting, encouraging the utilization of Small, Minority, Women-Owned Business Enterprises (S/M/WBE), Disadvantaged Business Enterprises (DBE), and Historically Under-Utilized Businesses (HUB). Additional unique provisions include certifications related to non-discrimination, non-terrorism, and compliance with Texas state laws regarding interactions with specific countries and business entities. The document provides a robust framework for a professional services engagement with detailed provisions for performance, liability, ownership of work products, and dispute resolution.
