01 Submission of Offer

Submission of Offers Basis for Award: The Government will award a single Purchase Order from this request for quote to the responsible Offeror whose of-fer con- forming to the RFQ will be most advantageous to the Government based on Lowest Price Technically Acceptable (LPTA)

Submit signed and dated offers, at or before the exact time specified in this Request for Quote.

Vendors who submit quotes must be registered in www.sam.gov, to be considered for award.

Question must be submitted in writing and only via email to LaVonne Y. Hill at HillL@gao.gov. Written quesstion must be submi-tited on September 18, 2019 2:00 PM EST. All quotes should be submitted to LaVonne Y. Hill at HillL@gao.gov. The date and time for receipt of quotes is September 22, 2019, at 2:00 PM EST As a minimum, offers must show—

(1) The request for quote number;

(2) The time specified in the request for quote for receipt of offers;

(3) The name, address, and telephone number of the Offeror;

(4) Acknowledgment of Request for Quote Amendments;

(5) Period for acceptance of offers. The Offeror agrees to hold the prices in its offer firm for 90 calendar days from the date specified for receipt of offers, unless another time period is specified in an amendment to the request for quote.

02 Statement of Work

I. Background

Library Services (LS) at the Government Accountability Office (GAO) supports the Agency’s mission of providing reliable and accur-ate evaluations of executive branch programs at the behest the U.S. Congress. The library’s support includes but is not limited to the provision and stewardship of information resources the Agency uses for its analyses and findings. A significant part of those informa-tion resources include serial publications – newspapers, journals, magazines, data sources, and newsletters.

LS librarians manage a large electronic serials collection with a few print titles and currently purchase the content directly from the publisher. LS is also in transition to a new Integrated Library System; as such, any serials management vendor will need to provide MARC Records and a link resolver for easy access to the online serials collection and location information for the print collection.

The successful vendor shall provide subscription and serials management services that would include all of the tasks necessary to ex-ecute and manage orders for new and renewal subscriptions to serial publications, chiefly in electronic format, but also for some print.

II. Purpose

To provide better services and stewardship of its collection of resources, the Library Services (LS) seeks to purchase services from a vendor to manage all aspects of its electronic and print serials collection. Library Services expects services of this type will be found in the commercial marketplace.

III. Scope of Work

A. Subscription Management Services The successful vendor shall provide subscription and serials management services that would include all of the tasks necessary to ex-ecute and manage orders for new and renewal subscriptions to serial publications, chiefly in electronic format, but also for some print.

Specific required titles can be found in Appendix A – Titles List.

New subscription processing for both print and electronic Renewals processing for both print and electronic

Late renewals processing for both print and electronic Back issues Transfer renewals Added copy subscriptions Special orders Memberships

3. Establish Subscription Period The Vendor is required to place subscriptions at any time during the year unless prohibited by the publisher. If GAO requests com-mon expiration dates for subscriptions, the Vendor will assist in prorating the price if allowed by the publisher.

4. Servicing the Subscription The Vendor shall provide administrative services for each subscription until three months after the subscription’s expiration (i.e. the publication of the last issue covered by that subscription period).

5. Rush Modifications Upon receipt of a modification for a rush order, the Vendor shall transmit the order to the publisher within 24 hours.

6. Option Years Title List The Vendor will provide GAO a complete list of previously ordered subscriptions 120 days prior to the end of the current period of performance.

B. Electronic Serials Access and Management Services

1. The successful Vendor shall have an electronic system, accessed via IP recognition or user accounts, to provide information regard-ing new and renewal subscription information that, at a minimum, includes the following features:

a) Ability to search by:

Title or series

ISSN

Publisher Vendor reference number

b) Display features:

Bibliographic/order information for each serial title including title, publisher, ISSN, frequency.

Pricing options.

Invoice payment information for, at a minimum, the current and previous year.

List of outstanding claims (by title) including current status and number of times claimed.

The Vendor shall provide the ability to search the Vendor’s database to determine availability and cost of serials titles and provide database system training and/or documentation at no cost to GAO.

2. The Vendor shall provide electronic publications (ejournals) related systems for managing access to electronic subscriptions and ac-cess to its serials knowledge base. Vendors should also provide such electronic services as links resolution and management, access to and management of information about GAO’s licenses, and customized collection reports. Subscriptions to journals in electronic and all other formats are a basic subscription service required by GAO. The successful Vendor shall provide the following services for ejournals management:

a) Knowledge Base for Serials Management The Vendor serials knowledge base shall display the following information about serial titles-- pricing, frequency, publisher informa-tion, publisher claiming restrictions, title specific news, access to order history and claims status, and the ability to search for missing issues and get replacements online.

b) Management of Electronic Publication Subscriptions The Vendor must provide products and services to help the management of electronic publication subscriptions, licenses, links, collec-tion assessment and collection development reports.

c) User Authorizations and Usage Data

The Vendor must have ability to provide GAO with user authorization information, and the ability to gather usage statistics, either through a Vendor product or by interfacing with the publisher to collect usage statistics.

3. Metadata and Library Integrated Library System Services. GAO requires the following other services:

a) MARC Serials Record Data and other Metadata The Vendor shall provide electronic files of metadata, including bibliographic data in MARC, and local holdings data, for loading into GAO's local system. The Vendor shall provide stable and accurate Uniform Resource Locators (URLs) included in title list format, in the 856 field of the MARC record.

b) ILS System Interface The vendor shall provide integration of electronic data (EDI, vendor proprietary data) into local databases/software systems through standard means, such as Z39.50, API, FTP.

C. Administrative Services

1. Personal Representative The Vendor shall assign a representative by name who is familiar with the terms of this contract and the needs of federal libraries to provide: personalized in house assistance (via toll free or local telephone number and email) for each account; support in account transition from GAO to the Vendor; and account claims resolution. The representative shall respond to all inquiries within one busi-ness day.

2. Training The Vendor shall provide training on the serial management system at least annually and within a month of contract award

3. Electronic Claims The Vendor shall offer electronic claims services and documentation on claims procedures/instructions shall be provided.

4. Claim Information Claims types shall include missing issues, damaged issues, gaps in receipt of a title, non-start of a new order or renewal, error in con-signee address, and duplicate issues received. The claim notice sent from the Vendor to the publisher shall include the following in-formation: a) Title being claimed b) Specific issues c) Date of Vendor's order to publisher d) Order period. E) Proof of payment as needed.

5. Reports The Vendor shall provide the following reports in electronic format:

a) Information Bulletins The Vendor shall provide, at no cost and at least monthly, information bulletins updating the latest known information on various seri-al titles., The preferred method of notification is via electronic communication (email, etc.).

b) Claims Lists The Vendor shall provide to the agency a monthly listing of all outstanding claims and any responses received from the publishers.

The report shall include publisher’s claims time limits. If an additional claim is required for an item appearing on the report, the re-port itself may be used as a reclamation document by GAO.

c) General Reports At no additional charge and on demand, the Vendor shall provide reports containing the following information as specified by GAO:

Title, Item number, Subscription period, Quantity, Frequency, Volume, ISSN, Price. In addition, the Vendor will have the capability of sorting, subtotaling, and re-totaling the reports by any of the above included fields of information.

d) Subscription Status Information Monthly, or upon demand, the Vendor shall notify the GAO in writing of any irregularity or change in status, such as: slow, irregular, discontinued, order direct, split title, not due for renewal at this time, period restricted, establishing contact with publisher, temporarily suspended publication, foreign title, estimated price, and price increased since last billing published price.

e) Annual Renewal Title List Renewal lists shall contain the following minimum information: Title, ISSN, Quantity, Subscription Period based on Agency Data, Price: (To contain latest known publishers' rates currently available), Service Charge/discount, Frequency, Publication status, Renew-al documentation.

f) Average Price Index Report The Vendor shall provide an average price index report to GAO covering a three-year period for all subscriptions. This report shall be arranged alphabetically by title and by subject identification.

IV. Evaluation Criteria

This is the best value procurement. The Government will make an award to the responsive and responsible vendor whose proposal is

Proposals will be evaluated under the lowest price technically acceptable (LPTA) source selection process. The award will be made on the basis of the lowest evaluated price of proposals meeting the acceptability standards for non-cost factors.

A. Technical Approach The proposal demonstrates a clear understanding of the statement of work and the degree to which the approach is technically and ma-nagerially sound.

V. Government-Furnished Property, Material, Equipment, or Information (GFP, GFM, GFE, or GFI) There will be no government furnished property for this effort. GAO will provide a title list of serials required to the vendor.

VI. Security There should be no security issues with this effort.

VII. Travel There are no travel requirements associated with this effort.

VIII. Place of Performance The access to all GAO subscriptions is handled by the Center for Library Services, ARM located at the GAO headquarters in Wash-ington, DC.

IX. Period of Performance The total period of performance will not exceed five (5) years. The Period of Performance (POP) includes a base period of 1 year, with 4 additional option years. The POP is expected to begin within 1 business day after the award.

(d) Comptroller General Examination of Record. 52.232-39 Unenforceability of Unauthorized Obligations (Jun 2013)

(a) Except as stated in paragraph (b) of this clause, when any supply or service acquired under this contract is subject to any End User License Agreement (EULA), Terms of Service (TOS), or similar legal instrument or agreement, that includes any clause requiring the Government to indemnify the Contractor or any person or entity for damages, costs, fees, or any other loss or liability that would cre-ate an Anti-Deficiency Act violation (31 U.S.C. 1341), the following shall govern:

(1) Any such clause is unenforceable against the Government.

(2) Neither the Government nor any Government authorized end user shall be deemed to have agreed to such clause by virtue of it ap-pearing in the EULA, TOS, or similar legal instrument or agreement. If the EULA, TOS, or similar legal instrument or agreement is invoked through an "I agree" click box or other comparable mechanism (e.g., "click-wrap" or "browse-wrap" agreements), execution does not bind the Government or any Government authorized end user to such clause.

(3) Any such clause is deemed to be stricken from the EULA, TOS, or similar legal instrument or agreement.

(a) This contract is subject to the Contract Disputes Act of 1978, as amended (41 U.S.C. 601-613), as modified by Section 1501 of Title I of Division H of the Consolidated Appropriations Act, 2008, Pub. L. No. 110-161, 121 Stat. 1844 (2008).

(b) Except as provided in the Act, all disputes arising under or relating to this contract shall be resolved under this clause.

(c) Claim, as used in this clause, means a written demand or written assertion by one of the contracting parties seeking, as a matter of right, the payment of money in a sum certain, the adjustment or interpretation of contract terms, or other relief arising under or relating to this contract. However, a written demand or written assertion by the Contractor seeking the payment of money exceeding $50,000 is not a claim under the Act until certified. A voucher, invoice, or other routine request for payment that is not in dispute when submit-ted is not a claim under the Act. The submission may be converted to a claim under the Act, by complying with the submission and certification requirements of this clause, if it is disputed either as to liability or amount or is not acted upon in a reasonable time.

(d)(1) A claim by the Contractor shall be made in writing and, unless otherwise stated in this contract, submitted within 6 years after accrual of the claim to the Contracting Officer for a written decision. A claim by the Government against the Contractor shall be sub-ject to a written decision by the Contracting Officer.

(d)(2)(i) The Contractor shall provide the certification specified in paragraph (d)(2)(iii) of this clause when submitting any claim ex-ceeding $50,000.

(ii) The certification requirement does not apply to issues in controversy that have not been submitted as all or part of a claim.

(iii) The certification shall state as follows: "I certify that the claim is made in good faith; that the supporting data are accurate and complete to the best of my knowledge and belief; that the amount requested accurately reflects the contract adjustment for which the Contractor believes the Government is liable; and that I am duly authorized to certify the claim on behalf of the Contractor."

(3) The certification may be executed by any person duly authorized to bind the Contractor with respect to the claim.

(e) For Contractor claims of $50,000 or less, the Contracting Officer must, if requested in writing by the Contractor, render a decision within 60 days of the request. For Contractor-certified claims over $50,000, the Contracting Officer must, within 60 days, decide the claim or notify the Contractor of the date by which the decision will be made.

(f) The Contracting Officer's decision shall be final unless the Contractor appeals, within 90 days of receipt of a contracting officer’s decision, to the Government Accountability Office Contract Appeals Board, 441 G Street, N.W., Room 7182, Washington, D.C.

(g) If the claim by the Contractor is submitted to the Contracting Officer or a claim by the Government is presented to the Contractor, the parties, by mutual consent, may agree to use alternative dispute resolution (ADR). If the Contractor refuses an offer for ADR, the Contractor shall inform the Contracting Officer, in writing, of the Contractor's specific reasons for rejecting the offer.

(h) The Government shall pay interest on the amount found due and unpaid from (1) the date that the Contracting Officer receives the claim (certified, if required); or (2) the date that payment otherwise would be due, if that date is later, until the date of payment. With regard to claims having defective certifications, as defined in FAR, 48 CFR 33.201, interest shall be paid from the date that the Con-tracting Officer initially receives the claim. Simple interest on claims shall be paid at the rate, fixed by the Secretary of the Treasury as provided in the Act, which is applicable to the period during which the Contracting Officer receives the claim and then at the rate ap-plicable for each 6-month period as fixed by the Treasury Secretary during the pendency of the claim.

(i) The Contractor shall proceed diligently with performance of this contract, pending final resolution of any request for relief, claim, appeal, or action arising under the contract, and comply with any decision of the Contracting Officer.

Alternate I. As prescribed in 33.215, the contracting officer may substitute the following paragraph (i) for paragraph (i) of the basic clause:

(i) The Contractor shall proceed diligently with performance of this contract, pending final resolution of any request for relief, claim, appeal, or action arising under or relating to the contract, and comply with any decision of the Contracting Officer.
