About this file
This is a Justification and Approval for Other than Full and Open Competition document for a sole source bridge contract. Contract 47PG0118D0021, awarded to SDS Joint Venture, provides Operations and Mechanical Maintenance Services at the Robert V. Denney Federal Building and Courthouse in Lincoln, Nebraska. The current contract expires March 31, 2026, and the bridge extension will cover the interim period from April 1, 2026, through September 30, 2026, at a cost of $380,556.12 on a firm fixed-price, performance-based basis with no additional option periods.
The justification for sole source procurement under RFO 6.103-2 (Unusual and Compelling Urgency) and 41 U.S.C. §3304 cites the specialized knowledge and experience that only SDS Joint Venture possesses regarding the complex facility operations. The six-month gap exists because the current Operations and Mechanical Maintenance contract expires before the new Complete Facilities Maintenance Contract becomes effective on October 1, 2026. Bringing in a different contractor for this short period would create significant risk due to increased pricing, potential performance failures, and substantial phase-in and phase-out costs. The Contracting Officer determined the pricing is fair and reasonable based on comparison against the Independent Government Estimate for the upcoming Complete Facilities Maintenance contract. No additional market research was conducted. The justification will be posted to the Government Point of Entry within 30 days of award in accordance with federal regulations. The subsequent Complete Facilities Maintenance Contract will utilize full and open competition with small business set-asides and is anticipated to begin performance on October 1, 2026.

Identification of the statutory authority permitting other than full and open competition
RFO 6.103-2, Unusual and compelling urgency
41 U.S.C. 3304, Use of Noncompetitive Procedures
Demonstration that the proposed contractor’s unique qualifications or the nature of the acquisition requires use of the authority cited
Docusign Envelope ID: FE8EF160-5C09-47CC-9E59-FC4DBB7700F6
As part of a nationally promoted and supported initiative known as Strategic Acquisition for Quality Services (SAQS), all PBS Regions have been tasked with taking a holistic approach to all recurring service contracts within their portfolios to strategically reduce the number of contracts in our portfolio, utilize SUM/BIC contracts and/or Category Management, increase use of best value trade-off procedures, as well as shifting to a Facilities Engineering approach to our operations and mechanical maintenance services. In order to align with this initiative, Facilities Maintenance and Elevator Maintenance services for the Robert V. Denney Federal Building and Courthouse, Edward Zorinsky Federal Building, and the Roman L. Hruska Courthouse, as well as Janitorial and Related Services for the Roman L. Hruska Courthouse, will all be provided through a Complete Facilities Maintenance contract, which will be effective 10/01/2026. This will provide greater value (through savings and efficiency) than procuring services for these buildings separately.
The Operations and Mechanical Maintenance contract for the Robert V. Denney Federal Building and Courthouse is set to expire 03/31/2026, which is six months short of the effective date for the new Complete Facilities Maintenance contract. Only one contractor in the Region possesses the specialized experience and knowledge of the intricacies of these facilities (SDS Joint Venture). The risk of bringing in a different contractor to perform services for this short period of performance (04/01/2026 - 09/30/2026) would be significant in terms of increased pricing and potential performance failure(s) at the site. There would also be significant phase-in and phase-out activity associated with this transition that would not be practical or realistic considering the complex nature of these services.
Based on the short time period available, a sole source procurement utilizing RFO 6.103-2 is the Government’s only viable option to ensure services are maintained and the building is operated in a safe condition with a responsible, dependable vendor.
Description of efforts made to ensure that offers are solicited from as many potential sources as is practicable, including whether a notice was or will be publicized as required by RFO subpart 5.101
Due to the circumstances under which this bridge/extension is required, it is impracticable for the Government to request offers from as many potential sources as possible (see above). Only one vendor has the ability to continue services without the need for additional site visits, interstate travel, and phase-in of new employees, equipment, and other items necessary to provide the requested services.
During this bridge contract period of performance the Government will work to submit a solicitation to the Multiple Award Schedule (MAS) under RFO Part 8.4. This solicitation will be for a negotiated, performance based, requirements contract that will be set-aside for total small businesses in accordance with RFO 6.102-2 and 19.104-1. The expected beginning of performance for the new solicited award will be 10/01/2026.
No synopsis is required for this contract action in accordance with the exception identified under RFO 5.101(b)(2): Unusual and compelling urgency. This bridge contract must be awarded before the current contract expires 03/31/2026. The Government would be seriously injured if full and open procedures, including synopsis requirements specified in RFO 5.101, were provided for.
However, in accordance with 41 U.S.C §3304 and RFO 6.301 the justification for non-competitive procedures will be posted to the Government Point of Entry (GPE) within 30 days of award of the extension.
Determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable
The Contracting Officer has determined the anticipated cost of this bridge contract to be fair and reasonable. SDS Joint Venture’s pricing was evaluated against the IGE for the upcoming Complete Facilities Maintenance contract, as well as current prices (as noted in the “Memo to File for Pricing” document within the modification folder). A total cost evaluation found that SDS Joint Venture’s prices were below the IGE prices for a six month contract and were found to be fair and reasonable. Each individual CLIN was also evaluated and found to be fair and reasonable.
Description of the market research conducted and the results or a statement of the reason market research was not conducted
No additional market research has been conducted for this bridge/extension.
Any other facts supporting the use of other than full and open competition
Failure to extend current Operations and Mechanical Maintenance services at the Robert V.
Denney Federal Building and Courthouse will result in necessary services not being performed to maintain the building at a safety level necessary for tenant occupancy. This would be in violation of our occupancy agreements with our tenant agencies and would likely result in preventable damage to the building and expensive repairs.
A listing of the sources, if any, that expressed, in writing, an interest in the acquisition
N/A - none.
A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required
Operations and Mechanical Maintenance Services will be re-procured under the Complete Facilities Maintenance Contract. This procurement is anticipated to use full and open competition after exclusion of sources in accordance with RFO 6.102-2, with set-asides for small business concerns. This procurement will be conducted during the period of performance of this bridge/extension. The Complete Facilities Maintenance Contract will have an effective date of 10/01/2026.
