About this file

This document is a Request for Proposal (RFP) issued by California State Polytechnic University, Pomona (Cal Poly Pomona) to seek a qualified consultant to provide services for identifying various public financing options for pre-development expenses and infrastructure implementation for the Lanterman project. The Lanterman project is a 300-acre former hospital complex owned by Cal Poly Pomona, which the university envisions developing into a university-related mixed-use community. The selected consultant should have experience in municipal bond and public financing vehicles related to land use planning, project entitlement, and infrastructure programs. The RFP outlines a three-task scope of work, including a start-up meeting, analysis of public finance options for pre-development costs and infrastructure costs, and potential assistance with implementation of a selected public finance option. Proposals are due on August 15, 2024, and the term of services is expected to commence on September 2, 2024.

The RFP includes information on the evaluation and selection criteria, which will consider the consultant's methodology, relevant experience, pricing, and references. The RFP also addresses small business and disabled veteran business enterprise (DVBE) participation requirements and preferences. Cal Poly Pomona aims to identify financing approaches that offer a lower cost of capital and faster timelines compared to current private sector equity and debt options, with preliminary estimates suggesting pre-development costs of $6 to $15 million and infrastructure costs of $75 to $80 million.

INTRODUCTION & GENERAL PROVISIONS

1.1 INTRODUCTION AND BACKGROUND

The purpose of this Request for Proposal (RFP) is to seek a qualified consultant to provide Cal Poly Pomona with adequate services for identifying various public financing options for pre-development expenses and infrastructure implementation for Lanterman. This aims to achieve financing of pre-development costs and site infrastructure at a lower rate and in a faster timeframe than private equity and debt sources currently available.

1.2 CAL POLY POMONA BACKGROUND

Cal Poly Pomona is part of the 23-campus California State University (CSU), the largest four-year comprehensive public higher education system in the world. We are an economic engine in California, adding more than 100,000 graduates annually to the skilled workforce and providing more than 150,000 jobs.

1.3 LANTERMAN PROJECT BACKGROUND

Cal Poly Pomona owns the 300-acre former Lanterman Hospital Complex located at the Site of the former Lanterman Development Center, approximately one mile from the main campus. The university envisions the development of a university-related mixed-use community including both affordable and market-rate housing, an innovation district, and a community center. The selected consultant will be provided with detailed information, including a proposed phasing plan after selection. The selected candidate should have experience in municipal bond and public financing vehicles, particularly related to land use planning, project entitlement, and infrastructure programs.

Cal Poly Pomona previously embarked on a developer solicitation process which resulted in the selection of a master developer for the Lanterman site. ENA negotiations have not been completed.

1.4 TERM OF SERVICES

The term of services shall commence on TBD.

1.19 SMALL BUSINESS PREFERENCE

The State of California requires agencies to provide a five percent (5%) preference when awarding agreements to small businesses or a non-small business that commits twenty-five percent (25%) of the agreement value to a certified small business. The five percent (5%) certified small business preference shall not exceed $50,000.00 in accordance with

G.C. 14835 et seq. Only small businesses certified by the Office of Small Business and DVBE Services (OSDS) are eligible to receive the preference.

In solicitations where an award is to be made to the lowest responsive bidder, the preference is applied by factoring 5 percent (5%) of a non-small business low bid total and subtracting this amount from the small business bid total.

Proposers wishing to claim the Small Business Preference must comply with and complete the Small Business Preference Form (Attachment B).

1.20 DISABLED VETERAN BUSINESS ENTERPRISE (DVBE)

California state law requires that its state agencies achieve a minimum of three percent (3%) participation for disabled veteran business enterprises (DVBE) in state agreements. For this RFP solicitation, the minimum three percent (3%) is waived.

The minimum incentive a qualifying Proposer can receive is one percent (1%). The combination of preferences with a DVBE incentive cannot exceed ten percent (10%) or $100,000, whichever is less. A non-small business cannot displace a California certified small business from the top-ranked position due to application of preferences or incentive.

1.20.1 CEQA Compliance

“The Parties acknowledge and agree that nothing in this RFP shall be construed to compel the CSU to approve or make any particular findings with respect to any environmental documentation that is prepared, pursuant to the California Environmental Quality Act (Cal. Pub. Res. section 21000, et seq., Title 14, Cal. Code Regs. section 15000 et seq.) (“CEQA”) for the Project. The Parties shall comply with CEQA. Nothing in this RFP shall commit or be interpreted to commit either Party to a definite course of action with respect to the Project, preclude the consideration of feasible mitigation measures and, if applicable, alternatives, or limit denial of the Project, prior to the certification, approval, or consideration of a CEQA compliance document. This RFP does not require either Party to approve or carry out the Project.”

Upon finalization of an Agreement, no Proposer shall be entitled to either additional compensation or time by reason of any error or its later correction.

1.22 PROTESTS

By submitting a proposal, Proposer certifies that it is not a scrutinized company as defined herein. False certifications shall cause the proposal to be invalidated. For purposes of this section, a “scrutinized company” is a person who has been found to be in violation of Section 13(p) of the Securities Exchange Act of 1934 by final judgment or settlement entered in a civil or administrative action brought by the Securities and Exchange Commission and the person has not remedied or cured the violation in a manner accepted by the commission on or before final judgment or settlement.

1.27 DARFUR CONTRACTING ACT – SCRUTINIZED COMPANY

PCC sections 10475 et seq., the Darfur Contracting Act of 2008, established restrictions against contracting with any Proposer conducting certain types of business in Sudan. SECTION III

SCOPE OF WORK

3.1 INTRODUCTION & BACKGROUND

Task 1: Start-Up Meeting

• The Consultant will organize and conduct a start-up meeting with California State Polytechnic University, Pomona. The Consultant will prepare an agenda, propose a detailed scope of work, and outline a schedule for the project. Include a preliminary schedule with milestones and activities for the execution of this task.

Task 2: Public Finance Options

• California State Polytechnic University, Pomona aims to identify and evaluate financing approaches for pre-development costs and future infrastructure costs that offer a lower cost of capital and faster timelines compared to current private sector equity and debt options. Preliminary estimates suggest pre-development costs may range from $6 to $15 million to achieve California Environmental Quality Act (CEQA) certification by the CSU Board of Trustees. Very preliminary budgets for site infrastructure may be in the range of $75 to $80 million (2023 Dollars).

The Consultant shall present a comprehensive narrative of grant programs and public finance options addressing three categories of costs:

• Upfront Predevelopment Costs: Identify grant programs and public finance options for upfront predevelopment expenses, including planning, preliminary engineering, environmental studies, CEQA compliance, and transaction document negotiations (e.g., development agreements and ground leases). Assess the feasibility of issuing tax-exempt bonds before the generation of tax revenues. Outline the guarantees required from California State Polytechnic University, Pomona, and/or the developer. Explore creative approaches that could lower costs and accelerate entitlement. Compare these approaches to direct funding of predevelopment costs by California State Polytechnic University, Pomona in terms of time and cost.

• Infrastructure Costs: Identify grant programs and public financing options for traditional infrastructure costs, including utilities, streets, stormwater management, etc.

Determine whether California State Polytechnic University, Pomona, as a non-profit, can utilize these financing options under existing legal authorities. Potential options may include Cost Sharing Agreements, Community Revitalization and Investment Authority Districts, Community Facilities Districts, Enhanced Infrastructure Financing Districts, and state and federal grant programs.

• Ongoing Infrastructure Maintenance and Operating Costs: Evaluate the extent to which each identified financing authority can provide for ongoing maintenance and operating costs.

• Narrative Report: The analysis should identify jurisdictions within the site boundaries and for each financing alternative, provide a list of potential funding sources, pros and cons for California State Polytechnic University, Pomona, implementation steps, and a preliminary timeline. The report should address the merits of establishing a single master district versus multiple smaller districts. The pre-development cost analysis should include a cost and schedule comparison against direct funding of pre-development costs by California State Polytechnic University, Pomona through CEQA certification.

• The Consultant is not required to prepare a financial estimate of project value or public financing cash flows. This additional work may be requested at California State Polytechnic University, Pomona’s discretion.

• Include a preliminary schedule with milestones and activities for the execution of any function of Task 2.

Task 3: Public Finance Implementation

• If a public finance option is deemed viable and California State Polytechnic University, Pomona decides to proceed, the Consultant will assist the University in implementing the selected option, and is prohibited from serving as a “Broker” in the placement of the public financing vehicle.
