About this file

This is a General Requirements document for a construction contract issued by the University of Massachusetts Chan Medical School for the DiMare Building A Level Vivarium Renovation project (UMWOR-15995). The project scope includes supplemental cooling with a water-cooled condenser in the cagewash, dehumidification in food storage rooms NA-1082 and NA-1074, and capture hood exhaust on both the clean and dirty sides of the tunnel washer. General bidders must be certified in General Building Construction, with filed sub-bids due by June 17, 2026 at 2:00 PM EDT. The construction documents include architectural, mechanical, and electrical drawings with detailed specifications across multiple divisions. The contract is subject to Massachusetts General Law Chapter 149, Section 44A-F, indicating it is a public construction project subject to prevailing wage requirements.

The contract establishes detailed procedures for changes, including Change Order Requests that must be submitted within twenty calendar days of triggering events, with the Owner retaining authority to issue Unilateral Change Orders if agreement cannot be reached. Extra work compensation is structured with materials marked up 12.5 percent, labor at prevailing wage rates plus up to 15 percent for burden, and equipment rental at Rental Blue Book rates with no markup. The document prohibits explosives use without Owner approval, restricts smoking to tobacco-free campus standards, and requires contractors to maintain negative air pressure or HEPA filtration to prevent airborne contaminants. Work is limited to 7:00 AM to 5:00 PM Monday through Friday except by written Owner approval, and contractors must secure parking at their own expense. All construction personnel require identification badges and must check in/out at the Operations Console, with Owner internal permits required for specific work types including construction, electrical, plumbing, and mechanical work.

Article 1. Definition

Section 011000 is intended to tailor the standard General Conditions and General Requirements of the

Contract for Construction to fit the unique needs of a particular construction project, addressing specific concerns or desired outcomes that might not be covered by the standard General Conditions or General

Requirements.

Article 2. Modification Process

The Owner shall identify any required modifications to General Conditions and General Requirements in this Section. The Contractor may propose other modifications which, if accepted, will be incorporated into this Section before execution of the Construction Contract. Thereafter, any modification of the General

This Section modifies the General Conditions and General Requirements of the Contract for

Construction. In case of any conflict, this section takes priority and precedence over both the General

Conditions and General Requirements. This Section does not otherwise change the order of priorities among the Contract Documents established by the General Conditions. Without limitation, Contract

Modifications, Change Order and the Contract for Construction will continue to take priority over this

Section. Additionally:

3.1. Statutory, executive orders, and other legal requirements cannot be modified or altered; and

SECTION 012200 | UMass Chan General Requirements of the Contract c. 149 | umassmed.edu 25

J. SECTION 012200: Unit Pricing

Article 1. Definition

Unit Price refers to the amount proposed by the Contractor and stated within the Proposal as a price per unit of measurement for materials and services in place that may be added to or deducted from the

Contract Price.

Article 2. Quantities

The Proposal should be based upon the quantities and measures indicated in the Contract Documents at the time of the Proposal, but the Contract Price will be adjusted based upon the actual Work installed, provided the Contractor notifies the Owner in writing before exceeding the amounts in the Proposal.

Adjustments in the Contract Price will be based on actual Work installed.

Article 3. Payment

Unit pricing shall include all required labor, products, tools, equipment, plant, transportation, services and incidentals, and installation of an item of Work, overhead and profit.

Unit price work shall be documented in writing, certified by the Contractor, and submitted weekly to the

Consultant for approval. Document shall include, for each Unit Price item: type of work, original proposed quantity, quantity completed to date, remaining quantity to date, and location. A Contractor’s signed certificate under the penalties of perjury that payments have been made by him/her to all Subcontractors in compliance with the provisions of Section 39F of Chapter 30 of the General Laws of Massachusetts and that such estimate is correct for Work done and material furnished for the period shown.

Final payment for Work governed by unit prices will be made on the basis of the actual measurements and quantities accepted by the Owner multiplied by the unit price for Work which is incorporated in or made necessary by the Work.

The Owner reserves the right to reject the Contractor’s measurement of work-in-place that involves established unit prices and to have this Work measured by an independent third party at Owner’s expense. The Contractor shall provide safe and ample access to the Owner’s surveyor for verification of the Unit Price Work.

Article 4. Installation

Unit price Work shall be installed in accordance with the applicable section of these Specifications.

Article 5. Unit Price Changes

The quantities of units specified in the Proposal are merely estimates of the quantities required to perform the work contemplated by this Contract, and the Owner reserves the right to increase or reduce the quantities of any such units as it may deem necessary.

SECTION 012200 | UMass Chan General Requirements of the Contract c. 149 | umassmed.edu 26

Changes to major contract unit price items (excess than 20% of total contract award) could be subject to renegotiation if a major contract item is changed by more than 25%.

Unit Price Projects overrun and underrun estimated quantities over the course of an entire project. A change is not required to reconcile quantities during the project unless there is a risk of an overrun on the total contract value. Therefore, reconciliation is to occur at the end of the project through a formal change order.

L. SECTION 012500: Substitution Procedures

Article 1. Definition

Substitutions include changes in products, materials, equipment, and methods of construction from those required by the Contract Documents and proposed by the Consultant.

Article 2. Process

Where products or materials are specified by the manufacturers' name, or catalog reference, the words

"or approved equal" shall be understood to follow. An item shall be considered equal to the item so named or described if:

a) It is at least equal in quality, durability, appearance, strength and design.

b) It performs at least equal to the function imposed by the general design for the work.

c) It conforms substantially, even with deviations, to the detailed requirements for the item as indicated by the Specifications.

The Contractor's proposal, however, shall be based on the use of any products or material specified, and where two or more products or materials are specified, the choice of these shall be optional with the

Contractor.

Contractor substitution requests can be submitted during the bidding phase to avoid a potential rejection after the Contract Award. Bidding phase substitution requests shall be submitted no less than ten (10) calendar days prior to the bid due date. Approved substitution requests during the bid phase will be issued in a pre-bid addendum.

Should the Contractor, after award of the Contract, wish to substitute or use any product or materials other than those specified or indicated in the contract documents, the Contractor shall request permission for the substitution within fourteen (14) calendar days after Notice to Proceed via the Owner's Substitution

Request form. The request shall present and fully describe, with product data, shop drawings, and test results, the proposed substitution, identifying product or fabrication or installation method to be replaced.

The requests shall state the difference, if any, in the contract price associated with the substitution, should it be accepted. The Contractor’s request for materials substitution shall also include a statement of the contractor’s acceptance of responsibility for costs, time, and coordination with other trades associated with the requested substitution.

Upon receipt of the complete substitution request form, Consultant will consider the request and advise the Contractor in writing of the decision. If the Owner does not accept the Consultant’s recommendation, it will document the reasons for accepting or rejecting the proposed substitution. In reaching a decision, the Owner and/or Consultant may consider any or all of the following:

a) Maintenance issues (e.g. parts availability, training and inventory/standardization);

SECTION 012600 | UMass Chan General Requirements of the Contract c. 149 | umassmed.edu 30

M. SECTION 012600: Contract Modifications and Changes

Procedures

Article 1. Definition

After execution of the Contract, changes may be made to the Scope of Work, the Contract Price and/or the Contract Time (each a “Change”) without invalidating any portion of the Contract Documents by either a (i) Bulletin (reference Section 012646) or (ii) Contractor Initiated Change. All Changes shall be performed in accordance with and consistent with the Contract Documents.

Article 2. Process

All Changes to the Scope of Work, the Contract Price and/or the Contract Time must be addressed through the Change Order process outlined in this Article. The Change Order process may be initiated by the Consultant through the issuance of a Bulletin (whether in response to an RFI or otherwise) or by the Contractor on their own initiative. Changes to the Scope of Work and/or to the Contract Price may be addressed in a single Change Order. Changes to the Contract Time require a separate Change Order.

2.1. Process for Proposed Changes to the Scope of Work and/or the Contract Price as follows:

a) In response to a Bulletin, or on Contractor’s own initiative:

The Contractor may submit a timely Change Order Request for a Change in the Scope of Work and/or the Contract Price. Such Change Order Request shall be submitted within the time frame specified in the Bulletin if applicable or within twenty (20) calendar days of the occurrence of the event which the Contractor believes warrants a Change in the Scope of Work and/or the Contract

Price.

b) With respect to a proposed Change in the Scope of Work (including but not limited to Changes required due to unforeseen conditions):

The Contractor will submit a Change Order Request with a description of the proposed Change.

If the Consultant and Owner agree that a Change in the Scope of Work is warranted, they may approve the Change Order Request or negotiate in good faith with the Contractor to determine the extent of the Change. The Owner may issue an agreed-upon Change Order or a Unilateral

Change Order defining the scope of the Change.

If the Owner denies the Change Order Request or issues a Unilateral Change Order defining the

Change in a way which the Contractor rejects, the Contractor may bring a timely claim as provided in Section 012648 Claims (within fourteen (14) calendar days of the denial of the

Change Order Request or issuance of the Unilateral Change Order as applicable) but in any event shall perform all Work at issue as directed by the Owner.

c) With respect to a proposed Change in the Contract Price:

SECTION 012600 | UMass Chan General Requirements of the Contract c. 149 | umassmed.edu 31

For Unit Price Contracts

The Contractor shall submit a list of units with proposed quantities and unit prices not identified in the bid.

The Owner shall issue a Change Order for any quantities approved by the Owner.

For Lump Sum Contracts or Proposals

The Contractor’s Change Order Request will include a proposed lump sum Change in the

Contract Price.

If the Consultant and Owner do not agree that a Change in the Contract Price is warranted, the

Owner shall reject the Change Order Request with respect to the requested Change in the

Contract Price. The Owner may issue a Unilateral Change Order with no Change to the Contract

Price. The Contractor may bring a timely claim as provided in Section 012648 Claims (within fourteen (14) calendar days of the denial of the Change Order Request or issuance of the

Unilateral Change Order, as applicable) but in any event shall perform all Work at issue as directed by the Owner.

d) If the Consultant and Owner agree that an adjustment in the Contract Price is warranted, they may accept the Contractor’s proposal or negotiate in good faith over the amount of the Change.

If the parties agree as to the Change in Contract Price, they shall sign an agreed-upon Change

Order and the Contractor shall perform the Work at issue for the agreed-upon Change in Contract

Price.

If the parties are unable to reach agreement, the Owner may issue a Unilateral Change Order with a not-to-exceed amount. The Contractor shall perform the Work at issue on a time and materials basis. Upon completion of the Work at issue, the Contractor shall provide supporting documentation in accordance with Article Four, below, and the parties shall negotiate in good faith to reach an agreed Change to the Contract Price.

For All Other Contracts or Proposals

The Contractor’s Change Order Request for a Change in the Contract Price will include a good faith

Order of Magnitude Estimate (OME.)

1) If the Consultant and Owner do not agree that a Change in the Contract Price is warranted, the

2) If the Consultant and Owner agree that an adjustment in the Contract Price is warranted, they may ask the Contractor to submit a lump sum proposal, in which case the procedures outlined above (“For Lump Sum Contracts and Proposals”) will apply.

In the alternative, if the Consultant and Owner agree that an adjustment in the Contract Price is warranted, the Owner shall issue either an agreed-upon Change Order adopting the Contractor’s

OME or a Unilateral Change Order adopting such other OME as the Owner may approve in its discretion. In either event, the Contractor shall perform the Work at issue on a time and materials basis. Upon completion of the Work at issue, the Contractor will provide supporting documentation in accordance with Article Four, below, and the parties will negotiate in good faith to reach an agreed

Change to the Contract Price.

2.2. Process for Changes to Contract Time as follows:

a) The Contractor shall submit a Change Order Request with a schedule analysis and cost impact in accordance with Section 012647 - Delays and Extension of Time. Such analysis shall address all applicable affected elements of the Work, including but not limited to labor crews, craft levels, equipment utilization, work during other than normal working hours, production rates, shop drawing preparation, submittal, and review, material and equipment delivery, installation and testing, and start-up times.

b) The Consultant and/or Owner shall review the schedule analysis.

1) If the Consultant and/or Owner determines that a Change in the Contract Time is not warranted, the Consultant shall deny the Change Order Request. The Contractor may bring a timely claim as provided in Section 012648 - Claims (within fourteen (14) calendar days of the denial of the Change Order Request) but in any event shall perform all Work at issue as directed by the Owner.

2) If the Consultant and/or Owner determine that a Change in the Contract Time is warranted, it shall negotiate in good faith with the Contractor concerning the extent of the Change.

3) If the parties agree to the Change in the Contract Time, the Contractor shall submit a Change

Order Request to finalize the agreed upon Change and the Owner shall issue a Change

Order.

4) If the parties are unable to agree to a Change in the Contract Time, the Contractor shall issue a Unilateral Change Order. The Contractor may bring a timely claim as provided in Section

012648 - Claims (within fourteen (14) calendar days of the issuance of the Unilateral Change

Order) but in any event shall perform all Work at issue as directed by the Owner.

c) For clarity, a Change to the Contract Time may entail a Change to the Contract Price (for example, overhead and management costs) not otherwise addressed in a Change Order approving a Change to the Scope of Work.
