EXHIBIT B

NATIONAL SECURITY TECHNOLOGIES, LLC

TASK ORDER SUBCONTRACT (WELFARE BENEFIT PROGRAM)

STATEMENT OF WORK

B-1 Objectives

Subcontractor shall provide professional, skilled subject matter experts that can provide reliable and experienced welfare benefit plan administrative support services, research and analysis capability, legislative compliance guidance, vendor negotiation capability, and technical expertise on the National Security Technologies LLC (NSTec) Welfare Benefit Program for non-bargaining employees. Plans include a self-insured active and retiree medical plan, prescription drug plan and vision plan; seven Health Maintenance Organizations; insured dental plan; insured short- and long-term disability plans; insured life insurance plans; flexible spending accounts; and other voluntary benefit plans.

B-2 Background

Effective July 1, 2006, NSTec was awarded the Department of Energy (DOE) National Nuclear Security Administration (NNSA) prime contract to manage the Nevada Test Site contract. To ensure that NSTec administers its welfare benefits program in accordance with its contract with DOE, all applicable federal and state laws and regulations, and utilizes best practices, NSTec requires expert Subcontractor assistance. NSTec has approximately 2,600 active employees in 6 geographic locations in 5 states (Nevada, California, New Mexico, Hawaii, and Maryland.) Approximately 2,000 active non-bargaining employees are enrolled in NSTec’s various welfare benefit plans (1,600 of whom reside in the Las Vegas, Nevada area); approximately 600 retirees are enrolled in the medical and life insurance plans. Through an agreement with the Department of Energy, NSTec also provides medical and dental coverage to approximately 90 retirees of Bechtel Petroleum Operations, Inc. (BPOI). NSTec is currently enrolled the Medicare Retiree Drug Subsidy program. Summary Plan Descriptions for NSTec’s Health Care Plans (medical, dental, vision, prescription drug), Disability Plans, Life Insurance Plans, and Flexible Spending Accounts are attached. The NSTec 2008 Benefits Annual Enrollment Brochures for active and non-active plan participants are also attached as reference.

B-3 Statement of Work

Subcontractor shall perform services on a task order basis related to welfare benefit plan research and analysis, legislative compliance and administration of plans offered to employees and retirees located throughout the U.S. All work must be done in compliance with NSTec’s contract with DOE, best business practice, and all applicable federal and state laws and regulations. Subcontractor shall have appropriate systems, processes and procedures in place to ensure best-in-class deliverables. Subcontractor shall provide Key Personnel with appropriate credentials, knowledge, skills, and experience to ensure that all work is of the highest quality, that NSTec achieves the best value for services received, and that all tasks are completed within established deadlines.

B-4 Subcontractor Experience Subcontractor must have a minimum of 10 years experience and must demonstrate minimum ten (10) years experience in program strategy, design, management, and administration with projects involving welfare benefit plan administration, research and analysis, legislative compliance, negotiations with vendors, and technical expertise on insured and self-insured active and retiree medical plans, prescription drug plans, dental plans, vision plans, short-and long-term disability plans, life insurance plans, flexible spending account plans, and other employee voluntary benefit plans.

B-5 Tasks The Task listed in Exhibit A, Consideration Schedule identifies those tasks which may be required on a recurring basis. Some tasks are annual while others are on an as needed basis.

B-6 Deliverables

Deliverables shall be identified in each task order issued against the subcontract.

B-7 Period of Performance

The period of performance will be from July 1, 2008 through June 30, 2013.
