Major subcontractors are defined as members of an Offeror's overall team who are expected to perform ten percent or more of the proposed effort's target cost and do not include labor brokers.

(4) Past Performance Questionnaire. For all contracts identified in Section 1, Contract Descriptions, a Past Performance Questionnaire (Attachment 0011) must be completed and submitted. The Offeror shall complete Part I of the Past Performance Questionnaire and e-mail the questionnaire to mail to:

L.10. VOLUME V - COST FACTOR. Volume V shall contain cost proposal information for all CLINs identified on Attachment 0012. Volume V has no page limits. The cost proposal shall consist of pricing for the Base Performance period, and four one-year evaluated options. An option to extend period of six months will be calculated by the USG. Failure to provide prices for all CLINs is unacceptable and will render the offeror ineligible for award.

L.10.1. General Instructions. Offerors shall submit a proposal in accordance with the contract type structure specified in Section A and B of this solicitation. The proposal shall be for a transition of operations period from award to the Offeror assuming DFAC responsibilities, a base performance period, four one-year evaluated options and a de-mobilization period included in option period 4 based on the CLINs listed on Attachment 0012.

-Non Fee Bearing costs include parts and equipment for building and equipment maintenance, value added tax, incentive pay above applicable department of state guidelines, insurance (including Defense Base Act (DBA) insurance), and Other Direct Costs (ODCs). Fee will only be allowed on value-added costs. Fee bearing and non-fee bearing cost elements are outlined within the PBIF Plan, Section J – Attachment 0009.

L.10.1.1. Proposals may contain macros if the calculations are visible and contained in the MS Excel spreadsheet. A macro is a series of commands and instructions that are grouped together as a single command to accomplish a task automatically.

However, a narrative in MS Word format must be included that provides instructions for operating the macro. If a Teammate/Subcontractor is submitting an independent cost proposal that contains macros, then that Teammate/Subcontractor shall also submit a narrative that explains instructions for operating the macro.

L.10.1.2. Offerors shall state and explain all pricing assumptions and associated rationale. In addition, the Offerors may provide any written explanations or documentation (in addition to the required explanations and documentation above), as deemed necessary, in order to enable the Government to understand the basis for the costs that might seem unreasonable or incomplete. Offerors are cautioned against placing conditions or qualifications upon their cost proposals that are contrary, or otherwise to attempt to amend, the requirements of the solicitation; doing so may result in an offer being deemed unacceptable for award.

L.10.1.3. The Offeror’s Cost Volume shall contain a table of contents outlining all of the documents (by document file name) comprising the Offeror’s Cost Volume.

The table of contents shall identify all of the Offeror’s cost proposal documents as well as all major subcontractor proposal documents.

L.10.1.4. Offerors shall provide details of the proposed prices for all years, CLINs, including supporting documentation for all costs other than Government developed surrogates and Not Separately Priced (NSP) CLINs. Surrogate figures are being developed based on historical data for the parts and equipment for the building and equipment maintenance CLIN. An amendment to this solicitation will provide these figures. The current surrogate numbers will be zero.

L.10.1.5. The Cost Volume shall be submitted in Microsoft Excel compatible format. All electronic spreadsheets in support of the proposal shall be in Microsoft Excel or a compatible format and contain all working formulas and algorithms. PDF files are not acceptable as they do not contain working formulas and algorithms.

L.10.1.6. All costs and expenditure profiles shall be stated in U.S. dollars and rounded to two decimal places. The Offerors Cost Proposal shall summarize total prices for the base year, and each of the four option years.

L.10.1.7. The Offeror shall provide a narrative to explain the flow of data to a summary from the detailed calculations within the electronic proposal.

Explanations should address the mechanics of the detailed calculations (i.e. pivot tables, lookup tables, and cell name definitions).

L.10.1.8. The Offeror shall provide a basis of estimate for all costs. Any assumption that alters or supplements terms or conditions contained in this solicitation or, as amended, will result in the Offeror’s proposal being rejected and the Offeror being removed from award consideration.

L.10.1.10. Failure to propose costs for all CLINs, with the exception of the NSP CLINs, may result in the Offeror being ineligible for award.

L.10.1.11. The basis of award will be a total evaluated price (TEP) of the base performance period and four one-year evaluated option prices for all CLINs. The TEP will also include an additional six-month extension in accordance with FAR 52.217-8, Option to Extend Services. Offerors are not required to propose anything for the six-month extension period; the Government will evaluate the Extension of Services Clause, FAR 52.217.8, by adding 50% of the fourth option year total price with the exception of de-mobilization costs to the Offeror’s total price for each CLIN.

L.10.1.12. Transition Areas of cost to be considered (not a complete list nor are these elements mandated) that shall be included in the transition period from Award to the Offeror assuming DFAC responsibilities:

L.10.1.12.1. All required inventories, inspections, assessments.

L.10.1.12.2. All coordination, planning, travel, other meetings, events.

L.10.1.12.3. All human resources actions, planning, notifications, security clearance application/processing, employee identification requirements.

L.10.1.12.4. Any potential direct labor costs associated with performance prior to end of transition-in periods.

L.10.1.12.5. Other key events, coordination, milestones, supplies, materials, processes, applications, services.

L.10.1.13. A proposal is presumed to represent the Offeror's best efforts in response to this RFP. Any inconsistency, whether real or apparent, between promised performance and the costs shall be explained in the proposal. For example, if a business policy decision was made to absorb a portion of the estimated costs, that approach shall be stated within the proposal (including any associated calculations). The burden of persuasion as to the cost credibility rests with the Offeror.

L.10.1.14. Proposal Errors/Omissions. The Government is not under any obligation to correct proposal errors/omissions. Those proposals with errors/omissions, where the Government is unable to ascertain the Offeror's intent without discussions shall be removed from further consideration.

L.10.2. Specific Instructions. The cost proposal shall be fully supported in accordance with the instructions detailed below.

L.10.2.1. The Offeror shall submit a table of contents outlining all of the documents (by document file name) comprising the Offeror's Cost/Price Volume.

If a Teammate/Subcontractor is submitting an independent cost/price proposal, then that Teammate/Subcontractor shall also submit a table of contents outlining all of the documents (by document file name) comprising the Teammate's/Subcontractor's Cost/Price Volume.

L.10.2.2. The Offeror shall provide an overall Cost/Price Matrix which summarizes the transition periods, base period, all option periods, de-mobilization, and overall proposed price for the contract. The Offeror shall complete Attachment 0012 - Cost/Price Matrix for the base year and option years by populating the highlighted blue cells. All un-highlighted cells are formula driven.

For areas that the Offeror intends to propose no cost, Offerors shall populate those cells with a zero (0). Offerors shall not unlock/unprotect the Attachment 0012 - Cost Price Matrix Tab 1.

L.10.2.2.1. Failure to provide a fully populated (all highlighted blue cells) Cost/Price Matrix - Attachment 0012 shall render the Offeror's proposal non-compliant. The proposal will not be further evaluated and will not be further considered for award.

L.10.2.3. The Offeror shall provide all cost/pricing assumptions and associated rationale in a narrative format. If a Teammate/Subcontractor is submitting an independent cost proposal, then that Teammate/Subcontractor shall also provide all of its cost/pricing assumptions and associated rationale in a narrative format.

L.10.2.4. Offerors shall provide the POC name and local DCAA office address, phone number and e-mail address for the prime Offeror and all subcontractors within the Cost Proposal.

L.10.2.5. With respect to cost, the proposal is presumed to represent the Offeror’s best effort in responding to the solicitation. Any significant inconsistency between promised performance and cost should be explained by the Offeror in its proposal.

L.10.2.6. Data Other Than Certified Cost or Pricing Data. The Government anticipates receiving competitive proposals and using competition to determine price reasonableness. However, the Government reserves the right to request data other than certified cost or pricing data and/or subcontract prices after receipt of proposals. If required, data other than certified cost or pricing data must be submitted in accordance with the instructions specified at FAR 15.403-5, Instructions for Submission of Certified Cost or Pricing Data and Data Other Than Certified Cost or Pricing Data.

L.10.2.7. L.10.3.1. Offerors shall provide a full breakdown of the proposed costs. The proposal shall breakdown the labor cost by CLIN, subCLIN (Operations, Building Maintenance, and Equipment Maintenance) and by position. The labor breakdown shall include the following for each position: headcount (full-time equivalents), available hours, productive hours, scheduled overtime hours, base labor rate, overtime labor rate, cost of living adjustment (COLA) if applicable, post differential - if applicable, end of service benefit, fringe benefits, other direct costs and life support including, but not limited to, pre-deployment physicals/medical costs, Kuwaiti Visas, other Kuwaiti residency requirements as applicable, employee drivers licenses, sponsorship, housing, local transportation, rest and recuperation (R&R), mobilization, demobilization, DBA insurance, overhead, general and administrative (G&A) cost, and profit.
