About this file

This is a City's Contract Terms attachment for San Francisco Municipal Transportation Agency (SFMTA) Sourcing Event 0000012037 SFMTA-2027-01-FTA, which establishes the procurement framework for precast ADA accessible stops along the J and M Muni light rail lines. SFMTA seeks qualified fabricators to design, engineer, fabricate, and deliver modular precast reinforced concrete platforms and ramps at eight separate locations to increase transit and pedestrian safety and accessibility while minimizing service disruptions. The project includes fabrication of boarding platforms, ramps, retaining walls, and integrated elements such as tactile warning strips, platform edge guards, railing attachment plates, drainage inserts, anti-slip coatings, and anti-graffiti coatings. Fabrication and delivery are sequenced across eight locations with the first location (San Jose & Niagara) scheduled for September 14, 2026 through October 30, 2026, and the final location (19th & Monticello) scheduled for May 17, 2027 through June 1, 2027. Prospective bidders are invited to attend an optional pre-bid site walk-through to inspect field conditions and evaluate installation constraints. The fabricator must obtain PCI Certification Group C (Category C2, C3, or C4) or Group A1 and employ a California licensed structural engineer to prepare all design documents and shop drawings.

Pricing shall be submitted as a lump sum bid for each of the eight locations, with all associated costs for the complete scope of work included in each bid price; bids failing to include all components will result in disqualification. All precast elements must comply with the 2025 San Francisco and California Building Codes, ACI 318, and applicable standards including ADA Standards for Transportation Facilities. Individual precast pieces shall not exceed 10.0 tons to ensure safe handling within overhead and trackway clearance restrictions. The fabricator must maintain Commercial General Liability Insurance with limits of $1,000,000 per occurrence, Commercial Automobile Liability Insurance at $1,000,000 combined single limit, and Workers' Compensation at statutory amounts with Employers' Liability Limits of $1,000,000 per accident, injury, or illness. The contract is subject to budget and fiscal provisions of the City's Charter with the City's payment obligation not to exceed the amount certified by the Controller. The precast fabricator provides a structural and precast warranty of five years from final project acceptance and a minimum two-year warranty on integrated components from final project acceptance or the manufacturer's standard warranty period, whichever is longer. The project is FTA-funded, and SFMTA retains an independent third-party inspection agency to perform daily on-site quality control inspections at each key hold point throughout the manufacturing process.

or, the City may return deliveries already made and receive a refund.

8. Safety Data Sheets. Where required by law, Contractor will include Safety Data Sheets (SDSs) with delivery for applicable items. Failure to include the SDSs for such items will constitute a material breach of contract and may result in refusal to accept delivery.

9. Taxes. City is exempt from federal taxes except on articles for resale. Contractor will enter state and local sales or use tax, and excise tax if applicable, on invoices.

B. General Contract Conditions

10. Budget and Fiscal Provisions. This Purchase Order is subject to the budget and fiscal provisions of the City’s Charter. Charges will accrue only after prior written authorization certified by the Controller, and the amount of City’s obligation hereunder shall not at any time exceed the amount certified for the purpose and period stated in such advance authorization.

11. Guaranteed Maximum Costs. The City's payment obligation to Contractor cannot at any time exceed the amount certified by the Controller for the purpose and period stated in such certification. Absent an authorized Emergency per the City’s Charter or applicable Code, no City representative is authorized to offer or promise, nor is the City required to honor, any offered or promised payments to Contractor under this Purchase Order in excess of the certified maximum amount without the Controller having first certified the additional promised amount and the Contractor and City having modified this Purchase Order as authorized by amendment and approved as required by law. The Controller is not authorized to make payments on any Purchase Order for which funds have not been certified as available in the budget or by supplemental appropriation.

12. Submitting False Claims; Monetary Penalties. Pursuant to San Francisco Administrative Code §21.35, any Contractor, subcontractor or consultant who submits a false claim shall be liable to the City for the statutory penalties set forth in that section. Contractor shall indemnify and save harmless City and its officers, agents and employees from, and, if requested, shall defend them from and against any and all liabilities (legal, contractual, or otherwise), losses, damages, costs, expenses, or claims for injury or damages (collectively, “Claims”), arising from or in any way connected with Contractor’s performance of the Purchase Order, including but not limited to, any: (i) injury to or death of a person, including employees of City or Contractor; (ii) loss of or damage to property; (iii) violation of local, state, or federal common law, statute or regulation, including but not limited to privacy or personal identifiable information, health information, disability and labor laws or regulations; (iv) strict liability imposed by any law or regulation; or (v) losses arising from Contractor’s execution of subcontracts not in accordance with the requirements of this Purchase Order applicable to subcontractors except to the extent that such indemnity is void or otherwise unenforceable under applicable law, and except where such Claims are the result of the active negligence or willful misconduct of City and are not contributed to by any act of, or by any omission to perform some duty imposed by law or agreement on Contractor, its subcontractors or either’s agent or employee. The foregoing indemnity shall include, without limitation, reasonable fees of attorneys, consultants and experts and related costs and City’s costs of investigating any claims against the City. In addition to Contractor’s obligation to indemnify City, Contractor specifically acknowledges and agrees that it has an immediate and independent obligation to defend City from any claim which actually or potentially falls within this indemnification provision, even if the allegations are or may be groundless, false or fraudulent, which obligation arises at the time such Claim is tendered to Contractor by City and continues at all times thereafter. Contractor shall indemnify and hold City harmless from all loss and liability, including attorneys’ fees, court costs and all other litigation expenses for any infringement of the patent rights, copyright, trade secret or any other proprietary right or trademark, and all other intellectual property claims of any person or persons arising directly or indirectly from the receipt by City, or any of its officers or agents, of articles or services to be supplied in the performance of this Purchase Order. Termination will be effective after ten days’ written notice to Contractor.

In the event of such termination, Contractor will be paid for those goods delivered and services performed, or deliveries made, under this Purchase Order to the satisfaction of the City, up to the date of termination. However, City may offset from any such amounts due Contractor any liquidated damages or other costs City has or will incur due to Contractor’s nonperformance.

Any such offset by City will not constitute a waiver of any other remedies City may have against Contractor for financial injury or otherwise. City shall have the option, in its sole discretion, to terminate this Purchase Order, at any time during the term hereof, for convenience and without cause. City shall exercise this option by giving Contractor written notice of termination. The notice shall specify the date on which termination shall become effective. In the event of such termination, Contractor will be paid for those services performed, or deliveries made, pursuant to this Purchase Order to the satisfaction of the City up to the date of termination. In no event shall City be liable for costs incurred by Contractor or any of its subcontractors after the termination date specified by City. Such non-recoverable costs include, but are not limited to, anticipated profits on this contract, post-termination employee salaries, post-termination administrative expenses, or any other cost which is not reasonable or authorized under this section. This section shall not prevent Contractor from recovering costs necessarily incurred in discontinuing further work, or canceling further deliveries, under the Purchase Order after receipt of the termination notice.

1. Introduction

The San Francisco Municipal Transportation Agency (SFMTA) is implementing capital improvements projects on the J and M lines to increase transit and pedestrian safety, accessibility, and operational efficiency. Part of these improvements is the installation of Americans with Disabilities Act (ADA) compliant accessible platforms and ramps for patrons to board and alight SFMTA light rail vehicles. SFMTA has historically used cast-in-place (CIP) concrete to construct accessible boarding platforms and ramps. This construction method requires temporary shutdown(s) of train service operations on lines adjacent to the new platforms. To mitigate these transit impacts, the SFMTA is piloting the use of modular precast concrete platforms and ramps.

The SFMTA is issuing this invitation for bids to select a fabricator to participate in this piloting effort to be performed at select locations along the J and M transit lines.

2. Scope of Work

The fabricator will engineer, prepare signed and sealed shop drawings, fabricate, transport, deliver modular precast reinforced concrete elements and integrated elements to jobsites, provide assembly and connection instructions, and provide on-site technical services during installation. SFMTA crew or its contractors will install the precast ADA platform and ramp atop existing cast-in-place concrete footings at eight (8) separate locations.

The precast elements will include ramps, platforms, and retaining/support walls, integrated with embedded elements such as tactile warning strips, attachment plates for painted galvanized steel handrailing (to be procured and installed by SFMTA), anti-graffiti coatings, anti-slip surface coatings, grooved finishes, and waterproofing systems.

There is a total of eight (8) locations where SFMTA plans to deploy precast ADA Accessible Stops as listed under Section 12. The fabrication and delivery sequence of eight locations is listed under Section 12. SFMTA reserves the right to modify the total quantity, delivery schedule, and fabrication sequence of ADA Accessible Stops. Work orders for subsequent locations will be released only upon SFMTA’s final acceptance of the completed work at each preceding location.

To illustrate platform and ramp conceptual configurations, SFMTA presents a pre-cast option at Niagara Ave / San Jose Ave as shown in Attachment 4. The Fabricator is responsible for the complete design of the platform and ramps, including perimeter walls, which may be monolithic or constructed from multiple pieces.

Attachments 1 and 2 show Cast-In-Place accessible stop civil and structural drawings for eight (8) locations. Attachment 3 includes specifications and product sheets. Attachment 5 tabulates running slope, cross sloping, ramp slope at eight

(8) locations. Attachment 5 includes a rendering showing a typical boarding island with accessible stop, including concrete foundation and railing.
