52.215-20 REQUIREMENTS FOR CERTIFIED COST OR PRICING DATA AND DATA OTHER THAN CERTIFIED COST OR PRICING DATA (OCT 2010) - ALTERNATE IV (OCT 2010)
(a) Submission of certified cost or pricing data is not required.
(b) Provide information described below:
The offeror shall submit data other than certified cost or pricing data and supporting information prepared in accordance with Attachments 5A and 5B, Prime and Subcontractor Pricing Models, and directions therein (detailed instructions are provided in the Pricing Models). The Pricing Models (Attachments 5A & 5B) are based on labor and ODC estimates for the first year of the ordering period and contain all of the labor categories and hours that are to be used for proposal evaluation purposes. Offerors are to complete the Pricing Models, Attachments 5A and 5B with the information outlined below, and this information will be used as a mechanism to evaluate cost realism and price reasonableness of the submitted offer.
The cost breakdown shall indicate the offeror’s total estimated proposed price for each year and the cumulative proposed price for all years. Any substantiating information submitted must support the cost elements proposed. Include sufficient detail or cross references to clearly establish the relationship of the information provided to the cost proposed. Support any information provided by explanations or supporting rationale, as needed to permit the Contracting Officer and authorized representatives to evaluate the documentation.
PART I--COST LABOR INFORMATION:
(1) Current, actual unloaded rates are to be submitted for any "proposed individual", which includes each individual for which a resume is submitted. Offerors shall modify the pricing models as necessary (i.e. add rows and identify proposed individuals by name) to account for each proposed individual. A "proposed individual" is defined as a current employee specifically proposed to perform an estimated number of hours for a labor category. In accordance with the offeror's disclosed estimating system practices, average unloaded direct labor rates may be submitted for all remaining labor categories/hours, i.e. those labor categories/hours not accounted for under the proposed individuals’ data. Do not submit composite rates encompassing more than one labor category. This cost information shall include, as a minimum, the cost data elements contained in Attachments 5A and 5B, Prime and Subcontractor Pricing Models. Offerors should include additional elements such as overtime rates/hours, premium time rates/hours, etc. as applicable.
This contract is subject to the Service Contract Labor Standards statute and the latest wage determination (WD) for Norfolk, VA is attached (reference RFP Attachment 7). The Department of Labor issued WDs no longer provide a minimum rate for most of the Computer IT categories (Computer Programmers II, III, and IV, and Computer Systems Analysts I, II and III); however, the last WD listing the minimum rate for the computer labor categories established the minimum rate for most of the IT computer related categories at $27.63 per hour. 29 CFR 541.400 states that in order for computer systems analysts, programmers, and other similarly skilled workers to be eligible for exemption as professionals, the employee must be compensated at a rate of not less than $27.63 an hour or $455 a week if considered to be salaried employees. The Prime Pricing model lists the IT computer categories as categories subject to the Service Contract Labor Standards and has established the overtime rate to be 1.5 times the straight time rate. If an offeror considers the IT computer related categories to be professional that intention should be stated in the narrative to the Cost/Price Proposal, and the offeror should revise the Pricing Model(s) to reflect any necessary changes to the overtime rate.
Labor categories shall be escalated, as applicable, based on the offerors’ fiscal year in relation to the performance period identified in Attachments 5A and 5B, Prime and Subcontractor Pricing Models. Offerors shall use actuals, if known, or rates based on historical data, standard practice, or those accepted by Defense Contract Management Agency (DCMA) or Defense Contract Audit Agency (DCAA) for proposal purposes. The narrative to the Cost/Price Proposal must state the escalation rate utilized (if any) and include supporting rationale for the escalation rate proposed.
(2) Uncompensated Overtime - Actual hourly rates submitted shall be derived by dividing the proposed individual’s actual annual salary by 2080 hours, which is based on a 40-hour work week. Any uncompensated overtime proposed shall be clearly identified by labor category within your cost proposal and will be evaluated in accordance with the FAR 52.237-10 “Identification of Uncompensated Overtime” provision in Section L of this solicitation.
PART II--REQUIREMENT FOR DATA OTHER THAN CERTIFIED COST OR PRICING DATA:
In accordance with FAR 15.403-3(b), the following information as prescribed below is required for the purposes of assisting the Contracting Officer in determining the cost realism of competing offers. The term “Data Other Than Certified Cost or Pricing Data” is defined in FAR 2.101.
Offerors shall provide copies of correspondence from DCAA or DCMA regarding the approval of rates and/or systems, such as Forward Pricing Rate Agreements (FPRAs), Forward Pricing Rate Recommendations (FPRRs), Provisional Billing Rates (PBRs), agreed-upon final annual indirect cost rates, and Accounting System Approval (if applicable). If available, provide any updated forward pricing rate information submitted to DCAA/DCMA for review. The correspondence and all attachments (FPRAs, FPRRs, etc.) shall be provided in the Cost/Price Proposal submission (i.e. CostData file).
(1) DIRECT LABOR - The labor categories intended for use under this contract (also reference Section C, C-TXT-11, Personnel Qualifications) are provided in the Prime Pricing Model. Identify the labor rates and total cost for each labor category proposed for the period of performance identified in the Prime Pricing Model. The labor specified under this category shall only be for the prime contractor’s direct labor and shall not include any subcontracted labor (see “Subcontracted Labor” below). For the Service Contract Labor Standards categories in Section C, offerors are required to comply with the appropriate Service Contract Labor Standards occupation code cross-references as set forth in the Section C labor categories. Since this solicitation requires work to be performed at both the Contractor and Government sites, the proposal must include your company policy concerning any stipulations as to when Government site / Contractor site rates are effective. For purposes of evaluation only, offerors shall not anticipate any allowances for telecommuting or performance at an alternate work site.
Offerors are to include a statement of any additional labor categories, additional estimated hours and related qualifications for labor cost that will be a direct cost based on the offeror’s accounting procedures (e.g., management and administrative labor costs). Offerors should include rationale explaining the basis for the number of labor hours per additional labor category.
Supporting data for all “proposed individuals” (prime and subcontractors) shall be current actual direct labor rates evidenced by payroll records, paystubs, or Letters of Intent (LOIs) for all proposed individuals identified in the offeror’s resume submission as well as any other proposed individuals. Forward pricing proposals/ recommendations/ agreements, company averages, or salary survey data may be submitted for the remaining labor categories.
(i) When labor rates are based on current, actual direct labor rates, LOIs, company averages, or forward pricing information (i.e. the basis of estimate is not salary survey data), the proposal must include the following:
(A) A statement of the offeror’s normally used nomenclature for each labor category included herein, together with a copy of the offeror’s own position description (to include education and experience requirements) and a written explanation of how the proposed category meets the experience/education requirements for each labor category. This information shall be provided in the Position Descriptions/Labor Mapping submission.
(1) For rates not based on proposed individuals, if the offeror’s education and experience requirements of its labor categories do not exactly align with the requirements outlined in the solicitation, offerors should describe how the proposed labor rates were calculated, to include an explanation of how the offeror ensured that only rates reflective of qualified personnel or labor categories were utilized in formulating the proposed rates.
EXAMPLE: A company’s labor qualifications may list a range of 8 to 10 years of experience for a particular category. If the Government’s minimum requirement for that category is designated as 10 years of experience, the Government needs assurances that the proposed direct labor rates are not calculated based on positions requiring only 8 or 9 years of experience.
(2) As an alternative to submitting position descriptions, offerors may provide resumes to support current actual direct labor rates. The resumes shall be submitted in the CostData file.
(B) If providing LOIs, the offeror and/or its subcontractor(s) shall include the direct hourly labor rate for the proposed employee, identify the position, submit the LOI on offeror’s or subcontractor's letterhead with both the prospective employee's and the employer signatures, and state that the LOI is for Solicitation No. N65236-18-R-0018. The LOI shall state that the prospective employee intends to accept employment in the proposed position should the offeror be awarded the contract. LOIs shall be submitted in the CostData file.
(ii) If providing a salary survey, offerors shall at a minimum, include the following information and data for each applicable labor category in the CostData file:
(A) Screen shots that display the source of data used to develop the salary ranges, the job title and description (including education and experience) being surveyed.
(B) The geographic location the survey data is valid for, and a range of salary amounts.
(C) Offerors should utilize the 50th percentile at a minimum, and include the specific rationale utilized by the offeror in selecting the applicable percentile(s).
(2) INDIRECTS – If this solicitation requires work to be performed at both the contractor and Government sites, then the proposal must include your company policy concerning any stipulations as to when Government site / Contractor site rates are effective. Identify the indirect rates proposed and identify the appropriate allocation base for each indirect rate. Offerors shall state whether or not the proposal is consistent with the offeror’s established cost accounting practices. If the proposal is not consistent with the offeror’s established cost accounting practices, the offeror shall explain the rationale concerning the change(s); and include all correspondence concerning the change(s) that have been submitted to DCAA/DCMA for review.
For all proposed indirect rates not based on: (1) forward pricing information submitted to, recommended by, or agreed upon with DCMA; or (2) forward pricing and/or provisional billing information submitted to, reviewed, and/or audited by DCAA, offerors shall provide historical indirect data, to include actual incurred rates (i.e. agreed-upon final annual indirect cost rates) for the three years prior to the offeror’s current fiscal year. If a proposed indirect rate is more than 3 percentage points below the three-year historical actual incurred average, offerors (including subcontractors) shall include a detailed explanation regarding the basis of estimate and how the proposed rates were developed in the narrative to the Cost/Price Proposal. Offerors (including subcontractors) shall also include the data utilized in estimating the proposed rates. This data shall include the offeror's fringe benefit, overhead (on and off-site as applicable), General and Administrative (G&A), Materials and Subcontracts (M&S) handling, and any other indirect rates as applicable to the offeror's accounting system.
(3) SUBCONTRACTED LABOR – Identify, if applicable, any proposed subcontracting labor intended for use under this contract. Identify the labor categories for which subcontracting is being proposed and include the subcontractor’s direct labor rates, number of hours proposed for each labor category, fringe benefits, overhead, G&A, fee, etc., that has been submitted by the subcontractor to the prime contractor for consideration under this contract. For the Service Contract Labor Standards categories in Section C, offerors are required to comply with the appropriate Service Contract Labor Standards occupation code cross-references as set forth in the Section C labor categories.
Any subcontractor that is proposed without assigned labor hours, regardless if labor rates are provided, is considered an “unpriced” subcontractor and will not be included as part of the evaluation nor will they be an approved subcontractor in any resulting award.
(4) OTHER:
(i) DIRECT COST - Identify any other direct cost elements being proposed which are not included above but are applicable to your cost proposal (e.g., Facilities (PWS paragraph 2.2) Royalties, Special Tooling, Computer Usage, etc.). Refer to Provision L-TXT-09 Other Direct Costs paragraph (e). Include the specific rationale used to estimate the costs and include the basis for the proposed amount with supporting data (e.g., lease agreement, quotes, market pricing, etc.). The decision as to whether costs are handled as direct or indirect costs rests with the offeror, but shall be consistent with the offeror’s approved cost accounting practices as disclosed in the Offeror’s Disclosure Statement, or consistent with the offeror’s established accounting practices if the Offeror is not required to submit a Disclosure Statement.
(ii) INDIRECT COST - Identify any other indirect cost element (e.g., Facilities Capital Cost of Money) being proposed which has not been included above and identify the appropriate allocation base for each indirect rate. Describe the basis for estimating each indirect costs element, and advise if the rates proposed are in accordance with any Forward Pricing Rate Agreements/Recommendations/Proposals and state the applicable period.
(5) FEE -The offeror shall identify the proposed fixed fee rate, amount proposed for fixed fee, and the cost elements on which the fixed fee rate is applied. In Section B of the solicitation (specifically CLINs 0001 and 0004), the offeror shall identify this same proposed fixed fee rate and the same cost elements on which the fixed fee rate is applied.
52.216-1
TYPE OF CONTRACT (APR 1984)
The Government contemplates award of a single-award, Indefinite-Delivery, Indefinite Quantity (IDIQ), Performance Based, services contract. Task orders issued under the proposed contract will be Cost-Plus-Fixed-Fee (CPFF) and Firm-Fixed-Price (FFP).
52.222-46
EVALUATION OF COMPENSATION FOR PROFESSIONAL EMPLOYEES (FEB 1993)
(a) Re-competition of service contracts may in some cases result in lowering the compensation (salaries and fringe benefits) paid or furnished professional employees. This lowering can be detrimental in obtaining the quality of professional services needed for adequate contract performance. It is therefore in the Government’s best interest that professional employees, as defined in 29 CFR 541, be properly and fairly compensated. As part of their proposals, offerors will submit a total compensation plan setting forth salaries and fringe benefits proposed for the professional employees who will work under the contract. The Government will evaluate the plan to assure that it reflects a sound management approach and understanding of the contract requirements. This evaluation will include an assessment of the offeror’s ability to provide uninterrupted high-quality work. The professional compensation proposed will be considered in terms of its impact upon recruiting and retention, its realism, and its consistency with a total plan for compensation. Supporting information will include data, such as recognized national and regional compensation surveys and studies of professional, public and private organizations, used in establishing the total compensation structure.
(b) The compensation levels proposed should reflect a clear understanding of work to be performed and should indicate the capability of the proposed compensation structure to obtain and keep suitably qualified personnel to meet mission objectives. The salary rates or ranges must take into account differences in skills, the complexity of various disciplines, and professional job difficulty. Additionally, proposals envisioning compensation levels lower than those of predecessor contractors for the same work will be evaluated on the basis of maintaining program continuity, uninterrupted high-quality work, and availability of required competent professional service employees. Offerors are cautioned that lowered compensation for essentially the same professional work may indicate lack of sound management judgment and lack of understanding of the requirement.
(c) The Government is concerned with the quality and stability of the work force to be employed on this contract. Professional compensation that is unrealistically low or not in reasonable relationship to the various job categories, since it may impair the Contractor’s ability to attract and retain competent professional service employees, may be viewed as evidence of failure to comprehend the complexity of the contract requirements.
(d) Failure to comply with these provisions may constitute sufficient cause to justify rejection of a proposal.
52.233-2
SERVICE OF PROTEST (SEP 2006)
(a) Protests, as defined in section 33.101 of the Federal Acquisition Regulation, that are filed directly with an agency, and copies of any protests that are filed with the Government Accountability Office (GAO), shall be served on the Contracting Officer (addressed as follows) by obtaining written and dated acknowledgment of receipt from Space and Naval Warfare Systems Center Atlantic, Code 22400, P. O. Box 190022, North Charleston, SC 29419-9022.
(b) The copy of any protest shall be received in the office designated above within one day of filing a protest with the GAO.
52.252-1

All excel files shall be a functional spreadsheet with formulas, NOT a read-only spreadsheet. Original PDF files shall be searchable.
Unless otherwise stated, the following formatting requirements apply: For the purpose of this solicitation, a page is defined as one 8.5"x 11" size electronic page with no less than 1 inch margins and using a minimum of 10 point Times New Roman font using normal character spacing and no less than single line spacing. The font style and size requirements also apply to Information Summaries and to graphics, art, figures, imported charts, charts, and any other graphical representation that includes text. At a minimum, any page that exceeds or fails to meet the size, margin, font, spacing, or total page limit requirements will not be evaluated. Further, the Government reserves the right to reject any proposal that does not conform to the requirements stated above. Formatting requirements do not apply to documents or Attachments provided by the Government. Any form that the Government has provided as an Attachment to be filled out by the offeror shall follow the format of the form. The font style and size requirements are not applicable to eSRS reports, Contractor Performance Assessment Reporting System (CPARS) reports and supporting cost data (e.g. DCMA or DCMA correspondence); however, these documents must be legible.
(c) Proposal Content
Proposals shall be submitted in accordance with Provision L-TXT-16 “Submission of Electronic Proposals” to permit a detailed evaluation. Each file shall be labeled in accordance with the format in paragraph (b) above. Pages should be numbered.
A concise and comprehensive proposal is desired. The proposal shall be sufficient to enable evaluators to make a thorough and complete evaluation, and to arrive at a sound determination as to whether the requirements of this solicitation are satisfied. In preparing the proposal, emphasis should be placed on brief, complete, and factual data in the areas set forth in the solicitation. Organization, clarity, accuracy of information, relevance, and completeness are of prime importance. Statements such as “will comply” or “noted and understood” without supporting narrative to define compliance are not acceptable. Cursory responses or responses which merely reiterate or reformulate solicitation language will not be considered as satisfying the requirements of the solicitation or as demonstrating the ability to perform. The burden of providing thorough and complete information remains with the offeror.
If an offeror submits a proposal as a prime contractor on this solicitation and is also proposed as a significant subcontractor for a different prime contractor on this solicitation, the offeror must disclose to the prime for whom they will be a significant subcontractor that they are also proposing as a prime themselves. The proposal for each prime offeror impacted in this situation, shall include written evidence in the proposal via the Prime/Team Member Teaming Disclosure submission that serves as proof that the disclosure took place. That narrative evidencing knowledge and agreement to the business arrangement of proposal submissions should be endorsed by both entities. If an offeror submitting an offer as a prime contractor is found to be proposed as a significant subcontractor, but has failed to make the appropriate disclosure, then their proposal as a prime contractor will be eliminated from the competition and will not be evaluated.
NON-COST FACTORS
Proposal shall consist of the information specified for each evaluation factor listed below.
Factor A:
TOP SECRET FACILITY CLEARANCE (TSFCL)
Prime offerors shall possess a current, active TSFCL for the facilities to be utilized in performance of the basic contract PWS requirements.
For offerors with a current, active TSFCL at the time the solicitation closes, these offerors shall propose the specific facilities to be utilized to perform the basic contract PWS requirements on a one page TSFCL Summary document identifying the TS facility by name, location, and CAGE code registered with the Defense Security Services (DSS). These offerors shall also provide the signed and approved Department of Defense Security Agreement Forms (DD441-1) associated with the specific facilities proposed.
For offerors who have previously possessed a TS facility clearance but the TSFLC is inactive at the time the solicitation closes, in lieu of the one page TSFCL Summary, these offerors shall submit a one-page TSFCL Plan with their proposal describing how the offeror will satisfy the TS facility clearance requirement no later than 45 days after the anticipated award date of 14 November 2019. In lieu of the active DD441-1, offerors shall provide proof of the previously possessed TSFCL by submitting the inactive DD441-1 or other corresponding documentation from DSS. Should an offeror be selected for award, the awardee shall submit the active TSFCL DD441-1 no later than 45 days after the award date via email to the Contract Specialist at lacey.flint@navy.mil.
Factor A PAGE LIMITATIONS: The TSFCL Summary or the TSFCL Plan (as applicable) for the Proposed Contract Effort is limited to one page (not including the DD441-1).
FACTOR B:
Technical UNDERSTANDING Utilizing the information provided in the attached Performance Work Statement (PWS) the offeror shall provide a proposal that details their technical understanding of the support functions described in Subfactors 1-4 and each associated element. The offeror shall provide a separate response for each element and cannot exceed page limitations by cross-referencing other sections of the proposal.
Subfactor 1 - Technical Sustainment Support (PWS paragraph 3.2) The offeror shall describe detailed methods by which the following equipment casualties would be corrected. Methodologies shall provide sufficient detail that would convey the offeror’s understanding of the requirements to successfully resolve the following situations. Responses are limited to 1 page per element for Subfactor 1 (8 pages total).
1) An AN/WSC-9A(V)3 equipped ship cannot maintain assigned X-Band link. Describe the troubleshooting steps to determine if the faulty link is a result of a failure in the data chain, the crypto chain, or the RF chain, and explain the steps necessary to isolate the fault. Assume this is a CASREP situation on a forward deployed unit, describing the steps necessary to get onboard and correct the fault including the change-out of an antenna overseas if required.
2) An AN/BSC-3(V)3 equipped hull is unable to communicate via X-Band. During an on-board tech assist (CASREP), describe the troubleshooting steps that would be taken to diagnose faults/failures and explain ability to develop a work-around to re-establish off-board communication.
3) An AN/USC-38(V)2 equipped ship is unable to effectively track the assigned satellite. Describe the actions required to troubleshoot the most probable causes of tracking fault and how to correct the top three (3) most probable causes while supporting an on-board tech assist (CASREP).
4) An AN/USC-69(V)2 (FLV) equipped ship is unable to effectively track the assigned satellite. While on an onboard tech assist (CASREP), describe recommended sequenced steps used in troubleshooting to correctly identify the failed component.
5) The Terrestrial Path between a Commercial Teleport and Navy Designated Points of Presence is degraded causing outages for CBSP equipped ships. Describe the actions required to troubleshoot the most probable causes of the fault and how to correct the top three (3) most probable causes.
