SUMMARY OF CHANGES

SECTION A - SOLICITATION/CONTRACT FORM

The required response date/time has changed from 09-Jun-2014 02:00 PM to 10-Jun-2014 02:00 PM.

SECTION H - SPECIAL CONTRACT REQUIREMENTS

The following have been modified:

H-03 DELIVERY/TASK ORDERS (JUN 2012)

a. Labor Hours are defined as actual PRIME AND SUBCONTRACTOR (INCLUDING CONSULTANTS) work hours exclusive of vacation, holiday, sick leave and other absences.

b. General. The delivery/task order procedures in this clause shall apply to CLIN 0001, 0002, 0003, and 0004. The Government may order up to the maximum estimated cost specified in the Schedule. For purposes of this contract, the term “Delivery/Task Order” is synonymous and interchangeable with the word “order” as used in Section I FAR/DFARS clauses 52.216-19, 52.216-22 and 252.216-7006. All Delivery/Task Orders are subject to the terms and conditions of this contract. In the event of a conflict between a Delivery/Task Order and this contract, the contract shall prevail.

c. Ordering. Delivery/Task Orders will be issued in written form by the Contracting Officer. Normally, prior to issuing a Delivery/Task Order, the Contracting Officer will request, and the Contractor shall provide a Delivery/Task Plan for accomplishing the work.

(1) Draft Delivery/Task Order. The Contracting Officer will issue a draft Delivery/Task Order to the Contractor with a request to the Contractor to submit a plan for accomplishing the task. The draft Delivery/Task Order will include the following information:

(a) contract number, CLIN and PWS reference;

(b) description of the task to be performed;

(c) a period of performance for the task;

(d) description of the deliverables (as appropriate); and

(e) specify either LOE or completion and number of Labor Hours.

NOTE: Issuance of a draft Delivery/Task Order does not authorize performance of this task.

(2) Task Order Management Plan. The Contractor shall submit a Delivery/Task Order Management Plan within ten (10) calendar days after receipt of a draft Delivery/Task Order. The Delivery/Task Order Managemnt Plan shall include:

(a) a brief description of the method and approach to accomplish the Delivery/Task Order;

(b) estimated level of effort, in Labor Hours by labor category, required to perform the task in the period of performance specified by the Delivery/Task Order. (Labor Hours to be delivered by the Contractor shall include all reimbursable labor hours worked regardless of source, prime or authorized subcontractor);

(c) the Contractor’s cost estimate, including all travel and other travel costs, with supporting rationale to perform the Delivery/Task Order; and

(d) task order cost and fee shall be calculated by multipling contractor proposed hours by the rates included in the rate table attached in Section J.

(3) Delivery/Task Order Issuance. Within ten (10) calendar days after receipt of the Delivery/Task Plan, the Contracting Officer will provide either an executed Delivery/Task Order, or advise the Contractor of changes required to the Delivery/Task Plan. Once the Contractor and Contracting Officer have agreed on the contents of the Delivery/Task Plan, the Contracting Officer will issue the Delivery/Task Order, which includes the following:

(a) Contracting Officer signature and date of order;

(b) Contract number, CLIN, order number and PWS reference;

(c) Description of the Task to be performed;

(d) For completion tasks, the estimated labor hours and cost-plus-fixed-fee;

(e) The period of performance for the task; and

(f) Deliverables including applicable CDRLs.

(4) Alternate Procedure. When time will not permit the preparation of a Delivery/Task Plan before commencement of work, the Contracting Officer may issue a Delivery/Task Order specifying a maximum Labor Hour and estimated cost not to be exceeded pending agreement on the Delivery/Task Plan.

(a) The Contractor shall begin performance promptly and submit a Delivery/Task Plan within ten

(10) calendar days after receipt of the Delivery/Task Order.

(b) Within ten (10) calendar days after receipt of the Delivery/Task Plan, the Contracting Officer will provide either a written Notice of Approval, issue a modification to the Delivery/Task Order, or advise the Contractor of changes required to the Delivery/Task Plan.

(c) Until such time as a Delivery/Task Plan is approved, the Contractor shall limit the expenditure of Labor Hours and costs at a rate such that the Delivery/Task Order maximum Labor Hours and ceiling price will not be exceeded prior to the completion of the task.

d. Delivery/Task Order Modifications. Delivery/Task Orders normally will be modified using the standard procedures for issuing Delivery/Task Orders. In emergency circumstances, Delivery/Task Orders may be modified orally by the Contracting Officer; oral modifications will be confirmed by issuance of a written Delivery/Task Order modification within five working days from the time of the oral communication modifying the order.

e. Performance. Subject to the contract terms and conditions, and unless otherwise directed by the Contracting Officer, the Contractor shall initiate performance on new Delivery/Task orders promptly upon receipt of a signed Delivery/Task Order. Performance of work on new Delivery/Task orders prior to execution of an approved Delivery/Task Order is not authorized and is at the Contractor’s own risk.

f. Cost Limitation.

(1) The Contractor shall incur costs under this contract only in the performance of Delivery/Task Orders and modifications to orders issued by the Contracting Officer. No other costs are authorized without the express written consent of the Contracting Officer. The Contractor will not be paid for expenditures above the maximum cost-plus-fixed-fee ceiling of any individual Delivery/Task Order (Completion).

(End of Summary of Changes)

L-3.3 All proposals must be complete, self-sufficient, and respond directly to the requirements of the solicitation. Any commitments made in the proposal shall become part of the resultant contract. Proposed innovations and efficiencies must be in sufficient detail to be incorporated into the contract. Apparent inconsistencies between promised performance and proposed prices shall be fully explained by the Offeror. Any significant inconsistency, if unexplained, raises a fundamental issue of the Offeror’s understanding of the program management and resources required and/or ability to perform the contract. This may be a basis for rejection of the proposal.

Statements such as “we will comply with the requirements of the contract,” will not by themselves constitute acceptability to meet the requirements of this solicitation. Failure to comply with these instructions may result in an Offeror’s proposal being summarily rejected.

L-3.4 Offerors are advised that data submitted to the Government in response to this solicitation may be released to non-Government advisors for review and analysis. These advisors may be required to provide advice within their area of expertise regarding proposal strengths and weaknesses. Non-Government advisors will be subject to civil and criminal penalties associated with any release of information pursuant to FAR subpart 3.104 procurement integrity violations.

Technical and management volumes including appendices shall include necessary information to enable the evaluators to form a definitive conclusion concerning the Offeror’s ability to perform complete program management and execution of the effort for which they are proposing. The Offeror’s proposal must convey to the Government that the Offeror is capable; possesses sufficient technical expertise and experience; possesses sufficient resources; and is able to plan, organize, and use those resources in a coordinated and timely fashion such that technical and management requirements will be achieved and costs will be controlled.

Offerors shall address technical and management risk by identifying those aspects of the proposal considered having the potential for disruption of schedule, increased cost or degradation of performance, the need for increased Government oversight, and/or the likelihood of unsuccessful contract performance. Classify each risk in accordance with the risk definitions set forth in Section M. Provide the rationale for each risk and its rating, including quantitative estimates of the impact on cost, schedule, and performance. Describe the impact of each identified risk in terms of its potential to interfere with or prevent the successful accomplishment of other contract requirements (for example: PWS requirements), whether or not those requirements are identified as subfactors. Propose a realistic "work-around" or risk mitigators for identified risks that will eliminate or reduce risk to an acceptable level. Identify and classify any new risks introduced by such risk mitigation.

L-6.1 Management Subfactor 1 – Teaming and Staffing

This subfactor primarily focuses on PWS Section 1.2, PWS Section 1.3, and PWS Section 4.2.

Clearly identify a Team and framework, including subcontractors and other subject matter experts, necessary to successfully execute the DAU LCIC Learning Asset Development, Sustainment and Support (LADSS) PWS. Clearly demonstrate the ability to obtain, retain, organize and use resources effectively and efficiently in the following areas:

1) Provide a written description and organization chart(s) that demonstrate a planned process to organize, staff, and allocate resources to meet the PWS in a timely manner.

3) Identify SMEs and consultants available at contract award and describe in detail the approach for recruitment and retention to ensure qualified and trained personnel are in place. The proposed approach shall demonstrate the ability to obtain subject matter experts and consultants with proven knowledge, experience, understanding and expertise to meet PWS and task order requirements.

L-6.2 Management Subfactor 2 – Management Approach

This subfactor primarily focuses on PWS Section1.2 and PWS Section 1.3.2.

3) The offeror’s proposal should provide credible evidence to the Government that the offeror will be able to successfully meet or exceed the performance standards in the Quality Assurance Surveillance Plan (QASP).

L-6.3 Management Subfactor 3-Small Business Participation & Commitment

The Government will assess small business participation and commitment as measured against the total contract value. This assessment is separate from the FAR requirement for PCO review and acceptance of an Offeror‘s Small Business Subcontracting Plan. Small business participation is defined as small business contributions to the overall contract performance at the 1st tier subcontract level. Large business Offerors shall ensure that the Individual Subcontracting Plan or the Small Business Participation & Commitment Plan is consistent with proposal information associated with this subfactor.

Offerors shall provide the proposed participation dollars and percent of estimated contract value for the period of performance. Offers shall include a narrative explanation regarding the basis for and efforts associated with establishing proposed participation dollars and percentages including a breakout of prime small business participation.

Offerors shall identify by name, type of business, product/service, dollar value, timeframe, and nature of commitment the small business participation planned for this acquisition. Offerors shall clearly describe the nature of commitment (e.g., fully executed teaming agreement, planned purchase order). Offers shall describe new, contract specific initiatives and tools (e.g., mentor protégé agreements, developing second sources focused on improving readiness or reducing cost) that will be employed under the contract to enhance small business participation and capabilities both in the instant acquisition and to meet future requirements. Offerors shall describe the process they will use to ensure proper flow-down of requirements, process management, and performance assessments of small business participation at lower tiers.

L-7 VOLUME III: PAST PERFORMANCE

L-7.1 Contents. The Offeror shall submit a Past Performance Volume containing the following:

1) Table of Contents

2) Summary Page describing the role of the Offeror and each subcontractor and/or teaming partner for which the Offeror is required to provide Past Performance Information Sheets in accordance with paragraph L-7.2 below.

3) Past Performance-Small Business(Large Businesses Only) Offerors shall provide a narrative describing its use of small business concerns over the past five years. Proposals shall describe the actual use of small businesses as subcontractors or teaming partners and demonstrate the extent of compliance with the Offerors’ Small Business Subcontracting Plans and any related contract incentives.

Offerors shall specifically describe the small business goals and the extent to which they were achieved in relevant contracts that required subcontracting plans. To supplement the narrative summary, Offerors shall provide the most recent Individual Subcontracting Reports (ISRs) or SF 294s for four contracts performed within the last five years that required submission of such reports. Offerors participating in the DoD Comprehensive Subcontracting Plan Test Program shall provide relevant Summary Subcontracting Reports (SSRs) or SF 295s for the past five years, associated goals, if available, and small business performance data for up to four relevant individual contracts or programs.

If necessary to meet the four report requirement, Offerors may include subcontracting reports associated with contracts other than those for which past performance information sheets were submitted. In such cases, the proposal shall clearly state the reason(s) for not providing small business data associated with the contracts otherwise cited as relevant for past performance consideration hereunder. Subcontracting reports will not count against the page limitations for the past performance volume.

4) Past Performance Information Sheets in accordance with Section L, Attachment 5 to the solicitation – see paragraph L-7.2 below.

5) Consent Letters executed by each subcontractor and/or teaming partner, authorizing release of adverse past performance information so the Offeror can respond to such information. A sample letter is attached as Section L, Attachment 7

6) Organization Structure Change History—See paragraph L-7.4.

L-7.2 Past Performance Information Sheets.

Submit information on contracts you consider most relevant in demonstrating your ability to perform the proposed effort. The Offeror shall submit Past Performance Information Sheets in accordance with the format contained in Section L, Attachment 5 to the solicitation. This information is required on the Offeror and subcontractors and/or teaming partners proposed to perform any of the proposed effort that the Offeror considers critical to overall successful performance. The Offeror shall submit a maximum of five and a minimum of three Past Performance Information Sheets identifying active or completed contracts, either Government or commercial, for the prime. If the prime is a joint venture that does not have a minimum of three active or completed contracts for which it can submit Past Performance Information Sheets, then the joint venture shall submit a maximum of five and a minimum of three Past Performance Information Sheets identifying active or completed contracts, either government or commercial, for each team member. The Offeror shall submit a maximum of five and a minimum of three Past Performance Information Sheets for each major and/or critical subcontractor/subsidiary. A major subcontractor/subsidiary is defined as one performing $3M or more each year of the contract period of performance effort (excluding ODC and Travel). A critical subcontractor/subsidiary is one whose performance on the awarded contract is such that if it fails, could significantly impact program success. A key subcontractor is defined as one that is a major or critical subcontractor/subsidiary. Each relevant contract shall meet the Government’s definition of recency. The Government defines recency as any contract having been performed during the past three years from the date of issuance of this solicitation. Each Performance Information Sheet for each contract is limited to ten pages. Offerors are cautioned that the Government will use data provided by each Offeror in this volume and data obtained from other sources in the evaluation of past performance. The Offeror shall provide a list of the proposed respondents with two points of contact, current e-mail address, and phone numbers in its Past Performance Volume. The Government reserves the right to contact these sources if they do not submit responses by the proposal due date.

L-7.3 Relevant Contracts. Include rationale supporting your assertion of relevance and how the referenced contract is a relevant indicator of performance against the PWS. This information shall be submitted as part of the Past Performance Information Sheet, Section L, Attachment 5.

For a description of the characteristics or aspects the Government will consider in determining relevance, see Section M, paragraphs M-7.0 and M-7.2.

L-7.4 Organizational Structure Change History. Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/performance confidence assessment. Since the Government intends to consider past performance information provided by other sources as well as that provided by the Offeror(s), your "roadmap" should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources.

L-7.5 Resolution of Problems. Offerors may include a discussion of efforts accomplished by the Offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. Merely having problems does not automatically equate to a No Confidence rating, since the problems encountered may have been on a more complex program, or an Offeror may have subsequently demonstrated the ability to overcome the problems encountered. The Offeror is required to clearly demonstrate management actions employed in overcoming problems and the effects of those actions, in terms of improvements achieved or problems rectified. This may allow the Offeror to be considered a High Confidence or Significant Confidence candidate. Submittal of quality performance indicators or other management indicators that clearly support that an Offeror has overcome past problems is required.

L-7.6 Questionnaires. The Government requests the Offeror send out Past Performance Questionnaires, Section L, Attachment 4, to each of the Points of Contact (POCs) identified in the Past Performance Volume. The Offeror shall fill in the project and evaluator information on the questionnaire prior to sending it to the POC. Completed questionnaires shall be submitted by the POC directly to the Contracting Officer. A cover letter for transmitting the questionnaire to each POC is provided as Section L, Attachment 6. Each of the Offeror's POCs shall e-mail the completed Past Performance Questionnaire to Bradley.Price@mda.mil with a courtesy copy to Brad.Jacobs@mda.mil. Although an e-mailed Questionnaire is preferable, mailing the Questionnaire(s) to the address listed below is an acceptable alternative method of transmission.

If mailing, the outside envelope must be marked as follows:

L-7.7 Subcontractor/Teaming Partner Consent Form. Past performance information concerning key subcontractors or subsidiaries cannot be disclosed to a private party without consent.

Because the Offeror is a private party, the Government will need that consent before disclosing key subcontractor and/or subsidiary past performance information to the Offeror during exchanges. In an effort to assist the Past Performance Team in assessing past performance, the Government requires that a Subcontractor/Teaming Partner Consent Form for the Release of Past Performance Information (Section L, Attachment 7) be completed by each key subcontractor and/or subsidiary identified in the proposal. A key subcontractor is defined as one that is a major or critical subcontractor/subsidiary. The completed consent forms should be submitted as part of Volume III Past Performance (not subject to page count limitation).

L-8 VOLUME IV: COST/PRICE (Factor 4)

In accordance with FAR subpart 15.401 “Price” means cost plus any fee or profit applicable to the contract type.

Throughout cost/price volume instructions, the terminology “offeror,” “major subcontractor” and “minor sub-contractor” are used as defined below:

The term “Offeror” in the price volume instructions is defined as and includes the prime offeror and proposed “Major Subcontractors.”

The term “Major Subcontractor” is defined as and includes proposed subcontractors and proposed Inter-company Work Transfers Authorization (IWTA) that contribute 10% or more of the Task Order 0001 cost as proposed by the prime offeror.

The term “Minor Subcontractor” is defined as and includes any subcontractor or inter-company transfer that contributes less than 10% or more of the Task Order 0001 cost as proposed by the prime for the Task Order 0001 effort.

L- 8.1 Compliance

THE OFFEROR BEARS FULL RESPONSIBILITY FOR ANY FAILURE TO PROPERLY

COMPLY WITH THESE PRICING INSTRUCTIONS. ADVERSE IMPACT UPON THE

EVALUATION OF ITS PROPOSAL CAN RESULT FROM INCREASED COST RISK DUE

TO AMBIGUITIES CREATED BY POOR PROPOSAL QUALITY. OFFERORS ARE

ENCOURAGED TO PROVIDE COMMENTS OR ASK QUESTIONS CONCERNING THESE

INSTRUCTIONS DURING THE DRAFT REQUEST FOR PROPOSAL PHASE.

L – 8.2 General Instructions
