B039 INDEFINITE QUANTITY (DEC 2005)

This is an Indefinite Quantity contract as contemplated by FAR 16.504. The total scope of the technical tasks for which orders may be issued is set forth in paragraph TBD @ time of award of the attached Contractor Statement of Work (CSOW). The maximum dollar amount the Government may order under this contract is TBD @ time of award; the minimum amount is $1,100,000.00.

B049 OPTIONS (APR 2000)

The Government may require performance of the work required by CLIN(s) 1001-1011, 2001-2005 and 3001-3005. The Contracting Officer shall provide written notice of intent to exercise this option to the Contractor on or before 60 days prior to exercising the option. If the Government exercises this option(s) by the period of performance start dates for each respective CLIN as called out in Section F, Clause F001 , the Contractor shall perform at the estimated cost and fee, if applicable, set forth as follows:

PSK-H001 DOWN SELECT EVALUATION CRITERIA FOR MACH PRODUCTION (JUL 2007)

A. Purpose.

SECTION H FA8902-07-R-1003

This clause addresses the evaluation criteria the Government intends to use to down select to one contractor to perform the MACH production effort. The best value decision will be made based on the competitive offers received from the MACH SDD prime contractors.

B. Criteria for Evaluation.

1. The Government will down select to the contractor who provides the best overall value to the Government. In using the best value tradeoff approach, the Government intends to exercise the IOT&E/LRIP/FRP Options on contract to the SDD offeror who gives the Government the greatest confidence of meeting the requirements in the best value determination. This may result in an award being made to a higher priced offeror where the decision is consistent with the factors and the Source Selection Authority (SSA) reasonably determines that it is in the best interest of the Government. The decision will be based on an integrated assessment of the factors and subfactors listed below.

2. While the Government source selection evaluation team and the SSA will strive for maximum objectivity, the source selection process is subjective by nature and professional judgment is implicit throughout the entire process.

C. Specific Evaluation Criteria.

The Government's evaluation will be made based on an integrated assessment of the four factors and their associated subfactors listed below. Factors 1, 2, 3, and 4 are of equal importance. Subfactors 1, 2 and 3 are listed in descending order of importance.

D. Importance of Cost/Price In accordance with FAR 15.304(e) - Evaluation Factors and Significant Subfactors, the evaluation factors other than cost or price, when combined, are significantly more important than cost or price; however, cost/price will contribute substantially to the selection decision.

E. Factors and Subfactors

1. FACTOR 1- Mission Capability

a. Subfactor 1.1- Product Performance The Government will evaluate the demonstrated performance of the contractor's design during Development Test and Evaluation (DT&E). This will be accomplished through Government observation of contractor testing and analysis of final contractor DT&E test reports. The Government will also evaluate the level of performance demonstrated during Government Operational Assessment (OA) on the OA Test Articles provided upon completion of SDD. This evaluation will include:

(1) Ease/repeatability of donning/doffing

(2) Pre and post flight operations

(3) In flight operations

(4) Maintenance operations

The subfactor is met when compliance with the Key Performance Parameters (KPPs), Key System Attributes (KSAs), and proposed Other System Attributes (OSAs) can either be demonstrated or supported by documented engineering analysis, technical reports, or test data. The Government will consider the benefit of product performance potential beyond the thresholds in the best value tradeoff

determination. This assessment will be consistent with the prioritization of requirements as provided in the original solicitation's Government Performance Specification Matrix found in Section L at Attachment L-7. In general, obtaining an objective over a threshold is desired. However, the government may give more credit for attaining KSA thresholds over OSA objectives. The government may also give more credit for attaining KPP objectives over KSA objectives.

b. Subfactor 1.2 - MACH Production Capability The Government will assess the ability of the contractor's methods and processes to meet Manufacturing Development, Integrated Logistics Support (ILS) Processes, and Initial Operational Test and Evaluation (IOT&E) Support requirements.

(1) Manufacturing Development - The Government will assess the contractor's manufacturing capability to satisfactorily accomplish the tasks necessary to manufacture the MACH system. The contractor will be evaluated on manufacturing and production processes, quality management, production rate, configuration management processes for test units and production units, and hazardous material management processes.

The subfactor is met when:

(a) the contractor demonstrates that manufacturing capability and production processes exist or are obtainable to deliver the required units within the program schedule;

(b) the contractor demonstrates an effective process for ensuring production units will be free from defects in design, materials and workmanship and that required level of performance will be maintained in the field considering the technical and logistics issues of this program in accordance with the requirements set forth in Section E clause, 52.246-11, Higher Level Contract Quality Requirement;

(c) the contractor has documented and presents a plan to ensure facilities, resources, and equipment is/will be available to meet the demands to produce the required test articles and meet the anticipated production rate within the program schedule;

(d) the contractor presents evidence that the configuration management processes required to fabricate the MACH exist and/or are obtainable; and

(e) the contractor presents evidence that hazardous material management processes required to fabricate the MACH exist and/or are obtainable.

(2) ILS Processes - The contractor will be evaluated on their ILS approach, considerations of joint service logistics for the entire life cycle of the program, supporting logistics data, and initial fielding and integration plan.

The subfactor is met when:

(a) the contractor has demonstrated a sound logistics strategy;

(b) design and development decisions have addressed logistics impacts and the life cycle cost to the program;

(c) the contractor has demonstrated the capability to provide the required logistics data, including technical manuals;

(d) the contractor has demonstrated that he has an effective plan for fielding and integrating the system ensuring minimal or no loss of capability during the transition; and

(e) the contractor has demonstrated knowledge of the maintenance and support needs of the program and planned appropriately.

(3) Support of Government IOT&E - The Government will evaluate the contractor's plans for supporting all the test activities. The evaluation will include an assessment of the contractor's training processes for the Government's operators and instructors, delivery schedule of test units, failure analysis processes, and configuration control processes that support the tracking of test units.

The subfactor is met when:

(a) the contractor has documented a plan which outlines the required support and time line to ensure Government test personnel are properly trained in the operation of the MACH;

(b) the contractor's IMP and IMS reflect effective and efficient test unit fabrication and preparation of supporting documents; and

(c) the contractor has demonstrated a thorough process for failure analysis and configuration control which provides a means of tracking test units to ensure against the possibility of compromising a test.

c. Subfactor 1.3 - Management The Government will evaluate the contractor's production phase Integrated Master Plan (IMP) and Integrated Master Schedule (IMS) to determine the ability of the contractor to meet the requirements within proposed schedule and cost. The evaluation will also consider the contractor's plans for production (to include compliance with the Berry Amendment), training, accuracy and completeness of Technical Orders (TOs).

The subfactor is met when the contractor demonstrates a sound approach to meeting production and training requirements within the proposed schedule and cost as documented in their submitted production and training plans, Design to Cost reports, IMP and IMS. The contractor's TOs must demonstrate compatibility with engineering source materials, accuracy of descriptive data, TO content, style and format are in accordance with applicable specifications and other contractual requirements.

2. FACTOR 2 - Proposal Risk Each subfactor under the Mission Capability factor will also be a subfactor under the Proposal Risk factor.

Proposal risk assessment focuses on the risks and weaknesses associated with a contractor's proposed approach and includes an assessment of the potential for disruption of schedule, increased cost, degradation of performance, and the need for increased Government oversight, as well as the likelihood of unsuccessful contract performance. For each identified risk, the assessment also addresses the contractor's proposal for mitigating the risk and why that approach is or is not manageable.

3. FACTOR 3 - SDD Performance The Government will evaluate (1) the contractor's responsiveness to the Government in supporting programmatic and technical issues, (2) the contractor's ability to manage the program within cost and on schedule in accordance with the IMP and IMS, (3) timeliness and accuracy of data submittals, and (4) the contractor's demonstrated ability to successfully perform as proposed.

4. FACTOR 4 - Cost/Price The contract options include Fixed Price Incentive line items, therefore price analysis will be conducted as mandated by FAR 15.404-1 in this cost/price evaluation. Price analysis is the process of examining and evaluating a proposed price without evaluating its separate cost elements and proposed profit. The Government may use various price analysis techniques and procedures to ensure a fair and reasonable price, given the circumstances surrounding the acquisition.

Contractors will provide as part of their cost/price proposal either a FFP or FPIF unit price with price adjustment formulas for the IOT&E, LRIP and FRP Option CLINs in accordance with Section I clause, 52.216-17 Incentive Price Revision - Successive Targets. The government will perform price analysis to determine the reasonableness of the proposed prices.

b. The contractor's cost/price proposal will be evaluated by total price for IOT&E, LRIP and FRP (with consideration given to Ceiling Price and Profit Adjustment Formulas) in the best value determination.

PSK-H002 ELECTRONIC DATA EXCHANGE (MAY 2007)

In order to embrace acquisition reform, a primary initiative of this contract is to minimize the amount of hardcopy deliverable data. Further, the Government is embracing the concept of insight into program status rather than the traditional oversight. In that the Government has minimized the requirement for hardcopy deliverable data and technical information, the Government shall require on-line access to

contractor-generated data to gain and maintain the desired insight of program activities. This includes data generated and used by the contractor to manage the program. The contractor shall provide and implement a cost effective, mutually agreed upon, electronic data exchange capability between his activity and the Government program office. The contractor's electronic data exchange capability shall:

a. provide on-line electronic delivery of CDRL submittals in accordance with the CDRL preface requirements,

b. establish electronic mail and scheduling between the contractor and the Government program office team members

c. be compatible with the following Government program office formats or provide a cost-effective and low risk solution to support the contractor's proposed alternatives:

(1) Microsoft Word 2003 - Microsoft Office 95,

(2) Charts, tables, graphics, etc., shall be embedded in the file utilizing formats compatible with

Excel - Microsoft Office 95, Microsoft Project 2002 or Power Point Microsoft Office 95.
