L-1 RESTRICTIONS ON CONTACTS

Concurrent with the release of this Request for Proposal (RFP), appropriate higher HQ offices will be advised that a source selection action is in progress for TA2S for the period beginning upon release of the RFP through contract award and that contact by participating offerors on the subject of this RFP is inappropriate. Offerors for this RFP, including subcontractors and teammates, shall not attempt such contacts during this period. All correspondence shall be through the CO.

L-2 PROPOSAL INSTRUCTIONS

A. Pre-Award Survey

1. A pre-award survey may be accomplished on offerors submitting proposals to supplement the determination of contractor responsibility as defined in FAR 9.1. The offeror shall be required to participate in a pre-award survey for the purpose of determining financial and technical ability to perform. The pre-award survey is conducted with the assistance of the offeror’s cognizant Government Contract Administration Office to determine its eligibility and ability to perform. Refusal to participate in a pre-award survey and failure to provide all requested information may be cause for rejection of the offer.

2. The pre-award survey may include performance of a formal financial capability risk assessment or an audit by the DCAA or other personnel assigned by the CO to perform the task. This effort would be performed IAW DFARS 232.072-1, Required Financial Reviews, and the information required for an audit would include, but not be limited to, the information identified in DFARS 232.072-2, Appropriate Information. The contractor agrees to provide the financial information for such financial capability effort in a timely manner. Failure to provide the requested data could cause the offeror to be determined financially non-responsible as discussed in FAR 9.103(b).

B. Information to Offerors

1. Point of Contact. The CO is the sole point of contact for this acquisition after RFP release. Address any questions or concerns to the CO. Written requests for clarification may be sent to the CO at:

21 CONS/LGCCB

Attn: Joanna L. Green
135 Dover St.

Suite 1240 Peterson Air Force Base, CO 80914 Telephone – (719) 556-6526

FAX – (719) 556-7900

E-Mail – joanna.green@peterson.af.mil or: TA2S.N-NC@peterson.af.mil.

2. Debriefings. All offerors will receive debriefings upon written request IAW FAR 15.505 or 15.506. Offerors will receive no more than one debriefing.

3. Discrepancies. If an offeror believes the requirements in these instructions contain an error, omission, or are otherwise unsound, the offeror shall immediately notify the CO in writing with supporting rationale.

4. Award Without Discussions. The offeror is reminded the Government intends to award without discussions but reserves the right to hold discussions if determined necessary.

5. Contract Limitations. The anticipated program ceiling is $262 million aggregate for all contracts awarded under TA2S.

6. Offers will be evaluated using factors and sub-factors under Section M, Evaluation Factors for Award. Non-compliance with the RFP may be grounds to eliminate the proposal from consideration for contract award. Offerors are advised that their proposals are presumed to represent their best efforts and most complete responses to this solicitation. Cursory responses or responses which merely reiterate the PWS will be considered unacceptable. Demonstration of capabilities and qualifications clearly supporting the offeror’s claims are essential. The absence of such evidence will adversely influence evaluation of the proposal.

7. Classified Information. Proposals shall not contain classified information.

C. Proposal Format and Preparation Instructions

1. General Instructions. This section provides general guidance for preparation of proposals as well as specific instructions on format and content of proposals. The offeror’s proposal must include all data and information requested and must be submitted IAW these instructions. The proposal should include all information requested in the following paragraphs. Failure to do so may adversely affect the proposal evaluation. A proposal sufficiently documented to support performance and costs claims in a complete, orderly, detailed manner will enable the Government to perform a thorough and fair evaluation.

2. The proposal shall be clear and concise and include sufficient detail for effective evaluation substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government’s requirements but rather provide convincing rationale to address how the offeror intends to meet requirements. Offerors shall assume the Government has no prior knowledge of their facilities and experience.

3. Proposal Acceptance Period. The proposal acceptance period is 240 days after the date set for receipt of proposals. The offeror shall make a clear statement in the signed offer (SF 33 Block 12) that the proposal is valid until this period has ended.

4. Elaborate brochures or documentation, binding, detailed artwork, and other embellishments are unnecessary and not desired.

5. IAW FAR Subpart 4.8, Government Contract Files, the Government will retain one copy of all proposals. The Government will destroy extra copies of each proposal.

6. Proposal Format. This section provides general guidance for preparing proposals as well as specific instructions on format and content of the proposal. Each volume shall be complete in itself. Unless otherwise specified, any form of presentation, such as narrative, pictures, tables, graphs, schematics, logic, and other functional block diagrams may be used to provide a concise description of information.

a. Page. A page is defined as each face of an 8 ½ x 11-inch sheet of paper containing information (excludes blank pages, title pages, table of contents, tabs, dividers, glossaries, and indices). Page margins shall be a minimum of one (1) inch each for the top, bottom, and sides (except for document numbers, page numbers, etc.). All material must be contained within the page limit identified for each volume or appendix. The page limitations specified in Table L-3 shall be treated as maximum limits to assist in evaluation of each proposal. Total page count will be based on the printed proposal submission. If exceeded, the excess pages will not be read or considered in the evaluation of the proposal, and the excess pages will be returned to the offeror. Double-sided printing is acceptable but will count as two pages. The background color of each page of the proposal submission shall be only white or ivory in color. If Final Proposal Revisions (FPRs) are required, the same page limitations will apply, and any changed pages submitted shall have changed information clearly marked by a vertical line in the right margin of the page identifying the changed content. The date of the revision and revision number shall be reflected in the top right corner of the page on each changed page. The offeror shall highlight cells on any spreadsheet revisions.

b. Text. Text type should be Times New Roman or Arial, no smaller than 12-point with normal proportional spacing. Text lines will be no less than single-spaced. Any text within graphics, exhibits and figures shall be no smaller than Times New Roman or Arial 8-point font. Text within tables shall be no smaller than Times New Roman or Arial 10-point font.

c. Illustrations and Tables. Proposals shall be prepared on 8 ½ x 11-inch paper except for foldouts used for charts, illustrations, tables, or diagrams that may not exceed 11 x 17 inches. For page count purposes, foldout pages will count as two 8 ½ x 11-inch pages and shall only be used for graphics and exhibits, not text. All information (except for document numbers, page numbers, etc.) shall be provided within an image area of 9 x 15 1/2 inches. For page count purposes, each printed side of foldout page shall count as two pages each.

d. Binding. Each volume shall be separately bound and labeled in standard three-ring, loose-leaf binders and clearly identified on the front and side. The number of copies for each volume is specified in Table L-3. Elaborate format and binding are neither necessary nor desirable. All binders will be capable of lying flat when opened. The cover and spine of each binder will clearly identify the offeror’s name, volume number, RFP number, RFP title (e.g., Company A, Vol I, RFP FA2517-09-R-6032, TA2S), and copy number (e.g., copy 2 of 8). All binders will allow for easy removal and replacement of pages.

e. Glossary. Each volume shall contain a glossary of any abbreviations and acronyms used with an explanation of each. Glossaries do not count against page limitations for respective volumes.

f. Cross-Referencing. Information needed for proposal evaluation not found in its designated volume will be assumed to have been omitted from the proposal. To the greatest extent possible, each volume shall be written on a stand-alone basis so that its contents may be evaluated with minimal cross-referencing to other volumes of the proposal. Cross-referencing within a proposal volume is permitted where it would conserve space without impairing clarity.

g. Indexing. Each volume shall contain a more detailed table of contents to delineate the subject paragraphs within that volume. Tab indexing shall be used to separate and identify sections. Table of contents and indexing shall not count against page limitations for respective volumes.

h. Electronic Copies. One complete copy of the proposal shall be submitted in an electronic format using Microsoft-compatible, virus-free, CD-ROMs, and offerors shall ensure these electronic documents can be opened. Offerors shall submit a separate CD-ROM for each of the six volumes, and indicate on each of the six CD-ROMs the volume number and title. CD-ROMs shall be submitted in a format readable by Microsoft Office 2003 or 2007 applications. Replacement disks will be required to update the final proposal resulting from any discussions and updates. Use separate files and folders to permit rapid location of all portions, including exhibits, annexes, and attachments, if any. Electronic and paper copies shall be identical. However, in the event of a conflict between the electronic and paper copy, the paper copy shall take precedence and will be used for evaluation of the offeror’s proposal.

4. OCI Prevention/Mitigation Process and ITAR.

a. In accordance with the clause H-7, “Organizational Conflict of Interest,” offerors shall provide an OCI Mitigation Process. This process should demonstrate a thorough understanding and ability to identify and mitigate potential organizational conflicts of interest for the offeror including, but not limited to, all tiers of subcontractors, team members, mentor/protégé, joint venture partners and all other formal and informal relationships of an enduring nature. The process should provide complete information regarding previous, current, or anticipated future contract performance that is in any way related to performance of the tasks to be performed under the PWS for this acquisition that present an actual or potential OCI. Offerors should assume any current or future contracts with N-NC or any current or future contracts related to the development and operations of N-NC systems may involve a potential OCI.

b. The OCI Prevention/Mitigation Process should demonstrate a strong understanding and approach to resolving OCI issues. The process should show how any corporate processes used as a basis for the OCI Prevention/Mitigation Process have been tailored to the needs of this contract. The proposed OCI Prevention/ Mitigation Process should address all steps proposed to prevent an OCI and mitigate actual or potential OCIs which may be encountered throughout the life of the TA2S contract. The OCI process shall address potential OCIs due to, at a minimum, unequal access, impaired objectivity, and biased ground rules. At a minimum, the following specific concerns should be taken into consideration:

(1) The Government requires assurances that the contractor will protect proprietary information.

(2) The Government requires assurances that the contractor can execute contract requirements without creating an actual or potential conflicting role OCI between their actions on this contract and any team member’s actions on this or another contract. Additionally, the Government requires assurances that the contractor can execute contract requirements without creating a real or potential impaired objectivity OCI in their actions. Finally, the Government requires assurances that the contractor can execute contract requirements without creating a real or potential unfair competitive advantage through their access to Government or contractor proprietary information.

c. Conditions for Award.

(1) ITAR Registration. The prime and any subcontractors proposed to perform this requirement shall provide applicable ITAR registration as it applies to release of information or evidence that an application is pending with the State Department at proposal submission.

(2) OCI Mitigation Plan. If applicable, provide an OCI mitigation plan if an unavoidable OCI issue is identified for the prime and any subcontractors at the task order level (see H-9) for each awardable order identified in L-7 below. On-going, limited exchanges may take place regarding OCI concerns, questions or clarifications, these exchanges will not constitute discussions.

i. Identify the OCI as defined in H-7 in the performance of each of the task orders.

ii. Provide a plan to avoid, neutralize, or mitigate conflicts. Ensure the plan addresses all conflicts between this effort and all other current and generally known future efforts. In the event OCI concerns are identified limitations may be placed on awardees ability to compete on future acquisitions in order to avoid an OCI as stated under FAR 9.505; those limitations will be expressed in the awarded task order.

L – 7 FACTOR 1, MISSION CAPABILITY (CONSISTING OF VOLUME II, ITW/AA TASK ORDER, VOLUME III, AIR, CRUISE AND BALLISTIC MISSILE DEFENSE FUTURE CAPABILITIES AND CONCEPTS TASK ORDER AND VOLUME IV, EXERCISE PLANNING TASK ORDER)

A. Mission capability volumes shall be specific and complete. Legibility, clarity, and coherence are very important. Offerors’ responses will be evaluated as described for subfactors in Section M, Evaluation Factors for Award. Mission capability volumes will be the primary basis for evaluating the offeror’s ability to comply with performance requirements. The offeror’s proposal shall demonstrate a thorough understanding of the requirements. All requirements specified in the solicitation are mandatory. By submission of a proposal, the offeror represents that their firm is capable of performing all requirements specified in the solicitation. The offeror should not reiterate objectives or reformulate requirements specified in the solicitation. The offeror shall also identify risks and uncertainties associated with their approach for each Mission Capability Subfactor. Proposals shall not include any classified information.

B. Volume II Subfactor 1 (ITW/AA Task Order) of Factor 1; Volume III - Subfactor 2 (Air, Cruise and Ballistic Missile Defense Future Capabilities and Concepts Task Order) of Factor 1; and Volume IV - Subfactor 3 (Exercise Planning Task Order) of Factor 1 shall be free of company/team names, markings, logos or verbiage that would identify the company/team submitting the offer. Only the exterior binder cover or insert may contain company/team names, logos, or markings. Disks provided for these volumes shall be labeled on the exterior of the CD or CD cover, none of the saved files shall contain company/team names, markings, logos or verbiage that would identify the company/team submitting the offer.

C. One single proposal shall be submitted for each TO as Volumes II, III and IV. Each will be evaluated as provided in Section M-1. Be advised proposals exceeding minimum PWS requirements are less likely to be recognized as beneficial unless the offeror explicitly describes benefits derived from the approach/innovation and clearly describes why this improvement is beneficial to the Government. The Government will not accept or consider alternate proposals.

D. Responses to TOs are stand-alone proposals. Offerors shall submit proposals addressing all aspects and subtasks for each TO.

E. Subfactor 1, ITW/AA TO, of Factor 1:

1. Program Management and Staffing. Proposals for Subfactor 1, ITW/AA TO, of Factor 1, shall:

a. Provide an overall management and technical staffing approach to meet the requirements of the PWS and demonstrate an understanding of requirements to include any ramp-up time and activities to support PWS requirements upon TO award. Include an organizational chart aligned with technical specifications of the TO PWS and proposed staffing. Additionally, a staffing table (exempt from page count) providing the organization, function, sub-function, PWS reference, proposed labor category, and number of full time equivalents (FTE) proposed to satisfy this requirement (table format provided in Attachment L-12) should also be included. Identify what positions will be filled by which teammate, joint venture partner or subcontractor and provide position descriptions for each labor category proposed using the format provided in Attachment L-11. Position descriptions should show efforts/experience as related to the proposed staffing plan and PWS requirements and should identify experience, education and certifications where required. Do not provide names or resumes. While exempt from the volume page limitations, individual position descriptions shall not exceed one page.

b. Provide expert-level TO staff to support the technical approach proposed (for the purposes of this RFP, expert-level is defined as: having, involving, or displaying special skill or knowledge derived from training or experience with the ITW/AA and Nuclear Command and Control (NC2) systems/architecture).

c. Address risk mitigation activities to support PWS requirements immediately upon TO award.

d. Provide a process for flexibility with changing workload priorities and budgetary shifts; address any cross-utilization of skill-sets or matrixing being used. If cross-utilization of any TO positions is proposed, address benefits derived from this approach and clearly describe how this benefits the Government.

2. Technical Capability. Provide a proposal that demonstrates a thorough knowledge and understanding of the following:

L-9 VOLUMES VI, VII & VIII – FACTOR 3 – COST/PRICE PROPOSALS FOR ITW/AA, AIR, CRUISE AND BALLISTIC MISSILE DEFENSE FUTURE CAPABILITIES AND CONCEPTS AND EXERCISE PLANNING TASK ORDERS

A. Cost/Price Reasonableness and Realism. These instructions provide the offeror guidance in submitting information other than cost or pricing data required to evaluate the reasonableness of the proposed cost/price. Offers should be sufficiently detailed to demonstrate their reasonableness, realism and affordability. The burden of proof for credibility of proposed costs/prices rests with the offeror.

B. Estimating Techniques and Methods. When responding to requirements for each of the threeCost/Price Volumes in the solicitation, the offeror and associated subcontractors/team members may use any generally accepted estimating technique, including contemporary estimating methods [such as Cost-to-Cost and Cost-to-Non-Cost Estimating Relationships (CERs), commercially available parametric cost models, in-house developed parametric cost models, etc.] to develop their estimates. If necessary, reasonable and supportable allocation techniques may be used to spread hours and/or costs to lower levels of the work breakdown structure (WBS).

C. Cost/Price Information. Information beyond that required by this instruction shall not be submitted unless considered essential to document or support the cost/price position. All information relating to the proposed cost/price including all required supporting documentation must be included in the sections of the proposal designated as Cost/Price volumes. Do not include this information and documentation elsewhere in the proposal.

D. Other Than Cost or Pricing Data Requirements. IAW FAR 15.403-5, information other than cost or pricing data is required to support price reasonableness. Information shall be provided IAW FAR 15.403-5. If, after receipt of proposals, the CO determines there is insufficient information available to determine price reasonableness and none of the exceptions in FAR 15.403-1 apply, the offeror shall be required to submit cost or pricing data.

E. Rounding. All dollar amounts provided shall be rounded to the nearest dollar. All labor rates and percentage factors shall be rounded to the nearest two decimal places.

F. Organization of Volume VI. Do not include any cost/price information at Schedule B. SECTION 3 – Prime Contractor’s Cost or Price Evaluations of Subcontractor and Interdivisional Transfer Prices per FAR 15.404-3. Describe the evaluation rationale that leads to the prime’s conclusion that the subcontract/interdivisional price are reasonable. Explain all adjustments made to the subcontractor’s proposed costs and prices.

SECTION 4 – Professional Employees Compensation Plan as prescribed in FAR 52.222-46. Offerors shall submit a total compensation plan for the offeror and team members/subcontractors setting forth salaries and fringe benefits proposed for professional employees who will work under the proposed contract. The subcontractor’s plans are required for subcontractors whose proposals are both more than the cost or pricing data threshold (currently $650,000) and more than 10 percent of the prime contractor’s proposed price.

SECTION 5 – Identification of Subcontract Effort - Excessive Pass-Through Charges IAW DFARS 252.215-7003. If the offeror intends to subcontract more than 70 percent of the total cost of the TO, the offeror shall identify in its proposal the amount of the contractor’s indirect costs and profit applicable to the work to be performed by the subcontractor and a description of the added value provided by the subcontractor as related to the work to be performed by that subcontractor. The CO shall determine if excessive pass-through charges exist; the Government will not pay those charges.

SECTION 6 – Subcontract and Interdivisional Transfer proposals for the Air, Cruise and Ballistic Missile Defense Future Concepts and Capabilities (cost-plus-fixed-fee) task order. Subcontracts and interdivisional transfers with total contract prices that are both more than the cost or pricing data threshold (currently $650,000) and more than 10 percent of the prime contractor’s proposed price are subject to the same information requirements as the prime contractor. In those instances, the subcontractor or interdivision shall submit the applicable cost breakdowns with supporting detail and estimating rationale. Subcontractors may submit their cost proposals directly to the CO if the information is considered proprietary data. All required data must be received by the same date and time as the prime’s proposal. Note that for the ITW/AA and Exercise Planning Task Orders (firm-fixed price), the information requested above is not required as prime and subcontractor cost breakdowns are not required.

G. Contractor Systems Status.

1. Accounting System. Indicate whether your accounting system has been determined adequate by DCMA or DCAA for cost reimbursement type contracts. Provide evidence of such approval. IAW FAR 16.306 (c), no cost-plus-fixed-fee (CPFF) task order may be awarded unless the limitations in FAR 16.301-3 are met. This affects all team members and subcontractors if the prime anticipates awarding cost-reimbursement contracts to any of its subcontractors. If no cost-reimbursement subcontracts are to be awarded, the offeror shall so state.
