CMAR_Solicitation_General_Terms_and_Conditions_April_2025_NCS.pdf
This document comprises the General Terms and Conditions (GT&C) for Construction Manager at Risk (CMAR) contracts issued by the City of Fort Myers Public Works Department Engineering Division, effective April 2025. The GT&C establishes the comprehensive legal framework governing the relationship between the City of Fort Myers and a Construction Manager for construction projects, including provisions for construction documents, scope of work, personnel management, quality control, scheduling, and project completion. The document defines key terms such as "Construction Manager," "Work," "Substantial Completion," and "Final Completion," and establishes the order of precedence for conflicting contract documents, with the Agreement taking priority over the GT&C, followed by technical specifications, design drawings, and solicitation documents. The Construction Manager is responsible for all aspects of project performance including compliance with applicable laws, safety protocols, permit acquisition, quality management, and coordination with subcontractors and suppliers, while the City of Fort Myers provides one digital set of construction documents and compensation according to contract terms.
The GT&C requires the Construction Manager to maintain comprehensive insurance coverage including Workers' Compensation, Commercial General Liability ($1,000,000 minimum), Automobile Liability ($1,000,000 combined single limit), All-Risk Builder's Risk equal to the contract price, Environmental/Pollution Liability ($1,000,000 minimum), and Professional Liability/Errors and Omissions ($1,000,000 minimum). Performance and Payment Bonds equal to 100 percent of the contract price must be provided prior to work commencement, recorded in the county public records pursuant to Florida Statutes Section 255.05. Payment is governed by the Florida Local Government Prompt Payment Act with retainage limited to five percent unless otherwise specified by statute; the Construction Manager must pay subcontractors within ten days of receiving City payment and must comply with all public records requirements, E-Verify employment verification, MBE participation goals of 15 percent, prevailing wage requirements, and debarment/suspension certifications. Liquidated damages for delays are established at the time the Guaranteed Maximum Price (GMP) is agreed upon, with time extensions granted only for excusable delays including acts of the City, major scope changes, or extraordinary circumstances beyond the Construction Manager's control that impact the critical path schedule. The Construction Manager shall achieve Substantial Completion within the contract timeframe and Final Completion thereafter, with failure to do so resulting in daily liquidated damages deducted from final payment unless the delay qualifies as excusable and compensable under the contract terms.
