About this file
This is a Contract Amendment to Master Blanket Purchase Order No. 40377 between Central Jersey Waste & Recycling (Contractor) and the State of New Jersey, Department of the Treasury, Division of Purchase and Property (State). The amendment was executed on November 11, 2022, by Mark Dente, Director of Sales for Central Jersey Waste & Recycling, and December 21, 2022, by Amy F. Davis, Acting Director of the Division of Purchase and Property. The amendment modifies the existing statewide solid waste collection contract to integrate the Contractor into the NJSTART Marketplace, an eProcurement system operated by Periscope Holdings, Inc., which allows state counties, municipalities, and public school districts to access and purchase from supplier catalogs.
The amendment establishes four primary obligations for the Contractor: (1) remittance of a Supplier Convenience Fee of one percent (1%) of all net purchases made by Cooperative Purchasing Program Participants, payable quarterly within thirty days of quarter-end dates (March 31, June 30, September 30, and December 31); (2) upload of catalog items and pricing to the NJSTART Marketplace within thirty calendar days of amendment execution; (3) submission of quarterly Sales Reports to Periscope documenting all sales, credits, returns, refunds, and the Supplier Convenience Fee amount due, also within thirty days of quarter-end; and (4) remittance of the Supplier Convenience Fee via Automated Clearing House (ACH) transactions. The amendment further grants the State and Periscope audit rights over the Contractor's sales records, with the Contractor obligated to reimburse audit costs if underpayment of five percent or more is discovered. All other terms and conditions of the original Blanket P.O. remain in effect.

NOW THEREFORE, for good and valuable consideration, the Parties acknowledge and agree to the following modifications to the Blanket P.O.:
A.
