About this file
This document is a Second Amendment to Contract No. 09321 between the State of Washington, acting through the Department of Enterprise Services, and NWFF Environmental, a corporation based in Kodiak, Alaska. The original contract was established on May 27, 2022, for emergency response to hazardous materials, with a previous First Amendment dated May 28, 2024, which extended the contract term.
The Second Amendment introduces two key modifications: first, an economic adjustment mechanism for the contractor's rates, which will be based on percentage markups of prevailing wage rates and adjusted according to the Producer Price Index for environmental consulting services, effective December 19, 2024. Second, the amendment adds a pay equality provision requiring the contractor to ensure that similarly employed individuals are compensated equally, with allowances for differentials based on factors such as seniority, merit, production quantity/quality, and job-related considerations. The contract's core purpose remains emergency response to hazardous materials, with the amendments focusing on pricing flexibility and workplace compensation standards.

A G R E E M E N T
NOW THEREFORE, in consideration of the mutual covenants and agreements set forth herein, the Parties hereby agree to amend the Contract, as previously amended, as follows:
1. ECONOMIC ADJUSTMENT LANGUAGE. The following provision is added to section 3 (Scope) as a new subsection:
3.3 Economic Adjustments. Beginning December 19, 2024, the Contractor’s rates for services will be based on percentage markups of the Prevailing Wage rates as specified by the https://lawfilesext.leg.wa.gov/biennium/2023-24/Pdf/Bills/Session%20Laws/Senate/5187-S.SL.pdf?q=20240813082326
Washington State Department of Labor and Industries and agreed upon by the Contractor in Exhibit B – Prices. These percentage markups shall remain in effect for the life of the contract and not subject to change. The prevailing wage rates are available on the Washington State Department of Labor and Industries website (https://secure.lni.wa.gov/wagelookup/). Prices for non “Personnel” shall be adjusted according in accordance with the percentage change in the United States Department of Labor, Bureau of Labor and Statistics (BLS) Produce Price Index (PPI), Commodity Group Commercial and Other Goods Moving Services Item Code CEU6054162001 for Environmental consulting services. The percentage difference between the PPI issued at the effective date of the Master Contract, and the PPI issued on September 1, 2024 will determine the maximum allowable adjustment of original contract prices. Thereafter the percentage difference between the PPI issued on September 1, 2024 and the PPI issued on September 1, 2026 will determine the maximum allowable adjustment of contract prices. No retroactive contract price adjustments will be allowed. The economic adjustment shall be calculated as follows:
New Price = Old Price x (Current Period Index/Base Period Index)
2. PAY EQUALITY. The following provision is added to the end of section 18 (General Provisions) as a new subsection:
18.24 WASHINGTON STATE PAY EQUALITY FOR ‘SIMILARLY EMPLOYED’ INDIVIDUALS. Contractor represents and warrants that, among Contractor’s employees, ‘similarly employed’ individuals are compensated as equals. For purposes of this provision, employees are similarly employed if the individuals work for the same employer, the performance of the job requires comparable skill, effort, and responsibility, and the jobs are performed under similar working conditions. Job titles alone are not determinative of whether employees are similarly employed. Contractor may allow differentials in compensation for Contractor’s workers based in good faith on any of the following: a seniority system; a merit system; a system that measures earnings by quantity or quality of production; a bona fide job-related factor or factors; or a bona fide regional difference in compensation levels. A bona fide job-related factor or factors may include, but is not limited to, education, training, or experience that is: consistent with business necessity; not based on or derived from a gender-based differential; and accounts for the entire differential. A bona fide regional difference in compensation level must be consistent with business necessity; not based on or derived from a gender-based differential; and account for the entire differential. Notwithstanding any provision to the contrary, upon breach of warranty and Contractor’s failure to provide satisfactory evidence of compliance within thirty (30) days, Enterprise Services may suspend or terminate this Contract and any Purchaser hereunder similarly may suspend or terminate its use of the Contract and/or any agreement entered into pursuant to this Contract.
3. NO CHANGE OTHER THAN AMENDMENT. Except as amended herein, the Contract is unaffected and remains in full force and effect.
4. INTEGRATED AGREEMENT; MODIFICATION. This Amendment constitutes the entire agreement and understanding of the Parties with respect to the subject matter and supersedes all prior https://secure.lni.wa.gov/wagelookup/
