About this file
This is a Non-Disclosure Agreement (NDA) template issued by the State of Maryland for use by contractors awarded state contracts. The agreement establishes confidentiality obligations between the State of Maryland (through various issuing agencies) and contractors who will have access to sensitive information during contract performance. The NDA applies to all contractor personnel, agents, and subcontractors who require access to confidential information to perform contract work. Confidential information is broadly defined to include any information provided by the State in connection with the contract, as well as personally identifiable information (PII) and protected health information (PHI) as defined under Maryland law and federal regulations. The agreement requires contractors to limit access to confidential information strictly to personnel with a demonstrable need to know, maintain such information in strict confidence, implement appropriate security measures to prevent unauthorized disclosure, and promptly notify the State of any unauthorized access or disclosure.
The agreement prohibits contractors from copying, disclosing, publishing, transferring, or using confidential information without prior written State consent and restricts use solely to contract performance purposes. Contractors must return or permanently delete all confidential information upon contract termination or at the State's request. Breach of the NDA constitutes a breach of the underlying contract and exposes the contractor to injunctive relief, monetary damages, and indemnification obligations for losses incurred by the State. The agreement is governed by Maryland law and requires contractor personnel with access to confidential information to be identified on an attachment and sign acknowledgment of their confidentiality obligations. The NDA is effective as of the contract's effective date and includes provisions requiring contractors to return or certify deletion of all confidential information in accordance with the agreement's terms.

8. Contractor acknowledges that any failure by the Contractor or the Contractor’s Personnel to abide by the terms and conditions of use of the Confidential Information may cause irreparable harm to the State and that monetary damages may be inadequate to compensate the State for such breach.
Accordingly, the Contractor agrees that the State may obtain an injunction to prevent the disclosure, copying or improper use of the Confidential Information. The Contractor consents to personal jurisdiction in the Maryland State Courts. The State’s rights and remedies hereunder are cumulative and the State expressly reserves any and all rights, remedies, claims and actions that it may have now or in the future to protect the Confidential Information and seek damages from the Contractor and the Contractor’s Personnel for a failure to comply with the requirements of this Agreement. In the event the State suffers any losses, damages, liabilities, expenses, or costs (including, by way of example only, attorneys’ fees and disbursements) that are attributable, in whole or in part to any failure by the Contractor or any of the Contractor’s Personnel to comply with the requirements of this Agreement, the Contractor shall hold harmless and indemnify the State from and against any such losses, damages, liabilities, expenses, and costs.
