BLOCK 14 CONTINUATION SHEET

SUMMARY OF CHANGES:

c. The following are result of final contractor inquiries and is presented in a Question and Answer format:

# QUESTION & ANSWER

1 QUESTION: Is it possible for the basis of award to be both best value AND lowest price technically acceptable?

ANSWER: Yes. FAR 15.101-2(a) states: “The lowest price technically acceptable source selection process is appropriate when best value is expected to result from selection of the technically acceptable proposal with the lowest evaluated price.” Thus, LPTA is a best-value determination process IAW FAR 15.

2 QUESTION: Does the Government (DHS/FLETC) own an inventory management software system capable of allowing the contractor to perform the requirements?

ANSWER: Yes, FLETC has purchased its own version of Intellitrack software with all the most current updates, is populating the system with all current inventory, and will provide this as Government Furnished Property to the vendor upon contract award. The Government realizes there may be a learning curve with a new vendor, and will evaluate each offerors demonstrated “processes for inventory control accuracy for Government furnished equipment, and uniform inventory, replenishment, record keeping, and reporting with inventory management software…”

3 QUESTION: Is it irrational to evaluate the stated factors as commercial items, when in fact, the factors stated for evaluation deviate entirely from a commercial item, and are largely a service – laundering services?

ANSWER: No. There is no definition for “commercial service” separate from “commercial item” in FAR 2.101 Definitions. See paragraph (6) in the commercial item definition below:

“Commercial item” means—

(1) Any item, other than real property, that is of a type customarily used by the general public or by non-governmental entities for purposes other than governmental purposes, and—

(i) Has been sold, leased, or licensed to the general public; or

(ii) Has been offered for sale, lease, or license to the general public;

(2) Any item that evolved from an item described in paragraph (1) of this definition through advances in technology or performance and that is not yet available in the commercial marketplace, but will be available in the commercial marketplace in time to satisfy the delivery requirements under a Government solicitation;

(3) Any item that would satisfy a criterion expressed in paragraphs (1) or (2) of this definition, but for—

(i) Modifications of a type customarily available in the commercial marketplace; or

(ii) Minor modifications of a type not customarily available in the commercial marketplace made to meet Federal Government requirements. Minor modifications means modifications that do not significantly alter the nongovernmental function or essential physical characteristics of an item or component, or change the purpose of a process. Factors to be considered in determining whether a modification is minor include the value and size of the modification and the comparative value and size of the final product. Dollar values and percentages may be used as guideposts, but are not conclusive evidence that a modification is minor;

(4) Any combination of items meeting the requirements of paragraphs (1), (2), (3), or (5) of this definition that are of a type customarily combined and sold in combination to the general public;

5) Installation services, maintenance services, repair services, training services, and other services if—

(i) Such services are procured for support of an item referred to in paragraph (1), (2), (3), or (4) of this definition, regardless of whether such services are provided by the same source or at the same time as the item; and

(ii) The source of such services provides similar services contemporaneously to the general public under terms and conditions similar to those offered to the Federal Government;

(6) Services of a type offered and sold competitively in substantial quantities in the commercial marketplace based on established catalog or market prices for specific tasks performed or specific outcomes to be achieved and under standard commercial terms and conditions. For purposes of these services—

(i) “Catalog price” means a price included in a catalog, price list, schedule, or other form that is regularly maintained by the manufacturer or vendor, is either published or otherwise available for inspection by customers, and states prices at which sales are currently, or were last, made to a significant number of buyers constituting the general public; and

(ii) “Market prices” means current prices that are established in the course of ordinary trade between buyers and sellers free to bargain and that can be substantiated through competition or from sources independent of the offerors.

(7) Any item, combination of items, or service referred to in paragraphs (1) through (6) of this definition, notwithstanding the fact that the item, combination of items, or service is transferred between or among separate divisions, subsidiaries, or affiliates of a contractor; or

(8) A non-developmental item, if the procuring agency determines the item was developed exclusively at private expense and sold in substantial quantities, on a competitive basis, to multiple State and local governments.

4 QUESTION: Is the Past Performance factor flawed by including a “neutral” rating?

ANSWER: No. FAR 15.101-2(b)(1) states: “If the contracting officer elects to consider past performance as an evaluation factor, it shall be evaluated in accordance with 15.305.

However, the comparative assessment in 15.305(a)(2)(i) does not apply.”

FAR 15.305(2)(iv) states: “In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available, the offeror may not be evaluated favorably or unfavorably on past performance.” Thus the “neutral” rating is required. However, the Government will not make award to an offeror with a neutral rating unless there are no other offerors who are rated Acceptable in both the Technical and Past Performance factors. This is now clarified in the RFP.

5 QUESTION: Is the use of 52.212-2 Evaluation – Commercial Items with Addendum appropriate within the context of this RFP?

ANSWER: Yes. As discussed in question #3, this is a commercial item even though it is a service. 52.212-2 states “As prescribed in 12.301(c), the Contracting Officer may insert a provision substantially as follows:” (the clause language follows). FAR Part 12 provides general guidelines and authorities when acquiring commercial items. FAR 12.301(c) states:

(c) When the use of evaluation factors is appropriate, the contracting officer may—

(1) Insert the provision at 52.212-2, Evaluation—Commercial Items, in solicitations for commercial items (see 12.602); or

(2) Include a similar provision containing all evaluation factors required by 13.106, subpart

14.2 or subpart 15.3, as an addendum (see 12.302(d)).

The CO has chosen to modify 52.212-2 to state the basis for award, and provide an addendum with specific details on how the evaluation process will be carried out.

Federal Law Enforcement Training Centers (FLETC) RFP 70LGLY18RGLB00001, Amendment 0004

6 QUESTION: Can the Government intend that offerors be somehow subject to BOTH the original AND the alternative form of the same FAR contract clauses?

ANSWER: Yes. 52.212-4 Contract Terms and Conditions – Commercial Items and its Alternate 1 are both included because there are time-and-materials CLINs on the contract.

FAR 12.301(c)(3) states:

(3) The clause at 52.212-4, Contract Terms and Conditions—Commercial Items. This clause includes terms and conditions which are, to the maximum extent practicable, consistent with customary commercial practices and is incorporated in the solicitation and contract by reference (see Block 27, SF 1449). Use this clause with its Alternate I when a time-and-materials or labor-hour contract will be awarded.

7 QUESTION: At page 41 of the RFP, the Contracting Officer (“CO”) has indicated by an “X” that she elects application of clause “(32) 52.222-40, Notification of Employee Rights Under the National Labor Relations Act (DEC 2010) (E.O. 13496).” A few pages later at RFP page 25, this clause is repeated, or incorporated by reference AGAIN, but this time with an added flow down provision called out: “52.222-40, Notification of Employee Rights Under the National Labor Relations Act (DEC 2010) (E.O. 13496). Flow down required in accordance with paragraph (f) of FAR clause 52.222-40.” This also happens with FAR clause “52.222-17, Non-displacement of Qualified Workers (MAY 2014) (E.O. 13495)” incorporated into the RFP at page 43, which is then repeated on the very next page, but with a flow-down, as follows: “(iv) 52.222-17, Non-displacement of Qualified Workers (MAY 2014) (E.O. 13495). Flow down required in accordance with paragraph (l) of FAR clause 52.222- 17.” Why repeat incorporated by reference contract clauses?

ANSWER: Paragraph (e)(1) of 52.212-5 states: “(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause-” Therefore, the clause 52.222-40 is appropriately marked with an X to indicate that it does apply to this requirement, and paragraph (e)(1) provides clarification on the flow down requirements.

8 QUESTION: The CO fails to remove prompts given in FAR for her input of needed information – as shown by the following except from Clause 52.217-9 entitled “Option to Extend Term of the Contract” at subsection (c): “The total duration of this contract, including the exercise of any options under this clause, shall not exceed 72(months)(years).” See, RFP at page 45. By leaving BOTH options provided by FAR in the brackets and failing to make a needed election, the CO crafts an uncertain and potentially ambiguous contract term.

ANSWER: This is an obvious mistake, and the clause should reflect just 72 months. This has been changed in the RFP document. See attached page 45 of 168; changes to the paragraph is identified with a black vertical line on the right margin of the page.

9 QUESTION: Note that the majority of the contract clauses again are applicable to Commercial Items, as 95% or more of what is required under the RFP in terms of contract dollars is a service – labor required to perform laundry services.

ANSWER: As stated previously, see response to Question #3, the services under this requirement are commercial in nature, and fall under the definition of Commercial Item in FAR 2.1. Therefore, the clauses applicable to Commercial Items apply to these commercial services.

10 QUESTION: Is the government going to send a correction to page 148 of 168? It states the following: FACTOR C: Price; The offeror shall identify all resources required to accomplish the work required by the PWS. Price proposal shall include price for the phase-in period, base period and seven option periods.

ANSWER: See attached page 148 of 168 with corrections made to Section E, Solicitation Provision, Addendum to FAR 52.212-1, Price, Factor C; changes to the paragraph is identified with a black vertical line on the right margin of the page.

11 QUESTION: Will the government provide clarification regarding how to adjudicate ODCs?

ANSWER: No. The Offeror is responsible for proposing their ODCs.

d. All other solicitation requirements remain unchanged.

This narrative and/or teaming agreement will not count against the stated page size limitation.

PRICE

FACTOR C: Price

The offeror shall identify all resources required to accomplish the work required by the PWS. Price proposal shall include price for the base period and five option periods.

i. The contract type for this contract is firm-fixed price (FFP). Include complete identification of all resources required to accomplish the work required by the PWS, delineating prime contractor from subcontractor. This data will be utilized in assessing compliance associated with FAR Clause 52.219-14, Limitations on Subcontracting.

ii. Offerors shall provide a detailed breakdown of how it arrived at proposed costs as follows: Contract Line Item Number, Description, Service Contract Act (SCA) Occupation Code, Firm Fixed Price (FFP) Direct Labor Categories and Rates, for all proposed exempt and non-exempt positions; clearly identifying the proposed positions as exempt or non-exempt, full time equivalents for each labor category, productive hours, overtime hours and rate (if applicable based on technical proposal), proposed exempt and non-exempt fringe benefits, to include FUTA, SUTA, Workers Comp, Health & Welfare, Annual Benefit Funds, Burdened Labor Rates, Site and Individual Other Direct costs, Overhead, G&A, and Profit.

iii. For non-exempt positions not conformed through Department of Labor (DOL), the offeror shall provide rationale for development of the position and applicable wage rate in the cost/pricing rationale section of the price proposal. Subcontractor, if applicable, shall submit pricing detail correlating to that required herein. Should subcontractor information be considered proprietary, subcontractor information shall be submitted to Maureen Corpus, Contracting Officer at email address: Maureen.Corpus@fletc.dhs.gov.

iv. Price proposal shall include completed Schedule B. In the event there is a discrepancy between sections of the price proposal and Schedule B, Schedule B will govern.

implemented. The evaluation will consider issues including the number and severity of problems, the appropriateness and/or effectiveness of any corrective actions taken (not just planned or promised), and the offeror’s overall work record. Prompt corrective action in isolated instances may not outweigh overall negative trends.

(3) If an Offeror, does not have a past performance history deemed relevant to this solicitation, the Offeror will receive a neutral rating. In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available, the offeror may not be evaluated favorably or unfavorably on past performance.

Please Note: If there are extenuating circumstances concerning any negative past performance, provide background information and references for validation.

Non-Price Factor: Past performance shall be rated as follows:

PAST PERFORMANCE RATINGS

RATING DEFINITION

NEUTRAL (N) No relevant performance record is identifiable upon which to base a meaningful performance rating. A search was unable to identify any relevant past performance information for the offeror or key team members/subcontractors or their key personnel. This is neither a negative or positive assessment.

ACCEPTABLE (A) Based on an offeror’s past performance record, some doubt exists that the offeror will successfully perform the required effort.

UNACCEPTABLE (U) Based on an offeror’s past performance record, extreme doubt exists that the offeror will successfully perform the required effort.

Volume 3

Factor C: Price

(1) Evaluation of price will be conducted using one or more of the price analysis and/or realism techniques outlined in FAR. Realism may be assessed if the Government review indicates a potentially unrealistically low price which may increase risk in successful performance. Price will be evaluated to determine if the offeror’s proposed price is fair and reasonable, complete, balanced and if required/realistic.

(2) As part of the price analysis, the government will evaluate its option to extend services (FAR Clause 52.217-8) by adding six months of the offeror's final option period price to the offeror's total price. This will result in the total evaluated price by which the determination cited under f. (1) will be based, in part.

(3) Offeror is required only to price the base and option periods. The Government may choose to exercise the Extension of Services at the end of any performance period (base or option periods), utilizing the rates of that performance period. Evaluation of options shall not obligate the Government to exercise the option(s).

(4) Unbalanced Pricing may be evaluated in accordance with FAR 15.404-1(g), as applicable, to assess potential performance risk which could result in unreasonably high prices.

(5) Definitions.

Reasonableness. A price is reasonable if, in its nature and amount, it does not exceed that which would be incurred by a prudent person in the conduct of competitive business.

Completeness/Accuracy. The offeror’s proposal is in compliance with the Price Volume instructions in the solicitation.

Realism. If a proposed price is deemed low to the Government, price realism may be reviewed. The offeror’s understanding of the technical requirements as presented by the proposed price/cost and assessing the appropriateness of the labor categories, hours proposed, materials, and other ancillary items as they relate to the
