About this file
This document is a Request for Proposal (RFP) No. BPM004656 for Document Management Services, issued by the Arizona Department of Administration's State Procurement Office, located at 100 N 15th Avenue in Phoenix, Arizona. The solicitation is specifically for Konica Minolta Business Solutions U.S.A., Inc., which has submitted a proposal in response to the RFP.
The proposal includes several exceptions to the original contract terms, focusing on modifications to warranty periods, liability limitations, termination conditions, and various contractual remedies. Key proposed changes include a sixty (60) day warranty period for services, a liability limitation of $1,000,000 or three times the purchase price of specific materials or services, and provisions for reasonable opportunity to cure defaults before contract termination. Konica Minolta has carefully outlined its proposed alterations to the original contract language, providing rationales for each modification that aim to balance risk and reward while ensuring fair and reasonable contract terms.

X Rationale: The amount of liability is determined by weight risk (i.e., amount of liability one assumes) against reward (amount of revenue one expects to receive under the contract). Here, liability capped at 3x price of the material or service giving rise to the claim is the result of our balancing risk against reward.
unless stated otherwise in the Special Terms and Conditions, State’s and Contractor’s respective first party liability arising from or related to the Contract is limited to the greater of $1,000,000 (one million dollars) or 3 (three) times the purchase price of the specific Materials or Services giving rise to the claim.

The Procurement Officer shall provide written notice of the termination and the reasons for it to the Contractor.
X Rationale: It is standard in commercial contracts that where a party is in default, the party should have a reasonable opportunity to cure the default before the contract is terminated. That promotes efficiency and prevents unnecessary waste of resources.
