L.4 Teaming Arrangements
Contractor Team Arrangements are allowed under FAR Part 9.601-(2). A teaming arrangement occurs when a Prime Contractor agrees to partner with one or more subcontractors for a Government Contract. The Teaming Arrange-ment shall be formed prior to submission of an offer/proposal for this requirement. The Offeror must submit a copy of the Teaming Arrangement with their proposal. If applicable, include a copy of the Teaming Arrangement in Vol-ume I: General Company Information of the proposal package, 10 Page Max. No Teaming Arrangement will be accepted after submission of offer/proposal.
The Contracting Officer will review each teaming arrangement for the “ostensible subcontracting rule,” where one contractor (prime) may be “unduly reliant” upon its subcontractor (to include but not limited to experience, manage-rial control, key technical performance etc.). If the Contracting Officer determines the prime contractor to be “undu-ly reliant” on its subcontractor, the offer will be rejected. Only the Prime Contractor’s Experience and Past Perfor-mance will be considered in a Teaming Arrangement that is consistent with FAR Part 9.601-(2). Offers based on prime-subcontractor teaming arrangements will be required to show compliance with 13 CFR size rules, including compliance with the limitations on subcontracting clause (52.219-14) and the “ostensible subcontractor” principle.
The Teaming Arrangement shall include at a minimum the following information:
• Identification of the prime and subcontractor(s) and the relationship between the parties.
• A percentage of work and price to be completed by the prime contractor and the subcontractor(s), to include a breakdown of the Scope of Work (SOW) to be completed by each party.
• A contingency plan in case the prime and the sub fail to agree upon the terms and conditions of a subcontract agreement after award.
• A statement to the effect of the parties’ intent to be bound by the agreement and that upon award, the proposed prime contractor shall enter into a subcontract with the proposed subcontractor(s) within a specified number of days.
• The duration of the team arrangement, including any options and an explanation of how the options will work.
• Team arrangement must be signed by each participating contractor.
Failure to provide the above information shall lead to a rejection of the offer as incomplete.
L.5 Joint Ventures (JV) Or Partnerships
Joint ventures (JV)/Partnerships are allowed for this requirement per FAR Part 9.601-(1). Contractors submitting offers as a JV or Partnership are considered affiliated and controlling or having the power to control each other with regard to performance of the contract (FAR 19.101). Contractors must comply with the SBA regulations under 13 CFR 125.8 with regard to a JV/Partnership. If applicable, include a copy of the Joint Venture documentation in Vol-ume I: General Company Information of the proposal package, 4 Page Max.
JVs/Partnerships shall provide the following information:
• Written certification to the Contracting Officer signed by all parties in the JV/Partnership stating that the parties have entered into a JV/Partnership that complies fully with the requirements under 13 CFR 125.8(b). Please contact the SBA for guidance or instructions on the content.
• The letter shall contain the statement that the parties shall perform the contract in compliance with the JV/Partnership agreement and with the performance of work requirements set forth in 13 CFR 125.8(c).
• The JV must be registered in the System for Award Management (SAM).
The Government will consider the Experience and Past Performance of each member of the Joint Venture as well as the work completed by the Joint Venture itself.
Failure to provide the above information shall lead to a rejection of the offer as incomplete.
