About this file

This document is a Contract Amendment for the Time & Labor Solution Contract #180, involving the State of North Dakota, specifically its State Procurement Office and Information Technology Department, and WorkForce Software, LLC (formerly Workforce Software, Inc.). The amendment is numbered 16 and pertains to a contract originally dated May 17, 2007.

The amendment extends the contract term, which originally commenced on July 1, 2021, for an additional twelve (12) months, changing the expiration date to June 30, 2026. The contract was initially negotiated for a thirty-six (36) month period with two (2) twelve-month renewal options and one (1) twelve-month extension option. This amendment represents the second renewal, and the contract still maintains the potential for one additional twelve-month extension. All other terms of the original contract remain unchanged, and the amendment becomes effective upon full execution by all parties.

CONTRACT NAME AND NUMBER: TIME & LABOR SOLUTION, #180

AMENDMENT NUMBER: 16

This amendment is made to the Time & Labor Solution Contract (Contract) between the State of North Dakota, acting through its State Procurement Office (STATE), and WorkForce Software, LLC (fka Workforce Software, Inc.) (CONTRACTOR).

The parties agree to the following terms and conditions and expressly agree that if any of the following terms and conditions conflict with any of the terms and conditions of the Time and Labor Systems Products and Services Contract dated May 17, 2007, as amended (the “Contract”), then, notwithstanding any term in the Contract, the following terms and conditions govern and control the rights and obligations of the parties.

The parties agree to amend the Contract as follows:

Renewal Contract 2, Term of Contract. The renegotiated Contract commenced on July 1, 2021 for a period of thirty-six (36) months with two (2) renewal options for twelve (12) months each and one (1) extension option for up to twelve (12) months. The Contract was previously renewed for twelve (12) months.

The parties have agreed to renew the Contract for an additional twelve (12) months; therefore, the Contract is amended to change the expiration date to June 30, 2026. The Contract can be extended for an additional twelve (12) months.

All other terms of the Contract remain in effect. This Contract Amendment is not effective until fully executed by all parties.
