About this file
This is an FTA Funding Supplement document for Broward County contracts, establishing federal compliance requirements for projects funded through the Federal Transit Administration. The supplement applies to all contracts receiving FTA funding and incorporates standard terms and conditions required by the U.S. Department of Transportation. The document does not specify particular product or service quantities, response dates, or award timelines, as it serves as a regulatory framework applicable to any contract meeting FTA funding criteria. Rather, it establishes mandatory compliance provisions that flow down to all contractors and subcontractors at every tier participating in FTA-assisted projects.
The supplement mandates compliance with numerous federal requirements including Davis-Bacon wage standards for construction contracts exceeding $2,000, debarment and suspension certifications for contracts over $25,000, Buy America requirements for procurements exceeding $150,000, and Disadvantaged Business Enterprise (DBE) participation facilitation. Contractors must maintain comprehensive records for three years post-completion, permit federal and state audits, comply with civil rights laws prohibiting discrimination, implement drug and alcohol testing programs for certain positions, and adhere to prompt payment requirements for subcontractors (10 days for construction, 15 days for non-construction work). The document establishes that County may update requirements by operation of law, federal regulations take precedence over contract terms in cases of conflict, and violations constitute material breaches subject to termination, withholding of payments, sanctions, liquidated damages, and potential debarment. FTA funding sources and specific project amounts are not identified in this regulatory supplement.

8. DBE PROGRAM REQUIREMENTS
Flow Down Requirements: Flows Down to Contractor and its Subcontractors at every tier.
The following requirements apply to Contractor, Subcontractors, and its employees:
8.01. In accordance with 49 C.F.R. Part 26, County has established a DBE program (“DBE
Program”). Under the DBE Interim Final Rule effective October 3, 2025, County may not set or apply DBE participation goals on new federally assisted contracts until completion of the recertification process described in 49 C.F.R. § 26.111. During this time period, DBE participation is encouraged but not mandated through numerical goals. If and to the extent a new final rule or additional guidance is issued by the DOT, that final rule and/or guidance shall be automatically incorporated herein to the extent provided in Section IV of this FTA Supplement.
Contractor and its Subcontractors may obtain information about DBE Program requirements at the following websites:

8.02. By the tenth day of each month, Contractor shall submit monthly payment reports, using Broward County’s Business Management System (available at https://broward.gob2g.com), reflecting payments made to Subcontractors during the preceding month. County will utilize the monthly payment reports to monitor Contractor’s progress toward achieving DBE Program requirements. County, acting through its Contract Administrator and/or OESBD, may conduct onsite reviews of Contractor to the extent County determines appropriate to monitor Contractor’s progress toward achieving DBE Program requirements.
8.03. For further information regarding the DBE Program requirements, contact OESBD at (954) 357-6400. All forms may be downloaded from the OESBD website:

Program requirements, including but not limited to records of expenditures, invoices, and contracts between Contractor and other DBE parties entered into during the life of the Contract.
(b) Permit the authorized representative(s) of County, the U.S. Department of
Transportation, and the Comptroller General of the United States, to inspect and audit all data and records of Contractor relating to its performance under the DBE Program provisions of the Contract.
(c) Maintain all data and records pertaining to its DBE participation for the period required by the Record Retention and Access to Sites of Performance Section and applicable law.
10. PROMPT PAYMENT TO SUBCONTRACTORS
In accordance with 49 C.F.R. § 26.29, Contractor shall pay its Subcontractors in accordance with this section, provided, however, that if another portion of the Contract places more stringent payment requirements upon Contractor, the more stringent requirements shall apply.
10.01. Prompt Payment (Construction). This section only applies if the Contract is for construction services. Contractor must pay Subcontractors and suppliers for satisfactory performance of their contracts within ten (10) days after receipt of each payment from County for such subcontracted work or supplies. If County does not hold retainage from Contractor, Contractor shall release any retainage withheld from a Subcontractor or supplier within ten (10) days after that Subcontractor’s or supplier’s work is satisfactorily completed. If County holds retainage from Contractor, Contractor shall release corresponding retainage to the Subcontractor or supplier within ten (10) days after Contractor receives County’s retainage payment for the accepted work. Failure to pay a Subcontractor or supplier in accordance with this subsection shall be a material breach of the Contract, unless Contractor demonstrates to County’s satisfaction that such failure to pay results from a bona fide dispute with the Subcontractor or supplier and, further, Contractor promptly pays the applicable amount(s) to the Subcontractor or supplier upon resolution of the dispute. Contractor shall include requirements substantially similar to those set forth in this subsection in its contracts with Subcontractors and suppliers. When County holds retainage, County will provide for prompt and regular incremental acceptance of portions of the prime Contract and will release applicable retainage based on those acceptances; the work of a Subcontractor covered by an incremental acceptance is deemed satisfactorily completed. For purposes of this provision, a Subcontractor’s work is satisfactorily completed when all the tasks called for in the subcontract have been accomplished and documented as required by County.
10.02. Prompt Payment (Non-Construction). This section only applies if the Contract is not for construction services. Contractor must pay Subcontractors and suppliers for satisfactory performance of their contracts within 15 days after receipt of payment from County for such subcontracted work or supplies. If County does not hold retainage from Contractor, Contractor shall release any retainage withheld from a Subcontractor or supplier within 15 days after that Subcontractor’s or supplier’s work is satisfactorily completed. If County holds retainage from Contractor, Contractor shall release corresponding retainage to the Subcontractor or supplier within 15 days after Contractor receives County’s retainage payment for the accepted work.

When County holds retainage, County will provide for prompt and regular incremental acceptance of portions of the prime Contract when practicable and will release applicable retainage based on those acceptances; the work of a Subcontractor covered by an incremental acceptance is deemed satisfactorily completed. For purposes of this provision, a Subcontractor’s work is satisfactorily completed when all the tasks called for in the subcontract have been accomplished and documented as required by County.
11. DISPUTES, BREACHES, DEFAULTS, AND LITIGATION
The Contract provides for County’s and Contractor’s available administrative, contractual, or other legal remedies, including any sanctions or penalties in the event Contractor or its Subcontractors violate or breach the Contract.
11.01. FTA Interest. FTA has a vested interest in the settlement of any violation of federal law, regulation, or requirement, or any disagreement involving the Award, the accompanying County contract, and any amendments thereto, including, but not limited to, a default, breach, major dispute, or litigation, and FTA reserves the right to concur in any settlement or compromise.
11.02. Notification to FTA. If a current or prospective legal matter that may affect the
Federal Government emerges, Contractor must promptly notify the FTA Chief Counsel and FTA Regional Counsel for the Region in which County is located. Contractor must include an equivalent provision in its sub-agreements with Subcontractors at every tier, for any agreement that is a “covered transaction” according to 2 C.F.R. §§ 180.220 and 1200.220. The types of legal matters that require notification include but are not limited to a major dispute, breach, default, litigation, or naming the Federal Government as a party to litigation or a legal disagreement in any forum for any reason. Matters that may affect the Federal Government include, but are not limited to, the Federal Government’s interests in the Contract, or the Federal Government’s administration or enforcement of federal laws, regulations, and requirements.
11.03. Additional Notice Requirements. Contractor and its Subcontractors must promptly notify County and if required DOT Inspector General in addition to the FTA Chief Counsel or Regional Counsel for the Region in which County is located, if Contractor or its Subcontractors have knowledge of potential fraud, waste, or abuse occurring on a project receiving assistance from FTA. The notification provision applies if a person has or may have submitted a false claim under the False Claims Act, 31 U.S.C. § 3729, et seq., or has or may have committed a criminal or civil violation of law pertaining to such matters as fraud, conflict of interest, bid rigging, misappropriation or embezzlement, bribery, gratuity, or similar misconduct involving Federal Assistance. This responsibility occurs whether the project is subject to this Contract or another FTA funded contract, or an agreement involving a principal, officer, employee, agent, or third-
Broward County FTA Funding Supplement (09.23.26) Page 16 of 50 party participant of County. It also applies to Subcontractors at any tier. Knowledge, as used in this paragraph, includes but is not limited to knowledge of a criminal or civil investigation by a federal, state, or local law enforcement or other investigative agency, a criminal indictment or civil complaint, or probable cause that could support a criminal indictment, or any other credible information in the possession of Contractor or Subcontractor. In this paragraph, “promptly” means to refer information without delay and without change. This notification provision applies to all divisions of the Recipient, including divisions tasked with law enforcement or investigatory functions.
11.04. Enforcement. County is obligated by the FTA to enforce its legal rights and remedies available under the Contract or any federal, state, or local law or regulation.
12. TERMINATION
12.01. Termination Following FTA Action under TVPA. FTA may suspend or terminate Federal Assistance or the applicable grant, cooperative agreement, or other underlying award agreement in accordance with applicable federal law. Following such action, County may exercise any remedy available under the Contract or applicable law, including termination of the Contract.
County shall not be liable for Contractor’s costs or losses resulting from FTA’s action, except to the extent expressly required by the Contract or applicable law.
12.02. Termination for Convenience (General Provision). County may terminate the
Contract, in whole or in part, at any time by written notice to Contractor when it is in County’s interest. Contractor shall be paid its costs, including Contract close-out costs, and profit on work performed up to the time of termination. Contractor shall promptly submit its termination claim to County. If Contractor has any property in its possession belonging to County, Contractor will account for the same, and dispose of it in the manner County directs.
12.03. Termination for Default [Breach or Cause] (General Provision). If Contractor does not deliver supplies in accordance with the Contract delivery schedule, or if the Contract is for services, Contractor fails to perform in the manner called for in the Contract, or if Contractor fails to comply with any other provisions of the Contract, County may terminate this Contract for default. Termination shall be effected by serving a Notice of Termination on Contractor setting forth the manner in which Contractor is in default. Contractor will be paid only the Contract price for supplies delivered and accepted, or services performed in accordance with the manner of performance set forth in the Contract. If it is later determined by County that Contractor had an excusable reason for not performing, such as a strike, fire, or flood, events which are not the fault of or are beyond the control of Contractor, County, after setting up a new delivery of performance schedule, may allow Contractor to continue work, or treat the termination as a Termination for Convenience.
12.04. Opportunity to Cure (General Provision). County, in its sole discretion may, in the case of a termination for breach or default, allow Contractor an appropriately short period of time in which to cure the defect. In such case, the Notice of Termination will state the time period in which cure is permitted and other appropriate conditions. If Contractor fails to remedy to County’s satisfaction the breach or default of any of the terms, covenants, or conditions of this
Broward County FTA Funding Supplement (09.23.26) Page 17 of 50
Contract within 10 days after receipt by Contractor of written notice from County setting forth the nature of said breach or default, County shall have the right to terminate the Contract without any further obligation to Contractor. Any such termination for default shall not in any way operate to preclude County from also pursuing all available remedies against Contractor and its sureties for the breach or default.
12.05. Waiver of Remedies for any Breach. In the event that County elects to waive its remedies for any breach by Contractor of any covenant, term or condition of the Contract, such waiver by County shall not limit County’s remedies for any succeeding breach of that or of any other covenant, term, or condition of the Contract.
12.06. Termination for Convenience (Professional or Transit Service Contracts). County, by written notice, may terminate the Contract, in whole or in part, when it is in County’s interest.
If the Contract is terminated, County shall be liable only for payment under the payment provisions of the Contract for services rendered before the effective date of termination.
12.07. Termination for Default (Supplies and Service). If Contractor fails to deliver supplies or to perform the services within the time specified in the Contract or any extension, or if Contractor fails to comply with any other provisions of the Contract, County may terminate the Contract for default. County shall terminate by delivering to Contractor a Notice of Termination specifying the nature of the default. Contractor will only be paid the Contract price for supplies delivered and accepted, or services performed in accordance with the manner or performance set forth in the Contract. If, after termination for failure to fulfill Contract obligations, it is determined that Contractor was not in default, the rights and obligations of the parties shall be the same as if the termination had been issued for the convenience of County.
12.08. Termination for Default (Transportation Services). If Contractor fails to pick up the commodities or to perform the services, including delivery services, within the time specified in the Contract or any extension, or if Contractor fails to comply with any other provisions of the Contract, County may terminate the Contract for default. County shall terminate by delivering to Contractor a Notice of Termination specifying the nature of default. Contractor will only be paid the Contract price for services performed in accordance with the manner of performance set forth in the Contract. If the Contract is terminated while Contractor has possession of County goods, Contractor shall, upon direction of County, protect and preserve the goods until surrendered to County or its agent.
