SUMMARY OF CHANGES
SECTION SF 1449 - CONTINUATION SHEET
SOLICITATION/CONTRACT FORM
The required response date/time has changed from 29-May-2018 02:00 PM to 05-Jun-2018 02:00 PM.
The following have been modified:
ADDENDUM TO 52.212-1
Addenda to 52.212-1(b), Submission of Proposals. The paragraph is tailored as follows:
Paragraph (b), the second sentence is deleted and replaced with the following: Instructions for Preparation and Submission of Proposals. Submit proposal to the office indicated in Block 9 of the Standard Form 1449, to arrive no later than the date and time specified in Block 8 of the Standard Form 1449. The submitted proposal shall have a title page identifying the offeror, the solicitation number, and the contents. Written proposals shall be prepared in volumes. Volumes shall be clearly labeled and independent of one another.
Addenda to 52.212-1(c), Period for Acceptance of Proposals. The paragraph is tailored as follows: “The Offeror agrees to hold the prices in its offer firm for 180 calendar days from the date specified for receipt of proposals.”
Addenda to 52.212-1(e), Multiple Proposals. This paragraph is deleted in its entirety.
Addenda to 52.212-1(g), the following paragraph is added to the end of the current paragraph as follows: "After evaluating proposals, if discussions are deemed necessary, the contracting officer may determine that the number of most highly rated proposals that might otherwise be included in the competitive range exceeds the number at which an efficient competition can be conducted. In this event, the contracting officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals."
(m) The non-FAR Part 12 discretionary FAR, DFARS, AFARS, and LOCAL provisions included herein are incorporated into this solicitation either by reference or in full text. If incorporated by reference, see provision 52.252-1 herein for locations where full text can be found.
ORGANIZATIONAL CONFLICT OF INTEREST. For those Offerors planning to engage in a teaming arrangement or to use subcontractors, a conflict of interest may be created if a company is identified as a prime Offeror, teaming partner/subcontractor, or as a member of a Joint Venture on more than one proposal. The US Government’s (USG) strong preference is that each company participates in only one proposal. If the contracting officer concludes during proposal evaluation that a potential conflict of interest exists because one or more companies have participated in more than one proposal as a prime Offeror, teaming partner/subcontractor, or as a member of a Joint Venture, the contracting officer reserves the right to require a conflict of interest mitigation plan from the prime Offerors of those proposals. If an Offeror fails to submit a plan, or submits an inadequate plan, the Offeror may not be considered.
INSTALLATION ACCESS. Effective 1 May 2013, access to Fort Sam Houston (FSH) Main is closed except for pre-vetted and approved credential holders IAW Air Force Federal Acquisition Regulation Supplement 5352.242-9000 (Contractor Access to Air Force Installations); AFI 31-101 (Integrated Defense); AFI 31-113 (Installation Perimeter Access Control); and AFI 31-502 (Defense Biometric Identification Systems (DBIDS) Operations. Therefore, the USG is not responsible for delays at the gate when proposed Offerors are in the process of delivering proposals to the Health Readiness Contracting Office at Bldg 4197 by the due date and time annotated on the Request for Proposal. As Visitor Control Centers become operational, the proposed Offeror must stop by one of the Visitor Control Centers prior to entry to be vetted and issued a pass. A single performance assessment submission shall only include one (1) contract, TO or purchase order and MAY not include a combination of contracts, purchase orders, or TOs. If an Offeror submits more than three (3) contracts, the USG will evaluate only the first three (3) listed contracts for recency and relevancy. If an Offeror submits multiple contracts, purchase orders or TOs on one (1) performance assessment submission, then that submission will not be evaluated. Performance assessments shall meet the relevancy definition in Addendum to 52.212-2 and performance must have occurred within the last three years prior to the issuance date on the solicitation. The total number of performance assessment submissions shall include prime and any major subcontractor(s) projected to perform on any resultant contract. Only those subcontractors that meet the definition of a major subcontractor, as defined as performing more than 25% of any resultant contract arising from this solicitation will be used in the Offeror’s performance assessment. The Offeror shall submit a summary of each performance assessment submission, which shall be limited to two (2) pages for each submission.

Reference information shall be submitted in the format referenced in Attachment 7 entitled “Reference Customer Information Sheet”.

The Offeror shall request completion of Attachment 9 entitled “Performance Risk Assessment Questionnaire (PRAQ)” by those persons who have knowledge of the performance quality provided on the contracts listed above. PRAQs should be completed by a member of the program office, administrative contracting office, end users of the service provided, or any other technical or business advisor who has knowledge of the Contractor’s performance. The USG will use the results of submitted questionnaires as a method to evaluate an Offeror’s past performance. The Offeror shall provide a copy of the attached PRAQs to each POC with a letter the same as or similar to that at Attachment 8 entitled “Sample Questionnaire Cover Letter”. Instruct each source to complete and e-mail the entire questionnaire to Mr. Jerome Watkins at e-mail: jerome.e.watkins.civ@mail.mil. Completed Performance Risk Assessment Questionnaires (PRAQs) must be received on or before the date and time established for receipt of proposals. Questionnaires received after the date established for receipt of proposals will not be considered.
The Government requires each Offeror to submit completed Volume III requirements no later than 2:00 PM Central Standard Time on June 5, 2018. Additionally, questionnaires received after the date and time required for submission of Volume III will be deemed late and will not be considered for evaluation.
6. GLOSSARY OF ABREVIATIONS AND ACRONYMS. A glossary of all abbreviations and acronyms used, and with an explanation for each. Glossaries do not count against the page limitations for their respective volumes.
VOLUME IV – PRICE PROPOSAL (Factor 3)
1. Volume IV shall include pricing information that will be used to evaluate an Offeror’s total price. Volume IV shall include 2 sections: Section 1, the offeror’s proposed prices in the SF1449 inclusive of all contract line items (Schedule B) ; and Section 2, the Offeror’s proposed prices incorporated into Exhibit C – MSO Labor Hour Pricing mailto:jerome.e.watkins.civ@mail.mil
Sheet. The proposed labor rates shall be fully burden. The Offeror shall only provide that information essential to document or support the Offeror’s price proposal.
2. The Contracting Officer has determined there is a high probability of adequate competition on this acquisition.
Upon examination of the initial proposals, the contracting officer will review this determination and if in the Contracting Officer’s opinion, adequate competition exists no additional cost information will be requested.
However, if at any time during this competition the Contracting Officer determines that adequate competition no longer exists, Offerors may be required to submit information to the extent necessary for the contracting officer to determine the reasonableness of Offerors’ price proposals. Additionally, all information related to pricing shall be included in Volume IV of the proposal only. UNDER NO CIRCUMSTANCES should pricing information be included elsewhere in the proposal. A complete Volume IV shall include the information below:
Section 1. Completed proposed prices in the SF1449 inclusive of all contract line items.
Section 2. Exhibit C – MSO Labor Hour Pricing Sheet
Price proposals shall include the total amount for the base year and the five ordering periods. Offerors shall ensure proposed rates are complete and accurate. Labor rates shall be a fully burdened and rounded to the nearest cent.
Failure to submit prices for all identified CLINS in Schedule B and on all labor categories in Exhibit C may render a proposal ineligible for award.
a) CONTRACTOR MANPOWER REPORTING (CMR). (See CLINs 0002, 1002, 2002, 3002 and 4002) Offerors shall not provide separate pricing for annual CMR requirements. CMR appears as Not Separately Priced “NSP”.
b) MINIMUM GUARANTEE. The minimum guaranteed amount is priced by the USG. Awarded contract will include a minimum guaranteed amount of $3,000.00 and shall not be separately priced by the Offeror.
VOLUME V – OTHER CONTRACTING CONSIDERATIONS
1. Organizational and Consultant Conflict of Interest Mitigation Plan – All offerors, to include all subcontractors and consultants, shall comply with the provisions of Federal Acquisition Regulation (FAR) Subpart 9.5, Organizational and Consultant Conflict of Interest. Offerors are required to submit an Organizational Conflict of Interest (OCI) Mitigation Plan to avoid or mitigate all significant potential OCIs. If the offeror is affected by FAR Subpart 9.5, their OCI Mitigation Plan shall address at a minimum: (1) HCPs while on duty, recommending or suggesting to persons authorized to receive dental care at Army expense that such persons should receive dental care from the HCP when he/she is not on duty, or from a civilian associated in practice with the HCP, or from any other third party; (2) HCPs who conduct off-duty private dental practices will have no conflict of interest with the performance of duties under this contract; and (3) HCP’s shall make no use of any government facilities or other government property in connection with their private practice. The OCI Mitigation plan will be evaluated on an acceptable/unacceptable basis prior to contract award. If the contracting officer determines that the OCI Mitigation Plan does not adequately protect the Government’s interest, the OCI Mitigation Plan will be deemed unacceptable and the offeror shall be ineligible for award. The contracting officer will evaluate the mitigation plan for acceptability and compliance with FAR Subpart 9.5. The terms of this provision and application to this contract are not subject to negotiation.
2. Subcontractor/Teaming Partner Consent Letters. Past Performance information concerning subcontractors and teaming partners cannot be disclosed to a private party without the subcontractor’s or teaming partner’s consent.
Because a prime Offeror/Contractor is a private party, the USG will need that consent before disclosing subcontractor/teaming partner past and present performance information to the prime Offeror during discussions or negotiations. In an effort to assist the USG in assessing your Past Performance, Offerors must have each of their subcontractors and teaming partners complete Attachment 4 entitled “Subcontractor/Teaming Partner Consent letter”. A completed consent form should be submitted as part of your Volume V - Other Contracting Considerations for each Subcontractor/Teaming Partner identified in your Volume III.
3. Teaming Arrangements, Joint Ventures, and/or Letters of Intent. If a teaming arrangement or Joint Venture is contemplated, the offeror shall provide complete, verifiable information as to the arrangement. Failure to provide adequate information when a teaming arrangement or joint venture is proposed may result in the offeror being removed from consideration for award.
4. Subcontractor/Teaming Partner Table. The Offeror shall complete Attachment 5 entitled “Subcontractor/Teaming Partner (S/TP) Table” which describes business arrangements in which the Offeror intends to participate during the performance of any resulting contract/TO. In the table, the Offeror shall use the same designation (i.e. S/TP-A) for each business partner as they use in their sanitized copy of their technical proposal. A completed Subcontractor/Teaming Partner table should be submitted as part of your Volume V - Other Contracting Considerations for each Subcontractor/Teaming Partner identified in your Volume III.
5. Exceptions to Terms and Conditions. Offerors are cautioned that failure to comply with the terms and conditions of the solicitation may result in the offeror being removed from consideration for award.
6. Responsibility Determination. Although financial capability is not an evaluation criterion, a contract may only be awarded to an offeror who substantiates their financial capability for this contract under FAR Subpart 9.104-3.
Pursuant to FAR 9.104-6, the information in the Federal Awardee Performance and Integrity Information System (FAPIIS) will be considered.
7. Debarred, Suspended, or Proposed for Debarment. The System for Award Management (SAM) Exclusions will be reviewed. Pursuant to FAR 9.405, contractors found to be debarred, suspended, or proposed for debarment are excluded from receiving contracts and agencies shall not solicit offers from, award contracts to, or consent to subcontracts with these contractors. Furthermore, these contractors are also excluded from conducting business with the Government as agents or representatives of other contractors.
