This award notice announces the upcoming release of a Request for Proposal for logistics support services under the Logistics Civil Augmentation Program V (LOGCAP V).
The U.S. Army intends to issue the RFP on or around November 6, 2017 to support worldwide logistics requirements. Services will include setting theater operations, supply, transportation, engineering, base camp management, and other sustainment functions. The effort will be globally aligned to six Geographical Combatant Commands and involve all phases of military operations. The government seeks to award a minimum of four and up to six Indefinite Delivery/Indefinite Quantity contracts for an initial five-year period plus five optional one-year extensions. A "Setting the Theater" task order for each command will be awarded as the minimum guarantee along with known requirements task orders at the IDIQ award date. Future work will be competed among awardees over a potential ten-year ordering horizon valued at an estimated $82 billion total. Proposals are due in response to the forthcoming RFP.

The following is a summary of the type of support the Government will provide the contractor. Services will be provided to contractors at the same level as they are provided to military and DoD civilian personnel. In the event of any discrepancy between this summary and the description of services in the Statement of Work, this clause will take precedence. These services are only provided at the following locations: Afghanistan sites.
When contractor employees are in transit, all checked blocks are considered authorized.
NOTE: The services marked in this special clause must be consistent with information marked on the approved GFLSV form.

H.1 NON-COMPETITIVE CONTRACT ACTIONS
The parties recognize the dynamic nature of LOGCAP support to current, future, and emergent requirements and expect the quantities, types, and locations of the services associated with the performance work statement to change. The process outlined below will be utilized to establish and/or adjust task order baselines (cost and fee) for non-competitive contract actions.
Additionally, this process establishes what constitutes a change to the baseline for active task orders. All changes described will either be accomplished by, or later memorialized by, contract modification. The criteria for changes are as follows:
1. Setting the Theater. As responsiveness and speed of execution are critical to the ability to set and surge the theater, the parties recognize planning and execution tasks supporting the deployment process are integrally related. As such, the following are considered within scope changes:
a. Increase/Decrease in concepts of support (quantity produced or schedule)
b. Increase/Decrease in amount of exercise support
c. Authorized travel
d. Authorization to support a field exercise in direct support of contractor developed plan under PWS 02.01.03
e. Response to provide urgent support to Army Power Projection Platforms (AP3) and theater opening tasks associated with supporting Pre-Deployment Activities, Fort to Port, Port to Port, Port to Destination (RSOI) Activities, and other key sustainment activities in support of the Army deployment process.
2. Performance Task Orders:
a. The addition or elimination of an entire site (or multiple sites);
b. The activation or deactivation of a PWS element listed in Technical Exhibit A.1;
c. Workload fluctuation
d. Increases or decreases to the Augmentation Tables in Technical Exhibit K of PWS;
e. Any Project authorized under PWS 03.00 Engineering;
f. A Government directed change or event, not otherwise covered, that the PCO determines to constitute a substantial change requiring an update to contractual documents and the baseline.
Process for establishing/adjusting the baseline under performance task orders:
1. The labor staffing model and Attachment 0016 Cost Reimbursable Pricing Proposal shall be the basis for all noncompetitive proposals subsequent to the award of the initial GCC/ASCC performance contract award(s).
a. The labor category descriptions (i.e., job titles) and detailed job descriptions, to include any required educational

experience, skill level, and/or years of experience for each labor category listed, shall not change without approval of the procuring contracting officer.
b. If any work added subsequent to the initial GCC/ASCC performance awards requires resources not in the labor staffing model (e.g., a WBS is activated for the first time) or Attachment 0016 Cost Reimbursable Pricing Proposal, the offeror shall notify the
Procuring Contracting Officer for proposal instructions specific to that action.
c. Attachment 0016 Cost Reimbursable Pricing Proposal: The proposed Expat/US based and TCN base labor rates and compensation packages and their associated rates for subsequent noncompetitive proposals shall not exceed the rates (both labor and associated compensation package rates) listed or methodologies utilized unless authorized by the Contracting Officer.
i. If authorized to propose a higher rate, the contractor agrees that fee will be excluded on the costs associated with the difference between the labor rates and compensation package rates in Attachment 0016 Cost Reimbursable Pricing Proposal and the proposed labor and compensation package rate(s) for the subsequent proposal. These costs include any associated fringe costs, overheads, general and administrative expenses and facilities capital cost of money. The proposal will include the unique identifier to clearly tie the proposed labor category/base labor rates back to the corresponding labor category and base labor rate on Attachment 0016
Cost Reimbursable Pricing Proposal. It is the contractors responsibility in submitting proposals subsequent to the initial GCC/ASCC performance contract awards to provide current, accurate, and complete cost and pricing data as required.
ii. The base labor rates and compensation package rates in Attachment 0016 Cost Reimbursable Pricing Proposal does not establish a ceiling on the Expat/US based and TCN base labor rates and compensation package rates for reimbursement of actual costs.
The above provisions do not change the fundamental principle that for reimbursement of actual costs, the contractor will be reimbursed using the labor and compensation package rates actually experienced, provided they are otherwise allowable.
d. LABOR STAFFING MODEL: The proposed labor resources shall not exceed the quantities generated from the labor staffing model.
2. The aforementioned labor staffing model and Attachment 0016 Cost Reimbursable Pricing Proposal shall not apply to any task order award made on the basis of a competition subsequent to the initial GCC/ASCC performance contract award(s). Subsequent task order competitions may incorporate staffing model approach and Attachment 0016 Cost Reimbursable Pricing Proposal specific to the competed task order. The labor staffing model and base labor rates for any subsequent task order competition will not apply to the other work already on contract and any changes or supplemental agreements thereto.
3. Workload Fluctuations:
The Offeror shall submit a monthly workload data report (Attachment 0011) to the PCO, quantifying its current workload requirement in the format provided by the Government. The Government will perform an analysis of the monthly workload as a basis for determining the previous quarters workload as well as projections for the following quarter(s). The projection may consider any anticipated adjustments such as troop surge, seasonal requirements, etc. that would not have been reflected in the monthly workload data reports. The previous quarter and adjusted workload projections will be provided to the contractor quarterly. Within 30 days of receipt, the contractor shall submit to the PCO a revised baseline for the period of performance that incorporates the workload.
4. The Government reserves the right to make an operational assessment to determine whether current LOGCAP efforts will be incorporated under existing task orders. The Government also reserves the right to compete any additional sites within an AOR that are incorporated into a LOGCAP requirement after the award of Task Orders.
H.2 FIXED FEE EXCLUSIONS FOR COST PLUS FIXED FEE CLINS
The fixed fee shall be established based upon the negotiated estimated costs excluding the following: Cost of Money; Value Added Taxes;
Incentive Pay above applicable Department of State Guidelines; Capital Investment Items; DBA Insurance and any other regulatory exclusion. These costs shall be excluded at the prime and subcontract levels.
Fixed fee shall be allowed on negotiated estimated costs to obtain and manage Material/Equipment purchase and/or lease agreements;
however, no fixed fee shall be allowed for actual purchase/lease costs of Material/Equipment.
H.3 CONTRACTOR LEASED EQUIPMENT
1. During the course of the performance, the contractor is responsible for ensuring that leased equipment remains in a fully mission capable (FMC) status. In the event that an ACO (or other cognizant Government authority) or the contractor determines the equipment non-mission capable (NMC) the contractor shall:
a. Within seven (7) days of a NMC determination, submit to the ACO (or other cognizant Government authority) a list of repairs (to include parts and labor) along with a ROM cost estimate and timeframe returning the item to FMC.
b. Make all repairs necessary to return the item to FMC within 30 days, or as otherwise agreed to in writing by the ACO (or

other cognizant Government authority).
c. Remain responsible for performance of any services in support of the PWS whether or not the equipment is returned to the lessor.
d. Not charge lease costs to the Government after the 30th day, unless first agreed to in writing by the ACO (or other cognizant Government authority).
2. During the course of the performance of the Task Order, the contractor will be responsible for ensuring that leased equipment determined excess by the ACO (or other cognizant Government authority) or the contractor is returned to the lessor within 30 days of the excess determination.
a. No lease costs shall be charged to the Government after the 30th day following the excess determination.
b. Return of the excess equipment to the lessor does not relieve the contractor from performance of any services in support of the PWS.
3. H.4 supplements but does not supersede the Offerors obligations pursuant to Basic Contract Section I, FAR clause 52.245-1, Government Property.
H.4 ESTIMATING, TRACKING, REPORTING, AND ACCOUNTING OF COSTS
1. The Offeror warrants as follows for the life of this contract:
a. Tracking and Reporting of Costs:
i. That it will maintain project level accounting for all projects. Each change order issued under this task order will be considered a project applicable to this requirement. The USG may elect to identify multiple projects within a change order which will be applicable to this requirement.
ii. That it will track and report project costs through the standardized WBS. The reporting level will be In Accordance
With (IAW) the PWS Work Breakdown Structure.
iii. The Offeror will identify within its general ledger incurred costs for all lower level WBS by activated site(s).
b. The offerors awarded proposal will serve as the estimated cost base. The labor staffing model and DTMA constitute the offerors technical approach of performing requirements under a task order. The proposal, to include the staffing model, shall serve as a starting point for all tracking, reporting, and accounting of cost and the variances thereof during the performance of this task order. The contractor shall maintain consistency in formatting, descriptions, etc. between the proposal and all required reports/deliverables under this task order. This includes, but is not limited to, the unique identifier and associated category descriptions established in the labor staffing model, labor job descriptions, and all reports including labor category positions.
c. Measuring and Tracking Cost Variances: The Offeror shall utilize cost accounting techniques and metrics to measure and track cost variances across the Task Order(s) as compared to the Task Order estimated cost base.
2. The Offeror further warrants that all proposals submitted in connection with this solicitation and any resulting task order, including any subsequent modifications, projects, change orders, etc.:
a. Represent that the Offeror has the ability to meet the requirements of paragraph H.4.1 above, and
b. Such proposals include proposed costs to comply with paragraph H.4.1 above.
3. The above requirements apply for the life of the contract unless the PCO authorizes in writing the Offeror to deviate from the above requirements.
H.5 LABOR AGREEMENTS
The Government shall not be liable for any costs incurred by contractor due to contractors failure to align labor and other personnel agreements with the current task order period of performance, to include contractors failure to comply with all host country notice requirements concerning the expiration and/or termination of employment contracts. H.5 supplements but does not supersede the contractors obligations to be compliant with all applicable labor laws pursuant to the Basic Contract, Section I.
H.6 ORGANIZATIONAL CONFLICT OF INTEREST
1. The LOGCAP V contractors may work closely with separate planning/support contractor(s) after contract award to execute the Government

LOGCAP mission; the LOGCAP V contractors are prohibited from performing under separate planning/support contracts, as a planning/support prime contractor, subsidiary, subcontractor-at any tier, Joint Venture and/or any other business capacity that might result in an OCI.
This prohibition will remain in effect throughout the life of the LOGCAP V contract (through final pay) and will apply to the planning/support contract awarded and any successor planning/support contract(s) effective during the aforementioned prohibition period.
Proper mitigation techniques shall be implemented to avoid even the appearance of an improper relationship. Further, the contractor shall include this prohibition in all subcontracts for which terms are negotiated.
2. The contractor grants authority for Government officials to release necessary proprietary information to the LOGCAP planning/support contractor for any follow on contracts. The contractor shall immediately upon award negotiate and execute an agreement with the planning/support contractor to permit access to necessary proprietary information and to protect against improper release of such information by the planning/support contractor in accordance with FAR 9.505-4. The contractor shall ensure that this authority covers any proprietary information that may be required of subcontractors as well.
H.7 PAY
In the event the contractor must increase compensation packages above that competitively established to retain or obtain personnel to perform in a theater of operations, the contractor must obtain prior approval by the Procuring Contracting Officer before incurring any additional compensation costs. The contractor shall furnish proper business case analysis to the contracting officer to substantiate any adjustment to the contract. Any such increases shall not be subject to fee.
H.8 REMOVED
H.9 HIRING PRACTICES
The Government is concerned about the possibility that certain contractor hiring or sourcing practices may materialize and be detrimental to the Program under this multiple award IDIQ contract. While we recognize that there may be heavy competition between execution contractors for scarce personnel or other resources, contractors are cautioned to be vigilant of fair compensation contract requirements and also mindful of Program interests. The Government will not reimburse the contractor for any costs in excess of what the
Government considers reasonable or for unallowable costs.
In an effort to minimize recruiting and retention practices for scarce resources that may be harmful to the LOGCAP program as a whole, the following provisions apply to work performed under this contract. The contractor shall seek written approval from the Procuring
Contracting Officer prior to increasing base pay or allowances over 10% in a single year over the amounts proposed for the basic contract or for any competitive task orders. Any labor cost increases inconsistent with this clause and without written approval, shall be strictly unallowable. Allowances include:
1. Foreign Travel Per Diem Allowances: The foreign travel per diem allowances provide for lodging, meals, and incidental expenses when an employee is on temporary duty overseas.
2. Cost of Living Allowances: The cost of living allowances are those allowances that are designed to reimburse employees for certain excess costs that they incur as a result of their employment overseas. This group includes allowances similar to the Post Allowance
(more commonly referred to as the COLA), Foreign Transfer Allowance, Home Service Transfer Allowance, Separate Maintenance Allowance, Education Allowance, and Educational Travel.
3 Recruitment and Retention Incentives: These allowances are designed to recruit employees to locations where living conditions may be difficult or dangerous. Costs similar in purpose to Post Hardship Differential, Danger Pay, and Difficult to Staff Incentive
Differential are all considered recruitment and retention allowances.
4. Quarters Allowances: Quarters Allowances, which include costs similar to the Living Quarters Allowance, Temporary Quarters
Subsistence Allowance, and Extraordinary Quarters Allowance, are intended to reimburse employees for substantially all housing costs, either temporary or permanent, at overseas locations where housing is not provided.
H.10 SMALL BUSINESS SUBCONTRACTING PLAN AND REPORTS
Post-award, in addition to the ISR reporting required by FAR 52.219-9, contractors shall submit a separate small business report semi-annually that will include all OCONUS and CONUS dollars (See Attachment 0021).
H.11 TASK AND DELIVERY ORDER OMBUDSMAN
(a) An ombudsman has been appointed to hear and facilitate the resolution of concerns from offerors regarding fair opportunity to be considered for task and/or delivery orders under multiple award contracts. When requested, the ombudsman will maintain strict confidentiality as to the source of the concern. The existence of the ombudsman does not affect the authority of the contracting officer, source selection official or program manager. Further, the ombudsman does not participate in the evaluation of proposals, the source selection process, or the adjudication of protests or formal contract disputes. The ombudsman may refer the party to another official who can resolve the concern.

(b) Before consulting with an ombudsman, interested parties must first address their concerns, issues, disagreements, and/or recommendations to the contracting officer for resolution. Consulting an ombudsman does not alter or postpone the timelines for any other processes (e.g., agency level bid protests, GAO bid protests, requests for debriefings).
(c) If resolution cannot be made by the contracting officer, concerned parties may contact the appointed/cognizant task and delivery order Ombudsman.

H.12 Required Insurance
Pursuant to paragraph (a) of FAR Clause 52.228-5, "Insurance Work on a Government Installation", or FAR Clause 52.228-7, "Insurance
Liability to Third Persons", the Contractor shall procure and maintain the following insurance during the entire period of performance under this contract:

SECTION L - INSTRUCTIONS, CONDITIONS, AND NOTICES TO OFFERORS
Proposal Instructions
L.1. GENERAL INSTRUCTIONS. These instructions are a guide for preparing proposals in response to W52P1J-16-R-0001. They describe the extent of information the Offeror should provide and emphasize the significant topic areas the Offeror should address in its proposal.
The United States Government (USG) will not reimburse the Offeror for costs incurred in association with the preparation of its proposal. The Offeror is expected to review the Performance Work Statement (PWS) and associated technical exhibits contained in Section
J of this Request for Proposal (RFP) for further insight into the areas that the proposal must address. The Offeror should include in its proposal sufficient information to enable the USG to determine the Offeror's understanding of the requirements in each of the evaluated areas. Offerors are cautioned that repeating language of the PWS with a statement of intent to perform does not reflect understanding of the requirement. Adherence to the prescribed format is required. Data not submitted with the proposal, but submitted previously or presumed to be known, will not be considered as part of the proposal. Failure to provide proposals in compliance with the instructions specified in this RFP may render the Offeror's proposal non-compliant, and the proposal may not be further evaluated or considered for award. The Offeror must provide information in sufficient detail to allow the USG to make an assessment of the Offeror's ability to successfully execute the LOGCAP V effort. The proposal shall be prepared in a clear and legible manner. In addition, the
Offeror shall write the proposal in English and the proposal must be specific and complete as described in these instructions.
Offerors shall submit only one proposal encompassing all six GCCs/ASCCs and Afghanistan. An offeror may only be awarded one basic IDIQ contract and cannot participate as a subcontractor, team member, or otherwise be affiliated with another Offeror in preparing a proposal under this solicitation. Violation of this requirement may result in removal of the Offerors proposal from further consideration for award.
No classified material shall appear anywhere within the proposal. ANY OFFEROR WHO SUBMITS A PROPOSAL TO THE GOVERNMENT WHICH CONTAINS
ANY CLASSIFIED INFORMATION WILL BE EXCLUDED FROM THE COMPETITIVE RANGE AND ITS PROPOSAL WILL BE ELIMINATED FROM CONSIDERATION FOR AWARD.
The Government presumes the Offeror's proposal represents its best effort to respond to the solicitation. Submission shall therefore be thorough and complete. Offerors are expected to provide sufficient detail in a clear and concise manner to completely and logically address each evaluation factor. The Government does not desire excess verbiage, unnecessary and elaborate brochures, lengthy, repetitious, disorganized presentations, or any information beyond that sufficient to present and complete an effective offer.
Deficiencies, whether informational or technical (e.g., failure of a proposal to comply with solicitation requirements, failure to provide a technical approach or information regarding an area to be evaluated), may be cause for elimination from the competitive range and rejection of an offer. Unsupported promises to comply with the contractual requirements are not sufficient. Proposals shall not merely reiterate the contractual specifications, but rather shall provide convincing documentary evidence of how contract requirements will be met.
