B.1 GENERAL

The Contractor shall furnish Tactical 2-Way Sensor Data Transport (T2SDT) Suites for Sensor Data Backhaul Full Motion Imagery Ingest and Distribution in support of U.S. Special Operations Command (USSOCOM) and other agencies in accordance with the Statement of Work (Section C). The Contractor shall provide a comprehensive solution for client requirements including, but not limited to, all personnel, materials, services, facilities and management necessary (unless specifically furnished by the Government) to perform the requirements as set forth in this contract and all orders issued under this contract.

B.2 CONTRACT TERM

This is a one-year, indefinite delivery, indefinite quantity (IDIQ) contract. The effective date of the contract is the date of award. Delivery/task orders can be placed against this IDIQ contract at any time during the period of performance in accordance with the Ordering Instructions (Section H). Orders will be performed during the period of performance stipulated in the individual delivery orders. Orders that extend beyond the term of the contract are valid through the final delivery date on the order, provided all work is completed within 12 months after the contract expiration date (Clause H.9 – Ordering Period).

B.3 PRICES

B.3.1 Prices set forth in the Schedule of Items/Services and Prices, and on subsequent orders, shall be fully burdened; that is, prices shall be inclusive of all costs (i.e., material, labor, fringe, overhead, etc.), fees, and profit associated with each item. All orders placed under this contract must include prices that are equal to or lower than the prices set forth in the Schedule of Items/Services and Prices in Section B of this contract.

B.3.2 The Government will only be obligated to pay the prices stated on each individual task/delivery order for items/services that are actually requested, received, and accepted by the Government.

B.3.3 Items/Services and Prices fall into three primary categories; (1) material, (2) labor, and (3) travel.

B.4 QUANTITIES

The total item quantities stated in the attached Schedule of Items/Services and Prices are estimated ceiling quantities. These estimates are based on the best available information regarding the total one-year requirement. This contract does not make any guarantee, either explicit or implied, that the Government will process and place task/delivery orders for the total

B − 2 of 3 contract quantity during the life of this contract.

These estimated quantities are initially provided for solicitation purposes, only. The Government reserves the unilateral right to adjust the quantities at time of contract award, to ensure that there is sufficient capacity for placing all task/delivery orders. Additionally, these estimated quantities may be adjusted during the life of the contract should the ceiling quantity in any individual contract line item be insufficient to fill orders. In this event, the Government may modify this contract to increase the ceiling quantity of one line item by reducing the ceiling quantity of another, less used, line item.
