If a non-incumbent is the successful offeror, the non-incumbent shall be required to use the government-designated Transition/Phase-In period of no more than 30 calendar days to familiarize itself with the contractual obligations and requirements in preparation for total assumption of responsibilities. Phase-In shall be in accordance with the requirements of the solicitation, and the non-incumbent's Phase-In Plan must be submitted with its proposal. A. FEDERAL ACQUISITION REGULATION CONTRACT CLAUSES IN FULL TEXT
52.242-15 STOP-WORK ORDER (AUG 1989) - ALTERNATE I (AUG 1989) (TAILORED)
(a) The Contracting Officer may, at any time, by written order to the Contractor, require the Contractor to stop all, or any part, of the work called for by this contract for a period of 90 days after the order is delivered to the Contractor, and for any further period to which the parties may agree. The order shall be specifically identified as a stop-work order issued under this clause. Upon receipt of the order, the Contractor shall immediately comply with its terms and take all reasonable steps to minimize the incurrence of costs allocable to the work covered by the order during the period of work stoppage. Within a period of 90 days after a stop-work order is delivered to the Contractor, or within any extension of that period to which the parties shall have agreed, the Contracting Officer shall either--
(1) Cancel the stop-work order; or
(2) Terminate the work covered by the order as provided in the Default, or the Termination for Convenience of the Government, clause of this contract.
(b) If a stop-work order issued under this clause is canceled or the period of the order or any extension thereof expires, the Contractor shall resume work. The Contracting Officer shall make an equitable adjustment in the delivery schedule or contract price, or both, and the contract shall be modified, in writing, accordingly, if--
(1) The stop-work order results in an increase in the time required for, or in the Contractor's cost properly allocable to, the performance of any part of this contract; and
(2) The Contractor asserts its right to the adjustment within 30 days after the end of the period of work stoppage; provided, that, if the Contracting Officer decides the facts justify the action, the Contracting Officer may receive and act upon the claim submitted at any time before final payment under this contract.
(c) If a stop-work order is not canceled and the work covered by the order is terminated for the convenience of the Government, the Contracting Officer shall allow reasonable costs resulting from the stop-work order in arriving at the termination settlement.
(d) If a stop-work order is not canceled and the work covered by the order is terminated for default, the Contracting Officer shall allow, by equitable adjustment or otherwise, reasonable costs resulting from the stop-work order.
Alternate I (APR 1984). If this clause is inserted in a cost- reimbursement contract, substitute in paragraph (a)(2) the words "the Termination clause of this contract" for the words "the Default, or the Termination for Convenience of the Government clause of this contract." Period of performance under this contract shall be 14 Apr 2012 through 13 Apr 2014 (Basic Period).
Phase-In period shall be from 01 Mar 2012 to one day prior to start of full performance. Option period one (1), if exercised, shall be from 14 Apr 2014 to 13 Apr 2016. Option period two (2), if exercised, shall be from 14 Apr 2016 to 13 Apr 2017.

(a) All data shall be delivered in accordance with the delivery schedule shown on the Contract Data Requirements List, attachments, or as incorporated by reference.
(b) All reports and correspondence submitted under this contract shall include the contract number and project number, if applicable, and be forwarded prepaid. A copy of the letters of transmittal shall be delivered to the Procuring Contracting Officer (PCO) and Administrative Contracting Officer (ACO). The addresses are set forth on the contract award cover page. All other address(es) and code(s) for consignee(s) are as set forth in the contract or incorporated by reference.

All documents and information required by the patent rights and/or patent reporting clauses set forth in Section I of this contract shall be submitted to the Administrative Contracting Officer and to AFRL/RZOI, 5 Pollux Drive, Bldg 8353., Edwards AFB, CA 93524 The STINFO patent administrator can be reached at (661) 277-5618 This notice also constitutes a request (see FAR 52.227-11 or DFARS 252.227-7039(c), as applicable) for submission of a copy of the patent application, when filed, along with the patent application serial number, filing date, subsequent U.S. patent number and issue date, as received.
G018 CONTRACT HOLIDAYS (FEB 2003) (TAILORED)
(a) The prices/costs in Section B of the contract include holiday observances; accordingly, the Government will not be billed for such holidays, except when services are required by the Government and are actually performed on a holiday. Holidays in addition to those reflected in this contract, which are designated by the Government, will be billable provided the assigned Contractor employee was available for performance and was precluded from such performance.

AFFTC-H001 FAR 52.216-10 INCENTIVE FEE (JAN 2008) (TAILORED) (MAY 2011)
(a) General: The Government shall pay the Contractor for performing this contract a fee determined as provided in this contract.
(b) Equitable adjustments: When the work under this contract is increased or decreased by a modification to this contract or when any equitable adjustment in the cost is authorized under any other clause, equitable adjustments in the cost and fee, as appropriate, shall be stated in a supplemental agreement to this contract.
(c) Fee Structure: this fee structure is the basis to motivate the contractor to provide excellent performance during the execution of the ARES contract (CLIN X002, X003). The contractor is guaranteed a 3% Fixed Fee and will earn up to 4% Performance Incentive Fee based on meeting or exceeding Management, Technical, Cost, Schedule requirements.
PERFORMANCE INCENTIVE: The performance incentive is period is every six months from end of the transition period to end of contract. Each six month period is independent. If each of the four (4) criteria are within each six month period is achieved, the Contractor will receive the entire applicable performance incentive for that period. If not, the Contractor will receive none of that performance period incentive. To receive payment, the contractor shall submit the required documentation. There is no roll-over of fee to subsequent periods. The government shall, within 30 days, review the documentation and concur or nonconcur. H047 TRAVEL (FEB 2003)
(a) The Contractor may be required to travel within the contiguous United States and overseas.
The Contractor may be required to travel by Government-provided transportation. Travel requirements will be reimbursed by separate voucher and must be approved in advance by the Contracting Officer.
Travel requirements will be identified, proposed, and negotiated in individual task orders on a cost-reimbursement basis. Billable travel costs are air fare, ground transportation, and per diem costs, not labor hours. The Contractor shall be responsible for obtaining any passports or visas and making travel arrangements to and from any CONUS location.
(1) Per diem, air fare, and all other allowable travel costs shall be reimbursed in accordance with the Federal Acquisition Regulation. All travel within overseas areas shall be approved in advance by the Contracting Officer.
(2) The Government may provide travel to and from overseas work sites via Air Mobility Command (AMC) flights, if available. AMC travel fees may be Contractor-paid and invoiced to the Government. The Government will be responsible for obtaining travel clearances and issuance of any required special orders.
(b) Use of AMC transportation shall be approved in advance by the Contracting Officer or designee. Orders authorizing AMC travel will specify the Contractor's Customer Identification Code (CIC). If the Contractor does not have CIC number, the orders will state "special account handling: billing for AMC transportation will be forwarded to TBD." Use of AMC transportation is subject to availability.
(c) The travel CLIN is intended to pay for travel occurring at the direction of the Government, performed in conjunction with a specific trip authorized in a task order. Travel by clerical support personnel shall be approved in advance by the Contracting Officer.

B. DEFENSE FAR SUPP CONTRACT CLAUSES IN FULL TEXT
252.225-7997 ADDITIONAL REQUIREMENTS AND RESPONSIBILITIES RELATING TO ALLEGED
CRIMES BY OR AGAINST CONTRACTOR PERSONNEL IN IRAQ AND AFGHANISTAN (DEVIATION)
(AUG 2010)
(a) The Contractor shall report to the appropriate investigative authorities identified in paragraph
(c) below, any alleged offenses under--
(1) The Uniform Code of Military Justice (chapter 47 of title 10, United States Code) (applicable to contractors serving with or accompanying an armed force in the field during a declared war or a contingency operation); or
(2) The Military Extraterritorial Jurisdiction Act (chapter 212 of title 18, United States Code).
(b) The Contractor shall provide to all contractor personnel who will perform work on a contract in Iraq or Afghanistan, before beginning such work, information on the following:
(1) How and where to report an alleged crime described in paragraph (a) of this clause.
(2) Where to seek victim and witness protection and assistance available to contractor personnel in connection with an alleged offense described in paragraph (a) of this clause.
(c) The appropriate investigative authoritiees to which suspected crimes shall be reported include the following officials--
(1) US Army Criminal Investigations Division at http://www.cid.army.mil/reportacrime.html;
(2) Air Force Office of Special Investigations at http://www.osi.andrews.af.mil/library/factsheets/factsheet.asp?id=14522;
(3) Navy Criminal Investigative Service at http://www.ncis.navy.mil/Pages/publicdefault.aspx; or
(4) To the command of any supported military element or the command of any base.
(d) Personnel seeking whistleblower protection from reprisals for reporting criminal acts shall seek guidance through the DoD Inspector General hotline at (800) 424-9098 or www.dodig.mil/HOTLINE/index.html. Personnel seeking other forms of victim or witness protections should contact the nearest military law enforcement office.
C. AIR FORCE FEDERAL ACQUISITION REGULATION SUPPLEMENT CONTRACT CLAUSES IN FULL TEXT
5352.242-9000 CONTRACTOR ACCESS TO AIR FORCE INSTALLATIONS (JUN 2002) (TAILORED)
Contractor Access Plan
1. Contractor Access to AFFTC, Including AFRL/PR-Edwards Research Site
(a) General. The following procedures concerning the issuance and turn-in of identification credentials and vehicle registration for contractor and subcontractor personnel will be followed for all contracts and orders, including construction and research and development, whether or not AFFARS 5352.242-9000, Contractor Access to Air Force Installations, is required (reference AFFARS 5342.490-1) in solicitations and contracts. For solicitations/contracts requiring AFFARS 5352.242-9000, only the AFFTC/PKC tailored version is to be used; COs are not to further tailor this clause. This version has been loaded in the contract writing systems with a copy available with this handbook in the Directorate's network drive and/or website. Any recommended changes to the clause are to be submitted to the AFFTC/PKC repository focal point (reference subpart 1.3) by Division Chiefs.
(1) All COs and PK and 95 CONS management personnel will have a DD Form 577 for their signature on file with 95SFS Pass and Registration.
(2) A standard memo, Vehicle Registration and Identification, signed by the Director of Contracting, on the process, and the importance of identification and security measures, shall be distributed with all awards where performance is on base or frequent access to the base is required. A signed copy of this memo is located with this process book in the Directorate's network drive and/or website
(3) 95SFS Pass and Registration will provide AFFTC/PK with a monthly listing of all contractor and subcontractor personnel who have expired credentials or vehicle registration so a method of validation exists during contract performance and after contract completion. These listings will be used, as necessary; to provide further assurance that contractor compliance has been met. AFFTC/PK will forward a copy of the listing to 95CONS for appropriate action.
(4) The current version of Edwards AFB Contractor Access Plan, with its date, shall be listed in performance work statements (PWSs), statement of works (SOWs), etc., for all contracts where performance is on base or frequent access to the base is required.
(5) COs may also sponsor individual contractor personnel on the installation for 90 days or less.
These personnel will receive a temporary pass, which will also contain their vehicle information.
(b) Contracts. For contracts, other than construction, awarded by AFFTC/PK or 95CONS, once the awardee has been identified and prior to the start of performance the CO shall request a “Notification of Contract” letter and DD Form 577 from the contractor with the required information. The contractor letter shall identify all personnel that will need access to the base for less than 90 days of performance, and those personnel who will need access to the government network and a “.mil” e-mail address. The letter shall be endorsed by the CO, with the “counter-signed” DD Form 577's and forwarded to 95SFS Pass and Registration.
(1) When completing DD Form 1594, Contract Completion Statement, annotate block 8, Remarks, that paragraph (d) of AFFARS Clause 5352.242-9000, Contractor Access to Air Force Installations, has been complied with by the contractor. For actions above the SAT, complete block 5.w, Other Requirements Completed (Specify), of DD Form 1597, Contract Closeout Check-List, with Contractor Compliance with AFFARS Clause 5352.242-9000(d), Contractor Access to Air Force Installations.
(2) As requested by 95 SFS, AFFTC/PK will work with COs outside of the Directorate with contractors performing on the installation to resolve concerns with ID media accountability.
(c) Purchase and Task Orders. For purchase and task orders issued by AFFTC/PK under GSA Federal Supply Schedules and other agencies contracts, the following statement shall be placed in the body of the order:
At completion of performance the contractor shall ensure that all identification credentials, temporary passes and vehicle registration decals have been returned to the issuing office. Failure to do so may result in withholding of final payment.
(d) Construction. The procedures at 1, 2 and 3 above will be followed; however, all construction contracts and orders, regardless of length of performance, shall use the temporary pass process for contractor employees unless requested otherwise by the CO.
(e) Science and Technology (AFFTC/PKT). Contracts performed at AFRL/PR - Edwards Research Site shall follow the procedures at 1, 2, 3, and 4 above, as applicable, and as augmented by the AFRL/PR Operating Instruction 31-10.
(f) Contract Management Division (AFFTC/PKM). For contracts administered by PKM that were delegated under the cognizance of DCMA, the PKM ACO shall provide the Director's memo at the time of delegation acceptance, and work with the prime contractor's security office and the appropriate 412TW Combined Test Force to ensure that the requirements of this subpart are complied with.
(g) Government Purchase Card (95CONS). For vendors who visit the installation periodically in support of the GPC Program, Entry Authorization List (EAL) procedures must be followed. The vendor must contact either the GPC Management Office, or a federal employee on the installation, in sufficient time to request submittal of the EAL spreadsheet to 95 SFS at least 72 hours prior to the scheduled visit.
