The contractor shall provide labor to support the RDIF in accordance with the Performance Work Statement (PWS).

Personnel performing work under a specific labor category must meet or exceed the qualifications specified in the RDIF Labor Category Qualification document found in section C.

The RDIF Price Matrix found in Section J attachment 3, provides the labor rates for each category of labor. Task order labor prices for any specific labor category shall not exceed its respective fully burdened labor rate for that labor category as identified in the RDIF Price Matrix.

Descriptive Data:

The contractor shall provide the materials identified in the task order PWS necessary to support the RDIF as specified in the PWS for this IDIQ contract.

The contractor may only bill the actual cost of materials plus material markup. Material markup is calculated by multiplying the material markup rate e.g. G&A/Profit established in the RDIF Price Matrix (Section J Attachment 3) by the price of materials.

Ceiling Price $48,000,000

Applicable to CLINs 0001, 0002.

The labor rates established by the contractor at the IDIQ competition as found in the RDIF Price Matrix, Section J Attachment - 3 shall be used on all task orders issued against this contract.

The material markup rate (G&A and Profit) established at the IDIQ competition as found in the RDIF Price Matrix, Section J Attachment - 3 shall be used to compute Material Markup for all task order issued against this contract.

B039 INDEFINITE QUANTITY (DEC 2005) (TAILORED)

This is an Indefinite Quantity contract as contemplated by FAR 16.504. The total scope of the technical tasks for which orders may be issued is set forth in paragraph 3 of the Performance Work Statement (PWS) refenced in Section C. The maximum dollar amount the Government may order under this contract is $48,000,000.00; the minimum amount the Government may order under this contract is the Offeror's price for the live task order.

B040 ORDERING PROCEDURES (DEC 2005)

(a) Orders will be issued by a Procuring Contracting Officer in accordance with the Ordering clause of this contract. However, the following procedures shall be used for negotiation of orders.

(1) The Contracting Officer will provide the Contractor with a copy of the notification of each proposed Order which will include a description of work to be performed, description of expertise required, and desired completion date.

(2) The Contractor shall then: (i) submit to the Contracting Officer a brief technical discussion describing how the work will be performed; (ii) submit a cost proposal identifying labor categories and number of hours within each category required for the performance of the proposed work;

(iii) identify and provide rationale for all non-labor cost elements required for performance; and (iv) identify any Government property required for performance.

(3) Upon receipt of the proposal, the Contracting Officer will analyze the proposal and, if acceptable, issue an Order directing the Contractor to commence performance, or if the proposal is not fully acceptable as offered, negotiations shall be conducted prior to issuance of any Order . In the event issues pertaining to a proposed work cannot be resolved to the satisfaction of the Contracting Officer, the Contracting Officer reserves the right to withdraw and cancel the proposed work. In such event, the Contractor shall be notified, via letter, of the Contracting Officer's decision. This decision shall be final and conclusive and shall not be subject to the Disputes clause or the Contract Disputes Act.

(b) The Contractor is not authorized to commence performance prior to issuance of the Order by the Contracting Officer.

B050 ALLOWABLE COST AND PAYMENT (COST NO FEE) (DEC 2005) (TAILORED)

Contractor shall be reimbursed for performance of this contract in accordance with the contract clauses and the following additional terms:

Decentralized Ordering is authorized for in-scope task orders issued against this contract. A decentralized order is an order issued by a warranted contracting officer outside the Special Ops & Personnel Recovery (AFLCMC/WIS) division. Decentralized Ordering Procedures shall be IAW the Ordering Procedures at B040. In addition, the contracting officer issuing the decentralized order must contact the Special Ops & Personnel Recovery division contractor responsible for contract administration to obtain the task order number. Once awarded, a copy of the order must be provided to the Special Ops & Personnel Recovery division contracting officer.

52.217-08 OPTION TO EXTEND SERVICES (NOV 1999) (TAILORED)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 60 days the period specified in the Schedule.

52.219-14 LIMITATIONS ON SUBCONTRACTING (NOV 2011) (TAILORED)

(a) This clause does not apply to the unrestricted portion of a partial set-aside.

(b) Applicability. This clause applies only to--

(1) Contracts that have been set aside or reserved for small business concerns or 8(a) concerns;

(2) Part or parts of a multiple-award contract that have been set aside for small business concerns or 8(a) concerns; and

(3) Orders set aside for small business or 8(a) concerns under multiple-award contracts as described in 8.405-5 and 16.505(b)(2)(i)(F).

(c) By submission of an offer and execution of a contract, the Offeror/Contractor agrees that in performance of the contract in the case of a contract for --

(1) Services (except construction). At least 50 percent of the cost of contract performance incurred for personnel shall be expended for employees of the concern.

(2) Supplies (other than procurement from a nonmanufacturer of such supplies). The concern shall perform work for at least 50 percent of the cost of manufacturing the supplies, not including the cost of materials.

(3) General construction. The concern will perform at least 15 percent of the cost of the contract, not including the cost of materials, with its own employees.

(4) Construction by special trade contractors. The concern will perform at least 25 percent of the cost of the contract, not including the cost of materials, with its own employees.

5352.201-9101 OMBUDSMAN (APR 2014) (TAILORED)

(a) An ombudsman has been appointed to hear and facilitate the resolution of concerns from offerors, potential offerors, and others for this acquisition. When requested, the ombudsman will maintain strict confidentiality as to the source of the concern. The existence of the ombudsman does not affect the authority of the program manager, contracting officer, or source selection official. 5352.242-9000 CONTRACTOR ACCESS TO AIR FORCE INSTALLATIONS (NOV 2012) (TAILORED)

(a) The contractor shall obtain base identification and vehicle passes, if required, for all contractor personnel who make frequent visits to or perform work on the Air Force installation(s) cited in the contract. Contractor personnel are required to wear or prominently display installation identification badges or contractor-furnished, contractor identification badges while visiting or performing work on the installation.

(b) The contractor shall submit a written request on company letterhead to the contracting officer listing the following: contract number, location of work site, start and stop dates, and names of employees and subcontractor employees needing access to the base. The letter will also specify the individual(s) authorized to sign for a request for base identification credentials or vehicle passes. The contracting officer will endorse the request and forward it to the issuing base pass and registration office or Security Forces for processing. When reporting to the registration office, the authorized contractor individual(s) should provide a valid driver's license, current vehicle registration, and valid vehicle insurance certificate to obtain a vehicle pass.

(c) During performance of the contract, the contractor shall be responsible for obtaining required identification for newly assigned personnel and for prompt return of credentials and vehicle passes for any employee who no longer requires access to the work site.

(d) When work under this contract requires unescorted entry to controlled or restricted areas, the contractor shall comply with AFI 31-101, Integrated Defense, and AFI 31-501, Personnel Security Program Management, citing the appropriate paragraphs as applicable.

(e) Upon completion or termination of the contract or expiration of the identification passes, the prime contractor shall ensure that all base identification passes issued to employees and subcontractor employees are returned to the issuing office.

(f) Failure to comply with these requirements may result in withholding of final payment.
